NOTES

1. THIS CONSTRUCTION PROJECT IS A SMALL BUSINESS SET ASIDE.

2. All questions pertaining to the Specifications, Plans, Drawings, and Reports for Invitation for Bid (IFB) NNM17615413E must be submitted in writing no later than fifteen (15) calendar days prior to scheduled bid opening.

3. All prime contractors submitting a bid must have an Experience Modification Rating (EMR) of 1.0 or less. The EMR rating shall be submitted with bid.

The subcontractors working under the prime contractors shall have an EMR of 1.1 or less and should be submitted to the Contracting Officer prior to the “Notice to Proceed.”

4. Bidders shall inspect the site where the work will be performed. Due to the complexity of the requirement described in this solicitation, bids will not be accepted from organizations that have not attended a site visit.

5. Award of this project is contingent upon the availability of funds (see Section I, FAR Clause 52.232-18). The Government will accept no responsibility for bid cost.

6. The bid opening will be at the time and place identified in Block 10 of the Standard Form 1442 (Solicitation, Offer, and Award). Bids that are not hand-delivered on or before the date/time of the bid opening shall be mailed to:

7. Bids mailed must be received prior to the bid opening date/time to be considered.

Helpful Information about Submitting Your Bid:

A. Standard Form (SF) 1442, Solicitation, Offer, and Award. The bidder shall complete page 2 of the SF 1442, specifically Blocks 14 through 20c, and return the SF 1442 with its bid. Block 17 states “See Attached Bid Schedule” (see B below, “Bid Schedule”). Block 19 is “Acknowledgement of Amendments.” The bidder shall write the number of the amendment(s) (if any) under “Amendment No.” and the date the amendment was signed under “Date.”

B. Bid Schedule. The “Bid Schedule” is listed on page 3 of the model contract under the “Base Bid” and “Alternates.” There is one space for the amount of the base bid and a space for the amount of each additive/deductive alternate (if any). Bidders shall complete and return with the bid. Changes to the bid prices shall only be made on the Bid Schedule. Changes noted on the sealed envelope containing the bid or elsewhere within the bid response will not be accepted or acknowledged by the Government.

C. Section K, Representations, Certifications, and Other Statements of Bidders. Please complete this section, as applicable to your company, and return with your bid. To ensure that all required Representations, Certifications, and Other Statements of Bidders are available to the Government upon submission of a bid, and in accordance with FAR Provision 52.204-7 (see Section L), the Government requires that bidders be registered and “active” in the System for Award Management (SAM) database by the closing time/date of this solicitation. Otherwise low bids received from bidders who are not registered and “active” in the SAM database by the closing time/date of this solicitation will be treated in accordance with FAR Provision 52.204-7(d).

D. Bid Bond. You must submit a bid bond with your bid. This requirement is defined in Section L of this IFB in Federal Acquisition Regulation (FAR) Provision 52.228-1 Bid Guarantee (SEP 1996).

E. Experience Modification Rating (EMR). The EMR for your organization must be submitted with your bid. You should be able to obtain your EMR from your insurance company.

F. Responsibility Determination. The apparent low bidder may be requested to provide the information described in Provision L.12 (MSFC 52.209-90 Bidders Qualifications -- Construction (APR 1987)) of this IFB. The notification from the Contracting Officer to the apparent low bidder will identify the information required and the date by which the information is required.

PROJECT TITLE: Central Steam Distribution Replacement Phase 1

DESCRIPTION OF WORK: The work to be performed under this project consists of providing the labor, equipment, and materials to convert seventeen (17) buildings from a central steam distribution system to local natural gas fired boilers at the Marshall Space Flight Center in Huntsville, Alabama. The work performed under this project will primarily be mechanical work with supporting electrical, structural, and civil work as needed for the installation of new mechanical equipment. DESCRIPTION OF WORK:

The work to be performed under this project consists of providing the labor, equipment, and materials to convert seventeen (17) buildings from a central steam distribution system to local natural gas fired boilers at the Marshall Space Flight Center in Huntsville, Alabama. This work consists of removing existing steam reducing stations in the buildings and replacing them with more efficient and maintainable natural gas fired boiler system to generate hot water to be used as a heat source for the building. This project also includes bringing natural gas underground to these buildings from the existing natural gas main lines.

The work performed under this project will primarily be mechanical work with supporting electrical, structural, and civil work as needed for the installation of new mechanical equipment.

(a)The Contractor shall provide and maintain work environments and procedures which will-

(1) Safeguard the public and Government personnel, property, materials, supplies, and equipment exposed to Contractor operations and activities;

(2) Avoid interruptions of Government operations and delays in project completion dates; and

(3) Control costs in the performance of this contract.

(b) For these purposes on contracts for construction or dismantling, demolition, or removal of improvements, the Contractor shall-

(1) Provide appropriate safety barricades, signs, and signal lights;

(2) Comply with the standards issued by the Secretary of Labor at 29 CFR Part 1926 and 29 CFR Part 1910; and

(3) Ensure that any additional measures the Contracting Officer determines to be reasonably necessary for the purposes are taken.

(c)If this contract is for construction or dismantling, demolition or removal of improvements with any Department of Defense agency or component, the Contractor shall comply with all pertinent provisions of the latest version of U.S. Army Corps of Engineers Safety and Health Requirements Manual, EM 385-1-1, in effect on the date of the solicitation.
(d)Whenever the Contracting Officer becomes aware of any noncompliance with these requirements or any condition which poses a serious or imminent danger to the health or safety of the public or Government personnel, the Contracting Officer shall notify the Contractor orally, with written confirmation, and request immediate initiation of corrective action. This notice, when delivered to the Contractor or the Contractor’s representative at the work site, shall be deemed sufficient notice of the noncompliance and that corrective action is required. After receiving the notice, the Contractor shall immediately take corrective action. If the Contractor fails or refuses to promptly take corrective action, the Contracting Officer may issue an order stopping all or part of the work until satisfactory corrective action has been taken. The Contractor shall not be entitled to any equitable adjustment of the contract price or extension of the performance schedule on any stop work order issued under this clause.
(e)The Contractor shall insert this clause, including this paragraph (e), with appropriate changes in the designation of the parties, in subcontracts.

(f) Before commencing the work, the Contractor shall-

(1) Submit a written proposed plan for implementing this clause. The plan shall include an analysis of the significant hazards to life, limb, and property inherent in contract work performance and a plan for controlling these hazards; and

(2) Meet with representatives of the Contracting Officer to discuss and develop a mutual understanding relative to administration of the overall safety program.

H.4 1852.242-72 Denied Access to NASA Facilities (OCT 2015)

(a)(1) The performance of this contract requires contractor employees of the prime contractor or any subcontractor, affiliate, partner, joint venture, or team member with which the contractor is associated, including consultants engaged by any of these entities, to have access to, physical entry into, and to the extent authorized, mobility within, a NASA facility.
(2) NASA may close and or deny contractor access to a NASA facility for a portion of a business day or longer due to any one of the following events:
(i) Federal public holidays for federal employees in accordance with 5 U.S.C. 6103.
(ii) Fires, floods, earthquakes, unusually severe weather to include snow storms, tornadoes and hurricanes.
(iii) Occupational safety or health hazards.
(iv) Non-appropriation of funds by Congress.
(v) Any other reason.
(3) In such events, the contractor employees may be denied access to a NASA facility, in part or in whole, to perform work required by the contract. Contractor personnel already present at a NASA facility during such events may be required to leave the facility.

(b) In all instances where contractor employees are denied access or required to vacate a NASA facility, in part or in whole, the contractor shall be responsible to ensure contractor personnel working under the contract comply. If the circumstances permit, the contracting officer will provide direction to the contractor, which could include continuing on-site performance during the NASA facility closure period. In the absence of such direction, the contractor shall exercise sound judgment to minimize unnecessary contract costs and performance impacts by, for example, performing required work off-site if possible or reassigning personnel to other activities if appropriate.

(c) The contractor shall be responsible for monitoring the local radio, television stations, NASA Web sites, other communications channels, for example contracting officer notification, that the NASA facility is accessible. Once accessible the contractor shall resume contract performance as required by the contract.

(d) For the period that NASA facilities were not accessible to contractor employees, the contracting officer may—
(1) Adjust the contract performance or delivery schedule for a period equivalent to the period the NASA facility was not accessible;
(2) Forego the work;
(3) Reschedule the work by mutual agreement of the parties; or
(4) Consider properly documented requests for equitable adjustment, claim, or any other remedy pursuant to the terms and conditions of the contract.
(e) Notification procedures of a NASA facility closure, including contractor denial of access, as follows:
(1) The contractor shall be responsible for monitoring the local radio, television stations, NASA Web sites, other communications channels, for example contracting officer notification, for announcement of a NASA facility closure to include denial of access to the NASA facility. The contractor shall be responsible for notification of its employees of the NASA facility closure to include denial of access to the NASA facility. The dismissal of NASA employees in accordance with statute and regulations providing for such dismissals shall not, in itself, equate to a NASA facility closure in which contractor employees are denied access. Moreover, the leave status of NASA employees shall not be conveyed or imputed to contractor personnel. Accordingly, unless a NASA facility is closed and the contractor is denied access to the facility, the contractor shall continue performance in accordance with the contract.
(2) NASA’s Emergency Notification System (ENS). ENS is a NASA-wide Emergency Notification and Accountability System that provides NASA the ability to send messages, both Agency-related and/or Center-related, in the event of an emergency or emerging situation at a NASA facility. H.5 1852.243-72 Equitable Adjustments (APR 1998)

(a) The provisions of all other clauses contained in this contract which provide for an equitable adjustment, including those clauses incorporated by reference with the exception of the “Suspension of Work” clause (FAR 52.242-14), are supplemented as follows:

Upon written request, the Contractor shall submit a proposal for review by the Government. The proposal shall be submitted to the contracting officer within the time limit indicated in the request or any extension thereto subsequently granted. The proposal shall provide an itemized breakdown of all increases and decreases in the contract for the Contractor and each subcontractor in at least the following detail: material quantities and costs; direct labor hours and rates for each trade; the associated FICA, FUTA, SUTA, and Workmen’s Compensation Insurance; and equipment hours and rates.

(b) The overhead percentage cited below shall be considered to include all indirect costs including, but not limited to, field and office supervisors and assistants, incidental job burdens, small tools, and general overhead allocations. “Commission” is defined as profit on work performed by others. The percentages for overhead, profit, and commission are negotiable according to the nature, extent, and complexity of the work involved, but in no case shall they exceed the following ceilings:

(c) Not more than four percentages for overhead, profit, and commission shall be allowed regardless of the number of subcontractor tiers.

(d) The Contractor or subcontractor shall not be allowed overhead or commission on the overhead, profit, and/or commission received by its subcontractors.

(e) Equitable adjustments for deleted work shall include credits, limited to the same percentages for overhead, profit, and commission in paragraph (b) of this clause.

(f)On proposals covering both increases and decreases in the amount of the contract, the application of the overhead, profit, and commission shall be on the net change in direct costs for the Contractor or the subcontractor performing the work.
(g)After receipt of the Contractor’s proposal, the contracting officer shall act within a reasonable period, provided that when the necessity to proceed with a change does not permit time to properly check the proposal, or in the event of a failure to reach an agreement on a proposal, the contracting officer may order the Contractor to proceed on the basis of the price being determined at the earliest practicable date. In such a case, the price shall not be more than the increase or less than the decrease proposed.

H.6 MSFC 52.223-90 Asbestos Material (AUG 2015)

During performance of this contract, Contractor personnel performing work in MSFC buildings may come in contact with materials containing asbestos. MSFC Buildings 4200, 4201, and 4663 are of special concern since they are known to contain a sprayed on fire insulation on or above the ceiling, usually located on the metal or concrete structure of the buildings. Examples of asbestos-containing material are floor tile, pipe and lagging insulation, exterior siding, roofing felt, and many other building materials. To facilitate communication, MSFC has established a website where the inventory of asbestos-containing material, their condition and approximate location are provided. The URL for this website is http://ais.ndc.nasa.gov/default.aspx. If the Contractor is unable to access this URL, they may contact the Contracting Officer or MSFC’s Environmental Engineering and Occupational Health (EEOH) Office (organization code AS10) for assistance. Prior to performing tasks which may disturb building material containing asbestos or suspected asbestos, the Contractor shall notify MSFC’s EEOH Office for assistance. The Contractor shall also be responsible for ensuring that all Contractor personnel working onsite are made aware of and comply with the requirements of this clause.

H.7 MSFC 52.223-91 Hazardous Material Reporting (FEB 2016)

(a) If during the performance of this contract, the Contractor transports or accepts delivery of any hazardous materials (hazardous as defined under the latest version of Federal Standard No. 313, including revisions adopted during the term of the contract) on-site to Marshall Space Flight Center, the hazardous material shall be processed through MSFC Central Receiving to be bar-coded for inventory. Alternative receiving points may be designated if approval is granted in accordance with MWI 8550.5, “Hazardous Material Management.” Chemical containers shall be managed in accordance with the provisions of MWI 8550.5. The Contractor shall be responsible for ensuring that all Contractor/subcontractor personnel are made aware of and comply with this clause.

(b) Nothing contained in this clause shall relieve the Contractor from complying with applicable Federal, State, and local laws, codes, ordinances, and regulations (including the obtaining of licenses and permits) in connection with hazardous material; or with clauses regarding hazardous materials, which may be contained in the contract and/or order.

H.8 MSFC 52.223-92 Environmental General Clause (AUG 2010)

Contractors performing on-site shall comply with all applicable Environmental policies and procedures including, but not limited to, MPD 8500.1, “MSFC Environmental Management Policy” and MPR 8500.1, “MSFC Environmental Engineering and Occupational Health Program.” MSFC contractors performing on-site activities that could potentially impact the environment shall be responsible for following all established NASA/MSFC environmental procedures. These procedures and other applicable policies and procedures are available by contacting the NASA/MSFC Environmental Engineering & Occupational Health Office. Failure to comply with environmental policies and procedures, may result in damage to the environment, and could potentially result in regulatory penalties against NASA and/or the Contractor, and Contractor loss of access to NASA/MSFC facilities.

H.10 MSFC 52.223-96 Medical Services (APRIL 2016)

Applicable for onsite performance at MSFC:

In accordance with MWI 1800.1, “MSFC Occupational Medicine” and MWI 3410.1, “Personnel Certification Program,” the Contractor shall utilize the medical services provided by the MSFC Medical Center for MSFC job-required medical certification health examinations. The MSFC Medical Center is located in Building 4249 and is generally open between 7:00 a.m. and 3:30 p.m., Monday through Friday (closed on Government holidays), telephone 256-544-2390. Additionally, the Contractor shall utilize the MSFC emergency medical services system for any incident that occurs at MSFC and which requires emergency medical treatment by dialing 911. Additional emergency contact numbers are accessible from the MSFC “Safety, Health and Environmental - SHE” Web site located on the ExplorNet Web page https://explornet.msfc.nasa.gov/groups/safety-health-and-environmental-she.

H.11 MSFC 52.223-97 Mandatory and Required Training (JUNE 2016)

All Contractor personnel performing work onsite at MSFC or MAF shall complete, in a timely manner, all applicable mandatory and required training courses listed below, as well as any other current or future training requirements specified in the Statement of Work, Performance Work Statement, Specifications, Applicable Documents (including NASA, MSFC and Organizational level directives), Data Requirements Descriptions, other contract clauses and/or the System for Administration, Training, and Educational Resources for NASA (SATERN). SATERN provides web-based access to many required training courses. Contractor employees may be provided access to SATERN. The Contractor shall maintain training records for each employee, documenting the completion of this and any other required training. A list of the mandatory and required training including their titles, delivery method, frequency and target audience is accessible from the MSFC ExplorNet Web page at: https://explornet.msfc.nasa.gov/docs/DOC-15683. The content of the list and the training itself are subject to change without notice.

Training for its employees and subcontractors shall be the responsibility of the Contractor. Some certification courses are offered to the Contractor on a limited space available basis, and MSFC makes no obligation to provide this training to Contractor personnel. MSFC Contractors may develop their own training for those courses not provided, or obtain it from a qualified outside vendor – this does not give rise to an equitable adjustment to contract value. The course material to be used for certification courses developed by a Contractor and/or verification of certification by an outside vendor, shall be submitted to the MSFC Industrial Safety Branch/SHE Training Subcommittee for approval and the training is subject to audit by the Government.

H.12 Submission of Invoices

H.13 Subcontracting

(a) In the event the Contractor desires to have subcontractors perform any portion of the work covered by this contract, the Contractor is hereby required to comply with the requirements of FAR Clause 52.222-11, entitled “Subcontracts (Labor Standards).”

(b) The Contractor shall also submit, prior to the start of any field work by a subcontractor, evidence of the subcontractor’s compliance with the insurance requirements as set forth in this contract.

(c) Failure of the Contractor to comply with these requirements shall be cause for the Government to bar the subcontractors, singly or collectively, from access to the site of the work, or stop the work from being performed by such subcontractors, singly or collectively, until the requirements of this clause have been complied with. Such stoppage of work shall not be considered cause for equitable adjustment for time or money under the applicable clauses of the contract.

H.14 Notification for Onsite Work

The Contractor shall notify the Government Contracting Officer’s Representative (COR) or his designated construction representative when performing any onsite work. Further, the Contractor shall notify the Government COR when any subcontractor is onsite. If the work involves multiple work locations, the Contractor shall notify the COR or his representative when a change in work site is required.

H.15 Applicable MSFC Regulations, Other Laws and Regulations

The Contractor and all its employees engaged in the performance of work under this contract shall observe and comply with all rules and regulations prescribed by the authorities at Marshall Space Flight Center and shall strictly comply with fire, safety, sanitation and security regulations. In addition, the Contractor shall obey and abide by and comply with Social Security, Workmen’s Compensation and Unemployment Laws of the State as shall be applicable to the work hereunder and the Contractor shall obey and comply with all other Legislation, State and Federal Laws.

H.16 Hours of Work

Normal duty hours during which work may be performed are from 7:00 a.m. to 5:00 p.m., Monday through Friday. If the Contractor desires to work outside of the normal duty hours or on Saturdays, Sundays, or holidays, it shall request approval from the Contracting Officer Representative (COR), and allow ample time to enable satisfactory arrangements to be made by the Government for inspecting the work in progress.

H.17 Submittals and Samples

Reference Section I, FAR Clause 52.236-21, Specifications and Drawings for Construction

(a) Submittals shall be made for all materials where required under various sections of the specifications and for all materials being proposed as substitutes for materials specified on the drawings or in the specifications.

(b) Submittals shall consist of shop drawings, samples, and maintenance data as required in each technical section of the specifications.

(c) Submit a list of all equipment to be furnished including the name of the manufacturer, the model number and other identifying data and information related to performance, capacity, nature and rating.

(d) Samples of all materials proposed for use in this project shall be submitted to the Contracting Officer for approval. Contractor shall not deliver to the job site, nor shall he incorporate any materials into the job which have not been approved by the Contracting Officer or Contracting Officer’s Representative.

I.2 52.204-14 Service Contract Reporting Requirements (OCT 2016)

(a) Definition.

“First-tier subcontract” means a subcontract awarded directly by the Contractor for the purpose of acquiring supplies or services (including construction) for performance of a prime contract. It does not include the Contractor’s supplier agreements with vendors, such as long-term arrangements for materials or supplies that benefit multiple contracts and/or the costs of which are normally applied to a Contractor’s general and administrative expenses or indirect costs.

(b) The Contractor shall report, in accordance with paragraphs (c) and (d) of this clause, annually by October 31, for services performed under this contract during the preceding Government fiscal year (October 1-September 30).

(c) The Contractor shall report the following information:

(1) Contract number and, as applicable, order number.

(2) The total dollar amount invoiced for services performed during the previous Government fiscal year under the contract.

(3) The number of Contractor direct labor hours expended on the services performed during the previous Government fiscal year.

(4) Data reported by subcontractors under paragraph (f) of this clause.

(d) The information required in paragraph (c) of this clause shall be submitted via the internet at www.sam.gov. (See SAM User Guide). If the Contractor fails to submit the report in a timely manner, the contracting officer will exercise appropriate contractual remedies. In addition, the Contracting Officer will make the Contractor’s failure to comply with the reporting requirements a part of the Contractor’s performance information under FAR subpart 42.15.

(e) Agencies will review Contractor reported information for reasonableness and consistency with available contract information. In the event the agency believes that revisions to the Contractor reported information are warranted, the agency will notify the Contractor no later than November 15. By November 30, the Contractor shall revise the report, or document its rationale for the agency.

(f)(1) The Contractor shall require each first-tier subcontractor providing services under this contract, with subcontract(s) each valued at or above the thresholds set forth in 4.1703(a)(2), to provide the following detailed information to the Contractor in sufficient time to submit the report:

(i) Subcontract number (including subcontractor name and unique entity identifier); and

(ii) The number of first-tier subcontractor direct-labor hours expended on the services performed during the previous Government fiscal year.

(2) The Contractor shall advise the subcontractor that the information will be made available to the public as required by section 743 of Division C of the Consolidated Appropriations Act, 2010.

I.352.209-9 Updates of Publicly Available Information Regarding Responsibility Matters (JUL 2013) (applicable in accordance with FAR Provision 52.209-7)
(a)The Contractor shall update the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) on a semi-annual basis, throughout the life of the contract, by posting the required information in the System for Award Management database via https://www.acquisition.gov.
(b)As required by section 3010 of the Supplemental Appropriations Act, 2010 (Pub. L. 111-212), all information posted in FAPIIS on or after April 15, 2011, except past performance reviews, will be publicly available. FAPIIS consist of two segments—

(1) The non-public segment, into which Government officials and the Contractor post information, which can only be viewed by—

(i) Government personnel and authorized users performing business on behalf of the Government; or

(ii) The Contractor, when viewing data on itself; and

(2) The publicly-available segment, to which all data in the non-public segment of FAPIIS is automatically transferred after a waiting period of 14 calendar days, except for--

(i) Past performance reviews required by subpart 42.15;

(ii) Information that was entered prior to April 15, 2011; or

(iii) Information that is withdrawn during the 14-calendar-day waiting period by the Government official who posted it in accordance with paragraph (c)(1) of this clause.

(c) The Contractor will receive notification when the Government posts new information to the Contractor’s record.

(1) If the Contractor asserts in writing within 7 calendar days, to the Government official who posted the information, that some of the information posted to the non-public segment of FAPIIS is covered by a disclosure exemption under the Freedom of Information Act, the Government official who posted the information must within 7 calendar days remove the posting from FAPIIS and resolve the issue in accordance with agency Freedom of Information procedures, prior to reposting the releasable information. The contractor must cite 52.209-9 and request removal within 7 calendar days of the posting to FAPIIS.

(2) The Contractor will also have an opportunity to post comments regarding information that has been posted by the Government. The comments will be retained as long as the associated information is retained, i.e., for a total period of 6 years. Contractor comments will remain a part of the record unless the Contractor revises them.

(3) As required by section 3010 of Pub. L. 111-212, all information posted in FAPIIS on or after April 15, 2011, except past performance reviews, will be publicly available.
