The following have been modified:

SECTION L

L – ( 1 ) CONTENT OF PROPOSALS (Services)

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.

The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may result in the assessment of a deficiency to the proposal.

Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 15% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract or provides one or more Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.

Questions: Offerors may submit questions requesting clarification of solicitation requirements by emailing the contract specialist at jesus.godinez@navy.mil and the contracting officer Meagan.foster@navymil. It is required that all questions be received within 10 calendar days of the date this solicitation is issued.

The Government will not reimburse Offerors for any cost incurred for the preparation and submission of a response to this Request for Proposal (RFP); and

With the exception of the Cost/Price Volume, no cost or pricing information should appear in any other volume.

2.0 ELECTRONIC PROPOSAL FORMAT

This section is intended to provide information to the Offerors on the electronic format and application software to be used for submitting proposals. Do not submit hardcopy proposals for this solicitation. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.

Proposals must be formatted using a Times New Roman 12 pt Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphs and Tables that fit on an 8.5” X 14” printed page will be counted as one page. Drawing may be of any size and will count as one page. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented. When using Government supplied templates (e.g. Attachment L1, Attachment L2, Attachment L3), no modifications to font or scaling required.

The Offeror shall submit all volumes of its proposal electronically via DoD Safe (https://safe.apps.mil/). All proposal documents must be compatible with the Microsoft Office 2016 and/or the latest Adobe Acrobat Reader Portable Document Format (PDF), where applicable. All documents provided must be searchable documents. An email shall be submitted to jesus.godinez@navy.mil no later than 1400 EST 10 DAYS PRIOR TO PROPOSAL DUE DATE requesting a “Drop-Off Request Code.” The “Drop-Off Request Code” email must specify a point of contact name and email address for the Prime contractor and for each individual Subcontractor. The Prime and Subcontractor(s) will each be provided a unique “Drop-Off Request Code” which will allow them to submit proposal documents to the Government independently as needed. The Prime and Subcontractor points of contact will receive an email that contains their unique “Drop-Off Request Code” no less than 3 1 days prior to the proposal due date. This code authorizes access to submit proposal documents securely via DoD SAFE.

All volumes of the Prime and Subcontractor proposals shall be received electronically via DoD SAFE prior to the closing date/time stated in this solicitation. Previously submitted files need not be re-submitted; however, primes and/or subcontractors should provide an email to jesus.godinez@navy.mil and meagan.foster@navy.mil to confirm that the previously submitted files are the final proposal if no additional files are uploaded.

Offerors are encouraged (not required) to submit a screen shot of the successful DoD Safe upload page, clearly depicting the time and date of successful submission, by email to jesus.godinez@navy.mil and meagan.foster@navy.mil after submitting their electronic proposal documents. Offerors are also encouraged (not required) to submit their proposal by, at least, 5:00pm Eastern Time one business day before the submission deadline in order to leave time to potentially resolve any issues that may arise with DoD Safe.

Any submission received after the exact time specified above is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition, and—

· If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

· There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

· It is the only proposal received.

Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp that is logged in through the or includes the time/date stamp that is logged in through the DoD SAFE site upon submission of the proposal.

If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment.

An award made on an initial proposal submissions shall result in a binding contract without further action by either party.

The Offeror is responsible for ensuring electronic proposals are virus free. Offerors may not use hyperlinks within and among proposal volumes. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images.

c) Indirect Rates: The Offeror (and subcontractors/consultants) shall provide the basis for the Indirect costs (i.e. Overhead, Fringe Benefits, General and Administrative (G&A), etc.) as well as the last three (3) years of actual indirect information (including escalation). If any of the rates utilized by the Offeror differ from the DCAA information, a clear and convincing justification shall be provided for the difference. If any of the rates utilized by subcontractors differ from the DCAA information provided in their response, a clear and convincing justification shall be provided for the difference.

d) Profit/Fee: The Offeror (and subcontractors/consultants) shall provide profit/fee rate and total amounts submitted and identify the various cost elements to which the profit/fee is being applied. Profit/Fee rates, as applicable in Section B, must be clearly distinguishable. Profit/Fee shall not be applied to ODCs.

e) Other Direct Costs (ODCs): The Offeror shall propose ODCs in accordance with Section L.3.4.1 of this CBO ITSS RFP N68520-21-R-0004.

f) Estimating Practices and Assumptions: The Offeror shall provide estimating practices and assumptions made during the preparation of the cost/price submission.

NOTE: The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs (e.g., lower than usual burdens or rates), the Offeror shall fully identify and explain any such investments. Such investment will then be incorporated into the contract to cap the rate(s) and to ensure it is binding for the term of the contract.

g) Price Reasonableness: The Offeror shall provide rationale to support all instances of fully burdened labor rates proposed where employees' annual fully burdened salary exceeds $300K. The fully burdened labor rate for any proposed subcontractor labor will be calculated inclusive of all pass-through costs being applied by the prime. This applies to fully burdened subcontractor employees' salaries inclusive of the prime contractor's pass-through burden.

3.3 Limitations on Subcontracting

Limitations on Subcontracting will be monitored and enforced by the PCO and COR/ACOR in accordance with 52.219-14 Limitations on Subcontracting (DEVIATION 2020-O0008).

Limitation on Subcontracting (per 13 CFR §125.6(e)(2), compliance with the limitation on subcontracting

3.4 Total Professional Compensation Plan: The Offeror shall provide a Total Compensation Plan in accordance with FAR 52.222-46 for each proposed professional employee. The Plan shall include, but not limited to, the following items:

(1) The proposed direct labor rate for each professional employee proposed;

(2) The total cost of the proposed fringe benefits package for each professional employee proposed, including:

(a) A list and brief summary of the benefits that make up the fringe package (e.g. vacation time, sick leave, stock, incentive plans, family leave, life insurance, severance pay, bonus plans, health insurance, holidays, location allowance, retirement benefits); and
(b) An itemization of the benefits that require employee contributions, and the amount of that contribution as a percentage of the cost of the particular benefit; and

(3) Data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used by the Offeror in establishing the total compensation structure.

3.5 Government Furnished Information

3.5.1 ODCs: The Government's estimate for ODCs for the prime and all subcontract efforts, unburdened is listed below:

Year
ODC’s
Ordering Period Year 1
$850,000
Ordering Period Year 2
$850,000
Ordering Period Year 3
$850,000
Ordering Period Year 4
$850,000
Ordering Period Year 5
$850,000
Total
$4,250,000.00

The Offeror shall utilize the estimated amounts provided by the Government for ODCs and include all applicable burdens. If it is the contractor’s accounting practice to apply (and invoice for) burdens with regards to ODCs, then the contractor shall propose the ODC amount plus the addition of the applicable burdens. If the contractor chooses not to burden ODCs, then the contractor shall propose an H-clause to establish that burdens will be unallowable for ODCs. If ODCs are not burdened and an H-Clause is not proposed, language similar to below will be incorporated into Section H of the resulting contract:

“Proposal did not include burdens on ODCs. No burdens will be added to ODCs during contract period of performance.”

No fee shall be applied to ODCs.

3.5.2. Labor Hours: The Government estimate is 412,800 hours for the entire ordering period work effort. A work-year is defined as 1,920 hours exclusive of holidays, leave. For evaluation purposes, the Offeror shall propose the labor categories/hours as outlined below. Offerors shall propose all hours at Contractor site in the Washington DC Metro Area. Contractor site is defined as labor performed at any location other than a Government site. The proposed average rates for each labor category per year of the contract will be incorporated in the contract and used to establish the estimated task orders costs, using streamlined ordering procedures (see B.2)
