SECTION B

B.1 BACKGROUND

a) The ITSS IDIQ is designed to address the need for a full range of ITSS in support of the Naval Air Systems Command (NAVAIR), Naval Air Warfare Centers (NAWC), Fleet Readiness Center (FRC) Headquarters and individual FRC’s Information Technology (IT) and related missions and initiatives. The full scope of services for the ITSS IDIQ is defined in Section C.

B.1.1 CONTRACT AND FUNDING TYPE(S)

a) This Non-Performance Based Level of Effort (LOE) Term IDIQ allows for cost reimbursable (no fee) and cost-plus fixed fee (CPFF) Contract Line Item Number (CLIN) types at the task order (TO) level. Additionally, TOs may include option periods.

b) The Contracting Officer will identify the applicable funding type for all CLINs in each TO. The Government anticipates, but is not limited to, using the following fund types: O&MN, OP, AP, and RDT&E.

B.1.2 MINIMUM GUARANTEE AND MAXIMUM CEILING

a) The Government will award a TO for $1,000.00 to attend a post award conference; this will satisfy the minimum guarantee under the ITSS IDIQ.

b) The cumulative total of all TOs issued pursuant to the IDIQ issued under this solicitation shall not exceed $TBD at time of contract award.

B.2 STREAMLINED ORDERING PROCEDURES

a) LOE Orders will be issued under this contract using the following streamlined ordering procedures in conjunction with NAVAIR Clause 5252.216-9534, TASK ORDER PROCEDURES:

1) For each proposed order, the ordering officer will provide the contractor with a Task Order (TO) and an Independent Government Cost Estimate (IGCE). The IGCE is an estimate of labor hours by labor category utilizing the estimated and negotiated composite labor rates, outlined in the table below, to calculate the total estimated cost for the proposed TO. The TO fixed fee is calculated using Section H Clause 5252.232-9510 PAYMENT OF FIXED FEE (NAVAIR).

2) These composite rates are estimates, and invoicing will be based upon actual costs incurred. Ceiling for Other Direct Costs (ODC) will be priced in accordance with the Government estimate. TOs crossing multiple years will be estimated by the Government using the composite rates for each year in proportion to the period of performance of the TO.

3)Within three (3) working days of receipt of the TO and IGCE, the contractor shall respond with the signed DD1155. If the requirement remains valid, the task order shall be considered negotiated and a bilaterally executed TO will be issued to the contractor.
(i)If the contractor does not agree with the TO and/or IGCE, a proposal will be submitted to the contracting officer within five (5) working days of receipt of the TO and IGCE, addressing only the specific areas of difference. Once the differences are resolved between the contracting officer and the contractor, the contracting officer determines the price to be fair and reasonable, and the requirement remains valid, a fully negotiated priced order will be issued to the contractor.

4) If the contractor fails to respond to the proposed order within five (5) working days of receipt of the TO, the contracting officer may unilaterally issue the TO or extend the deadlines above when in the best interest of the Government.

b) The composite rates in the “B.2 Estimated and Negotiated Labor Rates” table below will be used to develop the total estimated cost plus fixed fee for task orders. Fixed fee will be calculated based on fee per hour and in accordance with 5252.232-9510 Payment of Fixed Fee (NAVAIR) (OCT 2005). The fee per hour is the total fee proposed for all periods divided by the total number of hours for all periods (see 5252.211-9503 for total level of effort). The non-performance based fee per hour is $TBD at time of contract award.

(a) The level of effort estimated to be ordered during the term of this contract is 412,800 man-hours of direct labor including authorized subcontract labor, if any. The estimated composition of the total man-hours of direct labor by classification is as follows:

To be specified in individual task orders

(b) FAR Clause 52.232-20, "Limitation of Cost" applies to fully funded orders and FAR Clause 52.232-22, "Limitation of Funds" applies to incrementally funded orders. Nothing in this clause amends the rights or responsibilities of the parties hereto under either of those two clauses. In addition, the notifications required by this clause are separate and distinct from any specified in either FAR Clause 52.232-20 or FAR Clause 52.232-22.
(c) It is agreed that while the contractor's performance during the period set forth in paragraph (a) above is based upon an anticipated level of effort consisting of man-hours of direct labor (as may be described or defined elsewhere herein), such level of effort may fluctuate, either upward or downward, by no more than ten (10%) percent of the total anticipated man-hours. This fixed fee is agreed to be paid for man-hours expended from ninety (90%) percent to one hundred ten (110%) percent of the total anticipated man-hours. The fixed fee shall not vary with the cost of the actual effort supplied within this range. In the event that less than ninety (90%) percent of the anticipated level of effort is actually expended by the expiration date of the contract, the Government shall have the option of:
(1) requiring the contractor to continue to perform until the level of effort expended equals ninety (90%) percent of the anticipated level of effort; or
(2) effecting a reduction in the fixed fee by the percentage by which the total expended man-hours is less than ninety (90%) percent of the anticipated level of effort.
(d) The contractor agrees that effort performed in fulfillment of level of effort obligations under this contract shall include only verifiable effort in direct support of the work specified. It shall not include efforts such as work performed in transit to or from an employee's usual workplace, work during lunchtime activities, or effort performed at other non-work locations.
