If a CFAO Adequacy Determination Letter documenting an adequate Disclosure Statement is not available, provide a statement within the proposal, which states an adequate Disclosure Statement Letter is not available, and an explanation why.

Adequate Disclosure Statements are required prior to award of the Basic Contract for each Offeror, unless the entity has a 48 CFR 9903.201-1(b) CAS Exemption. The request for a DCAA review of a contractor’s Disclosure Statement (as needed) will be initiated by the Contracting Officer or by his/her representative.

The Contracting Officer shall not award a CAS-covered contract until the CFAO has made a written determination that a required Disclosure Statement is adequate. An Offeror’s Cost Proposal may be deemed less favorable or rejected for lack of an adequate Disclosure Statement prior to award. It is not in the Government’s interest to delay award of the contract if it is determined other Offeror(s) in the competitive range can reasonably provide the services being acquired under the contract without requiring a waiver.

All the CAS Disclosure Statement information requested above shall also be provided for any cost reimbursable subcontractors, to include any applicable related entities, which are included in the Offeror’s Cost Proposal. Cost-reimbursement subcontracts shall not be proposed without contracting officer consent and shall be proposed in accordance with FAR 52.244-2 Subcontracts, which requires the Prime Contractor to have an approved Purchasing System in advance of entering into any cost type subcontracts.

48 CFR 9903 provides detailed guidance on Disclosure Statement requirements.

As required under Part (7) Teaming/JV/Mentor-Protégé Agreements, the member responsible for implementing and controlling the DFARS 252.242-7005 Contractor Business Systems is required to have an adequate CASB Disclosure Statement.

CAS Compliance, The offeror shall submit documentation addressing compliance with applicable Cost Accounting Standards (CAS) requirements, and provide a description of any outstanding CAS non-compliances and the potential impact of the CAS non-compliance to the Offerors proposed costs/price. Offerors shall provide points of contact with phone numbers for the cognizant DCMA/DCAA offices that can confirm the current status of the Contractor Business Systems and CAS compliance. As required under Part (7) Teaming/JV/Mentor-Protégé Agreements, Offerors are to clearly define the structure, roles and responsibilities, and percentage participation of the team/partners/parties in terms of who will implement and control the DFARS 252.242-7005 Contractor Business

Systems and compliance with Cost Accounting Standards (CAS); thus, the member responsible is required to submit documentation addressing CAS compliance.

Under part (6) Financial Capability, Offerors shall provide evidence of financial capability. In accordance with FAR 9.104-1 responsibility determination, a contractor must have adequate financial resources to perform the contract. Offerors shall submit the company’s Unique Entity Identifier (UEI) and provide the latest complete three

(3) years fiscal year financial statements (to include Balance Sheet, Income Statement, Statement of Cash Flow) for the Prime Contractor, certified by an independent accounting firm, if practicable, or at least by an authorized officer of the organization. In addition to the above, submit evidence of availability of working/operating capital (i.e. bank line of credit), which will be used for the performance of the resultant contract.

For Joint Venture arrangements, discuss the financial responsibilities amongst the companies. If the Joint Venture has been in existence for less than three (3) years, also provide the latest complete three years fiscal year financial statements for each member of the Joint Venture. Each Joint Venture/LLC member or partner may submit the aforementioned proprietary financial information separately in accordance with L.1 (a). Financial Statements may be printed double sided, and on 8-1/2” x 11” paper.

Under part (7) Teaming/JV/LLC/Mentor-Protégé Agreements, Offerors shall submit any Teaming, Joint Ventures (JV), Limited Liability Corporation (LLC) and Mentor-Protégé(MP) arrangements. This is a submission requirement that will be used to determine responsibility. The Government reserves the right to review the agreements for Volume II - Non-Cost Factors 1 and 2. Submit the following additional documentation regarding the business entities:

• A copy of the executed Teaming, JV, LLC or MP agreement.

• A detailed statement outlining the following terms or percentages where appropriate.

• The relationship of the team/partners/parties in terms of business ownership, capital contribution, profit distribution or loss sharing.

• The management approach in terms of who will conduct, direct, supervise, control and the controlling partner’s authority to obligate the entity.

• The structure, roles and decision-making responsibilities of the team/partners/parties in terms of who will control the manner and method of performance of work.

• Percentage participation between the team/partners/parties.

• The structure, roles and responsibilities, and percentage participation of the team/partners/parties in terms of who will implement and control the DFARS 252.242-7005 Contractor Business Systems and compliance with Cost Accounting Standards (CAS).

• Set forth procedures to be followed in the event that the entity is dissolved due to unforeseen circumstances, such as the bankruptcy of a member. State how the financial responsibility will be maintained if one or more entities leave or default

A list of subcontractors/partners/parties, to include company names, Unique Entity Identifier (UEI), and CAGE numbers, address, point of contact, email address, phone number and facsimile number.

The Government will review a Teaming Arrangement to determine if the written agreement involves a commitment of two or more companies forming a Partnership or Joint Venture to act as a potential Prime Contractor; or a potential Prime Contractor agreeing with one or more other companies to have them act as its Subcontractors. The Government will not review the legal enforceability of all promises between the partners or assign a risk rating based on this submission.

Under part (8) Supporting Cost Data, cost proposal shall contain a complete detailed cost breakdown for mobilization, demobilization, service extension, and each contract period by cost element, by Annex,/Sub- Annex and by Exhibit Line Item Number (ELIN) to support the Section B CLIN amounts. Typical cost elements might include, but are not limited to: Direct Labor; Direct Material; Equipment; Subcontracts;

Travel/Relocation; Other Direct Cost (ODC); Overhead (OH); General and Administrative (G&A); and Incentive Fee. Note that the Section B proposed amounts shall include applicable taxes. Offerors are expected to familiarize themselves with host country specific tax requirements, FAR/DFARS requirements and exemptions, Status of Forces Agreements (SOFA) and other tax laws whether or not the United States Government provides notice of the existence of such requirements.

Provide supporting worksheets and narrative explanations to fully explain the basis and rationale for the proposed amounts. The Cost Summary worksheets (Section J, Attachment JB-1) illustrate a sample format of the type of cost breakdown detail requested. Back up details for the cost breakdown worksheets should be detailed by functions and cost elements that can be related to the various segments of your Volume II - Non- Cost Proposal. Provide tabs or dividers to organize the proposal and use cross-references as necessary to make the proposal easier to follow. Proposals should show escalation factors, if used, and how they are used to price the submission. Offerors shall submit the supporting cost data in the same format for the base period and all option periods. The offeror is responsible for the accuracy and completeness of the Cost Summary worksheets, including formulas. For annexes including subcontract effort in excess of $2M annually, submit subcontractor information in same level of detail as prime contractor.

Supporting Cost Data Narrative: Offerors are to submit a written narrative, organized into separate paragraphs and labeled, to provide the Government with sufficient explanation/justification to clearly explain the following: (i) basis and rationale for proposed amounts; (ii) description of types of costs; and (iii) explanation of how rates/prices were calculated/estimated. NOTE: The Government will not accept any assumptions in the Offeror’s Cost Proposal.

Offerors shall submit the supporting cost data in the same format for Mobilization, the Base Period, each Option Period, Demobilization, and Service Extension. Additional information or requirements for individual cost elements are as follows:

a. Direct Labor and Fringe Benefits. Identify, by labor classifications, the number of full time equivalents

(FTEs), labor hours, and labor rates (for prime and all subcontractors) by Annex/Sub-Annex (Section J, Attachment JB-1). The FTEs and labor hours shall reconcile with the information submitted in the Non- Cost Proposal under Factor 4, Staffing and Resource Plan. Identify proposed fringe benefits and labor burdens in sufficient detail to disclose all the elements included and the costs/rates proposed (e.g. FICA, FUTA, SUTA, Worker’s Compensation Insurance, Health Insurance, etc.). The basis for proposed labor rates, fringe benefit rates and labor burdens must be disclosed. The Labor and Fringe Benefits Worksheet (Section J, Attachment JB-2) illustrates a sample format of the type of cost breakdown detail requested. For annexes including subcontract effort in excess of $2M, prepare a schedule summarizing FTEs and direct labor hours, for the prime and subcontract effort.

b. Material. Provide material costs by Annex/Sub-Annex and the basis of estimate.

c. Equipment. Offerors are required to provide for all the equipment necessary to perform the requirements of the contract. Because the Government does not want to take title to contractor furnished equipment, in lieu of proposing reimbursement of equipment as a direct item of cost, the preferred accounting/billing method would be through depreciation or a use rate of contractor provided equipment. Offerors who propose depreciation or a use rate will be evaluated more favorably than those who propose reimbursement of equipment as a direct item of cost. Furthermore, the successful offeror shall not be permitted to incur costs associated with the acquisition or fabrication of any item of equipment to be treated as fully expensed (direct item of cost) whether identified as such in its proposal or not, without prior written approval of the Contracting Officer. Proposals shall identify equipment cost by Annex/Sub-Annex. Prepare an itemized listing identifying the type of equipment, quantity, year of purchase (if appropriate), method of costing/reimbursement and resulting unit costs. Details and pricing support shall distinguish between company-owned equipment, lease or rental costs. Depreciation charges will comply with FAR 31.205-11.

In FAR 2.101, depreciation is defined as "...a charge to current operations that distributes the cost of a tangible capital asset, less estimated residual value, over the estimated useful life of the asset in a systematic and logical manner." If equipment is leased under an operating lease (as defined by Financial Accounting Standards (FAS) No. 13), then costs will be accounted for and billed to the extent allowed under FAR 31.205-36, Rental Costs.

d. Subcontracts. Provide a description of the efforts to be subcontracted and the type, fixed price or cost reimbursable. For subcontracts in excess of $2M per year, provide a schedule detailing the proposed amounts by element (labor, materials, equipment, etc.) in the same level of detail as requested for the prime contractor. The indirect rate ceiling provisions (see Part 8f) apply to proposed cost-reimbursable subcontractors and the applicable ceiling rates will be included in the contract resulting from this solicitation.

e. Other Direct Costs (ODC). Provide an itemized listing of cost elements you categorize as ODC and basis for pricing.

f. Indirect Costs (Fringe Benefits, Overhead, G&A, etc.). Provide a table that summarizes all indirect rates, by contract period, utilized in pricing the Cost Proposal. Details on indirect cost shall be presented on Attachment JH-2. The Indirect Rates and Incentive Fee Rate Submission Maximum (Ceiling) Indirect Rate Ceiling (Attachment JH-2) illustrates a sample format that summarizes all indirect rates, ceilings, and incentive fee by contract period. The Attachment JH-2 indirect rates, ceilings, and incentive fee percentage, if accepted by the Government, shall become a part of the resultant contract. Rates shall be rounded to two decimal places. Provide the basis and supporting documentation for each rate.

Offerors are to provide the following: (i) Detailed narrative explanation of the indirect pool and application base that each indirect rate is applied to; (ii) copies of any Forward Pricing Rate Agreements (FPRA), Forward Pricing Rate Recommendation (FPRR), etc. with the Government; and (iii) Historical information pertaining to the latest three (3) complete Fiscal Years (FY) indirect rates to include: indirect pool and base account descriptions, dollar amounts, and computed rates.

For Joint Venture arrangements with no historical data, describe the nature of the indirect/support costs anticipated and the basis for estimate. For cost control, the Government is seeking to establish maximum or ceiling rates for each separate indirect rate category. For Joint Ventures, the Government is seeking to establish maximum, or ceiling rates, for the Joint Venture entity, as well as the individual partners comprising the Joint Venture. Provide the basis and supporting documentation for each rate. Offerors shall identify its proposed ceiling rates applicable to the various contract periods in Attachment JH-2, Indirect Rate Submission Maximum (Ceiling) Indirect Rate Ceilings

g. Incentive Fee Available Pool. A multiple-incentive contract with cost incentive and performance incentive will be used. The Total Target Fee percentage (%) shall be at the discretion of the Offeror. The proposed Total Target Fee percentage shall be divided equally between Cost Incentive Fee (CIF) and Performance Incentive Fee (PIF) [Note that Cost and Performance are of equal importance to the Government].

For example, if an Offeror proposes an 8% Total Target Fee (on Target Cost), then 4% (of Target Cost) shall be the Cost Incentive Fee (CIF); and 4% (of Target Cost) shall be the Performance Incentive Fee (PIF). The Government has established a 50/50 fee adjustment formula; a maximum fee (for Cost Incentive Fee Pool only) of an additional 2% over the proposed Cost Incentive Fee (CIF) pool percentage; and a minimum fee (for Cost Incentive Fee Pool only) of 1%. Offerors shall include the appropriate information in Attachment JB-3, Schedule of Incentive Fee Percentages and Incentive Pool Amounts and the appropriate Section I clause, FAR 52.216-10. Examples of earned fee computations in Target Cost underrun and overrun situations are in Attachment JB-3a. Details on earning the Performance Incentive Fee (PIF) are in Attachment JH-1, Performance Incentive Plan

h. Escalation. If escalation factors are used, provide the basis for each proposed escalation factor (historical data, market index, etc.) and explain the Offeror’s method of calculating/applying the escalation rate.

Proposals shall provide this information for all cost elements and/or items that are escalated within your proposal (i.e. Direct Labor, Fringe, Material, ODCs, Equipment, Subcontracts, and indirect costs/rates) as applicable. If 0% escalation is proposed, provide the rationale and basis
