SECTION C - DESCRIPTIONS AND SPECIFICATIONS

The following have been modified:

PERFORMANCE WORK STATEMENTS

BASIC CONTRACT

PERFORMANCE WORK STATEMENT

CONTRACT PROCUREMENT OBJECTIVE AND OVERVIEW

a. The Contractor shall act as an independent contractor and not as an agent of the United States Government (“Government”), shall furnish necessary personnel, facilities, travel, material, and equipment, to furnish construction management (CM) services as specified in the tasks/services sections below. The CM services will support the existing NAVFAC workforce capabilities and provide increased capability to support construction projects and associated efforts undertaken by NAVFAC Pacific, primarily for the Defense Policy Review Initiative (DPRI) program and its customers located within the NAVFAC Pacific Area of Responsibility (AOR), primarily in the Marianas Region of Operation. However the CM services may also be required to support projects throughout the NAVFAC Pacific AOR. During performance of task orders, overall management responsibility for the administration of a construction contract will reside with the cognizant NAVFAC Facilities Engineering and Acquisition Division (FEAD) Director / Officer in Charge of Construction (OICC) and the subordinate Resident Officers in Charge of Construction (ROICC).

b. Contractors are required to perform all tasks identified in the SOW as ordered by Task Orders.

Contractors are not authorized to perform "inherently Governmental functions" as defined in FAR 7.5.

As a matter of law and policy, an "inherently Governmental function" is one so intimately related to the public interest as to mandate performance by Government employees. The contractor shall perform assigned tasks and coordinate with the construction contractors to the extent necessary, but shall not direct the construction contractors. Contractor has no authority to bind or make commitments on behalf of the Government. Contractor shall take measures to avoid any appearance that contractor personnel have authority to bind or make commitments on behalf of the Government.

c. The contractor may be required to provide a report at the end of the performance of the Task Order to the designated Government representative summarizing all services performed. The contractor shall furnish, as applicable and required by individual task orders, all personnel, facilities, instruments, supplies, equipment, Personal Protective Equipment (PPE), vehicles and material. . The Contractor shall complete all effort necessary for the performance of the work described as well as incidental services required or as ordered. Contractor personnel shall be required to have a valid US Driver’s License and be able to drive on base. Licensure to drive on base in Australia may also be required.

d. The Contractor shall provide stand-alone computers (not connected to the government network), printers, scanners, software, digital camera, web camera, cell phone and other IT equipment and software necessary to support the requirements of the individual SOW. Use of Government computers and printers should not be expected for Contractor personnel’s primary, daily use. The Government may authorize Contractor personnel to use Government furnished computers when access to the Government systems is necessary due to the scope of work.

Contractor personnel shall be proficient in the use of Microsoft Office and Primavera software. Contractor shall obtain all necessary software and licenses to use software in the performance of a Task Order. The Government anticipates the Contractor shall require the use of the latest versions of Primavera P6, Schedule Analyzer, US Costworks, Success Estimator, MS project, AutoCAD, REVIT, ArcGIS, CM software, and other software. The contractor shall secure and control all information and documents to assure compliance with standards for DoD control and dissemination of information. NAVFAC will own all deliverables and the data contained therein and all copyrights to information produced during the performance of a Task Order. Contractor shall save and format and store deliverables and data in the software’s latest version/ format; however, if the software version is not compatible (able to be opened, viewed and edited) with the current NAVFAC systems, the contractor shall save an additional copy of the deliverable and data in a format that is compatible with NAVFAC systems.

e. The effort accomplished under this contract shall not be considered a personal service as defined in

FAR

37.104(d). Contractor personnel are not subject to continuous supervision or control by a Government officer or employee. Supervision of contractor personnel assigned work on this contract is the responsibility of the contractor. Delegating specific work assignments and evaluating the quality of performance of contractor personnel is considered a supervisory responsibility to be provided solely by the contractor. In no instance will Government personnel direct the day-to-day performance of contractor personnel. As a practical matter, Government personnel may on a frequent basis, directly coordinate with or provide guidance and/or other types of information to contractor personnel concerning the technical or administrative aspects of work being performed. This is particularly true in those instances where Government and contractor personnel are working in close proximity with one another. However, at all times the contractor’s management chain of supervision will use direct lines of communication with Contractor personnel to establish work requirements and standards of quality.. As such, the contractor is expected to establish a sufficient managerial and supervisory structure to ensure that work being performed by contractor personnel is in accordance with the various task order scopes of work, and that the quality of work being performed by contractor personnel is representative of the contractor’s professional standards. If the Government determines that an individual employed by the contractor is not meeting performance standards, the Government can direct the Contractor to provide a replacement for that individual within 60 days of receipt of a written notice from the Government to do so.

f. The contractor, its subsidiaries, and its affiliates shall not be permitted to compete for construction or design contracts that will be assigned as Task Orders under this construction management service contract. This is necessary to prevent real or perceived organizational conflicts of interest stemming from detailed knowledge about ongoing and planned projects that will be available to the contractor.

Each contractor proposal, be it for a task order or modification, must clearly identify potential conflicts of interest to Government personnel. If no conflict exists, the contractor shall so state. This provision is not subject to negotiation. The requirements of this subsection will continue during the life of the contract and for one year following the expiration of the contract.

g. Required construction management services may create an actual or potential organizational conflict of interest regarding future acquisitions. A contractor, its subsidiaries, and affiliates that design, prepare or assist in the preparation of a Statement of Work (SOW) and /or, plans and specifications for a construction contract are prohibited from providing the construction management services sought under this contract unless such work: 1) complies with organizational conflict of interest provisions in the contract under which such work was performed; and 2) is performed under conditions that fully mitigate any potential organizational conflicts of interest. Design and specification preparation services include concept design, which includes preparation of project programming documents (DD1391), facility sitting studies, environmental assessments, or other activities that result in identification of project scope and cost.

Offerors should refer to FAR subpart 9.5 - ORGANIZATIONAL AND CONSULTANT CONFLICTS OF INTEREST and NFAS 5252.209-9300. Conflicts of interest arising from design work conducted prior to award of the contract may be subject to negotiation pursuant to FAR 9.506 if the contractor discloses the potential conflict prior to award and proposes an adequate plan to neutralize or mitigate the potential conflict.

h. The contractor is to provide work spaces to include utilities, phone and internet services, furniture, and facility maintenance for the contracted staff on Government property as designated by the Contracting Officer’s (KO) designated representatives. The Government MAY require in a Task Order that the contractor provide a field office. Contractor provided shall meet the requirements of the UFGS 01 50 00 for temporary office space. Field offices shall be a minimum of 1600 sq. ft. All field offices provided by the contractor shall reserve therein 150 sq. ft. of lockable private office space with two workstations complete with telephone and hard-lined internet service for use by Government personnel. It is anticipated that the contractor will be required to provide field offices for contracted staff in the following locations (Naval Base Guam, Andersen Air Force Base, Marine Corps Base Finegayan, Regional Officer in Charge of Construction (ROICC) Aviation project(s) (future), ROICC Barracks project(s) (future) ROICC Tinian project(s) (future), ROICC Australia project(s) (future)) unless it is in the best interest of the Government to provide the facilities at these locations.

Contractor may elect to house its supervisory staff at one or more of the on-site work places. When providing pricing for the field office(s) at the task order level, describe what will be provided for that price. It is anticipated that the contractor may be required to provide field offices for contracted staff in the following locations specified in the RFP: Naval Base Guam, Andersen Air Force Base, Marine Corps Base Finegayan, Regional Officer in Charge of Construction (ROICC) Aviation project(s) (future), ROICC Barracks project(s) (future), ROICC Tinian project(s) (future), ROICC Australia project(s) (future Darwin, future Geraldton)) unless it is in the best interest of the Government to provide the facilities at these locations.

i. Contractor personnel working on Government projects will be required to identify themselves as “contractors”. Vehicles provided and operated by contractor personnel must also display contractor identification. Contractor shall use an identifying designation on all communication whether written or verbal. All Contractor personnel driving vehicles shall possess a current and valid driver’s license. All Contractor personnel shall have completed the 30-Hour OSHA Construction Safety Course and within 3 months of onboarding at the work site the 40 hour NAVFAC Construction Hazard Awareness Course.

Contractor personnel shall have the ability to write and speak English fluently.

j. The work requires some physical exertion such as long periods of standing, walking over rough, uneven, rocky or slippery surfaces; recurring bending, crouching, stooping, stretching, climbing ladders, or similar activities; or recurring lifting of moderately heavy less than 50 pounds, such as testing or measuring equipment; and regular visits to construction sites. Additionally, the work may require sufficient agility and dexterity such as those required to climb high ladders to conduct quality assurance reviews of on-going or completed construction work.

k. The contractor shall maintain at all times the confidentiality of proprietary information of contractors, service providers or A-E firms with whom its employees come into contact whether or not the information was acquired during the course of work pertaining to this contract, or as the result of working in proximity to such information. The contractor shall institute procedures to protect such information that are approved by the Contracting Officer and shall fully comply with the Government’s procedures for maintaining the confidentiality of information. Contractor shall comply with all Federal procurement integrity standards. All contractor personnel will be required to maintain the security and confidentiality of all information that directly or indirectly comes into their possession or attention on a strict operational need-to-know basis. This prohibition does not preclude the contractor’s appropriate management and supervisory staff from having access to information needed in the process of addressing Government observations pertaining to less than satisfactory work performance by its employees. Nevertheless, in all such cases, access to such information will be kept to the minimum necessary for correction or resolution of those performance complaints. As is necessary, the Government will require Contractor personnel to initiate a standard non-disclosure agreement.

l. Contractor may be required to oversee, administer and manage multiple projects similar in nature and scope. The quantity of projects will vary per location, but could include as many as 15 during a particular year. Projects may not all be at the same stage in construction (some in pre-award, some in the middle of construction and then some in commissioning & closeout). Certain Contractor personnel will likely be assigned to the PROGRAM itself providing overall program support/assistance rather than to any particular construction project.

OPERATIONAL HOURS.

Work will typically be performed up to 40 hours per week during normal business hours, Monday- Friday, excluding Federal holidays.

SAFETY ISSUES.

Some of the work described herein is sedentary, performed in an office setting. Walking will be required throughout the workplace facilities and at work sites. Individuals shall be able bodied, as the work requires some physical exertion such as long periods of standing; walking over rough, uneven or rocky surfaces;

recurring bending, crouching, stooping, reaching or similar activities; climbing upon ladders for those needing to go on project site visits.

GOVERNMENT-FURNISHED EQUIPMENT, BADGE, KEYS AND/OR FACILITIES PROVIDED.

The Government may provide contractor personnel office space similar to that typically provided to Government personnel that includes workstations, facsimile, telephones and computers with access to the Internet and local area network (LAN). The Government will provide such contractor personnel a building access badge that clearly identifies him/her as a Contractor employee. Contractor personnel shall ensure that such badge is visible on his or her attire at all times during the performance of the task order, including at off-base meetings.

Task Orders WILL specify whether facilities will be provided by the government for contractor use OR if the contractor must provide its own facilities.

CONTRACTOR-FURNISHED EQUIPMENT AND/OR FACILITIES PROVIDED.

If the Government does not so furnish, the contractor shall furnish, as applicable and required by individual task orders, all personnel, facilities, instruments, supplies, equipment and material necessary for the performance of the work described in the various task order SOWs (scopes of work).

In addition, the contractor shall furnish transportation including vehicles with identifying signage for contracted employees to visit assigned work sites. Cost for vehicles to include mileage and maintenance.

Individuals shall be required to have a valid US Driver’s License and be able to drive on base. For projects in Australia, individuals shall obtain the required licensure to legally operate a motorized vehicle in Australia. Foreign licenses may have time limits. International driving permits may be required; consult with the Contracting Officer at task order time.

The contractor shall furnish Personal Protective Equipment (PPE), and other necessary safety equipment to accomplish the required effort. PPE shall clearly indicate the company that the contractor works for to distinguish the contractor as contractor hires and not government employees.

The contractor shall prohibit contractor employees from presenting themselves as Government employees.

Contractor employees shall introduce themselves as contractors. The contractor shall ensure that all contractor employee email correspondences, at a minimum, include the company name in the signature block.

The contractor shall provide its employees with stand-alone computers (not connected to the government network, but with contractor provided internet access), printers, scanners, software, digital camera, web camera, cell phone and other IT equipment and software necessary to support the requirements of the contractor individual’s SOW. Use of Government computers and printers will be authorized when access to the Government systems are made necessary due to the scope of work, but should not be expected for the individual’s primary, daily use.

In addition to proficiency with Microsoft Office and Primavera, the contractor shall also be required to provide software, licenses and computer hardware to adequately perform the services requested. The necessary software will likely include the latest versions of Primavera P6, Schedule Analyzer, US Costworks, Success Estimator, M2, MS project, AutoCAD, REVIT, ArcGIS, CM and other software as applicable. The contractor shall maintain security for all information and documents to assure DoD standards for control and dissemination are not violated. NAVFAC will own the deliverables, the data contained within and the copyrights for all work associated with the construction projects. Contractor shall save and store reports and data in the software’s latest version/ format. If a software format is not compatible (able to be opened, viewed and edited) with the current NAVFAC systems, the contractor shall save an additional copy of the data in a format that is compatible with NAVFAC systems.

SECURITY CLEARANCE/POLICE CHECK/DRIVING RECORD CHECK.

Work under the task order is UNCLASSIFIED. The contractor shall comply with all applicable Department of Defense (DoD) security regulations and procedures during the performance of this task order. The contractor shall not disclose and must safeguard procurement sensitive information, computer systems and data, privacy act data, and Government personnel work products that are obtained or generated in the performance of the task order. If necessary, the contractor will be required to provide clearances for personnel requiring access to Government computers and workstations. Should higher security clearance become required, it will be so stated in the task order issued for those individuals.

REIMBURSABLE EXPENSES (TRAVEL).

Travel is required. The contractor will be required to travel to other locations in support of the tasks described in this statement of work. Prior to incurring any travel expenses, contractor personnel must obtain written authorization from the Project Officer that approves travel. Contractor shall provide the approving Project Officer with the approximate travel dates, expected duration, origin and destination, purpose, estimated costs and the number and names of personnel traveling. Contractor shall prepare and process post-travel expense reports in accordance with the Federal Travel Regulation (FTR).

REIMBURSABLE EXPENSES (TRAINING)

The Contractor may be required to take training.

NON-PERSONAL SERVICE STATEMENT.

The intent of this Contract is that the services acquired shall not be c personal services as defined in FAR 37.104(d). The Government will not subject Contractor personnel to continuous supervision or control by a Government officer or employee. Contractor proposals, be they for task order or modification, must clearly identify actual or potential conflicts of interest. If no conflict exists, the contractor shall so state.

Supervision of contractor personnel assigned work under this contract is the responsibility of the contractor.

Specific work assignments and quality of performance of contractor personnel is considered a supervisory responsibility to be provided solely by the contractor and in no instance by government personnel. As a practical matter, government personnel may on a frequent basis, directly coordinate with or provide guidance and/or other types of information to contractor personnel concerning the technical or administrative aspects of work being performed. This is particularly true in those instances where Government and contractor personnel are working in close proximity with one another. However, at all times the direct lines of communication for establishing work requirements and standards of quality will come through the contractor’s management chain of supervision. As such, the Contractor is expected to establish a sufficient managerial and supervisory structure to ensure that work being performed by contractor personnel is in accordance with the various task order scopes of work involved, and that the quality of work being performed by contractor personnel is representative of the contractor’s professional standards. If the Government determines that an individual employed by the contractor is not meeting performance standards, the Government reserves the right to direct the Contractor in writing to provide a replacement within 60 days of receipt of such written notice.

WORK SCHEDULE

Contractor is allotted 2 weeks in any 52 continuous weeks to use for the granting of personal leave for each of its employees. Contractor personnel work schedules shall be coordinated with normal Government work shifts ( 7:30 am – 4:30 pm with a 1-hour lunch break). Federal holidays and weekends are not considered regular work days.

Observed Federal Holidays. The Government observes the following holidays: New Year’s Day, Martin Luther King Jr.’s Birthday, President’s Day, Memorial Day, Independence Day, Labor Day, Columbus Day, Veterans’ Day, Thanksgiving Day and Christmas Day.

For those services that require full time availability/service, the contractor shall provide at the contractor’s expense a similarly qualified replacement worker if leave is expected to be longer than 2 weeks. Such replacements shall include a suitable turnover period to ensure no loss of quality or consistency of services.

Where a Contractor is on notice of its employee’s intention to leave its employ, the contractor shall obtain a replacement worker using a suitable turnover period to ensure no loss of quality or consistency of services. Where the Government directs the Contractor to replace personnel due to performance issues, the contractor shall also make the replacement using a suitable turnover period to ensure no loss of quality or consistency of services. Should there be a gap in services due to delay in the availability of services rendered and not due to approved/scheduled/ anticipated leave, the Government reserves the right to deduct the appropriate amount from the contractor’s monthly payment.

For services rendered in Australia, the task order will establish specific work requirements that may vary from those stated above. Weather in some parts of Australia may dictate when services are scheduled. The Government will not pay for services if the project site is shut down due to weather unless Contractor personnel are relocated to another office, and continue to provide services as required under this contract.

CONTRACTING OFFICER REPRESENTATIVE (COR) FOR THIS CONTRACT.

The Government’s Contracting Officer Representative of this contract will provide general instructions on limitations and deadlines, and is responsible for administration of the task order in compliance with the contract to include inspection and acceptance of deliverables.
