About this file

This document summarizes a federal solicitation for contractor support services. The solicitation seeks proposals to provide approximately 200,000 hours per year of engineering, instructional systems, program management, and logistics support services to the Naval Air Warfare Center Training Systems Division in Orlando, Florida. The services are required to assist in acquiring and managing Navy training devices and systems. The anticipated contract is an indefinite delivery indefinite quantity cost plus fixed fee contract with a one year base period and four one-year option periods, for a potential total period of performance of five years. The solicitation is set aside for woman-owned small businesses and includes deviations to the limitations on subcontracting and sole source award clauses. Interested parties should monitor the FedBizOpps website in late March 2019 for release of the formal request for proposals.

** The labor categories identified above with “**” are Service Contract Act applicable and shall be proposed in accordance with the Department of Labor (DOL) Wage Determinations (WD) at Attachment 5 in Section J.

NOTES:

1. The Government estimate is 1,491,878 hours for the entire work effort, inclusive of options; however, the above yearly subtotals and labor category subtotals are merely estimates and will not result in separate ceilings. The Government may exceed these yearly and labor category estimates.

2. A work-year is defined as 1,920 hours exclusive of holidays and leave.

3. For evaluation purposes, the offeror shall propose the labor categories/hours as outlined in the table above.

(b) FAR Clause 52.232-20, "Limitation of Cost" applies to fully funded orders and FAR Clause 52.232-22, "Limitation of Funds" applies to incrementally funded orders. Nothing in this clause amends the rights or responsibilities of the parties hereto under either of those two clauses. In addition, the notifications required by this clause are separate and distinct from any specified in either FAR Clause 52.232-20 or FAR Clause 52.232-22.

(c) It is agreed that while the contractor's performance during the period set forth in paragraph (a) above is based upon an anticipated level of effort consisting of labor hours of direct labor (as may be described or defined elsewhere herein), such level of effort may fluctuate, either upward or downward, by no more than ten (10%) percent of the total anticipated labor hours. Fixed fee is agreed to be paid for labor hours expended from ninety (90%) percent to one hundred ten (110%) percent of the total anticipated labor hours. The fixed fee shall not vary with the cost of the actual effort supplied within this range. In the event that less than ninety (90%) percent of the anticipated level of effort is actually expended by the expiration date of the contract, the Government shall have the option of:

(1) requiring the contractor to continue to perform until the level of effort expended equals ninety (90%) percent of the anticipated level of effort; or

(2) effecting a reduction in the fixed fee by the percentage by which the total expended labor hours is less than ninety (90%) percent of the anticipated level of effort.

(d) The contractor agrees that effort performed in fulfillment of level of effort obligations under this contract shall include only verifiable effort in direct support of the work specified. It shall not include efforts such as work performed in transit to or from an employee's usual workplace, work during lunchtime activities, or effort performed at other non-work locations.

SECTION L INSTRUCTIONS

L – 1 CONTENT OF PROPOSALS (SERVICES) (JULY 2019)

PART A: GENERAL INSTRUCTIONS

1.0 GENERAL

The offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The offeror is advised that the Government may incorporate any portions of the offeror’s proposal into the resulting contract.

In presenting material in the proposal, the offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.

The offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

The Government advises the offeror that taking exception or deviating from any term or condition of the RFP may result in the assessment of a deficiency to the proposal.

Throughout these instructions, a “Principal Team Member” (PTM) is defined as a subcontractor, Joint Venture (JV) owner (joint venturer), partnership owner (partner), corporate parent, division, subsidiary, affiliate or vendor that is demonstrably proposed to provide at least 20% of the proposed total cost (excluding offeror’s profit/fee) for the contract.

Questions: Offerors may submit questions requesting clarification of solicitation requirements by emailing the Contract Specialist, Jason Jackson, at Jason.j.jackson@navy.mil . Offerors shall utilize the Question and Answer Form, Attachment L-1, when submitting their questions. (The contract specialist is the primary point of contact for this acquisition.) Each question shall reference the applicable RFP document, paragraph, and page number.

Questions containing proprietary information shall not be submitted because all government responses to questions will be provided to all potential offerors via amendment to the solicitation. It is required that all questions be received within 10 calendar days of the date this solicitation is issued.

The government reserves the right not to respond to any questions received concerning this solicitation after the question receipt date above. Accordingly, offerors should carefully review all solicitation requirements and submit questions to the government early in the proposal cycle. The Government does not anticipate an extension of the closing date for receipt of offers.

There is no need to repeat information in the same volume or in more than one volume. If an overlap exists, the detailed information should be included in the most logical place and summarized and referenced in other areas.

With the exception of the Cost/Price Volume, no cost or pricing information should appear in any volume.

Alternate proposals are not acceptable. The offeror shall comply with and respond to all requirements of the solicitation, and shall not alter or rearrange the solicitation. In addition, taking exceptions, deviations, or waivers to any term or condition of the RFP may make an offer unacceptable, and the proposal unawardable, unless the RFP expressly authorizes such an exception, deviation, or waiver with regard to that specific term or condition.

2.0 PROPOSAL FORMAT

Written proposals must be formatted using a Times New Roman 12 pt Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. When foldout pages are used they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented.

The offeror shall provide one complete copy of the proposal to the Contract Specialist (CS) as electronic files fully compatible with Microsoft 2016 and, for information not supported by MS Office products, with the latest Adobe Acrobat reader on a CD-ROM. Use of Portable Document Format (.pdf) is permissible for submission of Contractor Performance Assessment Reports (CPARs) and/or SOW/Performance Work Statement (PWS) information within the Past Performance Factor, Volume 1. The .pdf document must be fully searchable. The offeror shall ensure that the Cost/Price Volume is provided on a separate CD-ROM. Each CD-ROM is to be labeled for content and the offeror’s name. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence.

PART B SPECIFIC INSTRUCTIONS

Cost or pricing information shall only appear in the Cost/Price volume.

1.0 VOLUME 1: PAST PERFORMANCE

1.1 General

Sources of past performance evaluation information include information provided by the offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Contractor Performance Assessment Reporting System (CPARS)/Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information Systems, Electronic Subcontract Reporting System, or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

http://www.fedbizopps.gov/

The offeror shall identify a maximum of five (5) relevant Government or commercial past performance contract records with performance within the recency period as specified in L.B.1.4. Up to three (3) of the five (5) records may be provided by PTMs, with a maximum of two (2) records provided for a single PTM. The government will not evaluate the past performance of any company other than the prime offeror and/or PTM. Thus, the CAGE code, DUNS number, or corporate name and address of a prime offeror or PTM must match the CAGE code, DUNS number, or corporate name and address on the cover page of the prime offeror’s or PTM’s past performance contract or subcontract proposed for past performance evaluation.

The offeror shall submit written consent from its PTMs that will allow the Government to coordinate any past performance issues directly with the offeror. If the offeror does not submit the written consent, the Government will address any past performance issues directly with the PTM and the offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any PTM that does not provide the written consent, the offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.

The primary source of past performance information will be CPARS/PPIRS. If a Contractor Performance Assessment Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the recency period specified in L.B.1.4, for that contract/order, will be used for evaluation. In the event a CPAR does not exist, or is not available for an active past performance reference within 6 months of the solicitation’s release date, the offeror shall submit a Past Performance Questionnaire (PPQ), Attachment L-2, to the past performance reference’s Program Manager, Procuring Contracting Officer (PCO), and Contracting Officer Representative (COR), as applicable. The offeror shall include instructions for the PPQ respondents to send completed questionnaires within two weeks of its receipt via e-mail to Jason Jackson, Contract Specialist, at Email jason.j.jackson@navy.mil , thereby allowing the customer approximately two weeks to complete their response.

Additionally, the offeror shall copy the Contract Specialist on the distribution of the PPQ requests. All PPQs should be received by the Government by the solicitation’s close date as specified in Block 9 of the SF 33; however, a proposal will not be considered “late” if a PPQ is received after the closing date.

1.2 Past Performance Volume, Contents and Structure

An offeror will not receive past performance credit for a PTM unless the offeror’s proposal demonstrates how the resources of that PTM – its workforce, management, facilities or other resources – will in fact be provided to perform at least 20% of the proposed total cost (excluding offeror’s profit/fee) for the contract. Merely stating that the offeror has access to the resources of a PTM is insufficient.

When proposals are received from a joint venture, either already existing, or specifically formed by the offeror to propose on a particular acquisition, the past performance evaluation will consider each individual PTM’s relevant past performance. However, the government will not consider past performance references performed by an individual joint venturer or partner unless the joint venturer or partner meets the definition of a PTM.

Past performance contract references where supplies and/or services were sold or transferred between corporate divisions, subsidiaries, or affiliates of a contractor will not be considered unless the interorganizational transfer is identified in the form of a written agreement between the corporate divisions, subsidiaries, or affiliates -- such as a subcontract, purchase agreement, job order, or similar type written agreement – with the prime or PTM's CAGE code, DUNS number, or corporate name and address on the cover page of the written agreement.

Any submitted past performance contract must contain performance within the recency period specified in L.B.1.4.

Performance that took place outside this recency period will not be considered unless a portion of the performance falls within the recency period stated herein. The entire contract period of performance will be considered even if only a portion of performance falls within the recency period, with the understanding that more recent performance is generally more relevant than less recent performance.

The offeror has the burden of providing thorough and complete past performance information. It is incumbent upon the offeror to explain the relevance of data provided in its proposal. The government has no duty to search for additional data to cure problems the government finds in the information provided by the offeror.

Regardless of relevancy, the offeror shall provide a list of Show Cause Notices, Cure Notices and Terminations for Default received on any contract, task order, or delivery order within the past five (5) years.

Past Performance data performed beyond the solicitation release date will not be considered in the past performance evaluation.

1.3 Past Performance Contract Data

a. Provide a completed Past Performance Contract Data sheet, RFP Attachment L-3, for each past performance contract identified.

• Task or delivery orders awarded under Multiple-Award Contracts (MACs) will be considered standalone

“contracts” for purposes of past performance evaluation. Thus, offerors may not propose an entire MAC as a past performance contract reference.

• For a single-award indefinite delivery/indefinite quantity (ID/IQ) contract, the entire ID/IQ shall be proposed as a single past performance contract reference. As such, offerors shall combine task or delivery orders into one Attachment L-3 for all orders.

b. The offeror shall provide input on each Past Performance Contract Data sheet (Attachment L-3) that clearly describes how each contract reference has relevant work effort that matches the relevancy definitions specified in Section M of the solicitation. Additionally, the offeror shall provide electronic copies of the record’s SOWs/PWSs and the record’s DD 254 in Annex A to this Past Performance Volume. Offeror’s may also provide copies of the contracts themselves and formal contract attachments for each contract reference as part of the Annex A, but only if it’s necessary to demonstrate the relevancy of the record and isn’t otherwise information already available within the record’s SOWs/PWSs. Other documentation, not formally attached as part of the contract, for instance: invoices, reports, deliverables, letters or emails, shall not be submitted within the Past Performance Volume I or Annex A and will not be considered. Given that ID/IQs are to be proposed as a single past performance contract reference, it is at the offeror’s discretion which SOWs/PWSs to submit (ID/IQ level and/or Order level), so long as the SOWs/PWSs submitted clearly describes how each contract reference has relevant work. SOWs/PWSs for orders not including relevant work are not required, nor desired.

1.4 Recency and Relevancy Information of the Past Performance Contract References

Recency: Recency is expressed as a time period during which past performance references are considered relevant, and is critical to establishing the relevancy of past performance information. A recency determination will be made for each offeror’s past performance submission. A determination of Recent will be assigned to offerors’ submissions which contain performance within five (5) years of the RFP issuance date as shown in Block 5 of the SF33. A determination of Not Recent will be assigned to offeror submissions that do not contain performance within five (5) years of the RFP issuance date, or for which the Past Performance record’s award date cannot be determined. Any past performance contract deemed to be Not Recent will receive no further consideration, with no opportunity to submit a replacement, even if the Government request revised proposals. Only submissions meeting the parameters established in this RFP will be evaluated to receive a Relevance or Past Performance Confidence rating. In general, more recent performance will be considered more relevant than less recent performance.

Relevancy: For each past performance contract submitted that is determined to be Recent, the Government will evaluate the effort identified to determine how relevant it is using this solicitation’s evaluation criteria. If a submitted past performance contract is deemed to be Not Relevant, the record will receive no further consideration and the offeror will not receive an opportunity to submit a replacement, even if the Government enters into discussions and requests revised proposals. The offeror’s rationale in the Past Performance Contract Data (RFP Attachment L-3) will be evaluated to assess relevance. The offeror’s SOWs/PWSs, the record’s DD 254, copies of the contract records themselves and formal contract attachments (as part of Annex A) page(s) and paragraph(s) references will be used to validate the offeror’s rationale.

Offerors are required to explain what aspects of the referenced contracts are deemed relevant, as defined by Section M, to this solicitation’s requirements. To demonstrate relevancy, offerors shall provide a comparative analysis to the scope, magnitude, and complexity of this solicitation’s requirements. Within the comparative analysis, offerors shall pinpoint the exact page(s) and paragraph(s) of the referenced contract’s SOW/PWS to clearly identify how past efforts performed are similar to this solicitation’s requirements. In addition, the referenced sections only need to be identified and the full text does not need to be broken out separately from the complete SOW/PWS.

For each past performance contract reference, provide the information outlined below via a completed Attachment L-3, Past Performance Contract Data. Offerors shall complete all blocks of Attachment L-3.

a. Background Data. Including contractor name and proposed role for the instant effort, CAGE and DUNS codes, role in the past performance record, past performance contract title and number, customer/procuring agency info, a brief description of the product or service provided under the contract, and the place(s) and period of performance.

b. Recency of the contract. Verify the period of performance of the past performance contract is recent (within five years) of the date as shown in Block 5 of the SF33.

c. Relevancy of the contract. Compare similarities of the past performance contract for scope, magnitude, and complexity in relation to this RFP as follows:

• Scope of Effort — Compare the similarity of the tasks performed on the past performance record to the tasks required of the instant effort as described in the solicitation's SOW Section 4.0. These tasks cover six general task categories:

Engineering, Program/Project Management, Instructional Systems Design, Finance, Logistics and Cybersecurity. As part of this description, pinpoint the specific page and paragraph references from the past performance record's SOWs/PWSs, the record’s DD 254, copies of the contracts and formal contract attachments provided as Volume I, Annex A, that demonstrate the similarities described for scope.

• Magnitude of Effort — Compare the average annual labor hours (Total number of labor hours performed during the Period of Performance divided by the number of months performed in the Period of Performance multiplied by twelve months) of the past performance contract and the labor hours actually performed by the offeror or PTM under the past performance contract reference to the labor hours of the effort proposed to be performed by the offeror or PTM under this solicitation’s effort.

• Complexities of Effort — Compare complexities of the work actually performed by the offeror or PTM under the past performance contract reference to complexities of the work proposed to be performed by the offeror or PTM under this solicitation’s effort for the following attributes:

o Type of contract o Whether the effort was incrementally funded o Whether the effort was provided for the Department of Defense o Whether the effort supported multiple phases of the acquisition cycle o Level of facility security clearance (FCL) required, e.g. Secret, Top Secret, etc.

1.5 Demonstrated Performance Information of the Past Performance Contract References

a. For each past performance contract reference, the offeror shall provide available CPARS and Past Performance Questionnaires that address a) quality of the product or service, b) cost control, and c) management, all as described below. The Government does not want to receive, and will not evaluate, an offeror’s self-described assertions of demonstrated past performance. As per solicitation Attachment L-3, information shall also include administrative/POC information for verification, as indicated in blocks 19-23 of the attachment.

• Quality of Product or Service. The offeror’s past performance in the delivery of quality supplies and services, which includes meeting technical requirements.

• Cost Control. The offeror’s past performance in controlling contract costs, to include the cost of performance, cost overruns, and cost underruns.

• Management. The offeror’s past performance in managing the contracted effort, to include program management and cooperation with the customer.

b. For any past performance problem identified in the CPARS or Past Performance Questionnaires, describe the status of the problem and what measures the offeror or PTM used to resolve the problem and prevent recurrence. If the problem was or is recurring, describe the impact that the offeror’s or PTM’s improvement effort had or will have on resolving the problem. If the problem is not likely to happen again, state why. If the problem is or was likely to happen again, describe the impact that the offeror’s or PTM’s improvement effort had or will have on resolving the problem so that it did not or will not happen again. Describe the resolution used to correct the past performance problem and, if applicable, how the offeror or PTM proposes to use that resolution for this solicitation’s effort.

2.0 VOLUME 2: COST/PRICE PROPOSAL

2.1 General

a. For this Cost Volume, all team members proposed, not just PTMs, shall provide the same information that is required for the Prime contractor, unless otherwise noted. All team members, not just PTMs, shall provide their sealed cost proposals in the prime offeror’s submission of this volume.

b. This Volume shall contain the information requested below and additionally (for the prime only), shall include a copy of Section B with the Contract Line Item Number (CLIN) Estimated Cost, Fixed Fee, and Total Estimated Cost + Fee filled in.

c. Offerors (prime only) shall provide a cross-reference to the amounts proposed in Section B, with the costs proposed in Attachment L-5; there should be a clear connection made between the costs proposed in Section B, and the costs identified in the Cost worksheets.

d. Within all Excel spreadsheets, the offeror and all team members shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected beyond any existing protection as supplied by the Government.

e. All cost/price and cost/price supporting information shall be contained in Section B and the cost/price proposal.

No price or pricing information shall be included in any other volume including cover letters. Offerors and all team members are responsible for submitting sufficient information to enable the Government to fully evaluate their cost/price proposal.

2.2 Ground Rules and Assumptions

a. As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the offeror and all team members. Further, the offeror and all team members may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.

b. The offeror and all team members shall provide sufficient information to support its Cost/Price as well as an explanation of all ground rules and assumptions that affect the Cost/Price estimates.

c. The contractor shall propose all personnel as contractor site (off-site) rates.

2.3 Cost

2.3.1 Cost Summary Spreadsheet

a. Offerors and all team members shall submit their fully completed cost/price proposal utilizing the Cost

Summary Spreadsheet at Attachment L-5. The spreadsheet shall be formatted to print on legal size (8.5 x

14) or 11 x 17 paper and shall be unprotected and unlocked (with exception of any Government protection or locking as provided), with formulae intact to show mathematical operations. See the “Instructions” tab (within Attachment L-5 itself) for specific instructions on completing this spreadsheet.

b. The offeror (prime only) shall use the CLIN Summary tab to breakout total proposed costs by CLIN.

CLIN 0001 Mobilization and CLINs 0004, 0007, and 0010, DD Form 1423 CDRLs, are Not Separately Priced (NSP) as these line items are considered indirect costs. The offeror shall not associate any costs with these CLINs.

CLINs 0002, 0005 and 0008: The Government total labor hours estimate is 1,491,878 for the entire work effort, inclusive of options. The Government’s estimate of labor hours is based on historical actuals and NAWCTSD’s estimate of business in the future. See Section B, Level of Effort clause for a breakdown of the labor hours per labor category and per year. This distribution of labor hours across years and labor categories is initially loaded into the Attachment L-5, Cost Summary Spreadsheet. The offeror shall propose to these labor categories and hours as they will be used for evaluation purposes. The offeror’s proposed labor hours shall not deviate from the estimated number of labor hours the Government has provided for each labor category and year in Attachment L-5 of the solicitation.

CLINs 0003, 0006 and 0009: Offerors shall use the following estimated amounts for Travel and Material in Section B:

Base Period $750,000 Option Period (IAW 52.217-9) $500,000 Option Period (six-month Extension of Services 52.217-8)

$125,000

Total $1,375,000

These Travel and Material estimates are all-inclusive and are considered fully burdened. Offerors shall not further burden these estimates at the time of proposal submission.

NOTE: Ensure that the rates proposed and the application of the rates within the Cost Summary Spreadsheet, Attachment L-5, are in accordance with your accounting system.

2.3.2 Cost/Price Supporting Information

a. IAW FAR 15.404-3(b), the prime contractor shall conduct appropriate Cost analyses to establish the reasonableness of proposed subcontract prices and include the results of these analyses in the proposal.

b. Offerors and all team members shall provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for all cost elements.

c. Direct/Indirect Rates: The contractor shall propose all personnel as contractor site (off-site) rates. The offeror and all team members shall identify the basis for rates proposed [e.g. Forward Pricing Rate Agreements (FPRAs), Forward Pricing Rate Recommendations (FPRRs), Forward Pricing Rate Proposals (FPRPs), or other]. If other, describe in detail the basis for the rates proposed. The offeror and all team members shall propose in compliance with the current hourly rate minimums set forth in the Department of Labor Wage Determination (Attachment 5) as applicable. The offeror and all team members shall provide the most current Defense Contract Audit Agency (DCAA) Provisional Billing Rate Approval Letter, FPRA, FPRR, and/or any other information necessary to substantiate the rates proposed. If DCAA has not reviewed the rate information, an explanation shall be provided by the offeror or team member, or if any of the rates utilized by the offeror or team member differ from the DCAA information, a justification shall be provided by the offeror or team member. If a composite rate or other pricing methodology (e.g., cost estimating relationship) is utilized, the offeror or team member shall demonstrate how those rates were developed. Forecasted rates cannot be based upon the anticipated award of a competed contract unless the offeror has been notified in writing that they are the awardee.

i. Direct labor rates by category. The Offeror and all team members are required to submit labor rates for all proposed current, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed.

ii. Escalation on labor. Offerors and all team members shall apply a 2.7% escalation rate for all labor categories. (Note: Attachment L-5 already includes the 2.7% calculation. Offerors and all team members only need fill-in proposed rates for Year 1 and the out-years (2-5) will auto-populate with the escalation applied.) The six-month period associated with the Option to Extend Services 52.217-8 will not include escalation beyond year 5 in accordance with the terms of this clause.

iii. For indirect rates (e.g. Overhead, Fringe Benefits, General and Administrative (G&A), etc.), offerors and all team members shall provide the last three years of actuals incurred, to include a detailed listing of cost elements, account detail, and any calculations. This same detailed listing of cost elements, account detail, and any calculations is also required for the indirect rates proposed.

The offeror and all team members shall also identify the base to which each indirect rate is applied. Additionally, offerors and all team members shall provide any basis for changes from the historical/actual incurred costs and current proposed rates; failure to adequately explain changes from historical/actual costs/rates incurred may result in the…
