SUMMARY OF CHANGES
SECTION A - SOLICITATION/CONTRACT FORM
The required response date/time has changed from 30-Jan-2020 04:00 PM to 10-Feb-2020 04:00 PM.
The following have been added by full text:
QUESTIONS/ANSWERS PART I
PART I
1. The CLIN numbers for the various ODCs provided in the tables under Section L-3.3.5 (pg. 144-151) do not seem to match the CLIN numbers in Section B (pg. 2-20) of the solicitation for the corresponding ODC categories. Please verify/confirm the corresponding CLIN numbers between Section B and Section L-3.3.5.
Government Response: Section L has been revised to include CLIN numbers within the tables.
2. Please advise if the crew certifications/license types provided in Section C-3.10.4 (pg. 32-37) are to be interpreted as the minimum required certifications/license types? Would a certification/license type exceeding the requirements listed in Section C-3.10.4 be acceptable? For instance (as an example only), the description for “Mater, Chief Mate, Second Mate” states a license requirement of “Master of Steam or Motor Vessels of not more than 1600 Gross Registered Tons (Domestic Tonnage), 3000 Gross Tons (ITC Tonnage) Upon Oceans.”
Would a license that is endorsed as “Master of Steam or Motor Vessels of Any (or Unlimited) Gross Tons Upon Oceans” be acceptable?
Government Response: Section C-3.10.4 are the “minimum” qualifications/certification requirements.
3. One of the required training certifications listed under Section C-3.10.5 is “SEA FIGHTER (FSF-1) type rating and equipment qualification Training.” Can you please provide explanation/definition of “SEA FIGHTER (FSF-1) type rating?” Additionally, please specify the specific equipment for which qualification training must be obtained?
Government Response: Sea Fighter type rating refers to the High Speed Code (HSC) requirements that include equipment and conditions for operation and maintenance. Appendix A lists the equipment/systems that your Deck and Engineering department personnel should possess knowledge and experience in and meet the minimum qualifications for his/her position on the ship.
4. Please advise if the desired qualifications for key personnel provided in Attachment J.8 are to be interpreted as guidance or as strict minimum requirements for each position? Does the Government have discretion to accept nominated key personnel who do not meet the exact requirements to the letter as listed in Attachment J.8 but who possess equivalent other experience?
Government Response: Attachment J.8 was provided to advise the Desired Qualifications for the Required Key Personnel.
5. Please confirm that the Service Contract Act does NOT apply to this contract.
Government Response: Service Contract Act does not apply to this contract.
6. Please confirm that a Wage Determination has NOT been provided for this contract.
Government Response: A Wage Determination has not been provided for this requirement.
7. Attachment J.8 states (via footnote) that the required resume for the Electronics Technician is to be submitted ten days after contract award. However, Section L-3.2.2.3.e.-b. indicates that an acceptance letter shall be provided for ALL key personnel (including Electronics Technician) if they are not a current employee.
Consistent with the requirements of Attachment J.8, please confirm that an acceptance letter for an Electronics Technician who is not a current employee is NOT required to be submitted with the offer.
Government Response: Section L-3.2.2.3.e.b. has been revised.

In order to allow for procurement lead-time and a fair and equitable evaluation of all proposals submitted under this competitive procurement, all proposals shall be based on a Contract start date of September 30, 2020. This date is only an estimate of the anticipated Contract start date and will be used for the purpose of proposal evaluation only. Requests for all Government Furnished Information (to include documents from PWS Paragraphs 1.7, 2.3, & 8.1.3) shall be submitted to Courtney Henslee, Contract Specialist, via e-mail at courtney.henslee@navy.mil and courtesy copy (cc) Aaron Deich at aaron.deich@navy.mil . Please submit all inquiries to both email addresses. All requests shall be submitted no later than fifteen calendar days after issuance of the solicitation. Requests submitted after fifteen calendar days will be honored but material may not be received prior to the solicitation closing date. Further, late requests provided may not result in an extension of the solicitation closing date and time. Therefore, the responsibility is solely on the Offeror to ensure requests are timely submitted to the Government.
Questions and comments shall be submitted to Courtney Henslee, Contract Specialist, via e-mail at courtney.henslee@navy.mil and courtesy copy (cc) Aaron Deich at aaron.deich@navy.mil prior to the closing date and time of this solicitation. Please submit all inquiries to both email addresses. All questions should be submitted no later than thirty calendar days after issuance of the solicitation. Therefore, the responsibility is solely on the Offeror to ensure questions are timely submitted to the Government. Offeror’s questions that are answered will be addressed in subsequent amendments to the solicitation and will be posted to the Contract Opportunities Web page (FBO) at https://beta.sam.gov/. Offerors are advised to periodically check the BETASAM.GOV website for responses to any amendments that have been issued containing important information related to the solicitation.
Upon notification of award, all unsuccessful Offerors shall return or destroy all Government Furnished Information.

To this end, the proposal shall be specific, detailed and complete as to clearly and fully demonstrate that the prospective Contractor has a clear understanding of the technical requirements contained in Section C of this solicitation. Statements such as "the Offeror understands", "will comply with the Performance Work Statement," "standard procedures will be employed"; "well known techniques will be used" and general paraphrasing of the Performance Work Statement are considered inadequate.
In the event any portion of the Non-Cost Proposal is written by anyone who is not a bona fide employee of the firm submitting the proposal, a certificate to this effect shall be furnished. It must be signed by a responsible officer of the Offeror and shall show the author's name, employment capacity, the name of the person's firm, the relationship of that firm to the Offeror's, and the portion of the Non-Cost/ Proposal he/she wrote.

e. Key Personnel Resumes
a. Submit resumes for Key Personnel. Section J includes a list of the desired qualifications for Key Personnel. It is provided as a guide to notify Offerors of the types of experience and training that the Government considers important to successfully execute the Contract. It is the Offeror’s responsibility to provide information and evidence that clearly demonstrates the ability of proposed personnel to satisfactorily fulfill the Contract requirements. Do not provide information that will violate the Privacy Act.
b. If the proposed key personnel are not current employees of the Offeror or proposed Subcontractor, a signed copy of the acceptance letter shall be provided (excluding Electronics Techincian, which is due post-award).

3.2.3.4 FACTOR 4 - PAST PERFORMANCE
a. Provide up to three past performance references that reflect recent, relevant experience within the last five years that demonstrate the Offeror’s ability to handle the scope and breadth of the PWS. Three of the Prime's relevant past performances are desired, however, the Government will accept two Prime past performance references and one past performance reference from a teamed subcontractor. Example contracts may have been performed for Federal, State, and/or local Governments, as well as private industry.
b. Include the following information for each past performance reference:
Contract number Contract type Program name Total contract cost Short description of work performed Description of how the work performed is relevant to the requirements in the PWS Names and valid phone number, e-mail address, and mailing address for the Procuring
Contracting Officer (PCO), Contracting Officer’s Representative (COR) and Program Manager (PM).
c. Provide Past Performance Questionnaire Attachment (See Section J) to the Government Point of Contact for each provided past performance reference for completion and submission directly to the Contract Specialist identified in Section G. It is the Offeror’s responsibility to ensure that the Government POCs for the past performance references submit the completed Attachment prior to the proposal due date.
d. Offerors are responsible for providing contract descriptions and applicable experience in sufficient detail to permit evaluation of the example contract’s relevancy. If the Offeror does not provide up to three past performance references during the last five years, the Offeror shall address this and provide a written narrative detailing the reasons for not providing three references.
e. The relevancy of Offerors’ past work and how this experience will assist in performing under this contract shall be explained in detail. Offerors are advised that: (1) the Government may contact any or all references in the proposal and third parties (such as other customers, the DoD Past Performance Information Retrieval System (PPIRS), other Government contractors, the Environmental Protection Agency, the Department of Labor, consumer protection organizations, etc.) for performance information; (2) the Government reserves the right to use any such information received as part of its evaluation of the Offeror’s past performance; (3) the Government reserves the right to directly solicit input on the Offeror’s past performance from any other sources and the Government may use any other data available to its evaluators, including the personal knowledge of those individuals; and (4) if the Offeror omits projects of which the Government evaluation team is aware or becomes aware, customer assessments may be sought from the relevant organization.
f. The Government reserves the right to limit or expand the number of references it contacts and to contact references other than those provided by the Offeror. If subcontracting is proposed for subject Contract, past performance references where the Offeror has served as a prime Contractor with Subcontractors would be of interest.
g. If past performance is supplied for a firm whose CAGE CODE and DUNS Number does not match the CAGE CODE and DUNS NUMBER for the offeror, the offeror MUST provide a DETAILED written explanation of how the past performance information is relevant. For example, if the offeror provides past performance data from a different firm with a different CAGE CODE and DUNS NUMBER, the offeror’s proposal MUST clearly demonstrate how it will employ into this Contract the same policies, procedures, processes, management, and similar systems and delineate how the offeror will achieve the same quality of past performance in performance of this Contract. The proposal must clearly show how experience from any other entity other than the offeror is relevant to the offeror’s ability to perform. The relevant considerations are whether the resources of a different firm will be provided or relied upon for contract performance such that the other firms(s) will have meaningful involvement in contract performance. Failure to provide an adequate connection and link between the offeror and the submitted past performance from a different firm(s) may result in a lower relevancy rating.
3.3 Volume III – COST PROPOSAL
3.3.1 Evaluation Factors To Be Addressed
The Offeror shall address the following evaluation factors in Volume III:
3.3.2 FACTOR 5 – COST
3.3.1 GENERAL GUIDANCE

the Offeror's Section B pricing will take precedence.
b. No technical information shall be submitted as part of the Cost Proposal.
c. Offers submitted in response to this solicitation shall be in terms of U.S. Dollars. Offers received in other than U.S. Dollars shall be rejected.
d. These instructions apply equally to the prime Contractor as well as proposed Subcontractors/consultants.
e. See Section 2.2.2 Electronic Proposal Requirements for completing "Cost Summary Format."
f. When analyzing pass through costs, the Government will consider prime Offeror fee on Subcontractor cost as an element of pass through element. In Section B, however, prime Offeror fee on Subcontractor cost is a fee element rather than a cost element. Prime Offeror fee on Subcontractor cost should be included in the fee column (rather than the cost column) of Section B.
g. Offerors cost proposals shall include a proposed fixed fee that is representative of business and technical risks associated with this effort and are substantiated in the proposal.
3.3.2 SUPPORTING COST DATA
a. Provide supporting cost data as required in the format of solicitation Attachment "Supporting Cost Data” (See Section J).
b. For each cost element (labor hours, direct rates and indirect rates) the Offeror must address the following three questions:
1) What is the estimate based on?
2) How was the estimate derived? And
3) Why is it reasonable?
c. When the Offeror elects to claim FCCOM as an allowable cost, the Offeror must include DD Form 1861, Contract Facilities Capital Cost of Money.
d. Narrative shall be attached to the Supporting Cost Data Table to describe derivation of labor rates and application of escalation, use of uncompensated overtime, pools to which indirect rates are applied, and historically proposed DCMA/DCAA recommended and ACTUAL (audited and unaudited) direct and indirect rates experienced by the Offeror within the past three years. Additional narrative, if necessary, may also be attached. If a formal Forward Pricing Rate Agreement has been negotiated, provide a copy. Provide copies of any DCMA/DCAA correspondence that approves proposed indirect rates. Provide historical data to reflect actual escalation rates realized for the past three years. If the offeror does not have DCMA/DCAA audited and unaudited rates, they shall provide recent independent audit reports. There is no page limitation to the cost narrative.
e. Each fully loaded labor rate (which includes all direct costs, indirect rates, subcontractor pass through costs and fee or profit) in excess of $183 per hour in any labor category, shall be identified and listed at the beginning of the prime contractor's cost proposal. Additionally, the prime contractor shall provide a separate analysis and determination regarding the reasonableness of the proposed loaded rate(s).
3.3.3 DIRECT LABOR
a. Offerors shall base the hours of their Cost Proposals on the direct labor hours shown in Section B. The Government furnishes the labor hours to permit optimum response by Offerors and to allow a more timely and comparable evaluation of proposals. The direct labor mix for technical and administrative labor hours should be consistent with the Offeror’s technical proposal and the Performance Work Statement.
b. Support functions not proposed to be direct charged will be considered overhead in nature and will not be allowed as direct charges under the Contract.
c. Offerors shall propose realistic hourly rates. Unrealistically low rates without supporting cost information may infer either a lack of understanding of the requirements, increased risk of performance, or lack of credibility on the part of the Offeror. The burden of proof for cost credibility rests with the Offeror.
d. Offerors shall submit copies of payroll stubs for all proposed employees currently employed by the Offeror.
e. All Privacy Act information shall be redacted from the employee's payroll prior to submission.
f. Contingent Hire letters, with labor rate or annual cost stated, shall be provided for all personnel who are not current employees of the Offeror.

b. Some firms manage UT through the process of Total Time Accounting (TTA).
c. The effect of UT/TTA is that the total hours worked are charged to the contract/order at a rate less than the individual’s regular hourly rate based on a 40-hour workweek.
d. In accordance with FAR 52.237-10 and the need to adequately evaluate all offers, Offerors shall:
i. Identify proposed hours as compensated or uncompensated.
ii. Provide the basis for the number of hours used as well as the mix (i.e., compensated and uncompensated). This data must be verifiable either with DCAA or through the analysis of supplemental statistical data that the Offeror includes in the cost proposal.
