SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The required response date/time has changed from 10-Feb-2020 04:00 PM to 13-Feb-2020 04:00 PM.

The following have been added by full text:

QUESTIONS/ANSWERS PART II

1. Section L-2.2.2.e states that offerors shall load “…their section B pricing into the portal via the web form.”

Please provide instructions and details regarding this portal/web form so that we are able to comply with this requirement.

Government Response: Section L-2.2.2.e has been revised.

2. Please advise which form/Attachment should be used to propose the Standard eCRAFT Labor Categories as required by Section L-3.3.3.h.?

Government Response: Section L-3.3.3.h has been deleted in its entirety.

3. Please confirm that Section L-3.3.3.i is not applicable since the Service Contract Act does not apply to this Solicitation?

Government Response: It has already been stated that Service Contract Act does not apply to this contract;

therefore, Section L-3.3.3.i does not apply and has been deleted in its entirety.

4. Section L-3.3.3.j requires offerors to submit an “eCRAFT Upload Average Bid Rates Attachment (See Section J).” However, this Attachment does not appear to be included in Section J. Please provide the referenced Attachment or clarify which existing Section J Attachment relates to this requirement.

Government Response: Section L-3.3.3.j has been deleted in its entirety.

5. The Solicitation file name uses number N6133120R3004. However, the SF-33 form uses number N6133120R0004. Please confirm the correct Solicitation number.

Government Response: The Solicitation Number is N6133120R0004. Solicitation file name has been corrected to N6133120R0004.

6. For Attachments J.4 Cost Summary Format; J.6 Staffing Plan WITHOUT Cost; J.7 Staffing Plan WITH Cost – The columns related to level of effort use “Hours” as the default unit or measure. However, Section B uses “Days” (for Crew Labor) and “Hours” (for Support Labor) as the unit of measure for labor effort. Is it acceptable for offerors to complete Attachment J.4, J.6 and J.7 using Days and Hours for Crew Labor and Support Labor (respectively) in order to remain consistent with the formatting of the Section B CLIN units?

Government Response: Attachments J.4, J.6, & J.7 have been revised.

7. The level of effort expenditure rate for Support Staff stated in Section H-216-H002 does not reconcile or (when annualized) equate to the annual level of effort for Support Labor stated in Section B (CLINs 0002, 1002, 2002, 3002, 4002). Moreover, when annualized, the rate stated in Section H-216-H002 produces annual labor hours that are SIGNIFICANTLY less (approximately 65% less) than the Support Staff hours stated in Section B.

Please confirm which Support Staff hours should be used when calculating our cost estimates.

Government Response: Clause H-216-H002 has been revised.

8. Should Attachment J.4 Cost Summary Format be prepared using the annual level of effort Days/Hours provided by the Government in Section B, or should Attachment J.4 be prepared using the level of effort Days/Hours that we estimate is required to perform the contract?

Government Response: The level of effort should reflect the hours as stated within the Section B-CLIN structure.

9. Section B CLINs for Crew Labor and Support Labor include a column for Unit Price. Are offerors required to insert a Unit Price into this column? Is it acceptable for offerors to only insert amounts for Estimate Cost and Fixed Fee and leave the Unit Price column blank?

Government Response: It is the Government’s Intent that the offerors are to include amounts for the Estimated Cost and Fixed Fee and leave the Unit Price column blank.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been modified:

H-216-H002 LEVEL OF EFFORT--ALTERNATE I (NAVSEA) (OCT 2018)

(a) The total level of effort for the performance of this contract is specified in Section B and includes prime and subcontractor direct labor (for those subcontractors specifically identified in the Contractor's proposal as having hours included in the proposed level of effort).

(b) Of the total man-hours of direct labor set forth in Section B, it is estimated that (Offeror to fill-in) man-hours are uncompensated effort.

Uncompensated effort is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no effort is indicated in the first sentence of this paragraph, uncompensated effort performed by the Contractor shall not be counted in fulfillment of the level of effort obligations under this contract.

(c) Effort performed in fulfilling the total level of effort obligations specified in Section B shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as local travel to and from an employee's usual work location, uncompensated effort while on travel status, truncated lunch periods, work (actual or inferred) at an employee's residence or other non-work locations (except as provided in paragraph (i) below), or other time and effort which does not have a specific and direct contribution to the tasks described in Sections B and C.

(d) The level of effort for this contract shall be expended at an average rate of approximately SeaFighter Crew - 84.13 days per week and Support Staff – 762.31 hours per week. It is understood and agreed that the rate of man-hours per week may fluctuate in pursuit of the technical objective, provided such fluctuation does not result in the use of the total man-hours of effort prior to the expiration of the term hereof, except as provided in the following paragraphs.

(e) If, during the term hereof, the Contractor finds it necessary to accelerate the expenditure of direct labor to such an extent that the total man-hours of effort specified in Section B would be used prior to the expiration of the term, the Contractor shall notify the Contracting Officer in writing setting forth the acceleration required; the probable benefits which would result; an offer to undertake the acceleration at no increase in the estimated cost or fee; and an offer for the additional man-hours to cover the remainder of the term to include a proposed level of effort, cost breakdown, and proposed fee, for continuation of the work until expiration of the term. The offer shall acknowledge that the additional man-hours proposed will be subject to the terms and conditions of this contract and any additions or changes required by then current law, regulations, or directives, and that the offer, with a written notice of acceptance by the Contracting Officer, shall constitute a binding contract. The Contractor shall not accelerate any effort until receipt of a signed contract modification by the Contracting Officer. Any agreement to accelerate will be formalized by contract modification.

(f) The Contracting Officer may, by written order, direct the Contractor to accelerate the expenditure of direct labor such that the total man-hours of effort specified in Section B would be used prior to the expiration of the term. This order shall specify the acceleration required and the resulting revised term. The Contractor shall acknowledge this order within five days of receipt.

(g) The Contractor shall provide and maintain an accounting system, determined adequate by the Administrative Contracting Officer, which collects costs incurred and effort (compensated and uncompensated, if any) provided in fulfillment of the level of effort obligations of this contract. The Contractor shall indicate on each invoice the total level of effort claimed during the period covered by the invoice, separately identifying compensated effort and uncompensated effort, if any.

(h) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and to the Defense Contract Audit Agency office to which vouchers are submitted: (1) the total number of man-hours of direct labor expended during the applicable period that separately identifies compensated and uncompensated hours; (2) a breakdown of this compensated total showing the number of man-hours expended in each direct labor classification and associated direct and indirect costs; (3) a breakdown of other costs incurred; and (4) the Contractor's estimate of the total allowable cost incurred under the contract for the period. Additionally, in the case of a cost underrun the Contractor shall submit the amount by which the estimated cost of this contract may be reduced to recover excess funds. All submissions shall include subcontractor information.

(i) Unless the Contracting Officer determines that alternative worksite arrangements are detrimental to contract performance, the Contractor may perform up to 10% of the hours at an alternative worksite, provided the Contractor has a company-approved alternative worksite plan. The primary worksite is the traditional “main office” worksite. An alternative worksite means an employee’s residence or a telecommuting center. A telecommuting center is a geographically convenient office setting as an alternative to an employee’s main office. The Government reserves the right to review the Contractor’s alternative worksite plan. In the event performance becomes unacceptable, the Contractor will be prohibited from counting the hours performed at the alternative worksite in fulfilling the total level of effort obligations of the contract. Regardless of work location, all contract terms and conditions, including security requirements and labor laws, remain in effect. The Government shall not incur any additional cost nor provide additional equipment for contract performance as a result of the Contractor’s election to implement an alternative worksite plan.

(j) Notwithstanding any of the provisions in the above paragraphs and subject to the Limitation of Funds or Limitation of Cost clauses, as applicable, the period of performance may be extended at the discretion of the Contracting Officer, and the estimated cost may be increased in order to permit the Contractor to provide all of the man-hours listed in Section B. The contractor shall continue to be paid fee for each man-hour performed in accordance with the terms of the contract.

The burden lies with the Offeror to balance staffing with their proposed labor mix and remain competitive at the same time. The Offeror shall explain deviations from the estimated labor mix provided in the table below. The estimated labor mix shown in the table below is provided for information purposes only.

Level GS Schedule Equivalent Years of Experience % of Work Senior Grade 13 to 14 More than [ 10 ] years relevant experience [ 5 % ] Mid-Level Grade 11 to 12 [ 5 ] years to [ 10 ] years of relevant experience [ 80 % ] Junior Grade 9 to 10 Less than [ 5 ] years relevant experience [ 15 % ]

d. Subcontracting

1. Discuss the PWS functions you intend to subcontract.

2. Describe how you will select and manage subcontractors.

3. Provide a copy of any subcontracting/teaming/consulting agreements, signed by both parties, proposed to fulfill any direct charged part of the solicitation. The agreement should show the specific technical work areas to be contracted and the projected labor categories (key/non-key support). It shall be fully consistent with other portions of the proposal to include resumes submitted and the Cost Proposal. Agreements shall be submitted only for those Subcontractors or consultants who are priced in the Cost Proposal.

e. Key Personnel Resumes

a. Submit resumes for Key Personnel. Section J includes a list of the desired qualifications for Key Personnel. It is provided as a guide to notify Offerors of the types of experience and training that the Government considers important to successfully execute the Contract. It is the Offeror’s responsibility to provide information and evidence that clearly demonstrates the ability of proposed personnel to satisfactorily fulfill the Contract requirements. Do not provide information that will violate the Privacy Act.

b. If the proposed key personnel are not current employees of the Offeror or proposed Subcontractor, a signed copy of the acceptance letter shall be provided (excluding Electronics Techincian, which is due post-award).

An additional copy of this letter shall be provided in the Cost Proposal which identifies a projected start date and agreed to annual salary.

c. Key Personnel Resumes shall contain the following information:

Years of Experience New/Current Position/Title/Company Education and work development history Chronology of work experience with emphasis on PWS related experience

3.2.3.4 FACTOR 4 - PAST PERFORMANCE

a. Provide up to three past performance references that reflect recent, relevant experience within the last five years that demonstrate the Offeror’s ability to handle the scope and breadth of the PWS. Three of the Prime's relevant past performances are desired, however, the Government will accept two Prime past performance references and one past performance reference from a teamed subcontractor. Example contracts may have been performed for Federal, State, and/or local Governments, as well as private industry.

b. Include the following information for each past performance reference:

Contract number Contract type Program name Total contract cost Short description of work performed Description of how the work performed is relevant to the requirements in the PWS Names and valid phone number, e-mail address, and mailing address for the Procuring

Contracting Officer (PCO), Contracting Officer’s Representative (COR) and Program Manager (PM).

c. Provide Past Performance Questionnaire Attachment (See Section J) to the Government Point of Contact for each provided past performance reference for completion and submission directly to the Contract Specialist identified in Section G. It is the Offeror’s responsibility to ensure that the Government POCs for the past performance references submit the completed Attachment prior to the proposal due date.

d. Offerors are responsible for providing contract descriptions and applicable experience in sufficient detail to permit evaluation of the example contract’s relevancy. If the Offeror does not provide up to three past performance references during the last five years, the Offeror shall address this and provide a written narrative detailing the reasons for not providing three references.

e. The relevancy of Offerors’ past work and how this experience will assist in performing under this contract shall be explained in detail. Offerors are advised that: (1) the Government may contact any or all references in the proposal and third parties (such as other customers, the DoD Past Performance Information Retrieval System (PPIRS), other Government contractors, the Environmental Protection Agency, the Department of Labor, consumer protection organizations, etc.) for performance information; (2) the Government reserves the right to use any such information received as part of its evaluation of the Offeror’s past performance; (3) the Government reserves the right to directly solicit input on the Offeror’s past performance from any other sources and the Government may use any other data available to its evaluators, including the personal knowledge of those individuals; and (4) if the Offeror omits projects of which the Government evaluation team is aware or becomes aware, customer assessments may be sought from the relevant organization.

f. The Government reserves the right to limit or expand the number of references it contacts and to contact references other than those provided by the Offeror. If subcontracting is proposed for subject Contract, past performance references where the Offeror has served as a prime Contractor with Subcontractors would be of interest.

g. If past performance is supplied for a firm whose CAGE CODE and DUNS Number does not match the CAGE CODE and DUNS NUMBER for the offeror, the offeror MUST provide a DETAILED written explanation of how the past performance information is relevant. For example, if the offeror provides past performance data from a different firm with a different CAGE CODE and DUNS NUMBER, the offeror’s proposal MUST clearly demonstrate how it will employ into this Contract the same policies, procedures, processes, management, and similar systems and delineate how the offeror will achieve the same quality of past performance in performance of this Contract. The proposal must clearly show how experience from any other entity other than the offeror is relevant to the offeror’s ability to perform. The relevant considerations are whether the resources of a different firm will be provided or relied upon for contract performance such that the other firms(s) will have meaningful involvement in contract performance. Failure to provide an adequate connection and link between the offeror and the submitted past performance from a different firm(s) may result in a lower relevancy rating.

3.3 Volume III – COST PROPOSAL

3.3.1 Evaluation Factors To Be Addressed

The Offeror shall address the following evaluation factors in Volume III:

3.3.2 FACTOR 5 – COST

3.3.1 GENERAL GUIDANCE

a. Offerors must submit all cost -related documentation required for Volume III. Should there be any discrepancy between the pricing submitted in Section B and the cost information submitted in Volume III;

the Offeror's Section B pricing will take precedence.

b. No technical information shall be submitted as part of the Cost Proposal.

c. Offers submitted in response to this solicitation shall be in terms of U.S. Dollars. Offers received in other than U.S. Dollars shall be rejected.

d. These instructions apply equally to the prime Contractor as well as proposed Subcontractors/consultants.

e. See Section 2.2.2 Electronic Proposal Requirements for completing "Cost Summary Format."

f. When analyzing pass through costs, the Government will consider prime Offeror fee on Subcontractor cost as an element of pass through element. In Section B, however, prime Offeror fee on Subcontractor cost is a fee element rather than a cost element. Prime Offeror fee on Subcontractor cost should be included in the fee column (rather than the cost column) of Section B.

g. Offerors cost proposals shall include a proposed fixed fee that is representative of business and technical risks associated with this effort and are substantiated in the proposal.

3.3.2 SUPPORTING COST DATA

a. Provide supporting cost data as required in the format of solicitation Attachment "Supporting Cost Data” (See Section J).

b. For each cost element (labor hours, direct rates and indirect rates) the Offeror must address the following three questions:

1) What is the estimate based on?

2) How was the estimate derived? And

3) Why is it reasonable?

c. When the Offeror elects to claim FCCOM as an allowable cost, the Offeror must include DD Form 1861, Contract Facilities Capital Cost of Money.

d. Narrative shall be attached to the Supporting Cost Data Table to describe derivation of labor rates and application of escalation, use of uncompensated overtime, pools to which indirect rates are applied, and historically proposed DCMA/DCAA recommended and ACTUAL (audited and unaudited) direct and indirect rates experienced by the Offeror within the past three years. Additional narrative, if necessary, may also be attached. If a formal Forward Pricing Rate Agreement has been negotiated, provide a copy. Provide copies of any DCMA/DCAA correspondence that approves proposed indirect rates. Provide historical data to reflect actual escalation rates realized for the past three years. If the offeror does not have DCMA/DCAA audited and unaudited rates, they shall provide recent independent audit reports. There is no page limitation to the cost narrative.

e. Each fully loaded labor rate (which includes all direct costs, indirect rates, subcontractor pass through costs and fee or profit) in excess of $183 per hour in any labor category, shall be identified and listed at the beginning of the prime contractor's cost proposal. Additionally, the prime contractor shall provide a separate analysis and determination regarding the reasonableness of the proposed loaded rate(s).

3.3.3 DIRECT LABOR

a. Offerors shall base the hours of their Cost Proposals on the direct labor hours shown in Section B. The Government furnishes the labor hours to permit optimum response by Offerors and to allow a more timely and comparable evaluation of proposals. The direct labor mix for technical and administrative labor hours should be consistent with the Offeror’s technical proposal and the Performance Work Statement.

b. Support functions not proposed to be direct charged will be considered overhead in nature and will not be allowed as direct charges under the Contract.

c. Offerors shall propose realistic hourly rates. Unrealistically low rates without supporting cost information may infer either a lack of understanding of the requirements, increased risk of performance, or lack of credibility on the part of the Offeror. The burden of proof for cost credibility rests with the Offeror.

d. Offerors shall submit copies of payroll stubs for all proposed employees currently employed by the Offeror.

e. All Privacy Act information shall be redacted from the employee's payroll prior to submission.

f. Contingent Hire letters, with labor rate or annual cost stated, shall be provided for all personnel who are not current employees of the Offeror.

g. Offerors shall complete and submit Staffing Plan WITH Cost Attachment (See Section J) with their Cost

Proposal.

3.3.4 UNCOMPENSATED TIME (UT)

a. FAR 52.237-10 in Section I of the Basic Contract defines Uncompensated Time (UT) as any hours worked in excess of 40 hours per week without additional compensation.

b. Some firms manage UT through the process of Total Time Accounting (TTA).

c. The effect of UT/TTA is that the total hours worked are charged to the contract/order at a rate less than the individual’s regular hourly rate based on a 40-hour workweek.

d. In accordance with FAR 52.237-10 and the need to adequately evaluate all offers, Offerors shall:

i. Identify proposed hours as compensated or uncompensated.

ii. Provide the basis for the number of hours used as well as the mix (i.e., compensated and uncompensated). This data must be verifiable either with DCAA or through the analysis of supplemental statistical data that the Offeror includes in the cost proposal.

iii. Provide a copy of its policy on the use of uncompensated overtime, and as well as for each Subcontractor proposing uncompensated overtime.
