SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The required response date/time has changed from 11-Feb-2019 10:00 AM to 19-Feb-

2019 10:00 AM.

SECTION I - CONTRACT CLAUSES

The following have been modified:

52.252-4 ALTERATIONS IN CONTRACT (APR 1984)

Portions of this contract are altered as follows:

PROGRESS PAYMENT RATES

The progress payment rate for this contract is 90 percent for large business and 95 percent for small business in accordance with 10 USC 2307(g).

NON SMOKING POLICY

Per Navy's policy regarding smoke-free facilities, the entire vessel, topside and below decks, is to be considered a "No Smoking Area" unless otherwise indicated by shipboard policy.

MINIMUM AND MAXIMUM QUANTITIES

a. As referred to in paragraph (b) of the "Indefinite Quantity" clause of this contract, the contract minimum amount for each awardee will be as follows. The minimum amount shall apply to the base year only.

(1) Minimum guaranteed amount for HM&E:

The contract minimum guaranteed amount is $2,500.00 for each contract awarded under the MAC.

(2) Maximum amount for HM&E:

The contract maximum is the total amount of $25,000,004.00, which includes the base and option years.

However, the cumulative total of all orders placed across all IDIQ contracts should not exceed the contract ceiling as specified above.

b. The Government may elect to award multiple contracts for the same services to two or more sources under this solicitation. If multiple awards are made, the maximum amount for each contract awarded shall be the amount specified in a (2) above. The maximum amount shall apply to the base year and each option year exercised.

c. A delivery order will be issued in tandem with the release of the HM&E Pierside Assists Multiple Award Indefinite Delivery Indefinite Quantity (MAC-IDIQ) contract(s) in the amount of the minimum guarantee.

Contractors shall not invoice the minimum guarantee until authorized by the Contracting Officer.

ORDERING WORK

The following procedure will be used to order work. Such work will be called for by the issuance of a Delivery Order/Delivery Order modification, by the Administrative Contracting Officer (ACO), during the term of the contract.

Note: The MSRA/ABR ensures Contractors the requisite technical, managerial, organizational, manpower and facilities to perform and support a full-range of ship repair functions eg. boat/craft repair, overhaul work, complex as well as non-complex work on Navy ships and vessels to satisfy the Government’s requirements. An active MSRA or ABR number is required in order to be considered for award of a delivery order.

a. The award of any individual delivery order will consider factors such as past performance on earlier Delivery Orders under this multiple award contract, capacity and price.

b. Fair opportunity will be provided to all awardees to compete on individual delivery orders issued hereunder, except as noted at FAR 16.505(b)(2). When exempt from the obligation to provide fair opportunity to compete, the Government may unilaterally place orders based on receipt of a fair and reasonable price proposal from one awardee.

c. The Contracting Officer will place orders after all required negotiations with competing contractors have been completed based on the best value to the Government in terms of past performance, capacity and price.

d. In order to accurately assess a contractor’s capacity, the Contracting Officer will provide a capacity evaluation form (Attachment J16) with the Request for Contractor Proposal (RCP) to assess a contractor’s capacity to perform future tasks. No other forms or format will be considered acceptable, e.g., letters, emails, or telephone calls. Failure to complete the capacity evaluation form may result in incomplete information regarding a firm’s capacity to perform future tasks which could result in a firm being awarded a Delivery Order during a time period in which it does not have the capacity to perform. The burden is on each awardee to keep the Contracting Officer informed of any changes to its capacity through the capacity evaluation form that could impact its ability to timely perform a Delivery Order. IDIQ contractors that prefer that the Contracting Officer have additional information regarding their firm’s capacity that might not be readily available in MARMC records, may provide additional information to the Contracting Officer.

e. The contractor shall not proceed with the work until a Delivery Order/Delivery Order modification is issued or an authorization to proceed email is issued by the ACO. Whenever the ACO determines that it is in the interest of the government not to delay performance of the work until a price is negotiated, the ACO may specify in the Delivery Order that the contractor shall proceed forthwith. In every case, prior to completion of the work called for therein, the parties shall negotiate a price and delivery schedule as expeditiously as possible and modify the Delivery Order accordingly.

f. In negotiating the fixed price for materials, the contractor shall submit proposals or invoices for the material required. The negotiated price for materials on additional work shall be the proposal or invoice price submitted by the contractor for actual materials plus transportation charges, both subject to verification by the Government as to reasonableness. The Government will not pay any material handling charges under material ELINs. All material handling charges are included in the G&A/Material Handling ELINs.

g. In negotiating a fixed number of man hours for work, the contractor’s proposal may include quality assurance, engineering and supervision hours, in addition to trade hours required to accomplish the work as long as the hours proposed are not covered by an indirect cost pool under the contractor’s accounting system. All hours treated as indirect hours under the contractor’s accounting system, must be accounted for as a factor included in the hourly rate. The Government will not agree to pay for indirect hours in the man hour negotiations.

h. During the course of work under other contract items, the contractor shall promptly recommend to the ACO, in writing, additional work as he discovers the need for such work. Concurrently, the contractor shall quote a price and delivery time for the additional work. The ACO shall promptly review the recommendation and may, after reaching agreement with the contractor, issue a Delivery Order/Delivery Order modification. The government has no obligation under this paragraph to issue any Delivery Order/Delivery Order modification.

i. Additional work related to a delivery order need only be offered to the contractor awarded the related Delivery Order and need not be offered to other multiple awardees.

j. When the contractor intends to subcontract any effort, intent of same shall be expressed to the COR during the work scope conference and made a part of the estimates (both contractor and Government estimates).

Any subsequent subcontracted effort required after start of work on any assigned task shall be made known to the COR, with additional scoping effort and estimates required for the same.

Subcontract effort shall not be priced as material or considered as part of the material pool. Instead, subcontract effort shall be considered the same as prime contract effort when pricing ELINS, delivery orders, etc. However, estimates should distinguish between prime and subcontract effort for record keeping purposes.

k. The performance period for each requirement will be designated on each individual delivery order.

l. All items and data furnished hereunder shall be delivered with all transportation charges paid by the contractor to the destination specified in the delivery order.

m. Emergent Requirements. Emergent Requirements. A number of orders issued under this contract are expected to be classified as “Emergent Work” by the Contracting Officer (CO). The contractor will be expected to commence effort within twenty-four (24) hours after receiving directions to proceed.

n. If the Schedule requires work to be performed aboard ship while located at a Government installation, Offerors are urged and expected to inspect the site where services are to be performed and to satisfy themselves as to all general and local conditions, including security requirements that may affect the cost of performing the work, in the event such information is reasonably obtainable. In no event will the failure to inspect the site constitute grounds for a claim after award of the delivery order/contract.

o. While the current Threat Condition is set at Bravo for Hampton Roads Naval Installations, due to the nature of military operations within Hampton Roads, Threat Condition Charlie may be set at any time. Any costs associated with delays, disruptions, or security precautions associated with Threat Condition Charlie shall be included in your delivery order proposals. Contractors will not receive additional compensation for delays, disruptions, or security precautions associated with Threat Condition Charlie.

DELIVERY ORDER REQUIREMENTS

Delivery Orders will provide more detailed requirements than those provided in the basic contract award. If a Delivery Order does not provide a specific requirement, the terms and conditions of the basic contract shall apply.

Each Delivery Order Request for Contractor’s Proposal (RCP) will include technical documents such as work specifications, standards, drawings, publications or other documents and statements of work to allow IDIQ-MAC holders to prepare proposals.

Whenever specifications, standards, drawings, publications or other documents are cited without issue number, revision, date or amendment number identified, the revision, date or amendment in effect as of the date of the Delivery Orders shall apply. Wherever specific issue number, revision, date or amendment number for specifications, standards and publications are specified, the issue specified shall apply.

In the execution of this contract, specific references for individual items and associated referenced technical documentation shall be identified in each Delivery Order. These references may include, but are not limited to, the following documents:

1. General Specifications for Overhaul of Surface Ships (GSO)

2. General Specifications for Overhaul with the AEGIS Addendum (GSO SUPPL)

3. Military Standards and Military Performance Specifications

a. All Category I Standard Items shall be invoked in every Delivery Order at a minimum without further reference.

b. Category II Standard Items shall be referenced in each applicable Delivery Order Work Item and/or Statement of Work paragraph.

The Contractor shall comply with all local requirements in addition to State and Federal Environmental, Safety, and Health (ESH) regulations.

When necessary, Contract Data Requirement List (CDRL) requirements will be specific to each Delivery Order issued under this contract. These CDRLs will be identified by the Government as a part of the Delivery Order solicitation and shall be a requirement of that particular Delivery Order.

HQ L-2-0005 NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST

(NAVSEA) (JUN 1994)

(a) Offerors are reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a prime contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror provides support to the government, or related laboratories (if applicable), in support of operation of the office or any of its programs. General guidance may be found in FAR 9.505; however, this guidance is not all inclusive. The Offeror's attention is directed to the "Organizational Conflict of Interest" (or similar) requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the "support" contract(s). Notwithstanding the existence or non-existence of an Organizational Conflict of Interest (OCI) clause or similar requirement in current or completed contract(s), the offeror shall comply with FAR 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI requirement.

(b) If a potential conflict of interest exists at any tier, each potential prime offeror is requested to notify the Contracting Officer within 14 days of the date of this solicitation. The Offeror shall provide: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; and (5) any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the offeror. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source.

(c) The Government will notify an offeror of any conflict of interest within 14 days of receipt of all required information. Those offerors deemed to have a conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government's rights to make a conflict of interest determination. The offeror is notified that if it expends time and money on proposal preparation, such expenditure is at its own risk that the Government will not determine that an organizational conflict of interest exists.

(d) Any potential prime contractor which proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which offerors remain in the competitive range through the normal source selection process.

(e) If the offeror determines that a potential organizational conflict of interest does not exist at any tier, the offeror shall include a statement to that effect in its response to this solicitation.

HQ L-2-0011 TELEGRAPHIC OFFERS (NAVSEA) (MAY 1993)

Telegraphic offers will not be considered although offers may be modified by telegraphic notice provided such notice is received prior to the time set for the receipt of offers. Telegraphic modifications of offers shall be addressed to:
