TASK ORDER ISSUANCE PROCEDURES

A. GENERAL

1. When the Government requires work under the contract, a Task Order Request for Proposal (RFP) will be issued. Task Order RFPs will normally be issued electronically by email but may be placed via mail, telephone, facsimile or other electronicmeans.

2. Task Order RFPs will clearly define the specific services to be performed or the performance desired and the specific completion date or performance period. Projects may vary in size and complexity.

3. The Government will specify in each Task Order RFP if conduct site visits are necessary. The Task Order RFP will specify the time(s), date(s), location(s), base access requirements, and any additional Personnel Protection Equipment (PPE) requirements. The Government does not intend to provide any transportation for any site visit. Participants at any site visit are required to wear PPE such as Hard Hat, Safety Shoes and Reflective Vest. It is the sole responsibility of each attendee to wear any PPE in accordance with the latest EM 385-1-1 (Safety and Health Requirements Manual) appropriate for the site visit. The Government will not provide any PPE for persons attending the site visit. If proper PPE is not used, the individual may not be allowed to participate in the site visit to the full extent.

4. The Government expects MASC Contractors to submit Pre-proposal Inquiries (PPI) to clarify information and answer any questions they have concerning the Task Order RFP in accordance with Task Order RFP instructions. The Government expects MASC Contractors to ask follow-up PPIs if they do not understand the Government response or require additional information.

5. The Government intends to include the Exchange Rate utilized for the administrative convenience of the U.S. Government in each Task Order RFP. This Exchange Rate will be used for calculating the U.S.

Dollar amount of Task Orders for the administrative convenience of the U.S. Government. The U.S. Dollar price of Task Orders will be applied to all acquisition thresholds such as, but not limited, to Performance Bonds. This Exchange Rate is subject to revision at any time.

6. If Liquidated Damages are determined necessary, the rate(s) will be specified in each Task Order

RFP and any resultant Task Order.

B. PROPOSAL SUBMITTAL

1. The Government highly encourages each MASC Contractor to submit a proposal for all Task Order RFPs; however, it is not mandatory. Each awardee is required to submit a reasonable number of good faith proposals for proposed Task Orders. If a MASC Contractor does not intend to submit a proposal in response to a Task Order RFP, the MASC Contractor shall notify the Contracting Officer in writing, within two (2) days of receiving the Task Order RFP. The notification shall state that the Offeror is not submitting a proposal for the specific Task Order RFP and provide a brief explanation as to why the Offeror is not submitting a proposal. Failure to provide this notification or to submit a proposal may impact future consideration for task orders, impact exercise of an option, or result in loss of the minimum guarantee.

2. Proposals must be submitted in Japanese Yen. However, the price of any resultant Task Order will also be expressed in U.S. Dollars for the administrative convenience of the U.S. Government. Payment will be made in Japanese Yen.

3. A competitive Task Order RFP will typically require only a single lump sum. However, a competitive

Task Order RFP may also require, but is not limited to a total price comprised of lump sum prices for multiple Contract Line Item Numbers (CLINs), one or more CLINs with multiple Sub-Line Item Numbers (SLINs), unit prices for a specified quantity that results in an extended price, or any combination thereof. There may be instances where detailed cost breakdown will be required by the Contracting Officer and must be provided accordingly.

4. As part of the proposal submission requirements, the MASC Contractor may be requested to provide the quotations the MASC Contractor received in support of material, equipment, and/or any subcontractor costs.

5. Oral presentation may be used to substitute for, or augment, written information and subject to the same restrictions as written information.

6. The costs for preparation and submission of proposals in response to a Task Order RFP shall be the responsibility of the Contractor and are not directly reimbursable.

C. COMPETITION

1. Fair Opportunity: Competition for issuance of Task Orders is limited to those awardees under this MASC contract.

2. The Government intends to solicit each Task Order RFP on a competitive basis and award each Task

Order to the Offeror whose offer is the most advantageous to the Government considering the criteria specified in the Task Order RFP.

3. The Government reserves the right to award Task Orders without competition in accordance with FAR

16.505(b)(2) when determined to be in the Government’s best interests by the Contracting Officer.

D. BASIS FOR TASK ORDER AWARD AND EVALUATION

1. Task Orders may be awarded on the basis of: Price Only; Lowest Price Technically Acceptable (LPTA) source selection process; or Price and Non-Cost/Price Evaluation Factors Combined, also known as the Trade-Off process.

2. The basis for award will be stated in the Task Order RFP. At a minimum, Price shall be evaluated on all Task Order RFPs. In addition, the Contracting Officer may consider past performance on earlier orders under the contract, including quality, timeliness, and cost control; and potential impact on other task orders placed with the Contractor. Other factors may be considered as specified in the Task Order RFP including: Experience; Safety; Technical Solution; etc.

3. In case of a discrepancy between the CLIN(s) price and the total price, the CLIN(s) price will be presumed to be correct and the total price will be recalculated accordingly; in case of a discrepancy between the SLIN(s) prices and the price for the CLIN, the SLIN(s) price will be presumed to be correct and the CLIN price will be recalculated accordingly; in case of a discrepancy between a unit price and an extended price, the unit price will be presumed to be correct and the extended price will be recalculated accordingly;

subject, however, to correction to the same extent and in the same manner as any other mistake.

4. The Contracting Officer reserves the right to request or require a detailed cost or price breakdown of labor, materials, equipment, overheads, and profit at any time including with the submission of initial offers.

5. The Government intends to evaluate and award Task Orders without discussions (except clarifications as described in FAR 15.306(a)), unless the Contracting Officer later determines them to be necessary.

E. TASK ORDER PROCEDURES

1. The Contractor shall not perform, deliver, or otherwise incur costs until they receive a Task Order issued by the Contracting Officer.

2. The Government intends to issue only written Task Orders on DD Form 1155 (Order for Supplies or Services). Awarded Task Orders will be assigned a system-generated number consisting of 13 digits. However, the Government does reserve the right to issue Task Orders orally in extenuating circumstances. The Contracting Officer is the only individual authorized to issue oral Task Orders. All orally issued Task Orders will be sent to the Contractor by email from the Contracting Officer and/or written letter signed by the Contracting Officer. All orally issued Task Orders will be confirmed by issuance of a written Task Order as soon as practical after issuance of the oral Task order.

3. In accordance with FAR 16.505(a)(10), no protest under Subpart 33.1 is authorized in connection with the issuance or proposed issuance of an order under a Task Order contract except for a protest on the grounds that the order increases the scope, period, or maximum value of the contract; or a protest of an order valued in excess of $25 million. Protests of orders in excess of $25 million may only be filed with the Government Accountability Office, in accordance with the procedures at FAR 33.104.

F. TASK ORDER ADMINISTRATION

1. The Administrative Contracting Office (ACO) shall be responsible for issuing and awarding individual Task Orders. These individuals may include Contracting Officers located, or responsible for that specific location, where the work is to be accomplished. These individuals shall possess the authority to act on behalf of the Government with respect to the specific Task Order. All day-to-day construction contract administration will be the responsibility of the designated ACO.

2. All Task Orders are subject to the terms and conditions of the base MASC contract. In the event of conflict between a Task Order and this contract, the Task Order will take precedence, except as otherwise noted in the contract documents. The Government will incorporate additional provisions, clauses, and instructions, as appropriate, into individual Task Order RFPs and resultant Task Orders.

3. Modifications to Task Orders will be issued on a Standard Form (SF) 30 signed by the Contracting

Officer. The Contracting Officer is the only individual authorized to change the terms and conditions of the Task Order.

FAR PROVISION 52.229-11 AND FAR CLAUSE 52.229-12

In accordance with FAR 29.402-3, Tax on certain foreign procurements, FAR provision 52.229-11 and FAR clause 52.229-12 are included in solicitations, including solicitations using part 12 procedures for the acquisition of commercial products and commercial services. Solicitation means any request to submit offers or quotations to the Government. Acquisition means acquiring by contract, task order (TO), or delivery order (DO), supplies or services (including construction) for the use of the Federal Government. The base contract will incorporate the clause 52.229-12, if the contractor has indicated that it is a foreign person in solicitation provision 52.229-11. All TOs or DOs issued off the base contract will also incorporate the provision and clause unless one of the following exceptions applies:

(1) Acquisitions using simplified acquisition procedures that do not exceed the simplified acquisition threshold (as defined in 2.101).

(2) Emergency acquisitions using the emergency acquisition flexibilities defined in part 18.

(3) Acquisitions using the unusual and compelling urgency authority per 6.303-2.

(4) Contracts with a single individual for personal services that will not exceed the simplified acquisition threshold on an annual calendar year basis for all years of the contract.

(5) Acquisitions if the requiring activity identifies that the requirement is for certain foreign humanitarian assistance contracts which are payments made by the U.S. Government agencies pursuant to a contract with a foreign contracting party to obtain goods or services described in or authorized under 7 U.S.C. 1691, et seq., 22 U.S.C. 2151, et seq., 22 U.S.C 2601 et seq., 22 U.S.C.

5801 et seq., 22 U.S.C. 5401 et seq., 10 U.S.C. 402, 10 U.S.C. 404, 10 U.S.C. 407, 10 U.S.C.

2557, and 10 U.S.C. 2561.

Note: If any of the above exception applies, and the provision and clause is not incorporated into a TO or DO issued under the base contract, execution and submission of an IRS W-14 is not required under said TO or DO. *Offerors are encouraged to seek guidance from their own tax, legal, or accounting professionals for advice concerning the applicability of the provision and clause to any TO or DO’s issued under the base contract.

As stated earlier, this provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request. This rule applies to Federal Government contracts for goods or services that are awarded to foreign persons. It implements the Department of the Treasury final regulations published in the Federal Register at 81 FR 55133 on August 18, 2016, under section 5000C of the Internal Revenue Code relating to the 2 percent tax on payments made by the U.S. Government to foreign entities pursuant to certain contracts.
