JUSTIFICATION AND APPROVAL (J&A) FOR OTHER THAN FULL AND OPEN

COMPETITION

1. Contracting Activity: Department of the Navy, Military Sealift Command (MSC).

2. Description of the Action Being Approved: This is a sole source justification for work to be provided under Work Items (WI) 202, 504, 505, 510, 511, 513, 514, 602, 605, 705, 709, 710, 907 and 910 of the Statement of Work (SOW) for the Regular Overhaul (ROH) of the USNS ZEUS (T-ARC 7) under RFP No.

N32205-18-R-4151. This Justification covers only the portion of the acquisition for which an Original Equipment Manufacturer (OEM)-authorized Facility, Manufacturer, or Representative is required and the approval level requirements will then only apply to that portion.

3. Description of Supplies/Services: MSC requires OEM-authorized technical field service representatives and OEM parts to accomplish the requirements of Work Items (WIs) 202, 504, 505, 510, 511, 513, 514, 602, 605, 705, 709, 710, 907 and 910 for the 121 day ROH. The estimated combined dollar value of the Fourteen (14) WI’s is $ 2,146,315.00, which will be funded utilizing FY 19 Operation & Maintenance funds.

4. Statutory Authority Permitting Other Than Full and Open Competition: 10 U.S.C 2304 (c)(1), Only

One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements, as implemented by FAR 6.302-1(a).

5. Rationale Justifying Use of Cited Authority:

a. WI 202- Inspect Main Propulsion Motors: A technical representative from General Electric

Energy is required to oversee the inspection and cleaning of the Main Propulsion Motors. General Electric owns tech manuals, design information, and proprietary drawings of the Main Propulsion Motors. The government does not possess the detailed design data necessary to perform an adequate inspection. The Main Propulsion Motors are critical equipment.

b. WI 504 and 505- FWD Crane Annual Certification (5 Year) and AFT Crane Annual Certification

(5 Year): Allied Systems is the manufacturer for the Forward and Aft Cranes. An Allied Systems technical representative is needed to assess, inspect, and coordinate annual testing. Allied Systems owns the proprietary rights to the crane drawings, technical manuals, and design information.

They are necessary for the completion of this WI. The government does not possess the detailed design data necessary or information to complete this testing/repair. According to COMSCINST 4490.1A and SMS Procedure 10.6-2- All, the aft crane is identified at critical equipment.

c. WI 510- Oily Water Separator (OWS) Annual Inspection: A technical representative from GEA

Westfalia is required to complete this WI. GEA Westfalia own the proprietary rights, technical manuals, and design information to the oily water separator which requires annual inspection per USCG and. ABS. The government does not possess the detailed design data necessary or information to ensure this installation is completed accurately. According to COMSCINST 4490.1A and SMS Procedure 10.6-2- All, the OWS is identified at critical equipment.

d. WI 511- Heavy Over boarding System (HOS): A technical representative from Soil Machine

Dynamics LTD is required to oversee the inspection and overhaul of the Heavy Over boarding System. Soil Machine Dynamics owns tech manuals, design information, and proprietary drawings of the Heavy Over boarding System. The government does not possess the detailed design data necessary to inspect, reinstall, and commission this system. According to COMSCINST 4490.1A and SMS Procedure 10.6-2- All, the Heavy Over boarding System is identified at critical equipment.

e. WI 513- Cable Drum Brake Replacement: A technical representative from GE Energy is required to properly replace the cable drum shoe brakes. General Electric owns tech manuals, design information, and proprietary drawings of the Cable Drum Drive system. The government does not possess the detailed design data necessary to install and commission this system. The Cable drum machinery equipment is critical equipment and supports the mission according to COMSCINST 4490.1A and SMS Procedure 10.6-2-All.

f. WI 514- Caliper Brake Overhaul: A technical representative from West Tech is required to properly overhaul the caliper brakes. West Tech owns tech manuals, design information, and proprietary drawings of the Cable Drum Drive system. The government does not possess the detailed design data necessary to install and commission this system. The Cable drum machinery equipment is critical equipment and supports the mission according to COMSCINST 4490.1A and SMS Procedure 10.6-2-All.

g. WI 602 - Rescue Boat Annual Inspection: A technical representative from Fassmer services is required to inspect the rescue boat. Fassmer owns the proprietary rights, technical manuals, and design information to the Rescue Boat and Lifeboats which require annual inspection per USCG and ABS. The government does not possess the detailed design data necessary or information to ensure this installation is completed accurately. The rescue boat is considered critical equipment and supports the mission according to COMSCINST 4490.1A and SMS Procedure 10.6-2-All.

h. WI 605- Lifeboat and Davits Installation: Marine Equipment Inc. services is required to commission and obtain USCG/ABS approval on the installation of the lifeboats. Marine Equipment Inc. is the vendor providing the new lifeboats and davit systems via a separate contract.

They are required to provide to MSC a fully commissioned system. The Lifeboats are considered critical equipment and support the mission according to COMSCINST 4490.1A and SMS Procedure 10.6-2-All.

i. WI 705 and 709- Antenna Mast Modifications and HIPAP 502-102 System Upgrade: A technical representative from Applanix is required to update system configuration at sea testing. A technical representative from IMTEC Group LTD is required to establish the roll and pitch plane of the ship, verify alignment of the IMU, and measure angular orientation and position of the

IMU. A technical representative from Kongsberg Maritime is required to interface between the existing Dynamic Positioning System and the New HIPAP units, along with verifying all ships offsets and overseeing the installation of the new HIPAP system. All three respective Tech Reps own tech manuals, design information, and proprietary drawings of the new antenna systems being installed and / or HIPAP system. The government does not possess the detailed design data necessary to install and commission the various systems. All different systems are affected by both of these work items and all three require the respective tech representative be sole-sourced.

The systems are all identified as critical equipment according to COMSINST 4490.1A and SMS Procedure 10.6-2-All.

j. WI 710- ADCP Removal and Install: A technical representative from Teledyne RD Instrument services is required to oversee the removal and installation of the ADCP system. Teledyne RD Instrument owns the proprietary rights, technical manuals, and design information to the ADCP system. The government does not possess the detailed design data necessary or information to ensure this installation is completed accurately. According to COMSCINST 4490.1A and SMS Procedure 10.6-2- All, the ADCP is identified at critical equipment.

k. WI 907- Cathodic Protection System Inspection: An Evoqua Water Technologies Field Service

Rep is required for maintenance and Inspection of the Cathodic Protection System. The system is vital to the lifecycle of the ship. An Evoqua Water Technologies Representative has the proprietary information and expertise required to open, inspect, maintain, and repair the Cathodic Protection System. According to COMSCINST 4490.1A and SMS Procedure 10.6-2- All, the Cathodic Protection System is identified as critical equipment.

l. WI 910- Prop. Shaft Removal and Inspection: A technical representative from American Bearing

Company is required to be present during installation and removal of the shaft bearing seal. The bearing seals must be installed within certain tolerances. American Bearing Company owns proprietary information, technical manuals, and drawing rights to the parts that are being renewed for the vessel’s shafts. The government does not possess the detailed design data necessary to successfully replace this bearing. A technical representative from Wartsila is also required for the removal and installation of the stern tube seal. Wartsila owns the proprietary information, technical manuals, and drawing rights to the seals. The seals work in conjunction with the shaft and the shaft bearing so both technical representatives are required for this WI. According to COMSCINST 4490.1A and SMS Procedure 10.6-2- All, the shafting system is identified as critical equipment.

6. Description of Efforts Made To Solicit Offers from as Many Offerors as Practicable: The Government intends to post a Request for Proposal (RFP) at the Government Point of Entry, FedBizOpps website, with the intent of awarding a firm-fixed-price contract to the lowest price offeror. Any prospective contractor will be required to use the OEM or OEM-authorized vendor as a subcontractor to perform the work in the related WIs. The Government is not procuring these parts or services directly.

7. Determination of Fair and Reasonable Cost: The Contracting Officer will determine the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.

8. Actions to Removed Barriers to Future Competition: For reasons set forth in Paragraph 5, MSC has no plans at this time to compete future contracts for the types of services covered by this document. If another potential source emerges, MSC will assess whether competition for future requirements is feasible.
