SECTION A - SOLICITATION/CONTRACT FORM

The required response date/time has changed from 21-Dec-2020 01:00 PM to 30-Dec-2020 01:00 PM.

SUMMARY OF CHANGES

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS TO OFFERORS

SECTION L

INSTRUCTIONS TO OFFERORS

1.0 GENERAL

(a) Offerors shall submit their proposals in accordance with the following preparation instructions. The Government will consider any failure on the part of an offeror to comply with these instructions to be an indication of the quality of performance it can expect during contract performance. Therefore, the Government encourages offerors to contact the contracting officer (KO), and contracting specialist in writing in order to request an explanation of any aspect of these instructions.

(b) A proposal should not simply rephrase or restate the Government’s requirements but rather provide convincing rationale to address how the offeror meets these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror’s proposal.

(c) If an offeror believes that the requirements in these instructions contain an error, omission or are otherwise unsound, the offeror shall immediately notify the KO in writing with supporting rationale as we ll as the remedies the offeror is asking the KO to consider as related to the omission or error.

(d) The Offeror shall submit all information required by this RFP. Proposals that do not comply may be considered nonresponsive and may render the Offeror ineligible for award. The Offeror’s proposal shall be based on the requirements contained in this RFP (including those documents, exhibits, and other attachments to the RFP identified in Section J).

(e) The Government intends to evaluate proposals and award a contract upon initial proposals.

Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a cost or price and technical standpoint in relation to the evaluation criteria found in Section M. However, in accordance with the clause FAR 52.215-1, Instructions to Offerors - Competitive Acquisition, the Government may contact all or a limited number of Offerors with questions concerning their responses.

(f) Offerors are hereby notified that a competitive range of the most highly rated Offerors may be established for the purpose of efficiency. The Government may also limit the breadth of the cost realism analyses to those Offeror proposals that represent the most likely candidates for award based on information derived from the technical evaluation and relative cost comparison. If an Offeror has a lower technical rating than competing Offerors and a higher proposed cost, the Government may elect not to perform a cost realism analysis on said Offeror's proposed cost as the cost realism analysis will only result in upward adjustments to the proposed cost thereby removing the Offeror's proposal from the most likely candidates for award.

(g) Relationship between Instruction and Evaluation: Your attention is directed to the functional relationship between Sections L and M of this solicitation. Section L provides information for the purpose of organizing the proposal and establishing submission instruction and is not intended to be all inclusive. Section M describes the evaluation process and factors/sub factors for award. Since the Government evaluation of proposals will cover areas identified in Section M, proposal should address all such areas of evaluation.

(h) The solicitation is available only through the internet at https://beta.sam.gov. Offerors are hereby notified that the Government may post additional information relating to this solicitation, such as responses to questions and amendments, to https://beta.sam.gov. It is the Offeror’s responsibility to check the website for any such information.

(i) THIS SOLICITATION IS ONLY OPEN TO U.S. PRIME CONTRACTORS.

OPERATIONS SECURITY (OPSEC): Performance under this contract requires the Offeror to adhere to OPSEC requirements. Explanation of these requirements is detailed in the Operations Security Guide for Defense Contractors, available online at:

http://www.navsea.navy.mil/Home/WarfareCenters/NUWCKeyport/Resources.aspx ; click on the OPSEC Guide for Defense Contractors on the right-hand side.

(j) PROPOSED EXCEPTIONS TO RFP: Any exceptions or deviations to the Government specifications included in this solicitation must be clearly identified in the mandatory cover letter and identified in the respective section of your proposal. If deviations are proposed, the offeror shall provide an explanation of how the proposed item/service meets the requirements of the specifications. Failure to notify the Government of all deviations and provide details of the alternate requested in the document, prior to award may be grounds for contract termination.

(k) Drawings referenced in this solicitation are restricted by the Arms Export Control Act and are only available to Offeror’s appointed Data Custodian that is registered with Defense Logistics Information Service (DLIS) Joint Certification Program (JCP). The Offeror’s Data Custodian’s that are not registered with DLIS JCP can obtain registration information at www.dlis.dla.mil/jcp/ or by phone at 888-352-9333. See Section K, provision K-227-W001.

Drawings for this solicitation have been posted to the beta SAM website: https://beta.sam.gov .

Offerors who have registered with beta SAM and have registered in DLIS JCP can access this data under solicitation number N0025320R0005.

(l) ALL INQUIRIES shall be made via email and directed to Contracting Officer Erin Malinski (Erin.Malinski@navy.mil) and contract specialist Cesar Sanchez-Amaro (cesar.sanchez-amaro@navy.mil). To ensure the Government is able to adequately address and respond to offeror requestion for clarification (RFCs) via amendment if applicable it is requested that question be submitted no later than 10 calendar days prior to the closing of the solicitation.

Further more the government reserves the right to not answer any questions received after 4:00 PM Pacific Time (PT) on that date. Furthermore, offerors should note that the proposal due date will not be extended solely on the basis of questions received. RFCs shall reference the solicitation and specification page and paragraph number.

2.5 VOLUME III – SMALL BUSINESS PARTICIPATION

FACTOR 4: SMALL BUSINESS PARTICIPATION

NOTE: All Offerors, including Small Businesses, will be evaluated on this Factor.

All Offerors shall complete Section J, Attachment 7, Contractor’s Small Business Participation Commitment Document (SBPCD). The Government will use the submitted SBPCD to evaluate the contractor’s commitment to small business participation for this factor. This evaluation is separate from the FAR requirement for the review and acceptance of an Offeror’s Small Business Subcontracting Plan.

The Offeror shall provide a narrative that is sufficiently complete as to clearly describe the Offeror’s understanding of the Small Business objectives, and its planned approach to meet its stated goals, including specific identification of small businesses proposed; type of commitment (e.g. joint venture, teaming arrangement, subcontractor, etc.); complexity and variety of the work small firms are to perform; and participation of such firms in terms of the total acquisition expressed both in dollars and percentage.

The small business participation percentage shall be calculated in terms of total contract value:

Participation percentage = Total Small Business Subcontract Dollars

Total Contract Value

The Government’s Small Business Participation objective for this contract is: 10%. The offeror is encouraged to propose a Small Business Participation objective percentage as high as is practicable, as long as the percentage is supported by the related Small Business participation approach. The Offeror’s proposed Small Business Participation percentage for this contract shall be incorporated into the contract upon award.

2.6 VOLUME IV – COST/PRICE

FACTOR 5: COST/PRICE

The Offeror shall submit a complete Cost/Price proposal that provides sufficiently detailed information to allow the Contracting Officer to determine the realism and reasonableness of the proposed costs and addresses all information required by Factor 5 Cost/Price. NO cost or pricing information shall appear in the Volume I or Volume II submissions.

Offerors must propose to provide all items and include costs for all yellow highlighted fields in Section B. For award purposes, should there be any discrepancies between the pricing submitted in Section B and the ELIN Table worksheet of Section J Attachment 9 Cost Summary Workbook, the Offeror’s Section B pricing will take precedence. This will become Exhibit A upon award of the contract.

Dollar ceilings, inclusive of fee, are provided by the Government for all production CLINs except First Articles. Ordering quantities will be determined based upon unit prices proposed in ELIN tables. Dollar ceilings are prepopulated in Section B and shown below in Table L-2 below.

Table L-2: Production CLIN Dollar Ceilings

ELIN

SUBCLIN

Description Dollar Ceiling (inclusive of fee)

AC-AN MK2 Production Units $36,000,000

In the event the Offeror fails to provide the requisite cost data, the Offeror’s proposal may not be considered for award. If the cost data is presented, but the costs do not agree with the amounts stated in the Section B (except for minor “rounding” differences), the Offeror shall explain the differences between the supporting cost data and the proposal. If differences are not explained adequately, the Government may determine the Offeror to be ineligible for award. For purposes of award, the Government will rely on the pricing information submitted in Section B of the proposal.

UNLESS OTHERWISE STATED, THE REQUIREMENTS OF THIS SECTION APPLY

EQUALLY TO THE OFFEROR AND ALL PROPOSED MAJOR SUBCONTRACTORS,

REGARDLESS OF SUBCONTRACT TYPE. NOTE: For the purposes of this solicitation/contract, major subcontractors are defined as those which have a total proposed value (not including any applied Prime burden) equal to or greater than $2 million dollars per year.

Major subcontractors’ proposals that do not include all of the required information will be considered unacceptable. It is the responsibility of the Prime Contractor to ensure that MAJOR SUBCONTRACTORS provide information at this same level of detail regardless of the subcontract pricing arrangement.

The required content of this volume is identified below. The volume shall be organized in the same order as the appropriate subparagraphs are discussed, with information specific to the SOW references clearly identified. The Cost Volume shall contain the following tabbed sections:

Tab 1 Cost Summary Workbook including ELIN tables (Section J Attachment 9) Tab 2 Cost/Price Narrative and Supporting Cost Data (Section J Attachment 9) Tab 3 Additional Required Information

TAB 1: COST SUMMARY WORKBOOK

(a) General. The Offeror shall provide its cost proposal for all supplies and services outlined in the SOW using Section J Attachment 9 Cost Summary Workbook. The workbook contains three

(3) worksheets:

i. ELIN Tables

ii. Engineering Services

iii. ODCs

Instructions to Offerors are provided within each worksheet and carry the same effect as if stated herein.

The Offeror shall not delete any Government-established lines, columns, text, formulas, or data in the worksheets. The Offeror may add rows to the worksheets as necessary to identify relevant costs.

The Offeror shall provide all mathematical computations in sufficient detail for the Government to evaluate and recreate the process during evaluation. Spreadsheets shall include all calculations in the cells (i.e. show all formulas). DO NOT hard enter data where formulas were used to calculate the entered value. Evaluators must be able to determine how all direct and indirect rates are calculated and applied.

The Offeror shall round hourly rate dollar values to two places to the right of the decimal point, and extended dollar values shall be rounded to the nearest whole dollar. Facilities capital cost of money (FCCOM) factor (rate) may be up to four places to the right of the decimal point. Hours shall be rounded to the nearest whole number.

The spreadsheets (landscape) shall be formatted for printing such that all data is in a type size no smaller than Times New Roman or Courier New Font 10 point and row and column headings appear on each printed page.

(b) Cost/Price Worksheets:

Production CLINs. Offerors shall fill in the worksheet labelled ELIN Tables:

i. ELIN Tables. Offerors shall fill in a total unit cost (including labor, materials, and fee/profit) stepladder pricing for each of the items in the table.

ii. ELIN Items. Offerors shall submit one table showing the cost breakout for each of the costed items under the ELIN Table worksheet (Offerors shall provide a worksheet in their own format to submit separately from Attachment 9).

Supporting data for material may be provided separately. Labor may not be applicable to all items.

CPFF Level of Effort (LOE) CLINs. Offerors shall fill in the worksheet labelled Engineering Services:

iii. Engineering Services. The labor hours proposed for the Prime and Subcontractor(s) shall sum to the total pre-populated hours provided, which match those in Section B. The hourly composite rate is calculated by dividing the total burdened labor cost (including fee) by the total labor hours. Composite rates will be utilized for ORDERING purposes only, NOT payment purposes.

Offerors shall crosswalk each proposed labor category to a Service Contract Labor Act (SCLA) or Bureau of Labor Statistics (BLS) Labor category, as appropriate.

Additionally, Offerors shall crosswalk each proposed labor category to the higher level labor categories provided in the table at the top of the worksheet.

iv. Other Direct Costs. Proposed unburdened ODCs shall sum to the pre-populated total amount provided for each CLIN in the ODC worksheet. Estimates provided do not account for any burdens such as material handling or G&A. Offerors shall burden ODC costs with all applicable burdens in accordance with their disclosure statements. ODCs are cost only and not subject to fee.

The Offeror's proposed ODCs must be included in Section B against each appropriate

ODC CLIN.

TAB 2: COST/PRICE NARRATIVE AND SUPPORTING COST DATA

The Offeror shall provide a narrative that addresses all elements of cost applicable to the proposed effort to support the costs/prices proposed in Section J Attachment 9 (Tab I). The Offeror shall provide a description in sufficient detail to demonstrate price reasonableness, credibility, and reliability for each cost element. The Offeror shall provide its assumptions and methodologies used to estimate each cost element. If an element does not apply, the Offeror must indicate so within its proposal.

The Offeror shall also provide objective quality evidence (OQE) to support all costs proposed in the Section J Attachment 9 Cost Summary Workbook. Examples of OQE include material quotes, subcontractor quotes, forward pricing rate agreement, forward pricing rate recommendation, forward pricing rate proposal and its current status, provisional billing rates, and payroll data. Each cost element shall be titled for easy identification and shall track to the bases of estimates provided in the Cost Narrative (Tab 2). This information will be used to establish the realism and reasonableness of proposed costs. Omitted data may result in Government assumptions regarding the omitted data.

Tab 2 shall include information on the following:

(a) Direct Labor Rates. Provide a basis of estimate for each labor rate and how it is calculated.

The Cost Proposal shall reflect actual labor rates expected to be expended in performing the proposed Task Order; e.g., actual hourly rates for named personnel if such rates will be the basis for billing under the resultant contract.

(b) Indirect Rates. Offerors shall explain how all proposed indirect rates (including for ODCs) were computed and applied, including cost breakdowns, trends and budgetary data. Provide the previous three-year history of estimated provisional rates and actual rates incurred for each proposed indirect rate. Offerors shall identify the Government contracts contributing to the pools and expiration dates for those contracts. For 2020 through 2026, Offerors shall provide the supporting information and identify the basis of ALL proposed rates for indirect costs (e.g., Forward Pricing Rate Agreement and date of agreement, bidding rates and the date of submission; or, actual rates used and the effective date, billing rates, and the date of approval, etc.). This history shall include the Offeror's most recently completed fiscal year even if the rates are considered preliminary and have not been submitted to DCAA for audit. Note whether the actual rates have been audited by DCAA or any other independent organization. Specifically state which indirect rates have been finalized by DCAA/DCMA. Offerors shall note any rates that are subject to a Forward Pricing Rate Agreement/Forward Pricing Rate Recommendation.

FCCOM will be an allowable cost only if proposed; see FAR 15.408(h) and 15.408(i). Offerors may propose to cap indirect rates, however, the proposal will not be evaluated using capped rates unless ALL proposed indirect rates are capped.

(c) Escalation. The Offeror shall identify its escalation rate(s) for all periods of performance beyond the first, and provide the methodology and sufficient justification for the proposed escalation. Offerors that do not propose, at a minimum, an escalation factor of 2.0% per contract year will have their proposals adjusted by the Government to include a 2.0% escalation factor.

Offerors may propose to cap their escalation rates at a rate lower than 2.0% for all contract years, but sufficient justification must be provided. If the Offeror proposes to cap their escalation rate(s), the Offeror shall include a contractually binding clause to do so with their proposal noting they will not pursue reimbursement for these otherwise allowable costs. The clause shall include a proactive method of rate management.

(d) Overtime. The Offeror shall describe how the overtime premium is calculated and treated as a cost.

(e) Company Policy on Uncompensated Effort. For the prime and each subcontractor, briefly summarize company policies on uncompensated time and state what, if any, impact the policies may have on the efforts described in the Statement of Work. In accordance with FAR 52.237-10 “Identification of Uncompensated Overtime”, if uncompensated time is included in the Proposal or any of the supporting cost data, the uncompensated time should be clearly identified with an explanation as to why it is needed.

(f) Taxes. The Offeror shall identify any proposed applicable Federal, state, and local taxes. For cost proposal purposes, an Offeror may choose to include taxes as a separate cost item or as an indirect cost, at its discretion.

(g) Subcontractor Costs. In accordance with FAR 15.404-3(b), the prime contractor shall conduct appropriate cost or price analysis to establish the reasonableness of proposed subcontractor prices. The Prime shall address how cost reasonableness was determined for each proposed subcontractor. Offerors may arrange for Subcontractor cost and pricing information to be submitted directly to the Government as an individually wrapped submittal and indicated as an attachment to the prime’s submittal.

(h) Fixed Fee. The Offerors shall provide the basis for the fixed fee percentage for all Cost Plus Fixed Fee (CPFF) CLINs in the Cost Summary Workbook (Attachment 9). Fee percentages are contractually binding. In accordance with 10 U.S.C. 2306(d), fee shall not exceed 10 percent of the contract’s estimated cost, excluding fee.

(i) Material. The Offeror shall describe the basis of estimate to support the proposed prices for material in the Cost Summary Workbook (Attachment 9).

(j) DCAA Audit: Offerors shall submit their last DCAA audit for themselves and all subcontractor/teaming members if the DCAA audit was conducted within the last twelve (12) months. If a DCAA audit was not conducted within the last twelve (12) months, Offerors shall state “No DCAA audit within the last twelve (12) months”.

(k) Forward Pricing Rate Agreement (FPRA): If the Offeror has an approved FPRA with DCAA, a copy shall be furnished with the cost proposal.
