CMN-4 (legacy) to BU2_BC0/1/2 CMN-4 to TTNT CMN_4 (legacy) to IB 8.1 BU2_BC0 to IB 8.1

3.0 AUTHORITY

This is an Indefinite-Delivery, Indefinite-Quantity (IDIQ) Multiple Award Contract (MAC) with two (2) or more awardees anticipated. Ordering for any other agency is prohibited. Supplies or services to be furnished under this contract shall be furnished by the issuance of delivery orders on DD Form 1155.

Orders shall be placed by the Ordering Officer Ms. Lindsay Nickel the Contracting Officer or his/her representative.

4.0 ORDERING INSTRUCTIONS

The order procedures below are provided for informational purposes only. The actual procedures (including response times) may vary according to individual order circumstances.

(a) Competitive Ordering Procedures

It is anticipated that each competitive order will be placed in accordance with the following procedures:

(1) Requirements Documentation. Upon identification of a requirement, the cognizant Program Office will develop a draft Statement of Work (SOW) and other requirements documents (e.g., Contract Data Requirements List (CDRL)) consistent with the technical requirements of this contract and the specific effort. Production, level-of-effort (term) and/or completion type orders may be issued under this contract. Each order will include the order type deemed appropriate by the Government on each Contract Line Item Description (CLIN).

(2) For both production orders and competitive SE&I orders, the source selection procedures will be based on a best value process, whether allowing for a tradeoff process (see FAR 15.101-1) or a low price/cost, or lowest price technically acceptable process (see FAR 15.101-2); however, in accordance with FAR 16.505(b)(1)(ii), FAR 15.3 will not apply.

(3) The PCO may request technical proposals and/or price proposals from each awardee and may utilize a variety of selection procedures, including but not limited to consideration of technical and price, or price only, wherein the relative order of importance will vary depending on the particular delivery order, and award percentages may range from 0%-100% to each contractor. In determining the award percentage to each contractor, the PCO may also consider the acquisition strategy of maintaining more than one production source for MIDS requirements throughout the life of the program and any advantage in terms of one contract over the other. Each RFP will provide instructions to the MAC contractors as to the specific procedures for responding to the RFP and describe what information shall be presented to the Government in order to be considered for award of the order. Evaluation Factors may include but are not limited to:

(i) information received from the contractor(s) in response to the PCOs’ request for cost/technical proposals, if requested;

(ii) past performance under this contract and previous relevant contracts.

(iii) the price and extent of technical data rights, computer software rights, and computer software documentation rights in the Technical Data Package;

(iv) warranty prices;

(v) delivery rate(s).

The Government reserves the right to clarify certain aspects of one or more of the proposals, without contacting all offerors, unless such communication is used to materially alter the technical or cost elements and/or otherwise revise the proposal.

(4) Evaluation and Award. The Government will evaluate proposals and make award based on the evaluation criteria set forth in the RFP. Once an offeror’s proposal has been selected for award, a DD Form 1155 will be executed by the Contracting Officer and sent to the contractor via e-mail as notice to begin work. The contractor is cautioned that no work is to be started prior to receipt of a properly signed and executed DD Form 1155, Order for Supplies/Services, or other authorization by the Contracting Officer. Within a reasonable amount of time (usually within 1 business day) after order award, the name of the awardee and the total value of the order will be provided to all MAC contractors.

(5) The PCO may elect not to compete the award of any particular order exceeding $3,500 if one or more of the following conditions exist in accordance with FAR 16.505(b)(2)(i):

(i) The agency need for such supplies or services is so urgent that providing the opportunity would result in unacceptable delays.

(ii) Only one contractor is capable of providing such supplies or services at the level of quality required because the supplies or services are unique or highly specialized.

(iii) The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.

(iv) It is necessary to place an order to satisfy a minimum guarantee.

(v) For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.

(vi) In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply.

(b) Non-Competitive Ordering Procedures

It is anticipated that each order awarded to a MAC contractor when a Contracting Officer-approved exception at FAR 16.505(b)(2)(i)(A) through (F) applies, or when making a Contracting Officer-approved award to a small business as outlined above, will be placed in accordance with the following procedures:

(1) Requirements Documentation. Upon identification of a requirement, the Program Office will develop a draft SOW and other requirements documents (e.g., CDRL) consistent with the technical requirements of the effort. Production, level of effort (term) and/or completion type orders may be issued under this contract. The PWS/SOW will include the order type deemed appropriate by the Government on each CLIN.

After both parties have reached agreement regarding the technical requirements of the order, the contractor and the Contracting Officer’s Representative (COR) will conduct fact finding to reach a mutual understanding of the order requirements. This may also involve the PCO and other program office team members.

More specific instructions will be provided in the individual delivery order RFPs.

(2) Cost Evaluation and Award. Once the Contracting Officer and contractor have reached a negotiated agreement on the final delivery order cost/price, a DD Form 1155 will be executed bilaterally between the contractor and the Contracting Officer, which will serve as notice to begin work. In the event the contractor and Contracting Officer cannot reach a final negotiated agreement, the Contracting Officer reserves the right to award the delivery order unilaterally. The contractor is cautioned that no work is to be started prior to receipt of a properly signed and executed DD Form 1155, Order for Supplies/Services, or other authorization by the Contracting Officer.

(c) Content. All orders will include the following elements:

(i) Effective date of order

(ii) Contract and order numbers

(iii) Type of order (i.e., completion or level-of-effort-term)

(iv) Estimated hours

(v) Estimated cost, fee or price

(vi) Scope

(vii) Inspection and Acceptance Terms

(viii) Delivery and/or period of performance (PoP) dates

(ix) Place of delivery or performance

(x) Accounting and appropriation data

(xi) Other information as appropriate (e.g., COR Designation, Government Furnished Property, material, or facilities to be made available for performance of the order; safety requirements; security requirements set forth on DD Form 254; data requirements set forth on DD Form 1423).

(xii) Each order under a cost-reimbursement contract is deemed to include the clause at FAR 52.232- 20 “Limitation of Cost” or 52.232-22 “Limitation of Funds,” whichever is applicable.

(d) Contractor Notification

The contractor is responsible for immediately notifying the Contracting Officer of any difficulties in performing in accordance with the terms of the order.

(e) Competition Advocate

For this contract, the designated order ombudsman is the Navy Competition Advocate General (DASN (AP) as per NMCARS 5206.501). The ombudsman is responsible for reviewing complaints from multiple award contractors and ensuring that all of the contractors are afforded a fair opportunity to be considered for orders in excess of $3,000, consistent with procedures in the contract. However, it is not within the designated ombudsman’s authority to prevent the issuance of an order or to disturb an existing order.

Contractors are encouraged to settle their complaints through the Competition Advocate chain of command, seeking review by the Competition Advocate at NAVWAR Code 2.0 before taking complaints to the Navy Competition Advocate General.

5.0 CONTRACT ADMINISTRATION

Contractor Performance Assessment Report System (CPARS) will be done at the basic contract level and will not be done for individual MIDS JTRS Contract delivery orders awarded, regardless of value.

Consequently, the PCO/Specialist will register the contract in CPARS system upon award. The COR will serve as the Assessing Official.

The Contractor’s Subcontracting Plan for small business, HUBZone small business, small disadvantaged business, women-owned small business, veteran-owned small business, and service-disabled veteran-owned small business concerns will be attached to the contract award. Subcontracting Reporting will be done at the basic contract level and will not be done for individual MIDS JTRS Contract delivery orders awarded, regardless of value.

6.0 INVOICE INSTRUCTIONS

Note: This information may be contained in DFARS 252.232-7006 and any supplemental Wide Area WorkFlow Payment Instructions identified.

7.0 CLOSEOUT PROCESS

For cost reimbursement pricing, delivery orders will be closed out on an individual basis, upon agreement of final indirect rates for the period of performance of the applicable delivery order. The contractor shall forward the final voucher directly to the cognizant DCAA for final audit. DCAA will forward the voucher and the final audit to the cognizant ACO (see block 6 of the basic contract), who will process it for final payment and submit it to the paying office.
