About this file

This document contains questions and answers related to a solicitation for Mid-Atlantic Aircraft Carrier Nuclear (CVN) Private Sector Maintenance, Repair and Modernization Efforts. The Naval Sea Systems Command is seeking these services to support emergent work, continuous maintenance availabilities, pre-refueling complex overhaul availabilities, Ships Terminal Offload Program availabilities, and Chief of Naval Operations scheduled availabilities for CVN 68 and CVN 78 Class Aircraft Carriers home-ported in and visiting the Hampton Roads, VA area. Questions addressed include the definition and scope of Other Direct Costs to be priced, how to estimate costs without availability or work item types being identified, whether the government will provide man hours and materials by notional work item, how it will be determined if a delivery order is CPFF or CPAF, and fee structures for delivery orders.

Question: Response:

91 RFP; L-3 RFP Pg 112; ODC Tab ODCs are listed separately from material in G-232-H005 Pg 112 of 197 in the RFP.

The "ODC" tab in Exhibit L-3 lists Material and Travel, with the title of the tab being

ODC. What is the expected scope or definition of ODC to be priced? Is it expected that ODC be part of the prescribed dollar values listed in the ODC tab?

The Government expects Offeror’s to bid to the Not To Exceed (NTE) values provided in the ODCs tab. For this effort, ODCs are Material and Travel.

See the Government response to Questions 12, 36, 75, 77, 78 and 88.

92 J-1 NWP CVN Notional Work Items The type of availability and type of work item have significant influence on costs. How does the offeror estimate this without the type of availability or type of work item in the availability being identified (PIA/DPIA/CIA/Emergent/etc)?

The Government has provided hours by CLIN per CVN. CLINs are structured by the type of work (PIA/DPIA/CIA/STOP/etc).

See the Government response to Questions 6, 7 and 44

93 J-1 NWP CVN Notional Work Items Will the government be providing man hours and materials by notional work item? No. The Government has provided hours by CLIN per CVN as documented in

Attachment L-3. NTE material and travel values have been provided for

Offeror’s to bid to.

See the Government response to Question 6.

94 J-1 NWP Example Pages 90 & 91 The NWP has "DRYDOCK REQUIRED" on portions of work items. Is the NWP considered the DPIA work package and the PIA work package would exclude the portions labeled "DRYDOCK REQUIRED"? Likewise, which notional work items should the offeror include in the CIA, Repair & Alts and Emergent Repairs & Alts

CLINS associated with the manhours provided and for calculating the material estimates?

See Government response to Questions 92, 93 and 100.

Instructions for Cost

Proposal (Vol IV) Prep;

Paragraph A(2)

Instructions to Offerors, RFP Section L, 3.5.6 Para A(2) States that inconsistencies from

DCAA recommendations should be explained in the cost volume. Will the DCAA recommended rates be provided to prospective offerors? If not, how are we to determine if an actual or apparent inconsistency exists?

No. NAVSEA will not be providing copies of DCAA FPRR to prospective

Offerors. Please see the Government response to Question 9 for additional information.

For FPRAs, the Government expects that the Offeror’s provide the latest FPRA and that Offeror’s are utilizing the latest FPRA for proposal development.

For FPRR, Offerors may provide justification to support any rate discrepancies with DCAA (if known).

96 RFP Section B -- Supplies or

Services and Prices

How will it be determined if a delivery order is to be CPFF or CPAF? See the Government response to Question 1.

97 RFP Section B -- Supplies or

Services and Prices

When Delivery Orders are CPFF, will the maximum fee be 10%? See the Government response to Question 38.

98 RFP Section B; Page 18; B-232-

H003 Payments of Fee(s);

B-232-H003 para (b) contains an insert limiting fee to 6%. J-6 Page 1 states that the

Award Fee Potential is 2% and J-6 Page 9 states that the SBSIF is also 2%. Does this mean that the total potential fee is 10% on a CPAF Order?

See the Government response to Question 38.

99 J-6 Page 9 of 10; Table 5-

SBSIF Goal; & Para (c)(i)

Table 5-SBSIF establishes goals for subcontracting by socio-economic category. Para

(c)(i) states that the incentive fee under this clause will be earned or not earned on an individual order basis. If goals are not measured against cumulative execution for the whole contract, how will the 2% SBSIF be addressed in instances where limited or no subcontract opportunities exist on a particular delivery order? How will this align with the good faith provisions described in FAR 19.705-7(b)?

It is not expected that every Delivery Order will present opportunities for

SBSIF. See the Government response to Questions 4, 37 and 41.

100 L-3 Labor Hour Phasing Tab Exhibit L-3 "Labor Hour Phasing" tab lists labor hours, material dollars and travel dollars to propose at the total CLIN/availability level. Is it the intent for the offeror to individually estimate each NWP work item labor hours and material dollars to match the totals by CLIN in L-3?

See the Government response to Questions 6, 7, 25, 26, 36, 75 and 88.

Please bid to the values provided by the Government in the L-3 at the

CLIN/Availability level for the resultant IDIQ contract. The hours, material and travel are not to be bid at the NWP level.

101 RFP Sect G Section G Request that FAR Clause 52.236-16 be deleted from the solicitation/contract; past experience for this type contract has been that Contractor bills incurred costs, subject to

Limitation of Funds, every two weeks in accordance with FAR Clause 52.216-7. Fee billing subject to other clauses in the contract. Please confirm that FAR Clause 52.236-

16 is to be deleted.

FAR Clause 52.216-7 states "The Government will make payments to the Contractor when requested as work progresses, but (except for small business concerns) not more often than once every 2 weeks, in amounts determined to be allowable by the

Contracting Officer in accordance with Federal Acquisition Regulation (FAR) subpart

31.2 in effect on the date of this contract and the terms of this contract."

52.236-16 is not listed in this solicitation, so deletion of the requested clause is not relevant to this contract.

102 RFP L-B.5.a RFP Section L, Paragraph B.5.a contains a statement, "The proposed rates will become

Attachment J-8 in the contract award document, to be applied for the negotiation of each individual Delivery Order issued by the respective ACO." Is this statement intended to impose direct and indirect rate caps? The current language is unclear as to what the intent is as it relates to this cost type contract. Please clarify.

No. The Government does not intend to impose direct or indirect rate caps.

Please see the Government’s response to Questions 9, 16 and 53.

103 RFP L-B.5.a RFP Section L, Paragraph B.5.a contains a statement, "The proposed rates will become

Attachment J-8 in the contract award document, to be applied for the negotiation of each individual Delivery Order issued by the respective ACO." Does this statement mean proposed direct and indirect rates are firm for the duration of the contract period, even though the direct rates and indirect rates are being proposed in accordance with specific Government instructions for escalation stated in the RFP?

Yes, the vendor’s proposed L-3 must cover ALL 7 years of ALL direct/indirect rates of the IDIQ. The IDIQ contract MUST be setup with ALL direct/indirect rates established. Vendors must keep the 3 aspects of this process separate:

1) The establishment of the IDIQ (with rates in J-8 pre-established IAW vendor’s proposed L-3);

2) The establishment of the DO and;

3) The invoicing of actual cost incurred for each DO.

The IDIQ is NOT a firm fixed price contract. It is a cost contract that allows for maximum selection of cost types to be chosen at the ACO level during time of

DO establishment. The ACO may choose CPFF/CPAF and any incentive variations thereof as indicated in J-6 as long as they conform to the IDIQ terms and conditions, which include utilizing the rates established in the J-8.

Vendors are reimbursed on actual costs incurred for cost type contracts.

See the Government responses to Questions 9, 13, 14, 15, 16, 43, 53 and 90.

In the L-3 the Government escalation has only been applied to direct labor rates.

104 RFP L-B.5.a RFP Section L, Paragraph B.5.a contains a statement, "The proposed rates will become

Attachment J-8 in the contract award document, to be applied for the negotiation of each individual Delivery Order issued by the respective ACO." If there is an

FPRA/FPRR in place at the time a Delivery Order is being negotiated, shouldn't they take precedence over proposal rates included in Attachment J-8 that are in accordance with specific Government instructions for escalation stated in the RFP? Please clarify.

See the Government’s response to Question 103. This question about actuals pertain to the third aspect of this process, which this IDIQ is not covering. Any issues during invoice/reimbursement phase should be discussed between the

ACO/vendor. The Government highly recommends DO issues to be addressed prior to establishment of the DO, and if possible resolved/coordinated with the

ACO.
