Question: Response:

1 RFP Section B Section B CLIN structure on page 2 lists the Contract type in the third column for several of the CLINs as "CPFF/AF" indicating a Cost Plus Fixed Fee with award fee.

The CLIN breakdowns on pages 3 through 16 of Section B for the corresponding CPFF/AF CLINs states "CPFF or CPAF." Are these CLINs one or the other CPFF OR CPAF? or are they a combination of CPFF/CPAF? Please clarify.

As indicated on Page 2 of the RFP, at the bottom of the table: "* Ordering officers may place orders under CLINs 0001, 0002, 0003, 0005, 0006, 0007, 0008, 0009, 0010, 0011, 0012, 0014, 0015, 0016, 0017, 0018, 0019, 0020, 0021, 0022, 0023 and 0024; as either CPFF or CPAF ordering structure".

The intent is for the ACO at the ordering site to determine how they would like to issue each respective order. ACO can issue either CPFF or CPAF Delivery Orders (DOs). This allows the ACO maximum flexibility to utilize a contract structure that best supports the requirements to be issued at the DO level.

2 RFP Section B Section B, Note A, "Level of Effort to Completion - Ship Repair" appears to be a note typically used on fixed price contracts. Please clarify the intent of this note. If applicable to this contract, please explain how this would apply in a Cost Reimbursable contract. Fixed Price contracts include a fixed price per labor hour of direct production work only which is not applicable to a Cost Reimbursable contract. Please explain how this will work.

The intent of the Note A is to negotiate upfront an Estimated Cost and Fixed Fee for a set of hours at the DO level. If during performance the contractor overruns, the fixed fee would not be adjusted, but the additional allowable cost would be paid. If the contractor experiences an underrun for the cost of the growth item, the contractor will receive the total negotiated fixed fee (thereby increasing their fee percentage), and the contractor is only reimbursed for the actual cost plus the fee established when the item was negotiated.

3 RFP Section B Section B, Note B - Special Agreement for Growth with a Value of $25,000 or Less" appears to be a note applicable to a fixed price contract. Please clarify the intent of this note on this CPFF/AF contract. If applied, would there be a settlement at the end of a DO so the end value of these SDVG changes are fully Cost Reimbursable?

The intent of Note B is to negotiate upfront a quantity of occurrences/$ per occurrence on a CPFF basis at the DO level. Like LOE2C above, the fixed fee is calculated based on that Note B. At the completion of the DO, a settlement will be conducted to finalize the actual cost to complete the performance of SDVG negotiated items plus the fee. Any items outside of the negotiated number of occurrences and dollar value shall be settled within the Contract/DO terms and conditions.

4 RFP Section C

Attachment J-6

Section C, "Statement of Work" paragraph 2 states, "The Contractor shall comply with the forty percent (40%) small business-subcontracting requirement IAW the "Small Business Subcontracting Requirement" clause in Section I." Other than Section I, Clauses 52.219-9 and 252-219-7003 which describe requirements for the Small Business Subcontracting plan and associated goals, there doesn't appear to be anything that provides clarification of the 40% requirement. Please provide further clarification on this 40% threshold.

The Government has updated Section C, Paragraph 2 in Amendment 1 to state the mandatory Small Business Goal requirement of 30%. Attachment J- 6_Determination of Award Fee (AF) and Small Business Set-Aside Incentive Fee (SBSIF) which defines the 40% goal. In order to be eligible for the 2% SBSIF, the Contractor must meet or exceed the 40% goal. Additionally, see other related SB questions within this Q&A document.

5 RFP Section C Please confirm Clauses C-211-H002 "Dry-Dock Certification (NAVSEA) (OCT 2018)" and C-211-H003 "Dry-Docking Facilities and Shipbuilding Ways Certification (NAVSEA) (OCT 2018) are not applicable to this contract.

Both C-211-H002 and C-211-H003 are not applicable to this contract and will be removed in Amendment 1.

6 RFP Attachment J-1 Attachment J-1 provides 46 Notional work items. Section L, "Instructions for Technical Proposal Preparation" paragraph 3.5.1 states, "The Offeror shall also utilize the NWPs for CIA, PIA, DPIA and STOP Work Items and the availability schedule in Attachment J-1/J-5 for repair and modernization labor hour estimate projections in responding to the Technical Proposal requirement." For the 46 Notional Work Items in Attachment J-1, is there a key that can be provided to determine which estimates by work item apply to which type of availability listed in Attachment L-3 (Labor Hour Phasing tab)?

In Attachment L-3 the Government has provided the number of labor hours to bid to by CLIN and CVN, Amendment 1 provides the breakdown by

CLIN/CVN.

The burden rests on the offerors to review the number of hours by CLIN/CVN prescribed in the L-3 Hours Phasing tab and allocate what they believe to be technically acceptable to accomplish the respective work items listed in the J-1 Notional Work Package (NWP); within the constraints of the hours listed in the L-3.

7 RFP Attachment J-1 For the 46 Notional Work Items in Attachment J-1, is there a breakdown of the Government estimate of manhours and material by Work Item that corresponds to the Estimate breakdown by CLIN type provided by Attachment L-3 (Labor Hour Phasing tab)?

No. Attachment L-3 provides Labor Hours Phasing breakdown by the CVN per CLIN/ Availability. The burden rests on the offerors to bid the respective hours as they determine would technically satisfy the requirement. Materials will not be known until the delivery order is required. For cost purposes, the Government has provided the NTE value for Material and Travel and the Offerors shall bid IAW with the values provided in the L-3.

8 RFP Section L Section L, paragraph 9.b, "Cost Data Requirements" refers to SF-1411. There is no SF- 1411 associated with this RFP and according to the GSA, SF-1411 was cancelled in September 1997. Please clarify this requirement.

See Amendment 1, reference removed.

9 RFP Section L and Attachment L-3

Section L, 3.5.6, A.9.c (page 176) "Estimating Rationale" sub paragraphs I and ii indicate the proposal will be priced utilizing the Offerors FPRA/FPRR as applicable or to provide supporting documentation where the proposed rates are different from its FPRA or FPRR. The "Labor & Indirect Rates" tab of Attachment L-3 appears to seek direct labor rates by labor category and indirect rates for each year of the contract. This is completely different and negates the intent of an FPRP or FPRR. Please clarify the intent of the Attachment L-3 breakdown by labor category. Also, please clarify the discrepancy between the Attachment L-3 breakdown by labor category and the RFP FPRA or FPRR language.

Vendors are allowed maximum flexibility to present their best offer with substantiation.

Attachment L-3 "Direct & Indirect Rates" tab has been provided as guidance to assist vendors. It is the intent of the Government (per question 16 below), for the proposed direct and indirect rates to be added as an attachment (at contract award) to be utilized when delivery orders are issued (see page 182/196 of the RFP). See Section J, Attachment J-8.

If you choose to use a FPRA/FPRR, a copy of the FPRA/FPRR shall be provided as substantiating data. However, should offerors choose to use a different rate (not FPRA/FPRR) substantiating data must be provided.

The Government does not recommend utilizing FPRP or Provisional Billing Rates (nor presenting it as substantiating data), as these rates have not been independently reviewed by a Government agency.

Offerors are expected to populate the "Labor & Indirect Rates" in the L-3 for each contractual year at the detailed level requested by the Government in this RFP (see page 179/196 of the RFP), and as supported by your substantiating data.

Please see page 181/196 of the Direct Labor Rate Narrative, Page 182/196 Indirect Rates and Business Base.

10 RFP Section L Section L, 3.5.6, A.9.c (page 176) "Estimating Rationale" sub paragraph ix - requires an explanation, quantification and location of any costs that are included somewhere other than in the appropriate wok item and the Offeror shall state how supervision, QA, testing, purchasing, subcontractor coordination, project/program management, crane and rigging, and any other production nonspecific trade related labor is estimated for the NWP. In accordance with paragraph 9d, "Summary Cost Data", Offerors are required to propose the Government estimated hours. Therefore, the explanations to be addressed by this paragraph 9c are for estimates provided by the Government and not the Offeror. Please clarify the rationale for Offerors to explain the Government provided estimates.

Government update provided in Amendment 1, reference removed.

11 RFP Attachment L-3 Please confirm the intent of the "Total Proposed" tab of Attachment L-3 is to summarize proposed pricing for all CLINs? If so, once linked and set up to match an Offeror's accounting system, the pricing in each of the individual CLIN tabs plus the ODC tab would equal the total of the pricing in the "Total Proposed" tab and the total for each CLIN are those to be used for Section B?

The intent of the "Total Proposed" tab of Attachment L-3 is to summarize the proposed pricing for all CLINs (Labor/Material/Travel). Once linked, the pricing in each of the individual CLIN tabs plus the ODC tab would equal the total of the pricing in the "Total Proposed" tab and the total for each CLIN shall correspond with pricing in Section B. Amendment 1 provides an update to the "Total Proposed" tab.

12 RFP Attachment L-3 Attachment J-1, "ODC" tab - please confirm Offerors are to use the Government estimate values of material and travel dollars as they are shown in the Attachment and no adjustments can be made to the material values from "Total material" row to the "Total travel" row or vice versa.

Offerors are to use the Government estimated values of material and travel dollars as they are shown in Attachment L-3 Column Q, and no adjustments can be made to the material values from "total material" row to "total travel" row or vice versa.

13 RFP Attachment L-3 Typically on cost type contracts, Contractors and the Government negotiate individual FPRA/FPRP agreements which are audited by DCAA, in order to eliminate the need for subsequent negotiation of individual labor and indirect rate labor categories; the FPRP/FPRP is intended to be a composite for all labor categories expected to be involved in execution of a particular type of work. Attachment J-1, "Labor & Indirect Rates" tab - Note 4 appears to confirm that an offer's FPRA or FPRR if proposed, would negate the need to provide a breakdown of Labor Categories indicated in cell A4 and Note 1. Please confirm.

Note 4 is applicable to "indirect rates". Breakdown of labor categories are applicable to "direct rates". There is no relationship between Note 4 and the direct labor request.

If the Offeror intends to bid IAW with the FPRA/FPRR, the Government would expect to see the granularity as provided in the substantiating data by the labor categories defined by the FPRA/FPRR. The burden rests with Offerors to provide substantiating direct and indirect rate information to support the proposed direct and indirect rates for the Labor, Material and Travel estimates.

See response for Question 14.

14 RFP Section L RFP Section L, page 181, paragraph 5, "Instructions for Section 3 - Contractor Estimating Rationale/Cost Proposal Narrative" sub paragraph 5a-(5) "Offerors shall provide a recent screen-capture from the employer's payroll system......." Please clarify that if an Offer proposes its FPRA or FPRR which is DCAA audited, would eliminate the need to provide this screen shot data.

If an FPRA/FPRR is not available at the labor category level requested by the Government, the offeror shall provide a recent screen-capture from the employer's payroll system. If an FPRA/FPRR is provided with proposal submission at the level requested by the Government (Page 182/196), the need for recent screen-captures from the employer's payroll system is not necessary.

The Government requests that the offerors provide the most recent FPRA/FPRR available, if applicable.

The Government understands that the FPRA/FPRRs available are limited (not inclusive of all 7 years requested). In the event that the Offeror has limited FPRA/FPRR (Direct Labor rates) the Offeror shall utilize the escalation rates provided by the Government in the L-3 Escalation tab and apply them to the latest labor rate available in order to establish the out year pricing.

15 RFP Section L Paragraph B, "Summary Cost Data" paragraph 3.a - last paragraph on page 179;

Senior, or Level 1,2,3 or l, ll, lll, lV) for each CLIN with the proposed number of labor hours for each labor category, IAW the technical effort provided in the NWP.

Questions - 1) how is an Offeror to know how to spread the manhours by CLIN to match the total manhours on the "Labor Hour Phasing" tab, 2) are Offerors expected to be able to project by individual labor category (ex; Junior, Mid, Senior, or Level 1, 2, 3 or l, ll, lll, lV) the amount of manhours for each category by CLIN and by employee name, for each of the 7 years of the contract? Please clarify.

1) The L-3 Labor Hours_Phasing file (Amendment 1) has CLIN hours by the respective CVN and by contractual year. The offeror is responsible for allocating the respective hours by CLIN and demonstrating the offeror’s technical understanding of the requirements in the J-1 NWP and J-5 CVN Availability Schedule. Offerors are reminded that on Page 178/196 "The award will be based on the evaluation of the hours prescribed in Exhibit L-3, in order to ensure consistent and fair evaluation. During performance of the contract, actual cost for the work performed shall be charged IAW each negotiated delivery order for its respective effort."; Please see response to question 6 above, which provides the level of detail required to project hours per

CLIN/CVN.

2) Offerors are expected to propose each CLIN by individual labor category (ex;

Junior, Mid, Senior, or Level 1,2,3 or l, ll, lll, lV) (if applicable) the amount of labor hours for each category by CLIN and by employee name (if available), for each of the 7 years of the contract.

16 RFP Section L Paragraph B, "Summary Cost Data" paragraph 3.a - last paragraph on page 179;

"Offerors shall identify the proposed individual labor categories (ex; Junior, Mid, Senior, or Level 1,2,3 or l, ll, lll, lV) for each CLIN with the proposed number of labor hours for each labor category, IAW the technical effort provided in the NWP. Please confirm this is not a requirement where Offerors are proposing its FPRA/FPRP or FPRR which would be used during administration of the contract for pricing and billing purposes.

Offerors are directed to page 182/196 "The proposed rates will become Attachment J-8 in the contract award document, to be applied for the negotiation of each individual Delivery Order issued by the respective ACO."

See Amendment 1, Section L.

See Amendment 1, Note C.

FPRAs are normally reconciled during administration of the contract for pricing and billing purposes. FPRA/FPRP issues will be reconciled with the ACO at the DO level. The vendor will be reimbursed for the actual cost incurred, IAW the work package specification. See the response to Question 15.

17 RFP Section L Section L, page 165, par 3.4, "Volume l - SF33 Solicitation Set" sub paragraph c - Please clarify if it is the Governments intent that all pages of Sections B through J with fill-ins be submitted or if only the sections that have fill ins required are to be submitted.

The offeror shall return their proposal completed for each Section B through J.

In addition to the fillable clauses, the Offeror must fill in pricing associated with Section B. Additionally, Offerors must return a completed L-3 to supplement the pricing in Section B, and a Small Business Subcontracting Plan (J-4) as required by this RFP.

Per page 179/196 " If the requisite workbooks are presented, but the costs do not agree with the amount stated in Section B of the RFP (except for minor “rounding” difference), the highest number will be used to determine the Government Total Evaluated Cost (TEC). If differences are not explained, then the Government may determine the Offeror to be ineligible for award” due to unbalanced/unsubstantiated pricing.

18 RFP Section L Section L, page 168, par 3.5.2, sub par 9 - requires description of significant subcontractor cost reporting systems for compiling internal costs and subcontractor costs, and how budgeted, monitored and controlled. Also requires description of how costs are reported to the Accounting Classification Reference Number. Please confirm this requirement is only required for significant subcontractors that are proposed to be cost type as opposed to fixed price.

Confirmed, Fixed Price/T&M subcontractor proposals do not apply. The Government has replaced all references to “significant subcontractor” with “major subcontractor”. Any prime/subcontractor cost type (CPFF) proposals over $2M AND 10% of contract value (as defined in Section L, 3.5.2 Item 3) need to be identified, and an Attachment L-3 must be submitted. The adequacy of the systems are required for any prime/subcontractor exceeding the $2M AND 10% of contract value threshold. Vendors shall address if their systems are adequate to be awarded cost type contracts. This update to the RFP is in effort to expedite the proposal development and evaluation process.

The Government reserves the right to request certified cost and pricing data/completed L-3 files, in the event that this procurement results in a single bid. This reservation may also apply at the DO level, on a case by case basis as designated by the ACO.

19 RFP Section L Section L, par 3.1, "Proposal Overview" on page 161 provides an outline of the proposal structure where paragraph B.1 states, "Volume l SF33 Solicitation Set" the required contents of which are listed under paragraph 3.4 on page 165. The same requirements are listed under paragraph 7 "Instructions for Section 5" on page 185 under the cost proposal volume. Are these items to be part of both Volume 1 as indicated on pages 161 (and 165) and Volume 4 as indicated on page 184? Since the information is duplicative, recommend removing paragraph 7.i through 7.iv on page

184. Please clarify or advise.

See Amendment 1, duplicate language removed.

20 RFP Section L With the complexity of this solicitation and the extensive requirements for small business participation, this proposal will require a substantial amount of time to develop. We request at least a 60 day extension to this bid until January 14, 2023. That still gives the Government over 3 months to evaluate competitive bids.

See Amendment 1 extension.

21 L-3 NA The Labor Hour _Phasing Tab has hours with decimals. This will throw the totals off when the final calculation is performed. Please make all numbers whole numbers on this tab or allow the contractor to round up or down and eliminate the decimals.

The Contractor can round up or down to eliminate the decimals as necessary in their proposal with the understanding that the total number of hours provided in Column J of the Labor Hour_Phasing tab are not exceeded.

22 L-3 NA Total Proposed Tab, Cell C6 & C11, for example, are only picking up the subcontractor amount and not the total of Prime and Sub from the ODC tab. Recommend the formula for Column C for material and travel on the Total Proposed Tab be changed to Column F on the ODC tab for All the CLINS.

See Amendment 1. Column C totals for each CLIN has been updated to change the linking to Column F on the ODC tab for all CLINs.

Determination

RFP Attach J-6, Page 8, includes the following provision: The Government will evaluate the extent which the Contractor meets or does not meet the forty percent (40%) small business subcontracting requirement described in Section H clause, “Small Business Subcontracting Requirement.” Contractor notes that there is no RFP Section H clause, "Small Business Subcontracting Requirement". Please advise.

See Amendment 1, Attachment J-6.

SBSIF

Determination

RFP Attach J-6, Pages 9-10, includes the following disparate, ambiguous, and confusing provisions: (1) Page 9, 1st Paragraph: "Therefore, of the total dollars the Government plans to obligate each contract year under this contract, the Contractor shall intend to award forty percent (40%) or more to first-tier, small businesses.

(2) Page 10. Paragraph 3. Fee Adjustment Computation: The Government will evaluate actual performance for the fee evaluation period using the information in paragraphs (a) and (b) below

a. Direct costs related to all efforts within the fee evaluation period,

b. Total dollars, with corresponding percentages of direct during the fee evaluation period will be determined for the following.

Bidder's Question: Is the 40% Small Business Subcontracting percent incentive fee based on "Total Dollars Obligated" or "Direct Costs Only"? Bidder assumes the Govt's small business subcontracting goal is 40% of total subcontracting dollars to be awarded to small business subcontractors? Not 40% of total obligated dollars for each year. Please advise.

See Amendment 1, Note 3 updated on the ODCs tab. Column Q is the Not to Exceed value provided by the Government.

26 CUI J-5 &

L-3

The J-5 CVN Availability Schedule has been provided with the package. In reviewing all the availabilities types and dates, they are not really aligned with the Labor Hour Phasing Tab in the L-3 Attachment. Any assumption would be just that, an assumption and the Government would receive different information from different offerors. Please confirm the J-5 is for reference only, and that the Hours allocated in the Labor Hour Phasing Tab on the L-3 is what the contractors are to apply their rates to. If this is not the case, please provide availability start / stop dates per CLIN, per year, for each availability that applies to this solicitation.

The J-5 CVN Availability Schedule was used to develop the Labor Hours Phasing Tab.

The L-3 is what the contractors will apply their rates to.

Please see Amendment 1 to the L-3 Labor Hour Phasing Tab. The Availabilities are provided under each CLIN and the burden rests on the offeror to demonstrate that they have the requisite knowledge on how to read and interpret the J-5 CVN Availability Schedule.

27 J-6 Pg. 10, Fee Adjustment Computation a.

Direct Costs are defined as direct labor, material, and subcontractor costs; please confirm this calculation.

Yes, the assumption provided is accurate. There is no change to the RFP.

28 RFP Pg. 21 Statement of Work, Pg. 168

3.5.2 Volume II -

Factor 1

The requirement that the Offeror shall comply with the 40% small-business subcontracting requirement necessitates the utilization of a large contingent of the available small-business subcontractor base whose work may qualify as "non-significant" for this effort. The Factor 1: Management Approach stipulates that aggregating non-significant subcontractors in excess of 25% of total proposal direct dollars will require the treatment of all non-significant subcontractors as "significant".

This will impose increased disclosure requirements for cost type small businesses that may stifle their participation and cause increased proposal preparation and compliance costs. Please consider the removal of the 25% aggregate rule and treatment of all subcontractors beyond this threshold as "significant" as stated in Factor 1.

See Amendment 1, Removal of the following language:

When the aggregate of non-significant subcontractors proposed exceeds twenty-five (25%) of the total proposal direct dollars, the same type of information required under the Management Approach factor for significant subcontractors must be provided for each of the non-significant subcontractors."

35 RFP General Request the Navy provide Paint Schedules for both Nimitz and Ford Class vessels containing compartment blast and / or surface preparation and coating system requirements.

The Government has provided a Period of Performance for this effort via the J-5 Availability Schedule, and the Contractor is expected to develop a detailed schedule IAW NAVSEA Standard Item (NSI) 009-60/111.

In reference to coating systems application, it is expected the Contractor be fluent in all aspects of (NSI) 009-32.

36 L-3 Labor Hour Phasing

Contractor assumes proposed rates are for seven (7) consecutive years with year 1 starting on 05 May 2023. For each year, bidder assumes the Govt’s labor hours and ODC dollars are to be spread evenly across each Contractual year. Bidder assumes the Govt’s annual escalation rates are for Calendar Years (CY) vice Gov’t Fiscal Years (GFY). Please advise if these bidder assumptions are correct? If not, please provide detailed guidance regarding the correct pricing of the Gov’t labor hours and ODCs, including the application of Gov’t directed escalation rates.

Yes, see Question 29. Proposed rates are for seven (7) consecutive years with year 1 starting on 05 May 2023.

In the L-3 Labor Hour_Phasing tab, the Government has provided the spread of hours for each contractual year by CLIN and CVN. The burden rests on the offerors to spread the hours within the contractual year.

Offerors shall not modify the overall yearly distribution by CLIN provided in the L-3; However, Offerors may propose the spread of hours within the contractual year as applicable to each availability.

For the ODCs (Material/Travel), Offerors can apply the total NTE estimate across the 7 years as applicable to each availability. Per page 193/196 in the RFP, the Government will be evaluating for unbalanced pricing; Therefore, Offerors shall ensure their pricing is balanced with the technical effort.

Offerors shall use the Govt’s annual escalation rates applied across the Calendar Years (CY).

37 Attachment J-6 9 "The incentive fee under this clause will be earned or not earned on an individual order basis." We request that this be changed to reflect an evaluation of the total small business spend across all CLINs being evaluated within the Award Fee Board period.

This evaluation criteria for the follow-on contract is on an IDIQ basis.

The Award Fee and the SBSIF will be evaluated at the individual DO level by CLIN, as noted in Attachment J-6, within the respective Award Fee and Small Business evaluation periods. See J-6 page 1(AF) and pages 9 &10 (SBSIF) at the discretion of the ACO, to ensure timely payment of respective fees.

38 RFP / Att J-6 p 179 / pg 1,9 The maximum total fee for this contract appears to be 10% (Fixed Fee 6%, Award Fee 2%, SBSIF 2%). Will the Government consider increasing the maximum fee percentage?

Noted, any changes will be included in a future amendment. Repair contracts do not normally meet the criteria to exceed 10% for cost contracts.

39 Attachment J-6 p. 8, Header First paragraph under Header "Small Business Participation and SBSIF Determination" refers the Offeror to the "forty percent (40%) small business subcontracting requirement described in Section H clause, "Small Business Subcontracting Requirement." Section H contains no such clause. Please advise.

Please see the response to Question 23 above.

40 Attachment J-6 p. 9, para. 1 Paragraph 1 states that "the Contractor shall intend to award forty percent (40%) or more to first-tier, small businesses." Historically, small business spend incurred by first-tier subcontractors at the second-tier level was allowable in the calculations of total small business participation. Is it the Government's intent to discourage small business spent at the first-tier level by excluding this spend from the small business spend calculations?

Government update provided in Amendment 1. The Tier language has been removed.

41 Attachment J-6 p. 9, Table 5 - SBIF Goal

Table 5 states a goal of 7.5% spend for "Historically Black Colleges & Universities."

Based on the requirements of Section C, Offeror requests that the Government provide the Government's contemplated participation by these particular entities in the performance of this contract.

Please see Amendment 1, J-6: Table 5 – SBSIF Goal is an Example. Each offeror shall propose to the ACO how they intend to satisfy the SBSIF at the DO level.

42 Attachment J-6 p. 8, Header & p.

9, para. 1 (c) (i)

First paragraph under Header "Small Business Participation and SBSIF Determination" states that "The fee determination covers the Contractor's subcontracting performance over a range of all repair and alteration work, to give the Contractor flexibility in meeting the Small Business Subcontracting Requirement." P. 9, paragraph 1. (c) (i) however states that "The incentive fee under this clause will be earned or not earned on an individual order basis." Please explain why this limitation is not in contradiction to the statement made in the header paragraph.

Please see Amendment 1, header deleted.

43 RFP p 176,177,181 Under Section L, B Cost Proposal Structure, the threshold for a significant subcontractor is listed as $2 million. It is not clear if this value is over the entire evaluated seven year period. Assuming it is over the entire period, this is an incredibly low threshold for this seven year period with far more than notional labor hours being evaluated and will wind up including practically all small business subcontractors. This is a departure from the previous solicitations as well as the criteria in this solicitation's Technical Proposal section that defines a significant subcontractor as having "at least five percent (5%) of total proposed direct dollars; OR ten percent (10%) of total proposal labor-hours."

Most small business subcontractors do not have the FPRA/FPRR being requested. In order to provide consistency in definition of significant subcontractor between the Technical and Cost sections and to not overburden small business subcontractors with the additional input responsibilities of a significant subcontractor, we ask that the 5%/10% criteria included in the Technical Proposal section be returned as the criteria in the Cost Proposal section to distinguish a significant subcontractor.

See Amendment 1, It is cumulative per Section L. See Question 18 for additional information.

44 RFP P 172,180 Under the Technical portion, Volume 2, page 172, it states the Offeror is to utilize actual availability dates as provided in Attachment J-5 in addressing the offerors resource capability. Then under the pricing section page 180 it states Offeror shall include proposed hours for each completion CLIN and must align with the labor hours phasing by contractual year table provided in L-3. After reviewing the J-5 availabilities and trying to align that with the hours provided in L-3 for each year, we have found many inconsistencies. For example, all the CIA avails under CLIN 0010 are spread out between 2 years when the avail dates are only 44 days long. Another example, the PIA CLIN 0006 for CVN 77 is spread over 3 years when the avail dates are only for 184 days. The inconsistencies and the ambiguity needs to be cleared up so all contractors are quoting the same way and not putting in assumptions that may differ from the Governments assumptions.

The Government has determined that inconsistencies do not exist.

Example: For the base year, there are four (4) CIA Execution events documented in Attachment J-5. Attachment J-5 provides the notional start and end date for these respective availabilities. See Amended Attachment L-3.

This notional pricing should be developed based on days of performance, based on the J-5 start and end dates for each availability.

This contract is IDIQ type and individual DOs will be issued for the respective efforts.

45 With the many questions outstanding, the complexity of this proposal and the subcontractor involvement that’s required, we strongly encourage and request at least a 60 day extension to this bid. The Government has a greater chance of receiving accurate and concise proposals with more time to build this complex proposal.

See the responses to Questions 18 and 20.

46 RFP Note B, Pg. 17 Please specify who will determine the number of SDVG occurrences and the "Cost Plus Fixed Fee price" for each delivery order? If these items will not be subject to mutual agreement, please provide the rationale and calculation that will be used to determine these figures for each delivery order.

The ACO and the vendor must bilaterally agree. The SDVG costs will be determined by historical values and as mutually agreed between ACO and Contractor.

47 RFP Note B, Pg. 17 Please provide the Government definition of a "Cost Plus Fixed Fee price"? This is indicative of a firm-fixed price contract structure and not a cost reimbursable contract.

The Contractor and ACO will reach agreement on the cost of the SDVG to include a fixed fee. At the point of turning on any SDVG item, the item is no longer Level of Effort (LOE) and has now been set as a completion task.

48 RFP Note B, Pg. 17 Please confirm that all Contractor (prime and subcontractor) costs associated with Small Dollar Value Growth will be fully reimbursed regardless of the "Cost Plus Fixed Fee price" in line with a cost type contract.

The costs will be reimbursed; however the fee will remain unchanged. It will be the value set in the contract under the SDVG Note B at the DO Level.

49 RFP Note B, Pg. 17 Please confirm that the calculation of the Fee Pool for Small Dollar Value Growth (SDVG) will be based on each occurrence of SDVG and that actual costs will be paid for each occurrence of SDVG.

The SDVG will have an established value with an established fee at the start of any DO. The SDVG does not change for each item. The actual cost of SDVG items will be reimbursed; however the fixed fee will remain unchanged.

50 RFP Note B, Pg. 17;

item g), Pg. 183

If Contractor must agree to "Cost Plus Fixed Fee price" in order to satisfy Small Dollar Value Growth in Note A will Government confirm that it will not negatively assess the inconsistency with prescribed accounting practices and Disclosure Statements as outlined in Factor 5?

If this question is actually about Note B, the basis of SDVG is to agree on a number based on history that should work out to an average at the SDVG value.

Based on the contract terms in Note B, the Contractor is required to manage SDVG in that manner to be considered acceptable.

51 RFP Note A, Pg. 16 Please confirm "Level of Effort to Completion" for labor hours and materials for each delivery order will be subject to mutual agreement. Please provide the rationale and calculations that will be used to determine these figures for each delivery order.

LOE to Completion will be established as mutually agreed between the ACO and the Contractor at issuance of the DOs, per Note A. The means to determine the value of LOE to Completion is dependent on the work included in the work package. It is based on historical growth experienced.

52 RFP Note A, Pg. 16 Note A of the solicitation references JFMM, Volume VII, Page 3-12 for the definition of growth. Please identify the specific version of the JFMM, Volume VII the Government is referring to.

Revision D CH2 dated 31 Mar 2022.

53 RFP Section C, pg 34 Page 34 paragraph (d)(2) of the solicitation states a unilateral order will be issued in the event the ACO determines that time does not permit negotiation of a bilateral order/modification. For clarification, does this statement apply to only those things set forth within the changes clause FAR 52.243-2?

Since the rates are already established at the IDIQ level as Attachment J-8 (please see response provided in Question 9), the ACO has the option to award the DO unilaterally. This allows critical work to immediately start/be turned on and funds to be obligated. The vendor will be reimbursed for the actual cost incurred. The vendor and ACO can also follow up with a modification if the RFP is requested by the ACO for that DO once a better work package is defined. The desire is to speed up the process so that critical work can be done, yet provide flexibility to both ACO/vendor.

54 RFP Section C, pg 40 Page 40 paragraph (3) Condition Found Report of the solicitation states the contractor shall identify needed repairs and recommend corrective action during contract performance, identification shall be submitted to the Government in the form of a CFR within 3 working days. Page 77 Clause C-217-H005 Growth and New Work (NAVSEA) (JAN 2019) states the Contractor is required to notify the Contracting Officer regarding growth and new work within 30 days of discovery which is in conflict with Page 40 paragraph (3). Please clarify if the Government requires the contractor shall identify needed repairs and recommend correction action within 3 working days or 30 days of discovery.

Identification shall be submitted to the Government in the form of a CFR (CDRL A020) via the (Navy Maintenance Database Re-platform) NMDR system, within three (3) working days of identification of the requirement. Per Exhibit A, DD1423 package BLK 16 reflects submission within three (3) working days. Within five (5) working days from receipt of an answered CFR, the Government or the Contractor shall develop the Request for Contractual Change (RCC) in NMDR and submit with the labor hour and material estimate.

Section C, page 40, is more restrictive, but it still meets the requirements of the NAVSEA clause. The clause is not editable.

55 RFP NA FAR 52.219-10 Incentive Subcontracting Program includes fill-ins required to be completed by the contracting officer for earned incentive. Please confirm the incentive fee under this clause will be established and earned or not earned on an individual order basis and shall not be considered for evaluation purposes of the base contract.

The Government confirms that the incentive fee under this clause will be established and evaluated on an individual DO basis, and not for evaluation purposes of the base contract. See Amendment 1.

56 RFP Section C, pg 75 Section C page 75 of the solicitation includes clause C-211-H010 TUG AND PILOT SERVICES (NAVSEA) (OCT 2018). Considering the primary location of the work will be Norfolk Naval Shipyard or Naval Station Norfolk. Tug and pilot services are the responsibility of the Navy. Please confirm this clause is applicable to the execution of the contract and a required cost for the contractor to incur.

See Amendment 1, the respective clause is removed.

57 RFP Section B pg 16 Section B page 16 Note A speaks of “pre-priced options” but these type of options are not included within the solicitation. Please clarify or revise.

Note A “pre-priced options” refer to the 2 year pre-priced option (CLINs 0014 – 0024). These options are not considered growth items.

58 RFP Section L, pg 159 Section L page 159 reads “EASTERN DAYLIGHT TIME” but should read “EASTERN STANDARD TIME”. Please clarify or revise.

See Amendment 1, updated to Eastern Standard Time.

59 RFP Section C, pg 81 Section C page 81 includes fill-in markers in clause C-223-H004 MANAGEMENT AND DISPOSAL OF HAZARDOUS WASTE (NAVSEA) (MAR 2019) that are not completed. Please clarify or revise.

See Amendment 1, fill-in’s updated.

60 RFP Section C, pg 86 Section C page 86 includes clause C-228-H001 INDEMNIFICATION FOR ACCESS TO VESSEL (NAVSEA) (DEC 2018) but the location of the work will be at the Government’s facilities, NNSY or Naval Station Norfolk and not at the Contractor’s facility. Please clarify, revise or remove the clause.

Historically, the TYCOM has requested Contractor facility access. The Offeror could potentially operate at a private facility. The Clause will remain as stated as it includes “admission to contractor facilities”, i.e. site visits, inspection of supplies at bonded storage, in the event of a disaster/war. This clause is required for all repair/overhaul contracts issued through NAVSEA HQ.

61 RFP Section L, pg 178 Section L page 178 paragraph C Estimating Rationale subparagraph viii states for the contractor to include identification of major facilities investments. Considering this work will be performed at the Government’s facilities, NNSY or Naval Station Norfolk, please advise how this requirement is applicable and will be considered for evaluation purposes.

If applicable, Offeror’s shall identify any major facilities investments to be utilized for the performance of this effort; if there is added value in the form of technical or cost advantages to the Government.

62 RFP Section C, pg 71 Section C page 71 includes clause C-211-H002 DRY-DOCK CERTIFICATION (NAVSEA) (OCT 2018) and C-211-H003 DRY-DOCKING FACILITIES AND SHIPBUILDING WAYS CERTIFICATION (NAVSEA) (OCT 2018) but the location of the work will be at the Government’s facilities, NNSY or Naval Station Norfolk and not at the Contractor’s facility. Please clarify, revise or remove the clause.

See the response to Question 5.

63 RFP Section G, pg 108 Section G page 108 includes clause G-216-H001 FIXED FEE WITHHOLD--FAR 52.216-8 CLARIFICATION (NAVSEA) (OCT 2018). Please confirm the 15% withholding of each fixed fee payment will not exceed $100,000 of the fixed fee provided during each availability.

Yes. This clause is required in all contracts that utilize FAR 52.216-8, Fixed Fee. Clause FAR 52.216-8 added to Section I.

64 RFP Section B Each CLIN included in Section B does not state the relevant Government Fiscal Year each effort will be executed in. Please clarify or revise

This does not structure CLINs by FY. The Base year CLINs are five (5) years and the Option Year CLINs are for two (2) years. The FY can be referenced in the respective DO. See Question 29.

65 RFP Section L, pg 183 Section L page 183 states the Offeror (prime) shall propose a fee of no more than six (6.0%) of the proposed CLIN/Sub-CLIN cost. Please clarify if this requirement pertains to fixed fee.

It is the intent of the Government, for offerors to utilize the same fee percentage for both CPFF (Fixed Fee) and CPAF (Base Fee) per B-232-H003 PAYMENTS

OF FEE (S) (COMPLETION) (NAVSEA) (OCT 2018).

66 RFP Section B Section B provides the ordering officer with the ability to award each CLIN as CPFF or CPAF but clause B-216-H005 DETERMINATION OF AWARD FEE (NAVSEA) (MAR 2019) is missing from the solicitation. Please explain how the award fee will be determined as well as the related parameters or revise.

67 RFP Section B, pa 16 Is the Use of LOE to C clause in this cost contract type for budgeting purposes only? No, this is to aide in the ability to quickly turn on growth work when it is identified. See Question 2.

68 RFP J-6 Please confirm that Small Dollar Value Growth will include all fees in attachment J-6 in addition to the 6% fixed fee.

SDVG terms are as indicated in Note B. The ACO may utilize the proposed fixed fee established in the IDIQ in the SDVG Note B. SDVG CLINs/subclins have to be established and tracked separately than the base DO effort. SDVG efforts are credited to the SBSIF calculation.

69 RFP Section M, pg 193 Section M, General 1) states "Attention is directed to FAR 52.215-1(f) in Section L, entitled—Instructions to Offerors –Competitive Acquisition, which provides that: The Government intends to award a contract resulting from this solicitation to the responsible Offeror(s) whose proposal represents the best value after evaluation IAW the factors, as applicable, in the solicitation. This section contains specific evaluation factors for award of a contract pursuant to this solicitation. " Please confirm this is a single award and that this is an error in the solicitation and only one responsible offeror will be awarded this contract.

Yes. Single Award. See correction in Amendment 1 (remove (s))

70 Solicitation Section L page 179, 186

Please confirm the "Cost Proposal Assumptions" dates and duration outlined in 1.a)-f) on page 185 conform with the "Labor Hour Phasing by Contractual Year" in Exhibit L- 3 and meet the requirement on pages 179 and 186 that Exhibit L-3 addresses all relevant labor hour, material and travel cost assumptions.

Yes.

71 Section M p. 195; Section 3.3

Historically, Government directed subcontractors are excluded from the calculation of small businesses subcontracting spend in recognition of the fact that the Government, not the Contractor, has made the subcontractor selection for that particular work.
