SUMMARY OF CHANGES
SECTION A - SOLICITATION/CONTRACT FORM
The required response date/time has changed from 12-Apr-2016 02:00 PM to 31-May-2016 02:00 PM.
SECTION B - SUPPLIES OR SERVICES AND PRICES
The following have been modified:
NOTE C - Stepladder Pricing. Stepladder pricing is utilized in this solicitation to provide offerors an opportunity to propose different pricing for separate and distinct quantity ranges within each CLIN. Pricing utilized at basic contract award and option exercise shall be based solely on the pricing proposed by the Offeror in Section B of their submitted Standard Form (SF) 33. Notwithstanding the availability of the option to propose different pricing for different quantities, the offeror may propose the same price for multiple quantities.
The Government will determine the quantity of the base CLINs (0001 and 0061) at award.
For all option CLINs with stepladder pricing, the Government may unilaterally exercise a given line item more than once prior to the latest option exercise date identified in clause FAR 52.217-7 (see Section I, below). Option CLINs with stepladder pricing may be exercised until the total quantity purchased equals the maximum quantity listed for that option CLIN in Section B.
If any line item is exercised more than once within a 60 day period, the unit price shall be adjusted downward to reflect the appropriate stepladder unit price for the entire quantity purchased within that 60 day period. The following hypothetical example illustrates how pricing will be adjusted for option CLIN 0000 if the line item is unilaterally exercised more than once within a 60 day period:
At first option exercise, $22,500 is obligated to subline item (SLIN) 0000AA to provide funds to acquire a quantity of 150 at a unit cost of $150.
150 * $150 = $22,500
A second option exercise, $12,500 is obligated to SLIN 0000AB to provide funds to acquire a total quantity of 350 at a unit cost of $100.
350 * $100 = $35,000
In order to provide for a total extended price of $35,000 without altering the unit pricing of the prior option exercise, the unit cost for SLIN 0000AB is adjusted downward to $62.50.
($35,000 - $22,500) / 200 = $62.50
Following exercise of our first two options for CLIN 0000, our contract CLIN structure for CLIN 0000 is as follows:
CLIN SLIN UNIT COST EXTENDED PRICE FUNDED AMOUNT
0000 $100.00 $35,000 $35,000
0000 AA $150.00 $22,500 $22,500
0000 AB $62.50 $12,500 $12,500

1997).
(a) The Contractor shall test 1 unit(s) of each system configuration as specified in this contract. At least 30 calendar days before the beginning of first article tests, the Contractor shall notify the Contracting Officer, in writing, of the time and location of the testing so that the Government may witness the tests.
(b) The Contractor shall submit the first article test report within * calendar days from the date of this contract to the
COR marked "FIRST ARTICLE TEST REPORT: Contract No. *, Lot/Item No. *" Within 90 calendar days after the
Government receives the test report, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor.
A notice of disapproval shall cite reasons for the disapproval.
(c) If the first article is disapproved, the Contractor, upon Government request, shall repeat any or all first article tests. After each request for additional tests, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval. The Contractor shall then conduct the tests and deliver another report to the Government under the terms and conditions and within the time specified by the Government. The Government shall take action on this report within the time specified in paragraph
(b) above. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule, or for any additional costs to the Government related to these tests.
(d) If the Contractor fails to deliver any first article report on time, or the Contracting Officer disapproves any first article, the Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract.
(e) Unless otherwise provided in the contract, and if the approved first article is not consumed or destroyed in testing, the Contractor may deliver the approved first article as part of the contract quantity if it meets all contract requirements for acceptance.
(f) If the Government does not act within the time specified in paragraph (b) or (c) above, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.
(g) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government
(h) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the offeror/contractor and have been accepted by the Government. The offeror/contractor may request a waiver.
(i) The Contractor shall produce both the first article and the production quantity at the same facility.

1.2 The Government intends to evaluate proposals and award one contract for production of Surface Electronic
Warfare Improvement Program (SEWIP) AN/SLQ-32(V)6 systems. The estimated award date is 30 Sep 2016.
1.3 No classified data shall be included within proposals. Appropriate security classification markings shall be included, and handling instructions followed, for all submitted data. Strict compliance with applicable law;
regulation; and DoD directives, instructions, and manuals is required.
1.4 “Pricing information,” is defined as facts, statistics, or data describing the consideration an offeror will receive in exchange for furnishing the supplies and services described in this solicitation. Pricing information may only be included within Volume I: Price Proposal. Inclusion of pricing information within any other Volume will likely result in rejection of the Offeror’s proposal, as well as the Offeror being determined ineligible for award. If doubt exists as to what constitutes pricing information, Offeror’s are strongly encouraged to submit a question in accordance with paragraph 2.8 of this section.
1.5 Offerors shall refer to FAR 52.215-1, Instructions to Offerors -- Competitive Acquisition. The information below is provided to supplement and implement FAR 52.215-1. Please note that pursuant to FAR 52.215-1, the
Government intends to award a contract on the basis of a proposal submission without conducting discussions with
Offerors, but reserves the right to conduct discussions in accordance with FAR 15.306 if determined by the
Contracting Officer to be necessary.
1.6 Each Offeror shall submit only one proposal. No alternate proposals will be accepted, and submission of multiple proposals will result in disqualification of the submitting Offeror. The Offeror’s proposal submission should contain the Offeror’s best terms from a price and technical standpoint.
EXCEPTION: If an Offeror believes they may be eligible for waiver of a first article requirement based on acceptance of a prior product, they may submit two Volume I pricing volumes for consideration. See HQ M-2-
0013, below for details on when submission of an “OFFER A” and “OFFER B” would be appropriate. If an Offeror elects to submit two Volume I pricing volumes for consideration, the Letter of Transmittal shall clearly indicate whether the Volume is an “OFFER A” or an “OFFER B.”
1.7 The Government may contact any or all or a limited number of Offerors with questions concerning their proposals as permitted under FAR part 15.
1.8 Offerors are reminded past performance information is proprietary source selection information. The
Government will only discuss past performance information directly with the prospective prime or sub-contractor that is being reviewed. If there is a problem with a proposed subcontractor’s past performance the prime may be notified of a problem, but no details will be discussed without the subcontractor’s permission.
1.9 At the end of discussions, if they occur, the Government will request Final Proposal Revisions (FPRs) from all
Offerors still within the competitive range.
1.10 Each Offeror must submit all information required by this solicitation. The Offeror’s proposal shall be based on the requirements contained in this solicitation (including those documents, exhibits, and other attachments to the solicitation identified in Section J). Failure to comply with the terms and conditions of the solicitation and/or failure to provide all of the requested information may result in the Offeror’s proposal being rejected, and may result in the
Offeror being determined ineligible for award.
1.11 The solicitation will be announced through the Governmentwide point of entry (GPE) at: https://www.fbo.gov/.
1.12 The Government may post additional information to the GPE relating to this solicitation (e.g. a solicitation amendment responding to submitted Offeror questions). It is the Offeror’s responsibility to check the GPE for any such information.
1.13 All questions shall be submitted to the Contracting Officer and Contract Specialist in accordance with paragraph 2.8 of this section.
1.14 The Government may schedule a pre-award site survey at facilities identified in any or all or a limited number of Offeror proposals following the proposal submission date.
1.15 Each Offeror is required to complete Attachment J-S2, Contractor Award Information, in its entirety and provide it along with their proposal submission. Attachment J-S2 will not count against the proposal page count limitations.
1.16 All notional dates included within this solicitation (e.g. 12 months after contract award) shall be unilaterally changed by the Government to actual calendar dates (e.g. 5 Jan 15) at contract award.

SECTION M - EVALUATION FACTORS FOR AWARD
SECTION M 2.0
EVALUATION FACTORS
The Government will evaluate the offeror’s proposal in accordance with the following factors and subfactors:
Factor 1: Technical Approach
Subfactor 1.1: Production Assembly in accordance with the TDP
Subfactor 1.2: First Article and Factory Acceptance testing
Subfactor 1.3: Physical Assets to be used in production
Factor 2: Management Approach
Factor 3: Past Performance
Factor 4: Total Evaluated Price
Acceptibility determinations will be made for Factors 1, 2, and 3. Acceptibility determinations will not be made at the Subfactor level. If the offeror’s proposal for any Subfactor under Factor 1 fails to meet the minimum requirements of the solicitation, Factor 1 will be determined to be unacceptable.
SECTION M 3.0 FACTOR 1
TECHNICAL APPROACH
The Technical Approach factor will be evaluated to determine the offeror’s ability to satisfy the requirements of this solicitation, including but not limited to: the acceptability of the offeror’s approach, the ability to understand and solve technical issues related to this effort, the ability to produce systems in accordance with the Technical Data
Package (TDP), and the ability to demonstrate significant experience in the production of systems of similar or greater complexity than AN/SLQ-32(V)6.
Subfactor 1.1: Production Assembly in accordance with the TDP
The offeror will be evaluated to determine the Offeror’s ability to produce systems in accordance with the specifications and data contained in this solicitation. The offeror will be evaluated on its demonstrated understanding of all aspects of the technical data contained in the solicitation and an ability to apply that understanding to meet the production requirements. The Government will evaluate information required by Section
L, above, to determine the acceptability of the offeror’s approach to production assembly. The offeror will be evaluated based on its demonstration of experience on RF programs similar in complexity to AN/SLQ-32(V)6. The complexity evaluation will include evaluation of demonstrated experience with the following technologies used within AN/SLQ-32(V)6:
RF over fiber assembly, integration, and test
Virtual Machine Environment (VME) systems production assembly, integration, and test
RF receiver systems assembly, integration, and test
Millimeter wave (MMW) hardware assembly, integration, and test
RF Antenna Array panel assembly, integration, test, and calibration
Linux operating environment installation and configuration
The Offeror will be evaluated on its approach to acquisition of system material, material control, and approach to monitoring delivery status of material previously ordered. The Offeror will be evaluated on their plans and processes to ensure complete TDP compliance prior to acquiring material and prior to release of material for manufacturing. The Offeror will be evaluated on their approach to address manufacturing processes, inspection, component level testing, and production acceptance testing.
The offeror's manufacturing processes and planning will be evaluated against the SOW. The offeror will be evaluated on its ability to address engineering changes and update production requirements. Any proposed item not currently listed in the TDP by specific part number will be evaluated by review of measured data to confirm the form, fit and function requirements of the TDP are met. The Offeror alone bears the burden of submitting sufficient measured data to demonstrate that its proposed non-TDP item(s) meet(s) the form, fit, and function requirements of the TDP. Failure to provide sufficient data to demonstrate that a proposed non-TDP item meets the form, fit, and function requirements of the TDP may result in an evaluation finding of increased technical risk, and could ultimately result in a determination that the offeror’s technical approach is unacceptable.
Subfactor 1.2: First Article and Factory Acceptance testing
The Offeror’s proposal will be evaluated to determine the offeror’s ability to execute First Article and Factory
Acceptance testing in accordance with the Government furnished testing plans and procedures to ensure production units comply with the configuration and functional requirements specified in the solicitation.
The offeror will be evaluated on its demonstrated understanding of all aspects of associated plans and procedures as set forth in its proposal.
If a request for waiver of First Article Approval is submitted, the offeror will be evaluated on compliance with the requirements of solicitation provision HQ M-2-0013, Waiver of First Article Requirements (Contractor Testing) -
Alternate I (NAVSEA) (JUL 2000).
Subfactor 1.3: Physical Assets to be used in production
Physical Assets proposed to be used in production will be evaluated to determine if the offeror has adequate capability and capacity to produce and test the proposed systems identified in Section B of this solicitation.
The offeror will be evaluated on its demonstrated ability provide facilities to adequately fulfill production throughput and schedule requirements in accordance with Section F of this solicitation. Production and schedule requirements shall assume maximum quantities per year. Adequacy will be determined by a clear correlation of the offeror’s proposed use of facilities for the successful completion of the contract requirements at maximum production levels. In addition, the offeror will be evaluated on its approach to updating the production line and processes.
Pre-award site surveys may be used to help evaluate this subfactor. Offerors will be evaluated on availability of adequate space for production, manufacturing, testing, and delivery of AN/SLQ-32(V)6 systems in accordance with this solicitation. Offerors will be evaluated on physical assets, production equipment, and test equipment to determine whether the offeror has the capacity to meet the requirements of the solicitation.
