Section B - Supplies or Services and Prices
ORDERING PROCEDURES
B.1 Ordering Procedures Marine Corps Systems Command (MCSC) Program Executive Officer Land Systems (PEO LS) intends to award an Indefinite Delivery, Indefinite Quantity (IDIQ) contract with five (5) one-year ordering periods. The IDIQ will contain Firm Fixed Price (FFP) and Cost Contract Line Item Numbers (CLINs).
B.2 Delivery Order Issuance Delivery Orders will be placed against this contract by the Government using a DD Form 1155 and IAW DFARS 252.216-7006. In accordance with (IAW) DFARS clause 252.216-7006, orders may be issued by orally only if authorized in the Schedule. If mailed or transmitted by facsimile, a delivery order or task order is considered “issued” when the Government deposits the order in the mail or transmits by facsimile. Mailing includes transmittal by U.S. mail or private delivery services.
If issued electronically, the order is considered “issued” when a copy has been posted to the Electronic Document Access system, and notice has been sent to the Contractor. The pricing on delivery orders that cross ordering periods will be based upon the pricing that is effective at the time the order is issued, and will be effective throughout the period of performance for the delivery order.
Each delivery or task order will contain, among other information, the date of the order, the order number, delivery or performance, place of delivery or performance, any special shipping instructions, pricing, and accounting and appropriation data. Each delivery or task order shall be executed in accordance with the Statement of Work. Delivery and task orders shall incorporate all clauses of the contract.
B.3 Ordering Period Delivery Orders will be placed against the contract within a period of five (5) years after the award date of the base contract. Reference Section F for ordering period details.
B.4 Contract Minimum/Maximum The contract minimum order quantity required shall be the two (2) First Article Test (FAT) Assets (M870A2-S with upgraded suspension integrated) identified in CLIN 0001; one (1) stand-alone LVSR tractor ECP kit, and one (1) LVSR tractor with ECP kit installed as identified in CLIN 0002. The maximum value over the life of the contract shall not exceed $45,768,000.00.

Section C - Descriptions and Specifications
STATEMENT OF WORK (SOW)
1 OBJECTIVE
The objective of this project is to modify the M870A2-S Medium Heavy Equipment Transporter (hereinafter referred to as M870) to be capable of on/off-road line-haul transportation of equipment, supplies, and current Marine Corps Engineering Vehicles/equipment with payloads up to 40 tons in all terrain environments. This capability is required to be sustained for the foreseeable future, which will require long term sustainment to support an enduring requirement.
2 SCOPE
The scope of this project is to design, develop, produce and install a suspension upgrade solution onto 363 USMC provided [Government Furnished Equipment (GFE)] M870s that provides the ability to line-haul heavy equipment weighing 40 tons or less on and off-road in accordance with (IAW) the M870 specification. The on-road capability, characteristics, and Department of Transportation (DOT) compliance of the prime mover and M870 shall not be diminished to gain off-road capability. The solution must take into account the user interfaces necessary for M870 operations. The primary user is the engineer battalion; however, the M870 will support all manner of movement in on and off-road scenarios. The M870 will use the Logistics Vehicle System Replacement (LVSR) MKR-16 tractor as a prime mover to line-haul heavy equipment along unimproved road surfaces and rough terrain. The scope of this project includes development, production, kitting, and shipping of an LVSR interface Engineering Change Proposal (ECP). The M870 will use the Medium Tactical Vehicle Replacement (MTVR) MK31A1/AMK31A1 tractor as a secondary mover to line-haul heavy equipment (54,000 lb. max.) on improved (hard surface and gravel) road surfaces only. The upgraded M870 must maintain compatibility, at the existing capability documented in TM 11240-15, with the MTVR without requiring any modification to the MTVR.
2.1 BACKGROUND
The existing M870 requires improvements which will maintain the current on-road (paved and improved roads) profile and enhance the M870 off-road capability providing increased operational capabilities on unimproved roads and cross country. The required improvements to the existing M870 requirement is a result of a Capability Requirement Change (CRC) from Director, Capabilities Development Directorate.
3 APPLICABLE DOCUMENTS
The following documents form a part of the SOW to the extent specified herein. The most recent revision of the referenced documents at the time of contract shall be used unless otherwise specified. In the event of conflict between the applicable documents and this SOW, the SOW shall take precedence. Nothing in this document, however, supersedes applicable laws and regulations unless a specific exemption has been obtained.

4 SPECIFIC REQUIREMENTS
For the purposes of this document, the M870 suspension upgrade and integration, and LVSR interface ECP shall be referred to as the, “Upgrades.” Any reference in this document to the “Upgrades” shall be construed to apply to the M870 suspension upgrade and integration and LVSR interface ECP unless expressly stated otherwise. In fulfilling the specified requirements, the Contractor shall:
1. Conduct a Limited Technical Inspection (LTI) of each Government provided M870 during induction (prior to disassembly) in order to establish the condition prior to the installation of the Off-Road upgrade solution and document the results utilizing NAVMC 10284 (REV. 4-95). The Contractor shall document any vehicle discrepancies that may impact or prevent successful modification and fielding of the M870. Through the delivery of CDRL A025, the Contractor shall notify the Government of the discrepancies and request guidance on how to resolve these discrepancies. The Contractor shall submit a cost proposal to the Government to perform the repairs identified during the LTI. The Government will review and provide a response. If the Government authorizes repairs, the Contractor will proceed with the Over and Above Process as outlined in Section 11.
1. Perform an LTI upon the receipt of the LVSR Tractor in accordance with TM 11316A/12493A-OD/1A and MTVR in accordance with TM 11165A-OR/A. The Contractor shall utilize NAVMC 10284 and provide a copy of the form to the Government.
1. Develop the M870 suspension upgrade IAW the Performance Specification (P-Spec).
1. Integrate the suspension upgrade solution onto the M870s in accordance with the Contractor-developed, Government-approved installation instructions (CDRL C004). Deliver two (2) upgraded M870s no later than six (6) months after contract award for Government First Article Testing. Upon approval of the M870 ECP and successful Physical Configuration Audit (PCA), the Contractor shall be capable of producing no fewer than eight (8) upgraded M870s per month. The Contractor shall determine and be responsible for the demilitarization and disposal of parts and components that are no longer required in the final product, with Government concurrence. Demilitarization will be performed in accordance with DoD 4160.21M.
1. Conduct a final inspection of each M870 after suspension upgrade installation and re-assembly prior to presentation to the Government inspector for acceptance. The results of the final inspection(s) shall be documented in the Final Inspection Record (FIR) (CDRL A026). The FIR shall document any vehicle discrepancies not related to the Upgrade installation that may have resulted from the disassembly, Upgrade installation, and reassembly process. The Contractor shall be responsible for correction of all such deficiencies at no cost to the Government. Upon successful final inspection, the Contractor shall be responsible for shipping the upgraded trailer to the final destination based on Government instruction.
1. Design, produce, kit, and ship the Government approved LVSR interface ECP IAW the P-Spec. Deliver two (2) LVSR interface ECPs, one installed on the LVSR and one not installed on an LVSR, no later than six (6) months after contract award for Government First Article Testing. Upon approval of the LVSR interface ECP and successful PCA, the Contractor shall produce 388 LVSR interface ECP kits within 12 months. The contractor shall be capable of producing no fewer than twenty five (25) LVSR interface ECP kits a month. This requirement includes development of Government-approved installation instructions.

5 PROGRAM MANAGEMENT
The Contractor shall establish and maintain program management practices throughout the period of performance.

5.1 SUBCONTRACTOR MANAGEMENT
The Contractor shall be responsible for performance of requirements delineated in this SOW and shall institute appropriate management actions relative to any Subcontractor performance. Requirements that are contractually specified shall apply to Subcontractor performance; however, the Contractor shall be accountable for compliance of their Subcontractors and is responsible for ensuring all deliverable products comply with the contract requirements.
5.2 DATA MANAGEMENT
The Contractor shall provide a data management plan. The data management plan shall address the Contractor’s plan for maintaining documentation during the life of the contract; Integrated Master Schedule (IMS) updates, and delivery of documentation.
The Contractor shall provide a semi-annual report on the delivery of the following CDRLs.

5.3 GOVERNMENT FURNISHED EQUIPMENT (GFE) AND GOVERNMENT FURNISHED INFORMATION (GFI) The GFE/GFI is defined as tangible property in the form of Equipment (GFE) (including, but not limited to, the M870A2-S MHET, LVSR tractor and MTVR tractor) and Information (GFI) (including, but not limited to, technical data, manuals, course materials) that is owned by the U.S. Government and is subsequently made available to the Contractor. A list of applicable GFE/GFI will be provided in Section J. (List of Documents, Exhibits, and Other Attachments).
5.3.1 CONTRACTOR RECORDS
The Contractor shall maintain a record of GFE and GFI items. Data in GFE and GFI records should, at a minimum, include: item identifiers (nomenclature, quantity, National Stock Numbers (NSNs) and/or part number), date received, condition of item on receipt, date the item was returned to Government, and condition of the item when returned. The Contractor and the Government shall jointly review and reconcile their GFE and GFI records on a quarterly basis. The Contractor shall provide a copy of the receipt of the GFE/GFI delivery to the Government in accordance with CDRL B001 requirements.
The Government will notify the Contractor of the availability of GFE. Items shall be provided to the Contractor from existing inventory. The Contractor shall provide for accountability, security, and storage for the GFE provided. The Contractor shall inspect and inventory all GFE received under this contract. The Contractor shall identify and report any discrepancies, deficiencies, damages to the Government in accordance with CDRL B002. A complete GFE / GFI list will be provided at the post award conference.

5.4 RISK MANAGEMENT
The Contractor shall identify, manage, and mitigate any potential program risks affecting the design, testing, integration and delivery of the upgrades. The Contractor shall provide a Risk Management Report that will be used to monitor management, cost, and schedule of tasks relative to the upgrades. The Risk Management Report shall include reporting critical risks and associated mitigation actions.

5.5 SCHEDULE PLANNING
The Contractor shall maintain an accurate schedule of program events and recommended program schedules, including review and evaluation techniques. The Contractor shall notify the Government in writing of any anticipated or projected work stoppages or delays that shall impact schedules within five (5) calendar days of Contractor determination.
The Contractor shall develop an IMS which includes all significant events and depicts major tasks and events from start to completion of the contract. The Contractor shall incorporate the IMS into the quarterly Program Management Reviews.

5.6 MEETINGS/CONFERENCES/REVIEWS
The Contractor shall support required meetings, conferences, and reviews. Persons who are subject matter experts (SMEs) and are familiar with the issues to be discussed shall be in attendance. The Contractor shall have at least one representative in attendance at meetings who has the actual authority to address issues. The Contractor shall provide, agendas, meeting content, and meeting minutes associated with the meetings.
The Contractor shall submit an agenda, read-ahead package, and briefing charts not less than ten (10) calendar days prior to each meeting. All agendas shall be in a Government-approved Contractor format. All minutes shall be in Government approved Contractor format.

5.6.1 POST AWARD CONFERENCE (FAR 42.503)
The Contractor shall host a post award conference at its facility or at a Government approved location within thirty (30) calendar days after contract award. The Government shall be given at least fourteen (14) calendar days advance notice of the time, date, and location of the post award conference. The preferred method of notification is by email to the Contracting Officer (KO).
Discussions at the meeting shall include, but are not limited to: a complete review of all contract documents; the Contractor’s overall Program Management Plan; the Contractor’s IMS; the Contractor’s initial Manufacturing Plan; risk areas and mitigation plans; other technical area requirements, such as Engineering, Logistics and Quality Assurance (QA), and discussions of Contractor standard Cost and Software Data Reporting (CSDR) process. The KO will chair the post award conference.
5.6.1.1 PUBLICATIONS START OF WORK MEETING
In conjunction with the post award conference, the Contractor shall conduct a Publication Start of Work meeting at its facility. The purpose of this meeting is to review publications, contract requirements, and establish lines of communications.

5.6.1.2 ENGINEERING START OF WORK MEETING
In conjunction with the post award conference, the Contractor shall conduct an Engineering Start of Work meeting at its facility. Discussions at the meeting will be Systems Requirements Review and System Functional Review. The Contractor shall present the engineering strategy to solve the technical requirements and meet the requirements in the performance specifications. Topics covered shall include but are not limited to those outlined in SIAT-HDBK-001, Appendices C and D.

In conjunction with the Engineering Start of Work meeting, the Contractor shall conduct a CM start of work meeting. The Contractor shall, as a minimum, brief their draft CM Plan, schedules and key CM milestones, and required deliverables for the upgrades.

5.6.2 PROGRAM MANAGEMENT REVIEWS (PMR)/PROGRAM STATUS REVIEWS (PSR)
The Contractor shall conduct quarterly PMRs/PSRs at its facility or a mutually agreed upon location. The initial PMR/PSR shall be held no later than six (6) months after contract award. Following the initial reviews, PMR/PSRs shall be held quarterly throughout the period of performance of the contract. The purpose of these reviews shall be to assess the Contractor's ongoing effort to meet the contract requirements. The focus at each subsequent PMR shall be on progress since the last PMR. At a minimum, the Contractor shall discuss the analysis of problem areas, evaluation of schedules; all risk areas and risk mitigation efforts, quality assurance management, and the status of all Integrated Logistic Support (ILS) elements.

5.6.3 PROVISIONING CONFERENCE
A provisioning conference will be held thirty (30) calendar days after the acceptance of CDRL D006, Engineering Data for Provisioning (EDFP). The Contractor shall host the conference at the Contractor’s facility. The focus of the conference is to "drill down" from the top level assembly to determine which level of maintenance for the Line Replaceable Unit (LRU) or maintenance tasks can be completed where and by whom. To that end, the Contractor shall provide and disassemble production equipment, as directed by the Government, to validate and verify all provisioning documentation for the upgrades.

5.6.3.1 PROVISIONING GUIDANCE CONFERENCE (PGC)
The Contractor shall host the PGC in conjunction with the Production Readiness Review (PRR). The PGC shall identify the specific provisioning requirements to be implemented on the upgrade program. The Government will clarify any provisioning issues during the evolution of the data review process.

5.6.4 TECHNICAL REVIEWS
The Contractor shall participate, as required, in technical reviews for the upgrades. Formal reviews shall be event-driven and conducted as the upgrades are being developed. The Contractor and Government shall hold Technical Interchange Meetings (TIM’s) to brief, identify and discuss the program technical status. Technical Issues, accomplishments, problems and their mitigation solutions, and documentation on the technical maturity of the system are examples of topics to be discussed and reviewed. The TIM’s will serve as a forum for problem solving and information sharing and be held bi-weekly or at a minimum, once a month.
5.6.4.1 PRELIMINARY DESIGN REVIEW (PDR)
The Contractor shall conduct a PDR. The PDR shall establish the allocated baseline to ensure the upgrades have a reasonable expectation of being operationally effective and suitable. The PDR shall be conducted once the baseline supports detailed design of hardware. The Contractor shall provide a Requirements Traceability Matrix (RTM) that demonstrates the design provided at PDR meets or exceeds the performance requirements.
Topics covered at the PDR shall include but are not limited to those listed in SIAT-HDBK-001, Appendix F.

5.6.4.2 CRITICAL DESIGN REVIEW (CDR)
The Contractor shall conduct a CDR. The CDR establishes the product baseline and ensures the detailed design is satisfactory to start initial manufacturing and integration. Configuration items of the initial product baseline shall be reviewed individually to ensure proper integration, system compatibility at the interface boundaries, and requirements compliance. The CDR shall be conducted once 90 percent of the product drawings and instructions are reviewed by the Government and deemed complete. The Contractor shall provide an RTM that demonstrates the design furnished at CDR meets or exceeds the performance requirements of the upgrades. Topics covered at the CDR shall include, but not be limited to, those listed in SIAT-HDBK-001, Appendix H.

5.6.4.3 TEST READINESS REVIEW (TRR)
A TRR shall be held at a government approved location no later than thirty (30) calendar days prior to the start of Production Verification Test (PVT). The TRR shall ensure the test items are ready for test and confirm all test resources have been identified, made available and are coordinated to support testing. Discussions at the meeting shall include but are not limited to those listed in SIAT-HDBK-001, Appendix K.

0. SYSTEM VERIFICATION REVIEW (SVR)
The contractor shall conduct an SVR to formally evaluate that the upgrade requirements have been met and ensure the upgrades can enter production. The contractor shall identify all performance requirements and provide any performance metrics that have not been achieved. The SVR will occur once the upgrades have completed testing and documentation has been validated. Topics shall include but are not limited to those identified in SIAT-HDBK-001, Appendix L.

5.6.4.5 PRODUCTION READINESS REVIEW (PRR)
The Contractor shall conduct a PRR at their facility to formally evaluate production readiness, identify existing or projected manufacturing problems, and identify areas of risk for the upgrades. The Production process will be evaluated against the System requirements to verify no production processes will degrade the systems performance. The Contractor shall identify any manufacturing changes between First Articles and Full Rate Production. The PRR shall be held when the system has been verified and all production documents are available. Topics to be covered at the PRR shall include but is not limited to those in SIAT-HDBK-001, Appendix M.

5.6.4.6 SYSTEM SAFETY WORKING GROUP (SSWG)
The Contractor shall conduct a SSWG at the direction of the Government. The Government will chair and be a voting member of the SSWG. At least one (1) representative from the Contractor and any major Subcontractors shall be present at each SSWG. The SSWG’s primary function shall be to ensure all environmental, safety, and occupational health issues, as well as all identified hazards, are adequately addressed; to ensure the safe, manned operation of the vehicle(s) during Government testing and fielding. The SSWG meetings will be held via teleconference. The SSWG may address any issues related to System Safety. Typically these issues include but are not limited to:
| a. | Reviewing ESOH program status; |
| b. | Summarizing hazard analysis; |
| c. | Presenting incident assessments for system mishaps or malfunctions; |
| d. | Presenting status of assigned actions; and |
| e. | Identifying ESOH deficiencies requiring further test and evaluation. |

| 6.1 | DESIGN AND ENGINEERING |
The Contractor shall design the M870 suspension upgrade and corresponding LVSR interface ECP to fulfill the requirements in the P-Spec. Where feasible, the Contractor shall choose provisioned items to support the specifications provided in the P-Spec including products, practices and tools.
6.2 INTEGRATION
The Contractor shall integrate all production M870A2-S with the suspension upgrades in accordance with the M870 performance specification.
The Contractor shall provide two (2) First Article Test (FAT) assets (M870A2-S with upgraded suspension integrated), one (1) stand-alone LVSR tractor ECP kit and one (1) LVSR tractor with ECP kit installed to a test facility to be identified by the Government at a later date.
During first article testing phases, the Contractor shall be responsible for any design, installation, or instruction issues that occur during the initial integration of the upgrades.

6.3 REQUIREMENTS TRACEABILITY MATRIX (RTM)
The Contractor shall develop and deliver an RTM. The RTM uniquely identifies program requirements to ensure that the requirements can be traced and verified through the design, build, test, and verification phases of development. The RTM shall be updated with each approved analysis and test event.

6.4 SOURCE CONTROL AND VENDOR ITEM DRAWINGS
The Contractor shall prepare (IAW ASME Y14.24 and MIL-STD-31000) and deliver source control and vendor item drawings for the upgrades. Source control and vendor item drawings shall have two (2) or more sources of supply listed. The Contractor shall look for parts, components, subassembly or assemblies of currently existing sources of supply in the Governments supply system to determine if the Government part already exists. When choosing design solutions of items that have an established NSN, the Contractor shall validate that the solution meets all design specification reliability, performance, and space requirements.

6.5 REQUIREMENTS FOR SOURCE CONTROL DRAWINGS (SCDS)
Requirements for SCDs shall conform to the following:
| a. | Maximum use of commercially developed components is essential. First design choice should be the use of an existing Government item readily available in the Government supply system. |
| b. | In order to assure life cycle competition for Non-Developmental Items (NDI), use of SCDs shall be minimized. When it becomes apparent to the Contractor that an SCD or model is in the best interest of the Government, a recommendation shall be made to the Program Office’s CM Representative including the results of a market survey which led to the recommended selection. No SCD shall be prepared by the Contractor, nor shall the Contractor assume that the Government shall accept the source control recommendation, unless specific written approval is provided by the KO. |
| c. | The NDIs shall not be fully detailed unless it can be demonstrated by the Contractor that such detailing does not impair the life cycle competitiveness of the item. |
| d. | Provisioned parts for source controlled items shall be depicted on the models metadata attributes after a maintenance evaluation has been completed and repair part selection validated. In the event such maintenance evaluation has not been prescribed within the scope of this contract, even though the component is known to be repairable, no provisioned parts listing shall be shown on the drawings or models. |
| e. | All SCDs and models shall contain sufficient information, IAW ASME Y14.100, for the Government to procure and accept a part or component under a secondary item procurement contract and to qualify additional sources. Acceptance criteria and processes on any SCD and models shall, to the extent practical, be similar to what that supplement accomplishes when the item is purchased by other commercial or military agencies. |

6.5.1 FIRST ARTICLE INSPECTION (FAI)
Prior to the beginning of the FAI, the Contractor shall prepare a recommended inspection plan for the First Article item(s) and submit for Government approval. As part of this plan, the Contractor shall provide a list and time schedule of the FAI including anticipated completion dates.
The production contract requirements that are to be validated during the FAI are as follows:

| b. | Quality planning |
| c. | Subcontractor and supplier quality assurance |
| d. | Subcontractor and supplier quality documentation |
| e. | Welding requirements |
The FAI plan shall evaluate instructions for the installation of the upgrades. The FAI shall be representative of items to be manufactured using the same process, facilities and procedures as will be used for full-rate production. Failure to submit a complete list and schedule to the Government will not relieve the Contractor of First Article Inspection. Delays in schedule as a result of the Contractor's failure to identify the FAI articles requiring FAI will be the responsibility of the Contractor.
The Contractor shall perform FAI on the Upgrades. The Government reserves the right to be present at any such inspection.
