PERFORMANCE WORK STATEMENT

PERFORMANCE WORK STATEMENT

FOR

CREW, IDOPS, AND GBOSS TEAM PORTFOLIOS

ACQUISITION AND PROGRAM MANAGEMENT SUPPORT

1. Scope

This Performance Work Statement (PWS) sets forth the performance required by the Contractor in providing acquisition and program management support to the Marine Corps

Systems Command (MCSC), United States Marine Corps (USMC), Counter Radio-Controlled Improvised Explosive Device

Electronic Warfare (CREW), Identity Operations (IdOps), and

Ground-Based Operational Surveillance System (GBOSS) Teams.

This support involves subject matter expertise in the following competencies: Program Management, Administration, Financial Management, Engineering, Logistics (to include training development, execution and Marine Expeditionary Force

(MEF) Field Service Representative (FSR) support), Warehouse

Management, and Configuration Management. Due to dynamic program funding profiles, each team will detail the specific work required in their Task OrderPWS for the designated period of performance. Not all tasks found in the base contract’s PWS will necessarily be required or executed during a single Task

Order. Successful Performance of this PWS and subsequent Task

Orders will require interfacing with a multitude of personnel from multiple government and contractor agencies, such as, but not limited to: Space and Naval Warfare Center Atlantic

(SPAWAR), Charleston SC; the Naval Surface Warfare Center, Crane, IN; Naval Surface Warfare Center, Dahlgren, VA; Marine

Corps Combat Development Center, Headquarters Marine Corps; et cetera. A Team Lead oversees the development, acquisition, and life cycle management of the programs or projects within the

USMC CREW, IdOps, and GBOSS teams.

1.1. Background

Current products managed by the USMC CREW Team are the CREW

Vehicle Receiver Jammer (CVRJ) (V)1, CVRJ (V)2, the CVRJ

Augmentation Program (CAP), the Marine Expeditionary Unit

(MEU) Special Operations Capable (SOC) CREW requirement, CREW

Laptop, and the Universal Test Set. The GBOSS team currently manages GBOSS and its Heavy, Medium, and Light variants.

Current programs managed by the IdOps Team are the Biometrics

Enrollment and Screening Device (BESD), Identity Dominance

System Marine Corps (IDS-MC) Increment 1 and Increment 2, and the Expeditionary Forensics Exploitation Capability (EFEC).

Activities conducted within these portfolios include the procurement, fielding, and sustainment of current systems as well as preparation and execution of any potential Urgent

Universal Need Statement (UUNS) or new start programs requested by the Marine Corps. Multiple appropriations and budget lines will be used to fund the Task Orders.

Each Team is currently dedicated to developing, delivering and sustaining integrated and interoperable capabilities to the

Marine operating forces in order to accomplish their war-fighting mission. In an ever evolving operational and fiscal climate, the CREW, IdOps and GBOSS teams must be poised to support emerging requirements in a collaborative environment, such as joint development, procurement, and fielding of the future systems/capabilities. The Teams implement innovative acquisition solutions and maximize knowledge, technology, and the industrial base by collaborating with government, academic, and commercial organizations to achieve optimal integration and delivery of systems in support of the war-fighter.

The PWSs associated with this effort’s task orders follow a traditional performance-based format. The contractor shall provide the support, described below and set forth in each

Team’s Task Order, in accordance with the MCSC Concept of

Operations, the MCSC Acquisition Guidebook, and the Defense

Federal Acquisition Guidebook. The nature of the support required for each task statement will depend on the acquisition stage of the particular project. Each Team’s organizational chart and program schedules are provided as enclosures to their Task Orders to assist the Contractors in the delineation of tasks.

2. General Requirements.

The Contractor shall perform all tasks as outlined in this PWS and subsequent Task Orders. All deliverables shall be submitted to the Contracting Officer’s Representative (COR).

The COR is responsible for tracking and accepting deliverables.

Contractors shall identify themselves as Contractor personnel and display badges or other visible identification for meetings with Government personnel. If Contractor personnel are introduced, it is their responsibility to ensure the introduction notes their status as a Contractor. Similarly, Contractor personnel shall display badges or other visible identification that identifies them as Contractor personnel whenever they are in meetings with Government personnel. In addition, Contractor personnel shall appropriately identify themselves as Contractor employees in telephone conversations and in formal and informal written correspondence.

The offeror shall identify the level of experience of each key member of their proposal and how their experience relates to the PWS requirements associated with the CREW, IdOps and GBOSS teams.

3. Specific Requirements.

The Contractor shall provide and maintain a recommended personnel Common Access Card (CAC) list for the COR’s approval.

CACs will only be issued to those contractors supporting this contract that have been authorized by the COR. The COR will identify and approve those contractor employees performing on this contract that require CACs in order to perform their job function. In accordance with Headquarters, United States

Marine Corps issued guidance relative to Homeland Security

Presidential Directive – 12 (HSPD-12), all personnel must meet eligibility criteria to be issued a CAC.

In order to meet the eligibility criteria, contractor employees requiring a CAC, must obtain and maintain a favorably adjudicated Personnel Security Investigation (PSI.) Prior to authorizing a CAC, the employee’s JPAS record must indicate a completed and favorably adjudicated PSI or (at a minimum) that a

PSI has been submitted and accepted (opened). The minimum acceptable investigation is a National Agency Check with Written

Inquiries (NACI.) If a contractor employee’s open investigation closes and is not favorably adjudicated, the CAC must be immediately revoked and retrieved.

Facility Security Officers (FSOs) are responsible for notifying the MCSC Security Director if any contractor performing on this contract receives an unfavorable adjudication after being issued a CAC. The FSO must also notify the MCSC Security Director of any adverse/derogatory information associated with the 13

Adjudicative Guidelines/Factors concerning any contractor issued a CAC, regardless of whether a JPAS Incident Report is submitted.

Each CAC is issued with a “ctr.usmc.mil” e-mail account that the individual contractor is responsible to keep active by logging in on a regular basis (at least twice a month), sending an e-mail and clearing any unneeded e-mails. Contractors are prohibited from “auto-forwarding” their .mil e-mail account to any account that is not .mil. If the ctr.usmc.mil e-mail account is not kept active, the G-6 will deactivate the account and CAC will lose its functionality. CACs will only be issued to those contractors supporting this contract that have been authorized by the COR. The COR will only authorize CACs for those contractors that meet current HSPD-12 criteria and have a definitive requirement.

If a contractor loses their eligibility for a CAC due to an adverse adjudicative decision, they have also lost their eligibility to perform on MCSC contracts. CACs are not issued for convenience.

Non-disclosure agreements are required for all Contractors supporting the Task Orders. The Contractor shall arrange all non-disclosure agreements necessary to interface with other contractors to accomplish the mission in support of this PWS in accordance with FAR 9.505-4. Copies of all non-disclosure agreements required for this contract shall be provided to the

Contracting Officer and COR.

CLAUSES INCORPORATED BY FULL TEXT

52.216-18 ORDERING. (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from Date of

Award through Five Years (sixty months).

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the

Schedule.

(End of clause)

52.216-19 ORDER LIMITATIONS. (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than (insert dollar figure or quantity), the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor:

(1) Any order for a single item in excess of $20,000,000.00.

(2) Any order for a combination of items in excess $25,000,000.00; or

(3) A series of orders from the same ordering office within NAdays that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal

Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the

Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within NAdays after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons.

Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and

Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after [insert date].

52.219-13 Notice of Set-Aside of Orders (Nov 2011)

The Contracting Officer will give notice of the order or orders, if any, to be set aside for small business concerns identified in 19.000(a)(3) and the applicable small business program. This notice, and its restrictions, will apply only to the specific orders that have been set aside for any of the small business concerns identified in 19.000(a)(3).

52.232-40 PROVIDING ACCELERATED PAYMENTS TO SMALL BUSINESS

SUBCONTRACTORS (DEC 2013)

(a) Upon receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.

(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment Act.

(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial items.

252.204-7011 ALTERNATIVE LINE-ITEM STRUCTURE (SEP 2011)

(a) Line items are the basic structural elements in a solicitation or contract that provide for the organization of contract requirements to facilitate pricing, delivery, inspection, acceptance and payment. Line items are organized into contract line items, subline items, and exhibit line items. Separate line items should be established to account for separate pricing, identification (see section 211.274 of the Defense Federal

Acquisition Regulation Supplement), deliveries, or funding. The Government recognizes that the line item structure in this solicitation may not conform to every offeror's practices. Failure to correct these issues can result in difficulties in accounting for deliveries and processing payments. Therefore, offerors are invited to propose an alternative line item structure for items on which bids, proposals, or quotes are requested in this solicitation to ensure that the resulting contract structure is economically and administratively advantageous to the Government and the Contractor.

(b) If an alternative line item structure is proposed, the structure must be consistent with subpart 204.71 of the

Defense Federal Acquisition Regulation Supplement and PGI 204.71. A sample solicitation line-item structure and a corresponding offer of a proposed alternative line-item structure follow.

Contractor Reported Cyber Incident Information.

As prescribed in 204.7304(b), use the following clause:

LIMITATIONS ON THE USE OR DISCLOSURE OF THIRD-PARTY CONTRACTOR

REPORTED CYBER INCIDENT INFORMATION (OCT 2016)

(a) Definitions. As used in this clause—

“Compromise” means disclosure of information to unauthorized persons, or a violation of the security policy of a system, in which unauthorized intentional or unintentional disclosure, modification, destruction, or loss of an object, or the copying of information to unauthorized media may have occurred.

“Controlled technical information” means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution

(2) The Contractor shall protect the information against unauthorized release or disclosure.

(3) The Contractor shall ensure that its employees are subject to use and non-disclosure obligations consistent with this clause prior to the employees being provided access to or use of the information.

(4) The third-party contractor that reported the cyber incident is a third-party beneficiary of the non-disclosure agreement between the Government and
