About this file

This is a sample agreement for ITB 26-104, issued by Citrus County, Florida, a political subdivision of the State of Florida, for the supply and delivery of off-road diesel fuel to the Citrus County Central Landfill. The County seeks to contract with a vendor to deliver approximately 1,600 gallons of red-dyed Ultra Low Sulfur #2 Diesel (15ppm) per week to fuel dispensing tanks located at 230 West Gulf to Lake Highway, Lecanto, Florida 34461. Weekly deliveries are scheduled on pre-arranged weekdays between 8:00 a.m. and 4:00 p.m., excluding holidays, with invoicing based on net gallons delivered and supported by metered delivery tickets. The contract term begins September 8, 2026, for an initial three-year period with an option to renew for an additional three years, contingent upon satisfactory vendor performance and subject to availability of funds. The agreement may be automatically extended for up to 120 calendar days to ensure continuity of service during solicitation and award of new contracts.

Pricing is structured on a cost-plus basis, calculated daily using the Port of Tampa, Florida above-rack prices published in Oil Price Information Services (OPIS) at the time of order placement, plus a fixed fee per gallon submitted by the bidder for labor, materials, equipment, insurance, and delivery costs. The fixed fee shall be carried to no more than four decimal places and remain firm for the first contract year; adjustments at renewal are limited to the lesser of the percentage change in OPIS rack prices or five percent. The County holds exemptions from federal excise tax and state sales tax on diesel fuel. For evaluation purposes, estimated annual usage is calculated at 83,200 gallons (1,600 gallons per week × 52 weeks), though actual quantities may vary based on operational needs with no guaranteed minimum or maximum purchase obligation. The vendor must provide proof of terminal bill of lading net pricing on initial deliveries and whenever pricing changes, maintain a 10,000-gallon diesel reserve during hurricane season (June 1 through November 30) for 24/7 emergency fueling, and ensure fuel meets specified gravity, flash point, viscosity, and cetane requirements suitable for Tier 4 diesel engines.

Proceedings to resolve the dispute will be commenced within forty-five (45) business days after the date the payment request in dispute was recorded as being received by County and will be concluded by final decision of County within sixty (60) business days after the date on which the payment request was recorded as being received by County. In case of any delay Vendor believes is excusable, Vendor shall notify County in writing of the delay or potential delay and describe the cause of the delay either (1) within ten (10) days after the cause that creates or will create the delay first arose, if Vendor could reasonably foresee that a delay could occur as a result, or, (2) if delay is not reasonably foreseeable, within five (5) days after the date Vendor first had reason to believe that a delay could result. THE FOREGOING SHALL CONSTITUTE VENDOR’S SOLE REMEDY OR EXCUSE WITH RESPECT TO DELAY. Providing notice in strict accordance with this paragraph is a condition precedent to such remedy. No claim for damages shall be asserted against County. Vendor shall not be entitled to payment of any kind from County for direct, indirect, consequential, impact or other costs, expenses, or damages, including but not limited to costs of acceleration or inefficiency, arising because of delay, disruption, interference, or hindrance from any cause whatsoever. County will consider the employment of unauthorized aliens a violation of Section 274A(e) of the Immigration and Nationality Act. Such violation will be cause for unilateral cancellation of the Agreement, by County, if Vendor knowingly employs unauthorized aliens.

18.18. Lobbying

Vendor shall not, in connection with the Agreement, directly or indirectly (1) offer, confer, or agree to confer any pecuniary benefit on anyone as consideration for any County officer or employee’s decision, opinion, recommendation, vote, other exercise of discretion, or violation of a known legal duty, or (2) offer, give, or agree to give to anyone any gratuity for the benefit of, or at the direction or request of, any County officer or employee.
