PART I – THE SCHEDULE
SECTION H
SPECIAL CONTRACT REQUIREMENTS
H001 GENERAL INSURANCE REQUIREMENTS AND INFORMATION
H-1. GENERAL. Prior to performance of any services hereunder, the contractor shall, at its own expense, procure and maintain during the entire performance period of this contract, with financially and legally responsible insurance company or companies, passenger and public liability insurance in accordance with paragraph H.1.1 or H.1.2.
Liability insurance purchased pursuant to the requirements of this paragraph shall cover payment to the
Government, pursuant to the subrogation provision of the Medical Care Recovery Act (42 USC 265l) and within the liability limitations of this contract, of the cost of Government provided medical care to the extent that said insurance would cover payment to injured individuals of the cost of medical care in the absence of any Government obligation to provide medical care. For damages arising from injuries or death (taking place on board the aircraft or during the course of any aircraft operation, including embarking or disembarking) not exceeding $150,000 for each passenger, the carrier shall not be able to exclude or limit it liability, unless the damages were a result of an injury or death resulting from an act of war as defined in this contract. The contractor shall furnish to the Contracting Officer
Evidence of Insurance, duly executed by the Insurer, of the insurance required by this paragraph. The Evidence of
Insurance shall substantially conform to the form set forth in paragraph H.2. Nothing herein shall be deemed to affect the rights and liabilities of the contractor with regard to any claim brought by, on behalf of, or in respect of any person who has willfully caused damage which resulted in death, wounding, or other bodily injury of a passenger.
H.1.1. Split Limits Liability. The minimum limits of liability insurance coverage maintained by the contractor, as required by 14 Code of Federal Regulations (CFR) 205, shall be as follows:
H.1.1.1. Liability for bodily injury to or death of aircraft passengers: A limit for any one passenger of at least three hundred thousand dollars ($300,000.00), and a limit for each occurrence in any one aircraft of at least an amount equal to the sum produced by multiplying three hundred thousand dollars ($300,000.00) by the number of passengers to be carried on the aircraft in accordance with the Performance Work Statement.
H.1.1.2. Liability for bodily injury to or death of persons (excluding passengers): A limit of at least three hundred thousand dollars ($300,000.00) for any one person in any one occurrence, and a limit of at least twenty million dollars ($20,000,000.00) for each occurrence.
H.1.1.3. Liability for loss of or damage to property: A limit of at least twenty million dollars ($20,000,000.00) for each occurrence.
H.1.2. Combined Single Limit Liability.
H.1.2.1. Notwithstanding the provisions of paragraph H.1.1. Above the contractor may be insured for a single limit of liability for each occurrence. In that event, coverage shall be equal to or greater than the combined required minimums set forth in paragraph H.1.1, above, for bodily injury, property damage, and/or passenger liability for the type of use to which such aircraft is put, as the case may be.
H.1.2.2. In the case of a single limit of liability, aircraft may be insured by a combination of primary and excess policies. Such policies shall have combined coverage equal to or greater than the required minimums set forth in paragraph H.1.1, above, for bodily injury to non-passengers, property damage, and/or passenger liability for the type of use to which the aircraft is put, as the case may be.
H002 EVIDENCE OF INSURANCE – PASSENGER AND PUBLIC LIABILITY
H.2. Prior to performance of any services hereunder, the contractor shall provide the Government with appropriate evidence of insurance in accordance with this Performance Work Statement Appendix. The evidence shall substantially conform to the following paragraphs:

H006 SUBCONTRACTOR SUITABILITY AND FOREIGN ENTITY INFORMATION
SHEET
H.6. The contractor shall determine the suitability of its prospective foreign subcontractors pursuant to FAR Part 9, Subpart 9.104-4, Subcontractor Responsibility; FAR Part 25, Subpart 25.701, Prohibited Sources; DFARS Clause
252.225-7993, Prohibition on Contracting with the Enemy; DFARS Clause 252.225-7994, Additional Access to
Contractor and Subcontractor Records in the United States Central Command Theater of Operations, if applicable;
and DFARS Clause 252.225-7981, Additional Access to Contractor and Subcontractor Records (Other than
USCENTCOM), if applicable. Special factors related to performance of this contract compel the Contracting
Officer to assist in that determination. These factors include critical requirements, substantial subcontracting, safety concerns, risk of terrorism and hostilities, and rapidly changing organizational forms of supporting organizations that mask prior performance records and relationships with entities of concern.
H.6.1. To facilitate this determination, contractors shall submit a Foreign Entity Information Sheet (FEIS)
(Attachment 6) to the Contracting Officer for each prospective foreign subcontractor used in contract performance within 10 days of contract award. At time of award, the contractor will be permitted a 90-day grace period to use foreign subcontractors while being vetted.
H.6.1.1 An FEIS (Attachment 6) shall be submitted to the Contracting Officer for all new foreign subcontractors added after contract award. A grace period may be approved by the Contracting Officer on a case by case basis, not to exceed 90 days.
H.6.2. Periodically, the Contracting Officer shall make available to the contractor the name of foreign subcontractors and non-DoD sponsored foreign nationals deemed unsuitable for use on USTRANSCOM contracts.
These names shall be periodically updated to reflect recent information and changing evaluations. The contractor shall not allow named entities to perform any role in performance under this contract.
H.6.3. The Government will not be liable for any costs associated with the use of an entity deemed unsuitable by
USTRANSCOM or sanctions administration and enforcement organizations (e.g., Department of Treasury Office of
Foreign Assets Control (OFAC) and Department of Commerce Bureau of Industry and Security (BIS)) at any time during the performance of this contract, to include safety audits or other expenses which may have been incurred during a grace period and prior to USTRANSCOM approval/disapproval.
H.6.4. If there are additional questions regarding subcontractor suitability from the Contracting Officer, the contractor shall have 10 business days to respond.
H007 CLIN STRUCTURE
CLINs 0001,0002,0003,0004,0005,0006, 0009 and 0010 are for services performed within Afghanistan in accordance with Attachment 1, PWS.
H.7.1 CLINs 0001 and 0002 for Positioning of Heavy and Super Heavy aircraft. The amount for these CLINs will not be paid until the aircraft are operational in the areas specified in the task order. Operational is defined as all aircraft, equipment, and aircrew are present in Afghanistan and ready to perform mission taskings. Prices in
Attachment 3, Pricing Table reflect the maximum for positioning aircraft within Afghanistan. Positioning will only be paid once since the PWS Section 1.1 allows re-direct by the Contracting Officer within the AOR.
H.7.2. CLINs 0003, 1003, 2003, 3003, 0005, 1005, 2005 and 3005 are for Monthly Service of Heavy and Super
Heavy aircraft. Prices in Attachment 3, Pricing Table reflect the maximum Monthly Service for aircraft within
Afghanistan.
H.7.3. CLINs 0004, 1004, 2004, 3004, 0006, 1006, 2006 and 3006 are for Blade Hour Rate of Heavy and Super
Heavy aircraft. Prices in Attachment 3, Pricing Table reflect the maximum Blade Hour Rate for aircraft within
Afghanistan. Only blade flying hours in direct support of this contract IAW PWS para 1.4.4 shall be invoiced.
Hours for orientation flights are not billable against this CLIN. Blade hours are calculated from the moment rails are off the ground at the hub until the rails touch the ground at the hub at completion of a mission time to the nearest
1/10 hour expressed in local time.
H.7.4. CLINs 0007, 1007, 2007 and 3007 are for Cost Reimbursable Fuel. The contractor will be reimbursed for all fuel purchases in direct support of this contract while in the areas specified on Attachment 3, Pricing Table.
Requests for fuel reimbursements shall be supported by paid receipts. In the event paid receipts cannot be furnished, other documentation showing the price per gallon/liter paid, number of gallons/liters, date, and aircraft tail number must be submitted. All indirect costs, such as overhead, G&A expenses or profit that may otherwise be allocated to fuel reimbursements hereunder are specifically prohibited.
H.7.5. CLINs 0008, 1008, 2008 and 3008 are for Cost Reimbursable Non-Recurring. In the event GFE listed in the
PWS cannot be provided, the contractor may request reimbursement for these items under this CLIN. The contractor must coordinate with the COR and Contracting Officer if GFE is not provided. If the COR and the
Contracting Officer concur that GFE cannot be provided, the contractor will be required to obtain and submit three quotes from three vendors along with their recommendation for purchase of that specific item. The COR will validate the necessity of all purchases prior to the Contracting Officer approving such purchases. The Contracting
Officer will approve/disapprove the request prior to purchase. Requests for GFE reimbursements shall be supported by receipts/invoices and proof of payment.
H.7.6. CLINs 0009, 1009, 2009, 3009, 0010, 1010, 2010 and 3010 are for Depositioning of Heavy and Super
Heavy aircraft. Depositioning CLINs are established in the task order for each period, but Depositioning will only be paid when the aircraft leave the area of operations as described in the task order.
H.7.7 Additional line items may be added for rotary wing services for locations other than Afghanistan. These services will be solicited under a new Task Order and PWS in accordance with the ordering procedures in Section
H.9.3.
H008 RECOMPETITION
H.8.1. Unless the solicitation is reopened, IDIQ holders can only compete for future task orders within the category of aircraft awarded in the initial IDIQ competition. For example, if an offeror is awarded an IDIQ contract with
CLINs for heavy and none for super heavy, that offeror will be excluded from competing for future task orders requesting super-heavy aircraft. However, in the event circumstances described in para below (H.8.2.) arise, IDIQ holders can compete for aircraft classes for which they were not initially awarded.
H.8.2. The Government will initially establish the awardee pool by competitively awarding multiple-award IDIQ contracts. As future task order requirements within the program ceiling totals materialize, over the life cycle of this program, the Government will compete those requirements amongst all existing IDIQ contract holders to determine if the contract holders can adequately fulfill the needed capability. The Government reserves the right to reopen the competition under this contract if there is shortfall in meeting the requirements among the existing IDIQ contract holders or if it is in the Government’s best interest to add new contractors to the original pool of IDIQ contract holders. When/if the Government decides to reopen the solicitation, an announcement will be posted via FedBizOps allowing all offerors the opportunity to compete in a full and open competition for an IDIQ contract and task orders to meet the new requirements. Any existing IDIQ contract holder does not have to re-compete for an IDIQ contract.
However IDIQ contract holders will be allowed to compete for an aircraft class they were not awarded under the original IDIQ competition as appropriate. The competitions will use the same evaluation methodology and documentation (updated to reflect changes in regulatory provisions, requirements and certifications) as the original competition. Once a new awardee is selected, that awardee will be included in the awardee pool and will compete for future task orders. Subsequent to a reopened competition, initial and new IDIQ awardees can compete by aircraft class for future task orders. The ordering period for new contractors being added to the initial awardee pool will coincide with initial awardees ordering period, inclusive of options, but shall not extend the overall term of the contract beyond the original ordering period nor shall it reestablish the contract base period, inclusive of options.
H.8.3. Air Operations. The awardee for both IDIQ and subsequent task orders must be the entity that will operate the aircraft under this contract, unless subcontracting is required by international agreement.
H009 ORDERING PROCEDURES
H.9.1 Fair opportunity for awards will be provided through a best-value award process. The Government is responsible for evaluating user requirements and for making independent best value decisions.
H.9.2 Task Order Awards will be in accordance with FAR 16.505(b) Orders Under Multiple-Award Contracts.
Ordering unless the USTRANSCOM Contracting Officer (USTC-CO) determines one of the following exceptions applies, per FAR 15.505(b)(2):
H.9.2.1 The agency’s need for the services or supplies is of such urgency that providing such opportunity would result in unacceptable delays.
H.9.2.2 Only one awardee is capable of providing the services or supplies at the level of quality required because the supplies or services ordered are unique or highly specialized.
H.9.2.3 The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
H.9.2.4 It is necessary to place an order to satisfy a minimum guarantee.
H.9.2.5 For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.
H.9.2.6 In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply.
H.9.3 Source Selection Process. Upon receipt of requirement from the Requirement Owner, U.S. Transportation
Command Acquisition (TCAQ) will solicit per following process.
H.9.3.1 Prime contractors will be provided an equal opportunity to submit a proposal on the requirement within the timeframe specified in the solicitation. All contractors will be given the same information and time to respond.
H.9.3.2 During proposal preparation, the Contractor shall ensure all offers are equal to or lower than their awarded
IDIQ Not-To-Exceed (NTE) rates per CLIN. Offers that contain prices higher than the IDIQ NTE rates will be ineligible for award. The Contractor shall also ensure all proposed prices submitted are in whole cents.
http://farsite.hill.af.mil/reghtml/regs/far2afmcfars/fardfars/far/19.htm#P3_65
H.9.3.3 TCAQ will appoint a team to evaluate all proposals received. Proposals will be evaluated in accordance with the criteria stated in the solicitation. Evaluation criteria is dependent upon the requirement but are likely to include U.S. Flag preference (as applicable), Technical, Past Performance, and Price factors.
H.9.3.4 USTC Contracting Officer will award the task order to the prime representing the best-value to the
Government.
