SECTION I - CONTRACT CLAUSES

5652.243-9000, Technical Improvements (2005)

a. After contract award, the Government may solicit, or independently the Contractor may propose, technology improvements to the equipment, software specifications, or other requirements of the contract. For purposes of this contract, these improvements will be considered Engineering Change Proposals (ECP)/Engineering Change Orders (ECO). These improvements may be proposed to save money, save energy, improve performance or for any other purpose which presents a technological advantage to the Government. As part of the proposed changes, the Contractor shall submit a price proposal to the Contracting Officer for evaluation. Those proposed technology improvements that are acceptable to the Government will be processed as modifications to the contract.

b. As a minimum, the following information shall be submitted by the Contractor with each proposal:

1. A description of the difference between the existing contract requirement and the proposed change, and the comparative advantages and disadvantages of each;

2. Itemized requirements of the contract which must be changed if the proposal is adopted, and the proposed revision to the contract for each such change;

3. An estimate of the changes in performance and cost, if any, that will result from adoption of the proposal;

4. An evaluation of the effects the proposed changes would have on collateral costs to the Government, such as Government-furnished property costs, costs of related items, and costs of maintenance, operation and conversion (including Government application software); and

5. A statement of the time by which the contract modification adopting the proposal must be issued so as to obtain the maximum benefits of the changes during the remainder of this contract including supporting rationale; and

6. Any effect on the contract completion time or delivery schedule shall be identified.

c. The Government reserves the right to require a rerun of selected portions of the live test demonstration to verify the proposed improvement, at no additional charge to the Government.

d. The Government will not be liable for proposal preparation costs or any delay in acting upon any proposal submitted pursuant herein. The Contractor has the right to withdraw, in whole or in part, any proposal not accepted by the Government within the period specified in the proposal. The decision of the Contracting Officer as to the acceptance of any such proposal under this contract is final and not subject to the “Disputes” clause of this contract.

e. The Contracting Officer may accept any proposal submitted pursuant to this clause by giving the Contractor written notice thereof. This written notice will be given by issuance of a modification to this contract. Unless and until a modification is executed to incorporate a proposal under this contract, the Contractor shall remain obligated to perform in accordance with the requirements, terms and conditions of the existing contract.

f. If a proposal submitted pursuant to this clause is accepted and applied to this contract, the equitable adjustment increasing or decreasing the contract price shall be in accordance with the procedures of the “Changes” clause. The resulting contract modification will state that it is made pursuant to this clause.

(end of clause)

52.216-19 ORDER LIMITATIONS. (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $50.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor:

(1) Any order for a single item in excess of $120M;

(2) Any order for a combination of items in excess of $120M; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons.

Upon receiving this notice, the Government may acquire the supplies or services from another source.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS TO OFFERORS

SECTION L: Instructions to Offerors

L-1 General Instructions. Your proposal must fully comply with all of the following instructions.

FAILURE TO DO SO MAY BE CAUSE FOR REJECTION.

L-1.1 The Government’s objective for this procurement is to satisfy the SOF Deployable Node–Lite (SDN-L) requirement using a non-developmental item (NDI) acquisition strategy. As an NDI program offerors must propose a materiel solution based on existing products and technology, not one requiring development. Offerors shall propose a materiel solution that complies with the FAR 2.101 definition of

NDI.

L-1.2 Clearly state how you intend to accomplish this contract. Offerors are reminded that unsupported promises to comply with the contractual requirements will not be sufficient, and mere acknowledgement or restatement of a requirement or task is not acceptable. The proposal should be presented in a clear, coherent and concise manner, and should be limited to the information necessary to convey a point and should not be overly elaborate. Offerors are cautioned that any pages exceeding the page count limit will not be evaluated, potentially resulting in the proposal being found deficient and subsequently rejected.

L-1.3 Information pertaining to price shall be confined to the price volume only.

L-1.4 Discrepancies. Prior to submission of proposals, offerors are expected to clearly understand the requirements of this solicitation. If such a review identifies an error, omission or any issue that may render the solicitation unsound, or establishes the need for a correction or clarification, such information should immediately be communicated to the contracting officer in writing so the matter can be resolved.

L-2 Proposal Structure. The SDN-L proposal shall be comprised of three volumes titled Technical, Past Performance, and Price, which correspond to the three areas that will be evaluated.

L-2.1 All text shall be printed in black ink using 12-point, Courier font. Printed lines shall be spaced a minimum of one character height apart (i.e., double spaced) and each page shall have a minimum of 1" margin from the paper edge to the text on all four sides. Page size shall be 8-1/2” X 11 with the exception of illustrative foldouts, which shall not exceed 11 x 17 inches. Foldouts will count as two pages. No more than 20% of the maximum number of pages in each volume may be a foldout. Where possible, diagrams and associated text shall both be visible (at the same time) without disassembling the document.

Any photographic reproductions included shall conform to the page size limits. Each volume of the proposal shall be limited to the number of printed pages stipulated below unless otherwise stated.

Volume I - Technical - 75 pages(excludes subcontracting plan) Volume II - Past Performance - 10 pages Volume III - Price - No page limit

L-2.2 Offeror provided specification sheets, copies of test plans, test procedures and test results - of previously conducted testing - of the proposed NDI material solution may be submitted and will not be included in page counts. No other material or links to other sites may be incorporated into any portion of the SDN-L proposal by reference as a means to circumvent the page count limitations. However, cross-referencing may be used if the offeror believes that the subject matter was adequately covered elsewhere in the SDN-L proposal. Past performance questionnaires received from sources other than the offeror do not count against the Volume II page count limitation. The subcontracting plan will not count against Volume I page count limitation.

L-3 Proposal Content. Each volume of the proposal shall address the requirements identified in the following paragraphs.

L-3.1 Volume 1 - Technical Approach. Volume 1 corresponds to Area 1 of the evaluation and describes the offeror’s technical approach to satisfy the Government’s needs. Each proposal’s technical approach shall enable Government evaluating personnel to make a thorough evaluation and arrive at a sound determination as to whether or not the proposal will meet the requirements of the Government. To this end, each technical proposal shall be sufficiently specific, detailed and complete as to clearly and fully demonstrate that the offeror has a thorough knowledge and understanding of the requirements and has valid and practical solutions for technical problems. The offeror should also provide any supporting test data to support technical claims or assertions. Any exception to the Government's technical requirements must be included in the technical proposal and clearly delineated in a cover letter to the technical proposal.

L-3.2 Volume 1 of the proposal (Technical Approach) shall be structured to include an Executive Summary and a separate section for each factor and subfactor. No information pertaining to price, except for that related to the subcontracting plan, shall be included in Volume I. The Executive Summary shall summarize the Technical approach and provide a concise overview of the offeror’s efforts that will ultimately result in the delivery of requirements compliant LRIP systems. The offeror shall provide a cross reference matrix that cross-references by page and paragraph the Government's requirements, as identified in the SOW, with the offeror’s proposal. The matrix shall immediately follow the Executive Summary. The matrix pages are not included in the page count. At a minimum, Volume 1 must clearly provide the following:

L-3.2.1 System Requirements. The offeror’s proposed materiel solution shall meet the requirements defined in the SDN-L statement of work (SOW), Attachment 1. Specifically, the offeror shall address:

SECTION M - EVALUATION FACTORS FOR AWARD

BASIS FOR AWARD

SECTION M:

M-1 Basis of Award.

M-1.1 Award will be made to the responsible offeror(s) whose proposal provides the best value to the Government with consideration given to the evaluation areas, listed below in descending order of importance: Technical, Past Performance, and Price. The Technical Area is significantly more important than the Past Performance Area. Past Performance is significantly more important than Price. The Technical and Past Performance Areas when combined are significantly more important than Price.

M-1.2 Offerors are cautioned that a deficiency or a combination of significant weaknesses in any area, factor, sub-factor or element may cause a proposal to be rated unacceptable and excluded from consideration for award. Furthermore, any failure to comply with a key performance parameter (KPP) will be grounds for exclusion of the offeror’s proposal from further consideration for award. Offerors are cautioned that mere repetition of the Government’s requirements without explanation of how the proposed system shall meet the Government’s requirements shall be considered unsatisfactory and downgraded appropriately. Offerors are cautioned that a deficiency in any area, factor, subfactor, or criteria may be grounds for exclusion of the proposal from further consideration for award. Failure to meet any threshold of any Key Performance Parameters (KPPs) shall be grounds for exclusion of the proposal from consideration for award. In addition, Objectives represent performance parameters above the threshold values and desired by the Government. For those KPPs where an Objective is identified, an offeror, whose proposal provides for a demonstrated capability or capabilities better than the performance Threshold, may be evaluated more favorably.

M-1.3 In evaluating proposals, the Government will make appropriate trade-offs when required and select the proposal that is most advantageous to the Government, price and other factors considered.

Offerors are cautioned that an award may not necessarily be made to the lowest priced offeror. The Government is more interested in obtaining a superior technical product than making an award at the lowest overall price.

M-1.4 The Government will make an evaluation on each offeror’s proposal as it relates to the requirements found in the Government's statement of work (SOW). The source selection evaluation will assess how well the proposal addresses the Government’s requirements and the ability of the offeror to execute the program within the scope, time frame and constraints identified in the solicitation.

M-2 Evaluation Areas and Factors and their Relative Order of Importance:

M-2.1 AREA I – TECHNICAL: Technical factors in descending order of importance.

M-3 EVALUATION APPROACH.

M-3.1 AREA I: TECHNICAL.

M-3.1.1 The Government will evaluate the extent to which the offeror’s technical proposal and management approach demonstrate a sound, practical methodology for satisfying the requirements stated in the solicitation.

M-3.1.2 FACTOR 1 AND FACTOR 2: SYSTEM REQUIREMENTS AND BASEBAND CHASSIS:

The evaluation of each technical subfactor and the objective capabilities (for offeror’s who elected to propose objective capabilities) shall include:

(1) Completeness: The proposal will be evaluated on the extent to which the technical requirements have been considered, defined, and satisfied.

(2) Feasibility of the Approach: The proposal will be evaluated on the extent to which the proposed approach is workable and the end results achievable based on the offeror’s proposed schedule.

(3) Risk: The proposal will be evaluated on the extent to which successful technical and schedule performance are dependent upon untried and unproved devices and techniques or which require substantial engineering effort. The proposal will be evaluated to determine whether the offeror’s non-developmental methods and approach in meeting the requirements in a timely manner provide the Government with a high level of confidence for successful performance.

M-3.1.3 FACTOR 3: PROGRAM MANAGEMENT APPROACH: The evaluation of each subfactor is as follows:

(1) SUBFACTOR 3A: QUALITY ASSURANCE: The proposal will be evaluated to assess the offeror’s quality management system to determine the extent to which the offeror can ensure that its product will satisfy the Government’s quality requirements while complying with applicable regulations or environmental objectives.

(2) SUBFACTOR 3B: DELIVERY SCHEDULE: The proposal will be evaluated to assess the vendor’s ability to meet the government’s proposed delivery schedule as delineated in the solicitation.

(3) SUBFACTOR 3C: WARRANTY AND NON-WARRANTY REPAIR: The Government will evaluate the offeror’s proposed commercial warranty IAW FAR 12.404(b) and SOW 5.4.2.

The Non-Warranty Repairs will be evaluated in accordance with SOW 5.4.3.

(4) SUBFACTOR 3D: SUBCONTRACTING APPROACH: Small Business Subcontracting Plan.

The offeror provided a Small Business Subcontracting Plan that meets the minimum requirements in FAR Part 19.704 addressing every subpart (a) (1) through (a) (11) and provides a plan to meet the goals outlined in Section L para 3.2.3.5. This plan will become part of any resultant contact award as an attachment.

M-3.2 AREA II: PAST PERFORMANCE

M-3.2.1 Performance risk considers those risks associated with an offeror’s likelihood of success in performing the solicitation requirements as indicated by the offeror’s record of past/current performance on relevant contracts. The Performance Risk Assessment Group (PRAG) evaluation will consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance of an offeror and all subcontractors/team members.

M-3.2.2 Proposals shall be evaluated to determine if the contracts and sources submitted for the prime and subcontractors/team members are current and relevant. If no relevant historical or current data exists, then the procedures of FAR 15.305(a)(2)(iv) will apply. The Government will evaluate the proposal and data from outside sources considering the following aspects: (1) Conforming to specification and standards of good workmanship, (2) Price/Schedule Planning & Control, (3) Quality Assurance, and (4) Cooperation. This includes the offeror’s performance in price, schedule, and the administrative aspects of performance; the offeror’s history for reasonable and cooperative behavior and commitment to customer satisfaction; and the offeror’s businesslike concern for the interests of its customers.

M-3.3 AREA III: PRICE

M-3.3.1 The proposal will be reviewed to ensure that all CLINs for which the offeror is submitting prices are completed in the Total Evaluated Price (TEP) Matrix, Attachment 2.

M-3.3.2 Total Evaluated Price. The Government will determine the total evaluated price based on the offeror’s completion of the Total Evaluated Price Matrix (Attachment 2). Price reasonableness shall be determined through comparison of competitive commercial market prices and IAW the guidelines set forth in FAR 15.404-1.
