About this file

This is a Statement of Work and Sample Contract for Pre-Commercial Thinning (PCT) and Piling Services between the State of Oregon Department of Forestry (ODF) and a contractor for work on the Malheur National Forest, Blue Mountain Ranger District. The project encompasses 547 acres across 17 units of United States Forest Service administered land in the Magone Project area north of Mount Vernon, Oregon. The contractor must provide PCT hand thinning and piling services to reduce fuel loading and forest density, restoring the forest to more historically resilient conditions. Work specifications require cutting all conifers from 1 foot tall to 8.9 inches DBH to achieve an average 20 by 20 foot spacing (109 trees per acre), with specific species preferences prioritizing Western Larch, Ponderosa Pine, and Douglas Fir for retention. The contract is effective upon full execution and terminates on October 31, 2027. Work quality will be assessed through periodic state inspections with at least 10 percent of stands randomly selected; work accepted at 90 percent accuracy or higher receives 100 percent payment, 75 to 89 percent accuracy results in pro-rated payment, and work under 75 percent accuracy receives no payment with rework allowed to meet contract deadlines.

Compensation is structured on a not-to-exceed basis with specific unit prices per acre, with payments made only for completed and accepted deliverables according to the payment schedule in the Statement of Work. The contractor must register in OregonBuys to receive payment and submit invoices noting when one-third and two-thirds of maximum compensation have been requested. The contractor is responsible for furnishing all labor, supervision, equipment, materials, transportation, and incidentals except those designated as ODF-furnished property, including an English-speaking foreman with minimum three years experience and at least one year in fuels reduction and forestry supervision. The contractor must maintain specified insurance as outlined in Exhibit B, provide weekly communication regarding work schedule changes, and return all ODF-furnished property including forest service keys prior to final payment request. Contractor payments are contingent on Agency receiving sufficient appropriations and authorization within its biennial budget.

Contractor shall, however, make all reasonable efforts to remove or eliminate such a cause of delay or default and shall, upon the cessation of the cause, diligently pursue performance of its obligations under this Contract.

Survival. All rights and obligations cease upon termination or expiration of this Contract, except for the rights and obligations and declarations which expressly or by their nature survive termination of this Contract, including without limitation this Section 16.4, and provisions regarding Contract definitions, warranties and liabilities, independent Contractor status and taxes and withholding, maximum compensation, Contractor’s duties of confidentiality, ownership and license of intellectual property and Deliverables, confidentiality and non-disclosure, Contractor’s representations and warranties, control of defense and settlement, remedies, return of Agency property, dispute resolution, order of precedence, maintenance and access to records, notices, severability, successors and assigns, third party beneficiaries, waiver, headings, and integration.

Severability. The Parties agree that if any term or provision of this Contract is declared by a court of competent jurisdiction to be illegal or otherwise invalid, the validity of the remaining terms and provisions will not be affected, and the rights and obligations of the Parties will be construed and enforced as if the Contract did not contain the particular term or provision held to be invalid.

Merger Clause; Waiver. This Contract and attached exhibits constitute the entire agreement between the Parties on the subject matter hereof. There are no understandings, agreements, or representations, oral or written, not specified herein regarding this Contract. Such waiver, consent, modification or change, if made, will be effective only in the specific instance and for the specific purpose given. The failure of Agency to enforce any provision of this Contract in one instance will not constitute a waiver by Agency of its right to enforce that or any other provision.

Amendments. Agency may amend this Contract to the extent permitted by applicable statutes and administrative rules. No amendment to this Contract is effective unless it is in writing signed by the Parties and has been approved as required by applicable law.

Counterparts. This Contract may be executed in several counterparts, all of which when taken together constitute one agreement binding on all Parties, notwithstanding that all Parties are not signatories to the same counterpart. Each copy of the Contract so executed constitutes an original.

Oregon False Claims Act. Exhibit A Statement of Work Section 1 – General Information

1.1 Project Description

The objective is to provide PCT and piling services on Magone Project area on the Malheur National Forest, Blue Mountain Ranger District to reduce fuel loading and forest density to move the Magone Project area towards a more resistant and resilient landscape within historical conditions (“the project”). All work will occur on 547 acres, across 17 units of United States Forest Service (USFS) administered land.

1.2 Location of Work

All boundaries in this project are virtual. Major Corners, boundaries along private property, category 1 and 2 RHCA’s, and separate contract areas (i.e. Timber Sales) are marked with orange flagging and tags. Individual unit maps provided will be used for accuracy of treatment boundaries. See maps provided in Exhibit D.

Work areas may be reached by USFS roads that are generally accessible by standard two-wheel drive pickup during summer months. Spring and fall road conditions may necessitate the use of a 4-wheel drive vehicle. Roads may be either native surface, gravel, dirt, or paved. All project areas may exhibit unknown road conditions. Closed roads may be available for ATV/UTV use with Agency Contract Administrator authorization.

Travel to and from the project site will generally be on forest roads. Road surfaces can vary in terms of conditions depending upon location and time of year (i.e., season). Road surfaces can range from paved hard surfaces, graveled, to bare dirt surfaces. Paved road surfaces administered by the USFS are limited in scope across the Forest. Maintenance of forest roads administered by the USFS can also vary which might not be typical of those road systems that are managed by other municipalities (i.e., state, county, city etc.). It’s recommended that vehicles capable of operating off road (e.g., 4-wheel drive) that have adequate ground clearance be used for accessing the project work area given the various road conditions one could potentially encounter when traveling within areas of the Ochoco National. Major access to the Forest can be made by traveling federal, state, county, and local public road systems. It is the responsibility of the Contractor to determine the best route of travel to and from the project area and to seek the necessary permits needed for access in areas that are administratively closed by the USFS.

1.2.1 Project Location

The work area is located on the Malheur National Forest, on the Blue Mountain Ranger District. Units are located North of Mount Vernon, off Forest Road 3940. Maps for this project were created in ArcGIS and saved as georeferenced .pdf documents. GPS enabled smart phones and tablets can use these .pdf documents with an application for reading .pdf maps for field navigation.
