5352.209-9003 POTENTIAL ORGANIZATIONAL CONFLICT OF INTEREST (AFMC) (JUL 1997)
(TAILORED)
(a) There is potential organizational conflict of interest (see FAR Subpart 9.5, Organizational and Consultant Conflicts of Interest) due to roles that the successful offeror will be expected to assume during the performance of the resulting contract. Such roles include the experimental testing of products submitted by potential competitors, sharing proprietary information, and subcontracting or teaming. Accordingly:
(1) Restrictions are needed to ensure that the Contractor (a) does not obtain an unfair competitive advantage over other parties by virtue of its performance of this contract, (b) is not biased because of its current or planned interests (financial, contractual, organizational or otherwise) which relate to the work under this contract, and (c) protects the other company's information from unauthorized use or disclosure for as long as it is considered proprietary by the other company and to ensure that the information shall not be used for any purpose other than that for which it was furnished. The OCI clause identifies those restrictions in paragraphs (a)(2), (a)(2)(ii), (a)(3), and (b).
(2) An Organizational Conflicts of Interest Mitigation Plan shall be provided with the proposal. The Plan shall include a narrative which describes the Contractor’s procedures to ensure that all safeguards are in place to maintain control, handling and non-disclosure of sensitive data in conformance with contract requirements. Specifically, the Plan shall address all the requirements identified in PWS Section 1.6.4, Organizational Conflicts of Interest. The offeror shall provide the Contracting Officer with complete information of previous or ongoing work that is in any way associated with the contemplated acquisition.
(b) If award is made to the offeror, the resulting contract may include an organizational conflict of interest limitation applicable to subsequent Government work, at either a prime contract level, at any subcontract tier, or both. During evaluation of proposals, the Government may, after discussions with the offeror and
SECTION L FA9300-10-R-0001 PAGE L- 2
consideration of ways to avoid the conflict of interest, insert a special provision in the resulting contract which shall disqualify the offeror from further consideration for award of future contracts.
(c) The organizational conflict of interest clause included in this solicitation may be modified or deleted during negotiations.
5352.215-9014 SUBMISSION OF COST OR PRICING DATA (AFMC) (OCT 2008) (TAILORED)
(a) It is anticipated that pricing of this action will be based on adequate price competition; therefore, offerors are not required to submit cost or pricing data. However, if after receipt of proposals it is determined that adequate price competition does not exist, cost or pricing data (see FAR 15.406-2, Certificate of Current Cost or Pricing Data) shall be required.
(b) If it is determined that adequate price competition does not exist, the offeror shall provide current, complete and accurate cost or pricing data within the calendar days specified in the Contracting Officer's request.
C. OTHER SOLICITATION PROVISIONS IN FULL TEXT
L011 APPLICABLE CLAUSES (MAY 2009)
The appropriate clauses to be included in the contract will be determined based on Offeror's response to the Section K representations.
(a) Patent Rights. If the Offeror is a small business firm or nonprofit organization, then FAR 52.227-11, PATENT RIGHTS -- OWNERSHIP BY THE CONTRACTOR, and DFARS 252.227-7039, PATENTS - REPORTING OF SUBJECT INVENTIONS will be used in Section I. Otherwise, DFARS 252.227-7038, PATENT RIGHTS - OWNERSHIP BY THE CONTRACTOR (LARGE BUSINESS), will be included in Section I consistent with FAR Part 27.
(b) Cost Accounting Standards. Section I of this solicitation may contain the three Cost Accounting Standards clauses at FAR 52.230-3, 52.230-4, 52.230-5, and/or 52.230-6. The resultant contract will contain only those clauses required based on the Offeror's response to the Section K certification titled Cost Accounting Standards Notices and Certification (National Defense).
(c) State of New Mexico. Section I of this solicitation may contain the clause at FAR 52.229-10, STATE OF NEW MEXICO GROSS RECEIPTS AND COMPENSATING TAX. The resultant contract will contain this clause only if performance is in whole or in part within the State of New Mexico and the contract directs or authorizes the contractor to acquire property as a direct cost under the contract.
(d) Educational institutions and nonprofit organizations. If a cost-reimbursement type contract is contemplated and the offeror is an educational institution, paragraph (a) of the clause at FAR 52.216-7, Allowable Cost and Payment shall be altered in the resultant contract to refer to FAR Subpart 31.3 for determining allowable costs. Similarly, if the offeror is a nonprofit organization (other than an educational institution, a State or local government, or a nonprofit organization exempted under OMB Circular No. A- 122), paragraph (a) of the clause at FAR 52.216-7 shall be altered to refer to FAR Subpart 31.7. In addition, if the offeror is an educational institution, DFARS 252.209-7005, MILITARY RECRUITING ON CAMPUS, will be added to Section I of the resultant contract.
(e) Subcontracting Plan. If the offeror has a comprehensive subcontracting plan under the test program described in 219.702(a), DFARS 252.219-7004, SMALL BUSINESS SUBCONTRACTING PLAN (TEST PROGRAM) will be used in lieu of FAR 52.219-9, FAR 52.219-10, FAR 52.219-16, AND DFARS 252.219- 7003.
L021 SMALL BUSINESS AND SMALL DISADVANTAGED BUSINESS (OCT 2005)
SECTION L FA9300-10-R-0001 PAGE L- 3
FAR 52.219-9 AND DFARS 252.219-7003 are included in this solicitation and will be incorporated into any resultant contract. A subcontracting plan is required from all offerors other than small business concerns for proposals exceeding $500,000 which contain subcontracting opportunities. The plan shall be submitted with the initial proposal and will be concurrently negotiated. If a cost proposal is required by this solicitation, it must relate to, and substantiate, the submissions under FAR 52.219-9(d). Also substantiate the reasonableness of any additional costs to be expended in pursuit of the small disadvantaged business goal.
The offeror's submission must provide sufficient information to support the contracting officer's review of the subcontracting plan to determine: (a) if it is acceptable (otherwise an offeror will be ineligible to receive the contract award); and (b) if at the time of contract completion any small disadvantaged business subcontracting incentive or award fee has been earned. Contractors who have been selected for participation in the DoD test program authorized by Section 834 of Public Law 101-189 and who have approved comprehensive subcontracting plans are not required to negotiate subcontracting plans on an individual contract basis. If the offeror has an approved comprehensive subcontracting plan under the DoD test program, the offeror shall provide a copy of its approved comprehensive subcontracting plan in lieu of the individual plan required herein. Any contract resulting from this solicitation which includes a comprehensive subcontracting plan will include the clause at 252.219-7004, Small Business and Small Disadvantaged Business Subcontracting Plan (Test Program), in lieu of the clauses at FAR 52.219-9, and
DFARS 252.219-7003.
L029 DETERMINATION OF COMPETITIVE RANGE (FEB 1997)
(a) Pursuant to FAR 15.306, the Contracting Officer's determination of competitive range of proposals submitted as a result of this solicitation will consider such criteria as technical evaluation/ranking of the proposal, initial cost/ price proposed, and other items set forth in Section M of this solicitation. See the Section M paragraph entitled "Evaluation Criteria," for a definitive listing of these criteria and their relative importance.
(b) Offerors are hereby advised that only those proposals determined to have a reasonable chance for award of a contract will be included in the competitive range. While every effort will be made to maintain strong competition, the Contracting Officer will also look to eliminate time consuming and unnecessary discussions with those offerors whose proposals have no reasonable chance for award. This procedure is considered beneficial to both the Air Force and the offerors involved since, in addition to saving further expenditure of resources, acquisition lead time should be reduced.
(c) Accordingly, offerors should submit initial proposals on their most favorable terms, from both a technical and cost/price standpoint. Again, it should be noted that proposals will not be included in the competitive range solely on the basis of technical acceptability, nor will they be included due to cost/price considerations alone.
(d) Offerors whose proposals are not included in the competitive range will be notified as soon as practicable. Additional information relative to such proposals will be provided through debriefing of unsuccessful offerors.
L037 DD FORM 1423 (FEB 1997)
(a) All technical data and identified administrative reports contractually required shall be supplied in accordance with attached CDRL or DD Form 1423.
(b) The offeror may propose alternative offers which recommend substitutions or eliminations of the stated requirements. Substantiate each recommendation and describe the projected savings that would result by accepting the alternative offer.
L045 ACCESS TO AIR FORCE COMPUTER SYSTEMS (MAY 2004)
SECTION L FA9300-10-R-0001 PAGE L- 4
If performance under this contract will require access to Air Force computer systems (stand alone or networked), compliance with Air Force Instruction (AFI) 33-119 and Air Force Instruction (AFI) 33-202V1 is mandatory. It should be noted that such access requires, at a minimum, a National Agency Check or Entrance National Agency Check in accordance with DoD 5200.2-R, Personal Security Program. Offerors should make themselves familiar with local procedures for processing such requirements, and be prepared to be in compliance on the first day of contract performance. Failure to comply with this requirement may be considered a failure to perform.
L-III. PROPOSAL PREPARATION INSTRUCTIONS (PPI)
1.0 General Instructions
(a) To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. This section of PPI provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the PPI and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS), Contract Data Requirements List (CDRL), and Model Contract. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separately bound parts, Part I – Cost/Price Proposal, Part II - Past Performance, and Part III – Contract Documentation. Non-conformance with the instructions provided in the proposal preparation instructions may result in an unfavorable proposal evaluation.
(b) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
General Information
1.1 Point of Contact
The Contracting Officer (CO), Ms. Teresa Weber, serves as the sole focal point for this acquisition. Address any questions or concerns you may have to the CO. 1.2 Debriefings
The CO will promptly notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
1.3 Discrepancies/Ambiguities
If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unclear, the offeror shall immediately notify the CO by e-mail with supporting rationale, as well as the remedies the offeror is asking the CO to consider as related to the omission or error. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.

2.0 PART I – COST/PRICE PROPOSAL
2.1 General Instructions
2.1.1 Cost/Price Reasonableness and Realism
This section is to assist you in submitting information other than cost or pricing data that is required to evaluate the reasonableness, realism, balance, and affordability of your proposed cost/price. Compliance with these requirements is mandatory and failure to comply may result in rejection of your proposal. Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic proposal. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Offers should be sufficiently detailed to demonstrate their reasonableness, realism, balance, and affordability. The burden of proof for credibility of proposed costs/prices rests with the offeror.
2.1.2 Estimating Techniques and Methods
When responding to the Cost/Price Volume requirements in the solicitation, the offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods (such as Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships (CERs), commercially available parametric cost models, in-house developed parametric cost models, etc.), to develop their estimates.
2.1.3 Cost or Pricing Information
The contracting officer has determined there is a high probability of adequate price competition in this acquisition. In accordance with FAR 15.403-1(b) and 15.403-3(a), information other than cost or pricing data is required to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5. Upon examination of the initial offers, the contracting officer will review the determination and if, in the contracting officer's opinion, adequate price competition exists, no additional cost information will be
SECTION L FA9300-10-R-0001 PAGE L- 7
requested and certification under FAR 15.406-2 will not be required. If, after receipt of proposals, the CO determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror shall be required to submit cost or pricing data.
2.1.4 Submission of Cost Models
Offerors shall submit a cost/price model, in MS Excel format, using the cost model Attachment L-3, including the worksheets therein, in support of their proposed price. Instructions for use of the cost model are located within each worksheet. Your cost/price proposal must be consistent with your approved estimating system.
As you populate the worksheets do not adjust the formulas, subtotals or titles unless absolutely necessary.
If changes to the cost model are necessary, place notes in the worksheet to explain the nature, rationale and effect of the change. If necessary, include notes in the worksheets or cross references to specific cost information to justify the cost proposed for each element (labor, overhead, etc.).
2.1.5 Rounding
All dollar amounts provided shall be rounded to the nearest dollar. All labor rates shall be rounded to the nearest penny.
2.1.6 Authorized Offeror Personnel
Provide the information required by subparagraphs (c)(2)(iv) and (v) of FAR 52.215-1 regarding identification of the individual(s) authorized to sign the proposal and participate in discussions.
2.1.7 Non-Required Cost/Price Information
Information beyond that required by this instruction shall not be submitted, unless you consider it essential to support your cost/price proposal. All information relating to the proposed cost/price, including all required supporting documentation, must be included your cost/price proposal volume. Under no circumstances shall this information and documentation be included in any other proposal volume.
2.2 Volume Organization
The cost/price volume shall be organized according to the following sections:
Section 1: Table of contents, summary description of estimating system information (para 2.3.1), purchasing system information (para 2.3.2), and accounting systems information (paragraph 2.3.3), and cognizant DCAA and DCMA offices (para 2.3.4).
Section 2: Cost or pricing information, to include estimating methodology (paras 2.1.2 and 2.1.3).
Section 3: Other applicable information. List each exception to the ground rules and assumptions provided in the solicitation and each qualification of the cost/price volume, if any, and provide complete rationale.
Section 4: Completed cost model, Attachment L-3.
2.3 Estimating Methodology
2.3.1 Estimating System
Provide a summary description of your standard estimating system or methods. The summary description shall cover separately each major cost element (e.g., Labor, Indirect Costs, Overhead, G&A, FCOM, etc.).
Indicate whether you have Government approval of your estimating system and if so, provide evidence of such approval. Evidence of approval may be submitted in pdf. Identify any deviations from your standard estimating procedures in preparing your cost proposal volume.
2.3.2 Purchasing System
Provide a summary description of your purchasing system or methods. Indicate whether you have Government approval of your purchasing system and if so, provide evidence of such approval. Evidence of approval may be submitted in pdf. Identify any deviations from your standard purchasing procedures in preparing your cost proposal volume.
2.3.3 Accounting System
SECTION L FA9300-10-R-0001 PAGE L- 8
Indicate whether you have Government approval of your accounting system and if so, provide evidence of such approval. Evidence of approval may be submitted in pdf. Identify any deviations from your standard accounting procedures in preparing your cost proposal volume.
2.3.4 Cognizant DCAA and DCMA Offices
Identify and provide addresses and telephone numbers of cognizant DCAA and DCMA offices. Also, for each subcontract with a total proposed cost/price of $11,500,000 or over, provide the name, address and telephone number of the cognizant DCAA and DCMA offices for audit review of their respective proposal(s).
Please submit a copy of your cost proposal to the cognizant DCAA offices to facilitate audit review.
2.3.4.1 As appropriate, provide the current date of ACO/DCAA approval of the following plans and systems:
Insurance, Government Property Control, and Disclosure Statement. Also provide Forward Pricing Rate Agreements, if applicable.
2.4 Cost/Price Supporting Information
2.4.1 Identification of Uncompensated Overtime
IAW FAR 52.237-10, Identification of Uncompensated Overtime, specifically address your policy on the use of mandatory uncompensated overtime, if any, as it would apply to this contemplated contract. Company policy may be submitted in pdf.
2.4.2 Total Compensation Plan
IAW FAR 52.222-46, Evaluation of Compensation for Professional Employees, offerors must submit a total compensation plan (TCP) that will meet the requirements of this solicitation. Your proposal must identify the components of the compensation plan costs for the basic and option performance periods. Offeror format is acceptable.
2.4.3 Subcontractors
Submit a listing of the proposed subcontractors showing (a) service provider, (b) description of services, (c) contract type, (d) total subcontract cost/price. Briefly summarize how the subcontract support relates to the overall program and why the subcontract costs can be considered reasonable.
2.4.3.1 For subcontracts with a total proposed cost/price of less than $11,500,000 (including basic and option performance periods), provide the cost/price within the prime’s Attachment L-3c and L-3d.
2.4.3.2 For subcontracts with a total proposed cost/price of $11,500,000 or over (including basic and option performance periods), submit their proposed cost/price to the same level of detail as required of the prime by using the cost model at Attachment L-3. Do not duplicate subcontractor cost data contained in the primes’ cost model Attachment L-3c and L-3d. Have the subcontractor rename cost model Attachment L-3, and the worksheets within, to the subcontractor’s name. Also, provide the name, address and telephone number of the proposed subcontractor.
NOTE: If any subcontractor rate proposals are not available to the prime contractor, instruct those entities to forward them directly to the CO with reference to the ROSS II RFP number, FA9300-10-R-0001.
2.4.4 Productive Man-Year
Provide supporting narrative to demonstrate how the proposed productive man-year for prime and interdivisional can be considered reasonable and realistic, and describe how subcontractors proposed productive man-years. The productive man-year shall equal the total available labor hours minus absence hours for one full-time employee.
NOTE: If any proposed subcontractor man-year estimates are not available to the prime contractor, instruct those entities to forward them directly to the CO with reference to the ROSS II RFP number, FA9300-10-R- 0001.
SECTION L FA9300-10-R-0001 PAGE L- 9
2.4.5 Labor Rates
Provide supporting narrative to demonstrate how each proposed labor rate for GFY11 can be considered reasonable. If the labor rates for GFY12 - GFY15 differ from those used for GFY11, explain the basis for the changes, and describe how those proposed labor rates can be considered reasonable.
NOTE: If any subcontractor or interdivisional rate proposals are not available to the prime contractor, instruct those entities to forward them directly to the CO with reference to the ROSS II RFP number, FA9300-10-R-0001.
2.4.6 Labor Rate Escalation Factors
For GFY11 through GFY15, the Government has provided escalation factors, based on Global Insight CY2010 for compensation of professional, scientific, and technical workers, at Attachments L-3a and L-3c.
If, however, other externally derived escalation factors are used, supporting rationale must be provided.
2.4.7 Other Direct Costs (ODCs)
ODC expenses are for travel (including per diem), materials/supplies, equipment rental, office supplies, training, and other required ODCs. ODCs are beyond the offerors’ control and, without further definition of requirements by the Government, a realistic cost estimate by offerors cannot be developed. Therefore, the Government has provided the estimated ODCs in Section B of the solicitation which are not to be altered, or otherwise proposed, by offerors.
2.4.8 Award Fee Pool
The proposed award fee pool shall be 8% of the total estimated costs of the Prime and major/critical subcontractor labor excluding Facilities Capital Cost of Money (FCCM).
2.4.9 Transition Period
Submit a fixed-price for the 30 day transition period. When proposing the transition period price, consider that the incumbent contractor is required to fully perform the current contract during the transition period.
2.4.10 Discount Terms
Include a statement of any discount terms (reference SF 33, Block 13).
2.4.11 Data Items
Shall not be separately priced. Data costs shall be included within the ROSS II Service CLINs.
2.4.12 Other Financial Information
2.4.12.1 If the proposal is a Joint Venture arrangement, explain how financial matters will be handled and provide a copy of the joint venture agreement with your proposal.
2.4.12.2 Identify the contractor’s (and any subcontractor’s) accounting fiscal year.
2.4.12.3 Within your cost model show proposed direct and indirect rates by Government Fiscal year. Include (but separately identify) prime contractor, major/critical subcontractor, and interdivisional transfer rates.
Provide supporting narrative for indirect cost information (i.e overhead, G&A). Provide this information by Government Fiscal Year for the entire program and by type of indirect rate. Indicate how indirect rates have been computed. Provide a breakdown of the elements that make up the indirect cost pool and include a basis for evaluating the reasonableness of the proposed rates.
3.0 Volume II - Past Performance
3.1 General
3.1.1 Each offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with the format contained in Attachment L-1. This information is required on the
SECTION L FA9300-10-R-0001 PAGE L- 10
offeror and major and/or critical subcontractors and/or joint venture partners that will perform aspects the offeror considers critical to overall successful performance. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance.
3.1.2 The offeror shall submit, along with the information required in this paragraph, a consent letter, executed by each major/critical subcontractor and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance.
3.1.3. Major and critical subcontractors
3.1.3.1 Major Subcontractor is defined as: a subcontractor proposed to perform a significant portion of the on-site services described in the ROSS II PWS. These services may or may not be ones that the prime could otherwise perform.
3.1.3.2 Critical Subcontractor is defined as: a proposed on-site subcontractor who possesses subject matter experts (SMEs) skill sets whose expertise enhances, or otherwise increases the performance of the services described in the ROSS II PWS. These services are considered by the prime as critical in meeting or exceeding certain aspects of the PWS requirements for which these SMEs are proposed.
3.2 Relevant Contracts
Submit information in accordance with Attachment L-1: Past Performance Information on not more than 5 current or recent contracts that you consider most relevant in demonstrating your ability to perform the proposed effort. Also include information on not more than 2 current or recent contracts performed by each of your major/critical subcontractors that you consider most relevant in demonstrating their ability to perform the proposed effort. Include rationale supporting your assertion of relevance. For a description of the characteristics or aspects the Government will consider in determining recency and relevance, see Section M, provision M001, paragraphs 3.3 and 3.4.
3.2.1 Specific Content
The proposal shall state in terms of percentage the relevant portion of the services being performed on the ROSS II contract by the Prime and all subcontractors and/or joint ventures, if any. The proposal shall additionally describe the nature of functions or tasks in the Performance Work Statement (PWS) that each subcontractor, and/or joint venture, if any, will perform. Proposals which do not include a subcontractor or joint venture shall indicate that all functions and tasks in the PWS shall be accomplished by the Prime contractor.
If a referenced contract was performed as part of a teaming or joint venture partnership, the offeror must thoroughly explain the relationship of each partner, e.g. managing partner under the contract submitted. For joint venture agreements, define the relationship as it relates to performance of the services by each of the partners. A copy of the team and/or joint venture agreement for the contract must be provided with the past performance volume. The joint venture agreement will not count toward established page count limitations.
Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate. Categorize the relevancy information for each submitted contract with respect to the scope, magnitude/complexity, contract type and contract environment of this requirement. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a little or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently
SECTION L FA9300-10-R-0001 PAGE L- 11
demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a higher confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems is required.
3.2.2 Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/ performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
3.2.3 Past Performance Questionnaire
The offeror shall send out and track the completion of the Past Performance Questionnaire in Attachment L- 2 for each contract, major/critical subcontractor and/or joint venture partner Primary Customer Points of Contact (POC) identified in the Performance Information Forms (PIF) in Attachment L-1. The responsibility to timely send out and track the completion of the Past Performance Questionnaires rests solely with the offeror.
The offeror shall exert its best efforts to ensure that the POCs in all identified contracts submit a completed Past Performance Questionnaire directly to the CO as specified in the Past Performance Questionnaire by the closing date of the solicitation. The questionnaire does not count towards the page limitation listed in Table 1.1.6.1. Once the Past Performance Questionnaires are completed by the POCs, the information contained therein shall be considered sensitive and shall not be released to you, the Offeror.
4.0 PART III – CONTRACT DOCUMENTATION
4.1 Model Contract/Representations and Certifications
The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The offeror's proposal shall include an original signed copy of the Model Contract, and Sections A through K. This includes the following:
4.1.1 Complete blocks 13, 15, and 16; and sign and date blocks 17 and 18 of the RFP Section A, SF33.
Signature by the offeror on the SF33 constitutes an offer, which the Government may accept. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract. The "original" copy should be clearly marked under separate cover and should be provided without any punched holes.
4.1.2 Insert proposed unit prices in Section B for each Contract Line Item Number (CLIN) or SubCLIN), including all option periods. The extended amount must equal the whole dollar unit price multiplied by the number of units.
4.1.3 Complete the necessary fill-ins and certifications in Sections C through K. Section K shall be returned in its entirety. For Sections C through I, the offeror shall submit only those pages that require a fill-in.
SECTION L FA9300-10-R-0001 PAGE L- 12
4.1.4 If applicable, provide a letter from the Small Business Administration (SBA) showing proof of Section 8(a) status.
4.1.5 The proposal acceptance period (reference SF 33, block 12) is 180 days. You must make a clear statement that your proposal is valid for at least 180 days (reference paragraph (d) of FAR 52.215-1 in Section L.I).
4.2 Exceptions to Solicitation Requirements
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 4.2.
