Question: These references imply the successor contractor will be providing the support spares for this program, and the sustainment of those spares.
1. Is there an inventory of spares and repair parts the Government is providing to the successful contractor as GFP/E/M? If so, please provide a list of spare and repair parts the Government will provide for all device types. If not, please clarify how the necessary spares will be identified.
2. Is it the Government’s intent that the successor contractor provide the support spares and sustainment of those spares for this contract? If so, please provide a list of recommended spares so the contractors can obtain cost and pricing data to include in our price proposals? If a list of recommended spares is not available, please provide the current contracts’ maintenance history that indicates what items have been replaced, repaired and consumed for all device types during the current contract.

Attachment 8, GFE List 16 Attachment 1_PWS_11 May 20, para 3.10.6.6 Technical Assistance Agreements 3.10.6.6 Technical Assistance Agreements (TAAs): The contractor shall have and maintain current Technical Assistance Agreements (TAAs) for releasing data to the United Kingdom, Canada, Australia, New Zealand, and other coalition countries in association with this contract. This is necessary to support foreign exchange officers or coalition partner co-manned forces using the training system, training events with connections to other countries, training events with connections to other US training systems being used by foreign exchange officers or coalition partner co-manned forces.
| Question: TAA approval timelines can take significant time and it’s possible that they may not be in place at contract start. Additionally, if the government desires to add new countries to the program for training, there would be a requisite delay before a new TAA could be approved and commencement of operations/training. Will the government accept handling the international cooperation aspect through ITAR 126.4 exemption, providing a letter of request to provide training coverage for particular parties under the authorization of the larger USG contract? This allows more agility without running the risk of not having appropriate coverage at the right time. Please clarify. | TAAs will not be needed for this contract. This Ramp-Up Period paragraph cites Ramp-Up and Ramp-Down periods related to the contract being awarded as a result of this solicitation. The Transition Period’s period of performance is unclear for the contract being awarded.
1. Please clarify if the Ramp-Up/Ramp-Down periods in this section refer to the incumbent contractor’s Ramp-Down of the current contract and the successor contractor’s Ramp-Up for the contract being awarded. If this is the case, please verify transition period is a 90-day period spanning the last 60-days of the incumbent’s existing contract and the first month of the successor’s awarded contract to assure continuity of operations and allow an orderly transition of responsibilities from the incumbent to the successor.
2. If item 1 is not the Government’s intent, please clarify if there is an overlap of contractual periods of performance for the purposes of ensuring transitioning the responsibilities from the incumbent contracts to the successor contractor. Please verify that the incumbent contractor remains contractually responsible for contract performance and site/device performance during the successor’s Ramp-Up period.
3. Please clarify the start and stop dates of the Ramp-Up period for the JTC TRS contract being awarded. Please clarify whether the Ramp-Up occurs during the last month prior to the end of the current contract or during the first month of the successor contract.
4. Please provide the current JTC TRS Program's contract: Ramp-Down period duration; period of performance; and, the incumbent contractor's Ramp-Down/Transition Period contractual requirements. 1. Correct
2. The incumbent contractor remains contractually responsible for contract performance and site/device performance until current contract expiration.
Due to the timing, don't anticipate overlap between the two contractors.
3. The Ramp-Up period occurs during the first month of the successor contract which may overlap with the last 30 days of the current contract dependent on contract award date .
4. The current JTC TRS program contract Ramp-Down period is the final 60 days of the contract; the period of performance ends 6 Jan2021.
During the final 60 days of the contract, and subsequent options, the contractor shall provide over-the-shoulder training in the areas of operation and maintenance to the successor contractor. (Probably not happening).
The contractor shall provide a plan for the ramp-down transition period. The transition plan will describe those actions necessary for the 60 day transition to include, but may not be limited to:
- An audit of data, documentation and software package to ascertain completeness
- An inventory list of all GFP/GFE
- An audit of current system support spares
- Identification and disposition of contractor-owned inventory
- Identification of warranty information on current inventory
- An inventory of software and licenses
- A proposed schedule of upcoming activities and events listed in the plan
- Out-brief to successor contractor to include the status of all system components
18 Attachment 1_PWS_11 May 20, para 3.15.3 Ramp-up/Ramp-Down Joint Inventory 3.15.3 Ramp-up/Ramp-Down Joint Inventory states: “The contractor shall participate and complete the ramp-up and ramp-down joint inventory no later than ten (10) working days prior to the end of the ramp-up/ramp-down period. …” Based on the “Ramp-Up period stated in paragraph 3.15.1 of “1-month transition” and the entire program joint inventory at 27 sites in CONUS and OCONUS locations must be completed in a “ten (10) working days prior to the end of the ramp-up/ramp-down period”, the Government is allowing approximately 20 days to accomplish this requirement. This is appears to be an aggressive requirement.
1. Please clarify that the successor contractor will be granted access to sites during normal off-duty times, e.g., evenings, weekends, holidays, etc. during the Ramp-Up period. Please clarify that the incumbent contractor and the necessary Government representatives will be available to support the required Inventory at each site.

The System Test and Evaluation Plan Paragraph 3.3 requires 100% of critical test points and 50% of non-critical test points to be compliant during the SET event.
For an offeror replacing any component of the baseline, NRE can be reasonably expected to be incurred in order to successfully execute a SET event. Given the minimum compliancy requirements, additional NRE of the offered solution may be required (post-SET) to bring the offered system up to full compliancy.

However, FAR 52.222–43 Fair Labor Standards Act and Service Contract Act—Price Adjustment (Multiple Year and Option Contracts) does not appear in the model contract. Please clarify if this contract is covered by FAR 52.222-43, and if the model contract will be updated. FAR 52.222-41 / 52.222-43 clauses have been added.
