Section B - Supplies or Services and Prices

BID NOTES

1. Contract Type: Up to six (6) Firm-Fixed Price (FFP) Indefinite Delivery Indefinite Quantity (IDIQ) Contracts set aside for Small Businesses will result from this solicitation. Each awarded contract will be a one year basic period with four (4) 1-year options from the date of the award of the contracts. The maximum aggregate amount of the MACC program, inclusive of all awarded contracts, (up to six MACC contracts to be awarded), including all options, shall not exceed $100,000,000. The guaranteed minimum amount over the life of the MACC program is $75,000.00 per contract awarded.

2. CLIN Structure: There will be no pricing submitted for the basic contract line items (CLINS). Line items to be awarded under the basic contract shall not be separately priced. All prices will be determined at the task order level.

3. Performance and Payment Bonds: Reference block 12 and 12b of SF 1442. Payment and performance bonds will not be required for the entire basic contract amount. All payment and performance bonds will be required at the task order level. Contractors shall reference section L, Instructions to Offerors, paragraph G, Volume 3 – Cost/Price Proposal, item 3, Tab E: Bonding for requirements for basic contract.

4. Excluded Offerors: In accordance with FAR 36.209, any awardee for this contract cannot be awarded a subsequent task order if they were the Architect-Engineer awardee on the specific project design effort.

This requirement is applicable to the Construction only projects under the MACC contract.

5. Magnitude of Construction: In accordance with FAR 36.204, Disclosure of the Magnitude of Construction, the estimated magnitude of construction for this solicitation is more than $10,000,000.00.

6. Notice to Offerors: The Government reserves the right to cancel this solicitation, either before or after the closing date.

7. Contract Performance Period: The period of performance for individual project statements of work will be negotiated at the task order level.

8. Preproposal Conference: A pre-proposal conference will be conducted at 1:00 p.m. on 16 Jul 2009 , at the Tinker AFB Base Theater for the purpose of answering questions regarding the solicitation, walking through solicitation requirements, and a windshield bus tour of Tinker Air Force Base. Additionally, site visits for the Seed Projects will be conducted at 9:00 a.m. on 17 Jul 2009. Submit names of all attendees (not to exceed four per offeror) to the Contracting Officer cited by email to cynthia.obermeyer@tinker.af.mil or by fax at 405-739-7421 prior to 9 Jul 2009. Be advised that offerors will be denied access to the base if these prior arrangements have not been met with the Contracting Officer.

9. Technical Specifications and Drawings: The Technical Specifications, as referenced in Section J of the solicitation, have been prepared by Civil Engineering. Any and all questions regarding these specs must be submitted in writing to the Contracting Officer identified. Any information obtained outside this procedure and acted upon may cause the resultant offeror to be non-responsible. Any and all questions received from industry will be responded to by amendment to the solicitation. All amendments will be incorporated into the resultant awards.

10. Amendment Acknowledgment: It is the offeror’s responsibility to be aware of amendments, as made available. All amendments shall be posted to FedBizOpps. Acknowledgement of amendments is required by the offeror in accordance with the instructions provided in Block 11 of SF 30, Amendment of Solicitation. Failure to acknowledge amendments may render offeror ineligible for award.

11. Wage Determinations: The most current prevailing Davis Bacon Wage Determination shall be incorporated with the solicitation for each task order. It is anticipated that the most common Wage Determination is construction type: Building. The Davis Bacon Wage Determinations in effect at the issuance of this solicitation are found in Section J for reference purposes only.

12. Multiple Task Order Expectations: Offerors are advised of the necessity for the government to solicit multiple task order requirements at any given time in support of its mission. Any offeror proposing on this MACC requirement is hereby fully notified of the government’s likeliness of multiple task order requirements and the contractor’s expected responsibility for support of the multiple task order awards.

This includes a responsibility to bid on each task order requirement, if reasonable. An awardees failure to meet this multiple award responsibility is subject to appropriate performance evaluations that reflect their performance such thereof.

13. Representations and Certifications: If already registered in Online Representations and Certifications Application (ORCA), the offeror is not required to fill out the representations and certifications that are within ORCA; however, section K clauses in the RFP not included in offeror’s ORCA registration must be filled out within the solicitation.

14. PERFORMANCE PERIOD: Reference Block 11 of the SF1442. The performance period for this acquisition shall be in the Federal Acquisition Regulations Clause 52.211-10. See that clause for the applicable period of performance.

TAFB 100-17. “TRUCK ENTRY GATE” NOTICE

IMPORTANT DELIVERY INFORMATION

Tinker Air Force Base has constructed a “Truck Entry Gate” (Gate 33), which is located at the corner of 59th Street and Air Depot Blvd (southwest corner of the base). The gate will be opened beginning 15 September 2004.

Gate 33 shall be used for all deliveries by truck to this base.

(Trucks will not be allowed to gain access through any other gate.)

Since your firm’s delivery on this order is affected, please advise your delivery carrier to use the new gate. This should minimize the impact of your delivery.

DELIVERIES TO BUILDING 3001 (B / 3001)

Be advised that delivery vehicles destined for B / 3001 are prohibited from using “Staff Drive”.

Delivery vehicles may make deliveries only in designated unloading areas.

Since your firm’s delivery may be affected, ensure that your delivery carrier receives proper instructions on delivery / unloading requirements for B / 3001. Unloading in designated unloading areas will minimize any inconvenience, and, attendant ramifications, which may accrue, to your delivery / delivery carrier for failure to adhere to this requirement.

Section H - Special Contract Requirements

SECTION H

H-1 TEAMING ARRANGMENTS (OCT 2008)

(a) If a MACC contract was awarded from an offer submitted on the basis of a teaming arrangement, the Government's consideration of the Contractor for placement of task orders will reflect the teaming arrangement. In the event that the teaming arrangement is dissolved or significantly changed, the Government reserves the right to reconsider the suitability of the changed arrangements for purposes of issuing task orders.

(b) Should it become advantageous to deviate from the initial teaming arrangement, the Contractor should request approval from the Contracting Officer before making such arrangements.

(c) This does not authorize Contractor team arrangements in violation of antitrust statutes or limit the Government's rights to require consent to subcontract. The prime Contractor is held fully responsible for contract performance, regardless of any teaming arrangement between the prime Contractor and its subcontractors.

(d) Notwithstanding the above teaming arrangements and issues relating to consent, all teaming arrangement (subcontract) pricing must be supported in accordance with FAR 15.404-3. Subcontract cost and pricing data, as appropriate, should be presented in task order proposals.

H-2 TASK ORDER PROCEDURES

After award of the initial MACC contracts, it is the Government’s intention to have contractors compete for Task Orders based on either low price technically acceptable or Performance Price Tradeoff. Typically the evaluation methods will correspond with the level of design or complexity of the proposal to be submitted. In most cases, Performance Price Tradeoff will correspond to a design build project. Low price technically acceptable to minimal design and construction-only type solicitation. Each Request for Proposal (RFP) for a task order will clearly state the method of selection.

The MACC multiple award Contractors will be provided a fair opportunity to be considered for each task order IAW FAR 16.505. However, the Government may elect not to solicit all awardees when the Contracting Officer determines that one of the following apply:

(1) The agency's need for the services or supplies is of such urgency that providing such opportunity to all such Contractors would result in unacceptable delays;

(2) Only one awardee is capable of providing the services or supplies at the level of quality required because the services or supplies ordered are unique or highly specialized;

(3) The task order must be issued on a sole source basis, in the interest of economy or efficiency, because it is a logical follow-on to an order already issued under the contract (provided that all awardees were given a fair opportunity pursuant to the procedures in this clause to be considered for the original order).

Each task order shall be issued in accordance with the following procedures:

(a) Request for Proposal - The Contracting Officer will furnish the contractor with a written request for proposal. The request will include:

(1) A description of the specified scope of work items required, including the site location,

(2) the source selection procedures for each task order

(3) the anticipated performance period and any critical milestones,

(4) any Government-Furnished property, material, or base support to be made available for performance of the task order;

(5) Site Visit date

(6) Magnitude of Construction

(7) any other pertinent information, (such as applicable Davis-Bacon wage rates).

(b) Proposal - The Contractor shall, within the time specified in the task order RFP, provide the Contracting Officer an original and copies [as determined at Task Order level] of the proposal. The proposal shall address:

For Construction-only projects:

(1) a proposed period of performance for completing the task order efforts;

(2) a price offer via the Bid Form provided with the solicitation (attachment 5 of the solicitation);

For Design projects:

(1) a proposed schedule for completing the task order efforts;

(2) a comprehensive technical design approach to accomplish the work effort as defined in the task order SOW and the basic contract SOW.

(3) a detailed cost or pricing proposal with a full breakout of design and construction costs via the Bid Form provided with the solicitation (attachment 5 of the solicitation). Design costs shall delineate the Title 1Type A and Title 1Type B fees

(4) any other pertinent information;

(c) Discussions/Negotiations - The following is based on Awarding Orders Under Multiple Award Contracts:

(1) Fair Opportunity to be Considered (one contractor solicited) - Upon receipt of the proposal, the Contracting Officer and Technical Representatives will review the proposal and enter into discussions/negotiations with the contractor as may be necessary. At the conclusion of discussions/negotiations, the Contractor shall provide a Certificate of Current Cost or Pricing Data pursuant to FAR 15.403-4 using the format as set forth in FAR 15.406-2, if applicable.

(2) Fair Opportunity to be Considered (multiple contractors solicited) - Upon receipt of the proposals, the Contracting Officer and Technical Representatives will review the initial proposals, decide to award without conducting discussions/negotiations or hold discussion with contractors.

When discussions/negotiations are conducted, each participating contractor shall be given one opportunity to revise its initial proposal to reflect any changes that result from the discussions/negotiations following the issuance of the request for Final Proposal Revision (FPR).

The Contracting Officer will award the task order to the contractor offering the best value to the government, based on either the initial or a revised proposal. Unsuccessful offerors will be notified.

(d) The Contracting Officer will unilaterally issue a Task Order which shall include:

(1) Date of the order;

(2) Contract and Task Order numbers;

(3) Statement of Work, including references to applicable specifications;

(4) any Government-furnished property, material, or base support to be made available for performance of the order;

(5) the agreed-to total amount and appropriate break out for the specific contract type;

(6) accounting and appropriation data;

(8) any other pertinent information deemed necessary to the performance of the order.

(e) The contractor shall commence all necessary and required preliminary work, to include but not be limited to, all required permits and/or bonds, if applicable upon receipt of a duly executed task order signed by the Contracting Officer. The Contractor may visit the site to perform any necessary and required efforts prior to actual mobilization and start-up at the site. The contractor shall not commence actual remedial action/construction work at the site until receipt of a written Notice-To-Proceed (NTP) signed by the Contracting Officer. Prior to issuance of the NTP, the Government reserves the right to convene a pre-construction conference. The contractor shall attend any such conference as directed by the Contracting Officer. The contractor shall not deliver any materials or equipment to the site prior to receipt of an NTP or a written authorization signed by the Contracting Officer.

TAFB 500-11 Contractor ID Badge Requirements

Contractors working on Tinker AFB shall comply with all procedures outlined in TAFBI 31-101, AFI 10-245 and TAFBP 31-101. OF SPECIAL NOTE, in accordance with TAFBI 31-101 para 5.3, all contractors/contractor personnel will be assessed a charge of $50.00 for each badge lost, willfully damaged, or not surrendered to Pass and Registration. No charge will be made on a replacement required due to normal wear. Personnel will report to Accounting and Finance, Accounts Receivable Unit and a DD Form 1131, Cash Collection Voucher, will be prepared and presented to Pass and Registration prior to issuing a replacement identification. Identification will be surrendered to Security Forces personnel upon demand for the purpose of identification, investigation, abuse, misuse, or for any other reason necessary. Civilian and military retirees who conduct commercial business on base must obtain a badge through their place of employment. 52.203-14 DISPLAY OF HOTLINE POSTER(S) (DEC 2007)

(a) Definition.

United States, as used in this clause, means the 50 States, the District of Columbia, and outlying areas.

(b) Display of fraud hotline poster(s). Except as provided in paragraph (c)--

(1) During contract performance in the United States, the Contractor shall prominently display in common work areas within business segments performing work under this contract and at contract work sites--

(i) Any agency fraud hotline poster or Department of Homeland Security (DHS) fraud hotline poster identified in paragraph (b)(3) of this clause; and

(ii) Any DHS fraud hotline poster subsequently identified by the Contracting Officer.

(2) Additionally, if the Contractor maintains a company website as a method of providing information to employees, the Contractor shall display an electronic version of the poster(s) at the website.

(3) Any required posters may be obtained as follows:

Poster(s) Obtain from the Contract Specialist.

(c) If the Contractor has implemented a business ethics and conduct awareness program, including a reporting mechanism, such as a hotline poster, then the Contractor need not display any agency fraud hotline posters as required in paragraph (b) of this clause, other than any required DHS posters.

(d) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (d), in all subcontracts that exceed $5,000,000, except when the subcontract--

(1) Is for the acquisition of a commercial item; or

(2) Is performed entirely outside the United States.

52.211-10 COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK (APR 1984)

The Contractor shall be required to (a) commence work under this contract within 10 calendar days after the date the Contractor receives the notice to proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use not later than (shall be stated in each individual Task Order).

52.211-12 LIQUIDATED DAMAGES--CONSTRUCTION (SEP 2000)

Liquidated damages, if applicable, will be addressed at the individual project level and FAR 52.211-12 will be inlcuded in the task order.

(a) If the Contractor fails to complete the work within the time specified in the contract, the Contractor shall pay liquidated damages to the Government in the amount of $176.00 for each calendar day of delay until the work is completed or accepted. Specific projects may require a different daily amount in liquidated damages.

(b) If the Government terminates the Contractor's right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.

52.216-18 ORDERING. (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the effective date of the contract through one year. If applicable, any option(s) that are exercised will extend the contract ordering period by one year each.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 ORDER LIMITATIONS. (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor:

(1) Any order for a single item in excess of $5,000,000.00;

(2) Any order for a combination of items in excess of $5,000,000.00; or

(3) A series of orders from the same ordering office within 10 calendar days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 calendar days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and

Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after completion of the last task order.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 calendar days of current period expiration.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 15 calendar days of current period expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 calendar days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause shall not exceed 60 months.

52.219-14 LIMITATIONS ON SUBCONTRACTING (DEC 1996)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) By submission of an offer and execution of a contract, the Offeror/Contractor agrees that in performance of the contract in the case of a contract for--

(1) Services (except construction). At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern.

(2) Supplies (other than procurement from a nonmanufacturer of such supplies). The concern shall perform work for at least 50 percent of the cost of manufacturing the supplies, not including the cost of materials.

(3) General construction. The concern will perform at least 15 percent of the cost of the contract, not including the cost of materials, with its own employees.

(4) Construction by special trade contractors. The concern will perform at least 25 percent of the cost of the contract, not including the cost of materials, with its own employees.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (APR 2009)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract.
