Contract Data Requirements List (CDRL) General Instructions

1. Delivery and Media In accordance with the Reduction of Paper Act, the electronic delivery of data is required whenever possible. Deliverables are to be transmitted with a cover letter, on the prime Contractor's letterhead, describing the contents. Deliverables will be accepted in current Microsoft Office™ applications compatible with those of the Program Management Office (PMO) and delivered via virus-free email (preferred method) or compact disk (CD), unless a specific medium is indicated on the CDRL form (DD Form 1423-1). To facilitate the use and research of the deliverables, each document, which is provided electronically, shall be formatted so that all data for that deliverable is contained in one file, if feasible, and reproducible to 8.5" x 11" standard size. If for some reason electronic transmission is not feasible for a particular deliverable due to system problems, network problems, etc., the Contractor shall hand deliver the item in a format prescribed by the PMO (hard copy and/or electronic media) from 8:00 a.m.

until 4:00 p.m. Monday through Friday, to the Contracting Officer Representative (COR) or Alternate Contracting Officer Representative (ACOR).

2. Standard Data Item Description (DID) Block 4 contains the Data Item Description (DID) number to be followed in developing the required data.

All reference numbers appearing in block 4 correspond to DIDs listed at https://assist.dla.mil/online/start/ and are described on DD Form 1664, Data Item Description. The ASSIST database is the official source of active DoD specifications and standards. Block 10 of DD Form 1664, together with any tailoring cited in the CDRL, contains instructions for preparation of data delivered under this contract. For copies of any DIDs that are no longer available in ASSIST, contact the

PMO.

3. Tailored Data Item Descriptions Because of program-specific data requirements, certain DIDs called out in the CDRLs have been tailored from the standard format specified on DD Form 1664. In such cases, "/T" (tailored) has been suffixed to the DID number appearing in block 4 of the CDRL format; for example, DI-MISC-80508/T. The specific tailoring is detailed in block 16, or, if lengthy, by back-up pages as an attachment to the CDRL Exhibit.

4. Submittal Dates Blocks 12 and 13 specify the required date of arrival of the data at the addressees listed in block 14. If a submittal date falls on a Saturday, the deliverable is due the Friday prior to the submittal date. If a submittal date falls on a Sunday, the deliverable is due on the Monday following the submittal date.

5. Approval Codes An "A" in block 8 requires that the Government approve/disapprove data submittals. Disapprovals will be in writing. Approvals are assumed unless the Government responds not later than 45 days after receipt of the data unless otherwise specified in block 16 of the individual data item. It has been determined for purposes of this contract that an "A" in block 8 may indicate approval/ disapproval of format or content or both. The absence of a code in block 8 in no way precludes the Government from exercising approval/disapproval authority for any data submission. If resubmittal is necessary, the contractor shall deliver within 15 Calendar days unless otherwise stated in the DD Form 1423-1.

6. Distribution Statement The code in block 9 indicates which distribution statement is required on all technical data to denote the extent of secondary distribution. For this contract, unless stated otherwise in Block 16 of the individual DD Form 1423-1 the following distribution statement applies: Distribution Statement C -US Government and authorized contractors.

7. Correspondence All correspondence, including electronic communications shall be clearly identified with the contract number, title of the deliverable, CDRL Data Item Number(s), office symbols, document number and version notation, periods covered, and any other pertinent references/information, as applicable.

CDRL GENERAL INSTRUCTIONS -4-

1.0 SCOPE

In accordance with DoDI 5010.12M, the Contract Data Requirements List (CDRL) establishes the data to be delivered by the contractor, including the submittal, approval and distribution requirements. This document provides instructions and clarifications which apply to all of the CDRLs within the applicable contract, unless otherwise noted. CDRLs are accomplished on DD Form 1423-1.

2.0 GENERAL

The Data Item Descriptions (DIDs) specified in Block 4 of the CDRLs are available electronically at the Acquisition Streamlining and Standardization Information System (ASSIST) database website: http://quicksearch.dla.mil/.

3.0 DATA DELIVERABLES

3.1 Delivery Dates

Unless otherwise specified in Block 16 of the CDRL, all references to “days” will refer to calendar days.

• If a CDRL delivery date falls on a Saturday, the submittal must be delivered on the Friday prior to the Saturday delivery date.

• If the CDRL delivery falls on a Sunday, the submittal must be delivered on the Monday following the Sunday delivery date.

• If the CDRL delivery falls on a holiday, the submittal must be delivered on the day before the holiday.

Early CDRL delivery is permitted. The Contractor must notify the Government of late CDRL deliveries.

3.2 Tailored Data Items

Tailoring instructions, when applicable, are described in Block 16 of each CDRL. If the data preparation instructions contained in Block 16 of the CDRL are different than the instructions contained in the DID, the CDRL shall govern.

3.3 Data Submittal Approvals

An "A" designator in Block 8 of the CDRL indicates the Government will formally reply to each data submittal with an approval, approval with comments, or disapproval. The Government will issue a response via a Procuring Contracting Officer (PCO) letter to the contractor within forty-five (45) calendar days, unless otherwise specified on the DD Form 1423-1, Block 16.

Government non-response beyond forty-five (45) calendar days does not constitute approval. If approvals are required, a CDRL submittal is not approved until a PCO letter is submitted. This does not apply to Contract Change Proposals (CCPs).

If Block 8 contains an "N/A", or an “N”, Government approval of the content is not required;

however, compliance with data item format and content requirements, as specified in the DID, and as tailored in Block 16 of the CDRL, is mandatory. The government will not provide a formal response back to the contractor; however, the Government has the right to disapprove any data submittal(s) not in compliance with DID and contract requirements.

The Contractor will formally respond to the Government within thirty (30) calendar days after receipt of any data that is disapproved, unless otherwise specified on the CDRL.

Data submittal requirements shall not be considered to have been met until the procuring agency has determined that all contractual requirements have been met regarding the identified data.

Draft submittals are not approval items. The Contractor shall formally submit draft data item(s) (when required by the 1423-1) for review and shall mark them as “Draft.” Draft submissions shall not alter the due date of first formal submission specified in the CDRL.

3.4 Resubmittal of Data

If resubmittal of a CDRL is required, it shall be resubmitted within thirty (30) calendar days after PCO notification, unless otherwise specified. Should the contractor disagree with the resubmittal requirements, they shall submit their comments to the PCO and/or Data Manager within ten (10) calendar days of notification. The document revision indicator shall be identified on the title page of the data item, on each page, and on a summary of document changes section contained within the document. Tracked changes or change bars shall be utilized to obtain Government approval of revised documents; however, final submittal will not contain mark ups.

3.5 Final Submittal of Data

For the final delivery of each data item in the contract/delivery order, the Contractor shall clearly state in the Letter of Transmittal (LT), as defined in paragraph 5.0, that this delivery is the last submittal, and that all contractual requirements concerning that data item have been fulfilled.

3.6 DD Form 250 Requirements

Block 7 of the CDRL directs the method of submittal. Individual DD Form 250s are required only if indicated in Block 7. All other submittals shall be accompanied by an LT.

3.8 Modification of Data Requirements

(a) From time to time during the performance of this contract, the PCO may unilaterally change the place of delivery and the technical office for any line item of the contract exhibits within the DD Form 1423-1, with no change in contract price, notwithstanding the provision of the contract clause, Section XX entitled “Changes”. If there is a change to the place of delivery, the Contractor and the PCO may mutually agree to an extension of the data submittal requirement date.

(b) From time to time during the performance of this contract, the PCO may unilaterally increase or decrease the number of addresses and/or increase or decrease the number of hard copy deliverables (regular or reproducible) specified for any data item.

Unilateral actions pursuant to (a) and (b) above shall be by the issuance of a PCO letter followed by a Supplemental Agreement to this contract which will reference this exhibit as its authority.

Any action directed by this exhibit shall be affected by the contractor beginning with the first submission of the particular data item(s) after receipt by the contractor of PCO direction.

4.0 ELETRONIC DATA TRANSMISSION

The Contractor shall electronically submit all data deliverables in accordance with the submittal instructions indicated on each DD Form 1423-1. The versions of the software used for electronic data transmission shall remain compatible with current program office software. Any submittals by other means shall require program office approval prior to delivery of data. PDF documents shall be in searchable format and not scanned.

The Contractor shall inform the program office if any data deliverables cannot comply with the required electronic delivery. In such cases the Contractor shall recommend, for program office approval, an alternative delivery format(s).

5.0 LETTERS OF TRANSMITTAL (LT)

All data deliveries shall include a LT. The LT may be in the form of a letter or e-mail from the designated contractor representative. At a minimum, the LT shall contain:

If a paper copy of the LT is prepared, a complete list of addressees shall be placed at the end of the LT, annotating the recipients (as identified on the DD Forms 1423-1, Block 14) including the transmittal-letter-only recipients.

If submittal is made via e-mail, the list of addressees in the “TO” line shall include the complete list of addressees and shall be considered sufficient.

7.0MARKING DOCUMENTATION

7.1 Marking Technical Documentation

The Contractor shall mark technical information as instructed by the Government program office. Some examples of technical information include research and engineering data, technical reports, technical manuals, plans, instructions, catalog-item identifications, process sheets, studies and analyses and related information, computer software, film, and photographs.

7.1.1 Distribution Statement

A DoD distribution marking system for technical data is prescribed in DoD Instruction 5230.24, “Distribution Statements on Technical Documents”. The intent of the system is to identify the audience approved for secondary distribution of the data in order to stem the flow of military-related technical data to our adversaries, without inhibiting technological growth or appropriate exchange of technical data that is vital to progress and innovation.

These markings are in addition to any security classification or other control markings.

The Contractor shall mark all technical information, regardless of its medium, with the appropriate distribution statement as prescribed by the controlling DoD office. Distribution statements are also applied to technical data that contain proprietary information. Per DAFI 61-201, paragraph 2.3.4.1., “Distribution statements are displayed conspicuously on all technical documents regardless of media or format. For standard written or printed material, the Distribution Statement is shown on all pages to the maximum extent practical and at a minimum on the front cover, title page, and SF 298, where applicable. If the technical information is digitally prepared or in any other medium that does not have a cover or title page, the applicable Distribution Statement is affixed to all physical and digital items by other means in a conspicuous position for ready recognition.” Drawings must display the distribution statement on the first sheet at a minimum.

Technical data categorized as cryptographic/communications security, communications/electronic intelligence, and similar categories as may be designated by the Director, National Security Agency, whose distribution is limited through alternate methods, are exempt from these marking provisions.

Certain types of technical data preclude placing the entire notice on the document.

Abbreviated distribution statements must be approved by the program office and are to be used only when space precludes placing the entire statement on the document.

The distribution statement is identified in Block 9 of each CDRL. If the Contractor feels that a different statement or reason is required, he must notify the Contracting Officer with the recommended statement. The Government will review the request, determine which statement is the most appropriate, and provide the Contractor with either an acceptance or rejection of the requested change.

Wording for the distribution statements is shown below. The acceptable “reason(s)” for the distribution statements must be chosen from those listed in DoDI 5230.24. The following address will be used on all documentation for the “controlling DoD office” for this program:

DFARS Subparts 227.71 and 227.72 stipulate control procedures for contractor controlled technical information in which the Government has limited rights. These procedures shall be followed as described in DoDI 5230.24.

7.1.2 Destruction Notice

All unclassified technical data marked with distribution statements B, C, D, E or F shall be marked with the following Destruction Notice:

7.1.3 Classified information

Documents containing classified information will be marked in accordance with DoDM 5200.01, Volume 2, “DoD Information Security Program: Marking of Information.”

7.1.4 Controlled Unclassified Information (CUI)

Option 1:

Unclassified documentation that is associated with a law, regulation, or government-wide policy, and identified as needing safeguarding, is considered CUI and must be marked according to DoDI 5200.48, Controlled Unclassified Information (CUI).

Option 2:

Unclassified information associated with a law, regulation, or government-wide policy and identified as needing safeguarding is considered CUI. CUI requires access control, handling, marking, dissemination controls, and other protective measures for safeguarding. Per DoDI 5200.48, mark these documents with “Controlled Unclassified Information (CUI)” or at a minimum “CUI” at the top and bottom of each page. Include a CUI Designation Indicator on the bottom right of the first page of CUI documents as shown below:

7.2 Marking Non-Technical Documentation

Option 1:

Non-technical documentation that is associated with a law, regulation, or government-wide policy, and identified as needing safeguarding, is considered CUI and must be marked as such.

Distribution statements are not used on non-technical documentation; however, a Limited Dissemination Control (LDC) will apply in most cases. Contact the program office to make this determination. Reference the following link for a current listing:

Some examples of CUI categories that may pertain to non-technical data include: General Proprietary Business Information, General Procurement and Acquisition, and Source Selection. A complete CUI Registry list of CUI categories can be found at: https://www.dodcui.mil/Home/DoD- CUI-Registry/.

Per DoDI 5200.48, mark these documents with “Controlled Unclassified Information (CUI)” or at a minimum “CUI” at the top and bottom of each page. Include a CUI Designation Indicator on the bottom right of the first page of CUI documents, as follows:

7.4 Intellectual Property/Marking

Any markings that are added to documents for review purposes must be removed prior to formal submittal. If a document still requires a marking (i.e., proprietary) not addressed in the contract, the contractor must provide a justification for the marking.

Item 17. Specify appropriate price group from one of the following groups of effort in developing estimated prices for each data item listed on the DD Form 1423.

a. Group I. Definition - Data which is not otherwise essential to the contractor's performance of the primary contracted effort (production, development, testing, and administration) but which is required by DD Form 1423.

Estimated Price - Costs to be included under Group I are those applicable to preparing and assembling the data item in conformance with Government requirements, and the administration and other expenses related to reproducing and delivering such data items to the Government.

b. Group II. Definition - Data which is essential to the performance of the primary contracted effort but the contractor is required to perform additional work to conform to Government requirements with regard to depth of content, format, frequency of submittal, preparation, control, or quality of the data item.

Estimated Price - Costs to be included under Group II are those incurred over and above the cost of the essential data item without conforming to Government requirements, and the administrative and other expenses related to reproducing and delivering such data item to the Government.

c. Group III. Definition - Data which the contractor must develop for his internal use in performance of the primary contracted effort and does not require any substantial change to conform to Government requirements with regard to depth of content, format, frequency of submittal, preparation, control, and quality of the data item.

Estimated Price - Costs to be included under Group III are the administrative and other expenses related to reproducing and

d. Group IV. Definition - Data which is developed by the contractor as part of his normal operating procedures and his effort in supplying these data to the Government is minimal.

Estimated Price - Group IV items should normally be shown on the DD Form 1423 at no cost.

Item 18. For each data item, enter an amount equal to that portion of the total price which is estimated to be attributable to the production or development for the Government of that item of data.

These estimated data prices shall be developed only from those costs which will be incurred as a direct result of the requirement to supply the data, over and above those costs which would otherwise be incurred in performance of the contract if no data were required. The estimated data prices shall not include any amount for rights in data. The Government's right to use the data shall be governed by the pertinent provisions of the contract.
