(2) Mission-essential functions means those organizational activities that must be performed under all circumstances to achieve DoD component missions or responsibilities, as determined by the appropriate functional commander or civilian equivalent. Failure to perform or sustain these functions would significantly affect DoD's ability to provide vital services or exercise authority, direction, and control. (2) In the event the Contractor anticipates not being able to perform any of the essential contractor services identified in accordance with paragraph (b) of this section during a crisis situation, the Contractor shall notify the Contracting Officer or other designated representative as expeditiously as possible and use its best efforts to cooperate with the Government in the Government's efforts to maintain the continuity of operations. (e) The Government reserves the right in such crisis situations to use Federal employees, military personnel or contract support from other contractors, or to enter into new contracts for essential contractor services. (f) Changes. The Contractor shall segregate and separately identify all costs incurred in continuing performance of essential services in a crisis situation. The Contractor shall notify the Contracting Officer of an increase or decrease in costs within ninety days after continued performance has been directed by the Contracting Officer, or within any additional period that the Contracting Officer approves in writing, but not later than the date of final payment under the contract. The Contractor's notice shall include the Contractor's proposal for an equitable adjustment and any data supporting the increase or decrease in the form prescribed by the Contracting Officer. The parties shall negotiate an equitable price adjustment to the contract price, delivery schedule, or both as soon as is practicable after receipt of the Contractor's proposal. (g) The

The government will use all questionnaires received from the offeror's referenced customers and data independently obtained from other government and commercial sources to determine if the Past Performance information is recent and relevant and then assess it for acceptability.
Recent means performance within five (5) years of the date of this solicitation.
Relevant means performance of similar requirements to those stated in the PWS either in whole or in aggregate if performed simultaneously under multiple contracts.
Past performance evaluation performed in support of this requirement does not establish, create, or change the existing record and history of the vendor's past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts/projects. Offerors may be asked to clarify the relevance of past performance information. In addition, communications may be conducted regarding adverse past performance information to which the offeror has not previously had an opportunity to respond.
Adverse past performance is defined as past performance information that supports an unacceptable rating or any unfavorable comments received from sources without a formal rating system. These communications will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revisions.

INFORMATIONAL PRICING NOTE:
TUPE - (Transfer of Undertakings (Protection of Employment) Regulations 2006
Definition. The United Kingdom's Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) is the main piece of legislation governing the transfer of an undertaking, or part of one, to another. The regulations are designed to protect the rights of employees in a transfer situation.
During the solicitation phase and award of the resultant contract the Government does not have access to specific TUPE information nor becomes involved with related TUPE processes and associated liabilities (to include indemnification) that may transpire during pre-award or post-award phases between transferor and transferee. While the Government fully understands the relevance of TUPE-information in proposing fixed prices, the responsibility to provide TUPE-information rests solely with the transferor; governed by Regulation 11 of the Transfer of Undertakings (Protection of Employees) Regulations 2006 (TUPE). As the transferor need only provide TUPE information to the transferee prior to the transfer, the Government will only make available the listing of the current, incumbent contractor(s) with associated points of contact if requested. The Government is not responsible for determination of TUPE applicability; the responsibility lies solely with the transferor.
As this is a firm-fixed price contract, it is incumbent upon the offeror to calculate any anticipated TUPE pricing at time of proposal submittal. TUPE costs cannot be submitted as a conditional proposal, if submitted as such the offeror's proposal will be considered unacceptable and the offeror shall be excluded from competition.

Evaluation Factors for Award
Miscellaneous text in this section has been modified to:
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1. Technical Capability
a. Transition Plan
b. Staffing Plan
c. Management Plan
d. Quality Control Plan
e. Mission Essential Services Plan
2. Past Performance
3. Price
(b) A Lowest Price Technically Acceptable (LPTA) Source Selection Process in accordance with FAR part 15.101-2 will be utilized for the purpose of the Government's evaluation of proposals and resultant award determination. Under the LPTA evaluation process, Technical Capability will be evaluated and rated on an acceptable or unacceptable basis whereby unacceptability of any respective sub-factor will result in an unacceptable technical capability-rating. In addition, ratings for past performance will be assigned utilizing an evaluation basis of acceptable or unacceptable.
(c) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(d) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of provision)
52.212-2 - EVALUATION - COMMERCIAL ITEMS - ADDENDUM
BASIS FOR CONTRACT AWARD: The Government's evaluation of offeror's proposals will be conducted utilizing the evaluation factors of: 1. Technical Capability, 2. Past Performance, and 3.
Price. Evaluation of these factors will utilize a Lowest Price, Technically Acceptable (LPTA) evaluation approach in accordance with FAR Part 15; whereby the Government seeks to award on the basis of the lowest evaluated price of proposals which meet the listed technical specifications and past performance. Under the LPTA evaluation process, trade-offs will NOT be permitted between price, and the non-price factors. An ordered evaluation process will be conducted as further defined in the below addendum to this clause whereby the Government will award to the lowest evaluated priced proposal meeting the acceptability standards for Technical Capability and Past Performance. Only one award will be made as a result of this solicitation.
The Government intends to award a contract without discussions. Upon completion of the Government's initial evaluation of proposals, exchanges with offerors may occur, for purpose of clarifications and communications in accordance with FAR Part 15. The Government reserves the right to conduct discussions with offerors for the purpose of negotiations at any point during the evaluation if deemed in the best interest of the Government. Once discussions, if conducted, have been concluded, the Contracting Officer will request Final Proposal Revisions from each of the offerors remaining within the competitive range.
By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. All technically acceptable offers shall be treated equally
FA557019RA0040001
except for their prices. Failure to meet any technical requirement will result in an proposal being determined technically unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
1. EVALUATION FACTORS FOR AWARD:
a. Technical Acceptability.
The government shall evaluate the Technical Plans submitted by offerors and assign a rating of Acceptable or Unacceptable to each subfactor based on whether or not they meet the requriements of the solicitation. A rating of Unacceptable on any subfactor will result in the entire Technical Plan being rated as Unacceptable.
The Technical Plans shall be evaluated against the following subfactors:
i. Transition Plan - Describe how the offeror will mobilize personnel and equipment to be able to perform all services as described in Attachment 1, the Performance Work Statement (PWS) at the beginning of the period of performance.
ii. Staffing Plan - Provide an organizational chart with the offeror's planned staffing for the contract.
The chart should show all planned personnel with their qualifications, certifications, and/or licenses, and supervisory relationships.
iii. Management Plan - Describe how the offeror will obtain and utilize personnel, equipment, and materials to perform the work in the PWS and how the offeror will track and safeguard all Government provided equipment, passes, keys, and communication devices.
iv. Quality Control Plan - State the approach or approaches the offeror will use to perform to the standards in the PWS, to meet the quality thresholds defined in the Services Summary (paragraph
11.1 of the PWS), and to correct deficient performance. Note: If selected for award, the offeror's Quality Control Plan will be incorporated into the contract and will be monitored for compliance on the Service Summary (SS) in paragraph 11.1 of the PWS as a performance objective item.
v. Mission Essential Services Plan -Submit a plan to provide mission essential services during a crisis or emergency as outlined in PWS paragraphs 15.3. - Continuation of Essential Contractor Services, DFARS Clause 252.237-7024, and Attachment 2 Mission Essential Contractor Services during a crisis or emergency to include adverse weather conditions.
b. Past Performance
Past performance information that is independently obtained, by the U.S. Government, from other government and commercial sources shall also be used during past performance evaluation. Based upon feedback from respondents to the questionnaires and information gained from other government and commercial sources, past performance evaluation will assess the recency and relevancy of collected information in accordance with 52.212-1.
Note that the past performance evaluation performed in support of this requirement does not establish, create, or change the existing record and history of the offeror's past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts.
These communications will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revisions
If found recent and relevant IAW 52.212-1, the Government will review the submitted past performance information along with any independently obtained information for acceptability/ unacceptability based whether or not it demonstrates a reasonable expectation that the offeror will successfully perform the requirements of the PWS. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the acquisition.
Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance
FA557019RA0040001
1088229122C Highlight
(see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or "neutral") past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered "Acceptable."
c. Price Evaluation. The Government will evaluate prices submitted in for all CLINs. Failure to propose on all CLINs will render the proposal non-responsive.
The Government Evaluation Team will present a Total Evaluated Price (TEP) to the Source Selection Authority. An offeror's TEP will be determined by multiplying the quantities identified in the Request for Proposal by the proposed unit price for each CLIN (0001-4009) to derive at the extended total amount for each CLIN. The extended prices for each CLIN will then be added together.
Additionally, a price for the six-month extension authorized by 52.217-8, Option to Extend Services, will be added to the total arrived at above. The price for the six-month extension will be calculated using 50% of the total extended price for the last twelve-month period (CLINs 4001-4009). Evaluation of the option period will not obligate the Government to exercise the option.
The total of the extended prices for each CLIN and the price for the six-month extension authorized by 52.217-8, Option to Extend Services will be added together to arrive at the TEP.
Offerors should propose the best available pricing to the Government for each CLIN in arriving at the most competitive price. Additionally, as this requirement is commercial and will result in a "firm-fixed-price" contract, a comparison of offeror's TEP will satisfy the requirement for price analysis, in establishing price reasonableness in accordance with FAR Part 15.
Prices will be evaluated for balance IAW FAR 15.404-1(g).
EVALUATION PROCESS
The three (3) proposals with the lowest TEPs will be evaluated on the Technical and Past Performance Factors. If two (2) or more Technical Plans are rated as acceptable with acceptable Past Performance then the evaluation process will be stopped. Award shall be made to the offeror with the lowest TEP, an acceptable techncial proposal and acceptable Past Performance.
If fewer than two (2) out of the three (3) proposals above are deemed technically acceptable with acceptable Past Performance, then the next three (3) proposals with the lowest TEPs (or all the remaining proposals if there are fewer than three) will be evaluated for technical acceptability and acceptable Past Performance. This process will continue, as needed, until a minimum of two (2) proposals are rated Acceptable for both Technical and Past Performance or until all proposals have been evaluated.
AWARD DETERMINATION: As a result of the Government's aforementioned evaluation, only those offerors whose proposals are determined to be technically acceptable, either initially or as a result of discussions, will be considered for award. In addition, only those offerors who have been assigned an acceptable past performance rating, will be considered for award. No trade-offs will be permitted between price, and the non-price factors of technical capability and past performance. Of those offerors found technically acceptable, with acceptable past performance ratings, award will be made to the offeror with the lowest TEP that is determined to be fair and reasonable.
