52.215-23 Limitations on Pass-Through Charges.
As prescribed in 15.408(n)(2), use the following clause:
Limitations on Pass-Through Charges (Jun 2020)
(a) Definitions. As used in this clause-
Added value means that the Contractor performs subcontract management functions that the Contracting Officer determines are a benefit to the Government (e.g., processing orders of parts or services, maintaining inventory, reducing delivery lead times, managing multiple sources for contract requirements, coordinating deliveries, performing quality assurance functions).
Excessive pass-through charge, with respect to a Contractor or subcontractor that adds no or negligible value to a contract or subcontract, means a charge to the Government by the Contractor or subcontractor that is for indirect costs or profit/fee on work performed by a subcontractor (other than charges for the costs of managing subcontracts and any applicable indirect costs and associated profit/fee based on such costs).
No or negligible value means the Contractor or subcontractor cannot demonstrate to the Contracting Officer that its effort added value to the contract or subcontract in accomplishing the work performed under the contract (including task or delivery orders).
Subcontract means any contract, as defined in Federal Acquisition Regulation (FAR) 2.101, entered into by a subcontractor to furnish supplies or services for performance of the contract or a subcontract. It includes but is not limited to purchase orders, and changes and modifications to purchase orders.
Subcontractor, as defined in FAR 44.101, means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime Contractor or another subcontractor.
(b) General. The Government will not pay excessive pass-through charges. The Contracting Officer shall determine if excessive pass-through charges exist.
(c) Reporting. Required reporting of performance of work by the Contractor or a subcontractor. The Contractor shall notify the Contracting Officer in writing if-
(1) The Contractor changes the amount of subcontract effort after award such that it exceeds 70 percent of the total cost of work to be performed under the contract, task order, or delivery order. The notification shall identify the revised cost of the subcontract effort and shall include verification that the Contractor will provide added value; or
(2) Any subcontractor changes the amount of lower-tier subcontractor effort after award such that it exceeds 70 percent of the total cost of the work to be performed under its subcontract. The notification shall identify the revised cost of the subcontract effort and shall include verification that the subcontractor will provide added value as related to the work to be performed by the lower-tier subcontractor(s).
(d) Recovery of excessive pass-through charges. If the Contracting Officer determines that excessive pass-through charges exist;
(1) For other than fixed-price contracts, the excessive pass-through charges are unallowable in accordance with the provisions in FAR subpart 31.2;
and
(2) For applicable DoD fixed-price contracts, as identified in 15.408(n)(2)(i)(B), the Government shall be entitled to a price reduction for the amount of excessive pass-through charges included in the contract price.
(e) Access to records. (1) The Contracting Officer, or authorized representative, shall have the right to examine and audit all the Contractor's records (as defined at FAR 52.215-2(a)) necessary to determine whether the Contractor proposed, billed, or claimed excessive pass-through charges.
(2) For those subcontracts to which paragraph (f) of this clause applies, the Contracting Officer, or authorized representative, shall have the right to examine and audit all the subcontractor's records (as defined at FAR 52.215-2(a)) necessary to determine whether the subcontractor proposed, billed, or claimed excessive pass-through charges.
(f) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (f), in all cost-reimbursement subcontracts under this contract that exceed the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award, except if the contract is with DoD, then insert in all cost-reimbursement subcontracts and fixed-price subcontracts, except those identified in FAR 15.408(n)(2)(i)(B)(2), that exceed the threshold for obtaining cost or pricing data in FAR 15.403-4 on the date of subcontract award.
(End of clause)
Alternate I (Oct 2009). As prescribed in 15.408 (n)(2)(iii), substitute the following paragraph (b) for paragraph (b) of the basic clause:
(b) General. The Government will not pay excessive pass-through charges. The Contracting Officer has determined that there will be no excessive pass-through charges, provided the Contractor performs the disclosed value-added functions.
252.204-7006 Billing Instructions-Cost Vouchers.
As prescribed in 204.7109 (b), use the following clause:
BILLING INSTRUCTIONS-COST VOUCHERS (MAY 2023)
When submitting a request for payment using a cost voucher, the Contractor shall--
(a) Identify the contract line item(s) on the payment request that reasonably reflect contract work performance; and
(b) Separately identify a payment amount for each contract line item included in the payment request.
(End of clause)
52.204-26 Covered Telecommunications Equipment or Services-Representation.
As prescribed in 4.2105(c), insert the following provision:
Covered Telecommunications Equipment or Services-Representation (Oct 2020)
(a) Definitions. As used in this provision, "covered telecommunications equipment or services" and "reasonable inquiry" have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) ( https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".
(c) (1) Representation. The Offeror represents that it does, does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.
(2) After conducting a reasonable inquiry for purposes of this representation, the offeror represents that it does, does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services.

M-1 EVALUATION PROCESS
A. Basis for Contract Award
This is a total small business set-aside conducted in accordance with Federal Acquisition Regulation (FAR) Parts 15, Contracting by Negotiation, and 19, Small Business Programs, as supplemented.
These regulations are available electronically at https://www.acquisition.gov/. The Government will evaluate the proposal for technically acceptability and price fair and reasonable. A contract may be awarded if the offeror is deemed responsible in accordance with the FAR Subpart 9.1, as supplemented, and the proposal conforms to the solicitation's requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation) and is judged to represent a technically acceptable proposal with a price determined fair and reasonable.
B. Number of Contracts to be Awarded The Government intends to award one contract in response to this solicitation.
C. Discussions The Government intends to award without discussions; therefore, the offeror should submit a proposal that represents their best effort. If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, the offeror's responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the award decision. If after discussions, the Government and offeror cannot reach an agreement on any aspect of the proposal, the Government reserves the right to cancel the solicitation.
D. Solicitation Requirements, Terms and Conditions Offeror is required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or sub-factors. Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award.
Offeror must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.
E. Evaluation Process
The evaluation process to be used is as follows:
Step 1: Conduct a responsiveness determination.
Step 2: Conduct a technical and price evaluation on the proposal.
Step 3: If aspects of the proposal are determined unacceptable, Government may determine to issue Evaluation Notice(s) and enter into discussions to correct any deficiencies.
M-2 EVALUATION FACTORS
A. Evaluation Factors and Sub-factors The following evaluation factors and sub-factors will be used to evaluate the proposal.
Factor 1: Price Factor 2: Technical Sub-factor 1: Line Item Estimate Sub-factor 2: Proposed Schedule Sub-factor 3: Construction Approach
B. Price Factor If the price is determined to be unreasonable or unbalanced it will not be considered for award. The offeror's price proposal will be evaluated by reviewing the line item estimate and any submitted certified cost or pricing data using price and cost analysis in order to determine price fair and reasonable.
C. Technical Factor
The Government's technical evaluation team shall evaluate the technical proposal to ensure the offeror and the Government have a mutual understanding of the work to completed. If any aspects of the proposal are found unacceptable or conflict with the Government's understanding of the project discussions will be conducted in order to come to a mutual understanding and/or obtain a revised proposal.
The proposals shall be evaluated against the following technical sub-factors:
Sub-factor 1: Line Item Estimate Description: This sub-factor evaluates the line item estimate provided by the offeror.
Standard: This requirement is met when the offeror's line item estimate reflects acceptable labor categories and materials in reasonable quantities to successfully perform the work required by the Statement of Work.
Sub-factor 2: Proposed Schedule Description: This sub-factor evaluates the schedule proposed by the offeror.
Standard: This requirement is met when the offeror submits a schedule that captures all SOW requirements, execution timelines and critical path items. The schedule must demonstrate coordination of the work activities, phasing, and potential weather considerations.
Sub-factor 3: Construction Approach Description: This sub-factor evaluates the construction approach proposed by the offeror.
Standard: This requirement is met when the offeror's proposal provides a narrative that:
1. Identifies key aspects of the work required, potential issues, challenges and resolutions
2. Demonstrates an understanding of risks and mitigation efforts required to successfully complete the project in accordance with the Statement of Work.
