SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS TO OFFERORS

L-900. Instructions to Offerors

I. Proposal Format

A. General: The following instructions cover the preparation and submittal of the offeror’s proposal for this solicitation. Offerors must follow the instructions contained herein. Offerors are cautioned that any noncompliance with the terms and conditions of the RFP (including Contract Line Item Numbers (CLINs) and the Performance Work Statement (PWS) Section J, Attachment 1, and Government standards and regulations pertaining to the PWS) may cause their proposal to be determined to be not eligible for award. If a joint venture arrangement exists for this acquisition, the offeror shall provide a copy of the joint venture agreement that is signed and dated by all joint venture members as part of the proposal submission. Offerors shall submit only one proposal for Full Food Services as the Government will review only one proposal per offeror. Proposals must be received by 81 CONS/LGCB, 310 M Street, Rm 102, Keesler AFB, MS 39534-2701, Attention: Deitre Browne, no later than the date and time specified in Block 9 on the face page of the RFP. However, offerors are requested to submit Volume III, Past Performance Information, so that it is received ten (10) calendar days prior to the required due date for proposals.

Failure to submit Volume III by the earlier date will not result in offeror disqualification.

B. Communications: Exchanges of source selection information after the release of the RFP between the Government and offerors will be controlled by the Contracting Officer. Email may be used to transmit such information only if the email can be sent encrypted, and must include “Source Selection Information – See FAR

2.101 and 3.104” in the subject line of the email. Otherwise, source selection information will be transmitted via direct mailing or AMRDEC SAFE at https://safe.amrdec.army.mil/safe/guide.aspx. When submitting source selection information via email, file suppression utilities, to include but not limited to zip files, will not be accepted.

C. Acceptance Period: The Government requires a minimum acceptance period of 120 calendar days from the date of receipts of offerors; however, offerors may specify an acceptance period exceeding the Government’s minimum requirement. The offeror’s proposal must affirmatively state an acceptance period equal to, or greater than, 120 calendar days.

D. Points of Contact: The contracting office Points of Contact (POC) are the sole POCs for this acquisition.

Solicitation information and amendments will be posted to the Federal Business Opportunities (FBO) website at http://fbo.gov. Offerors may e-mail written questions pertaining to this RFP, or any of its attachments, to the addresses below. The Government will answer questions received up until 4:00PM local Biloxi, MS time on 6 Dec 2017 and provide responses to interested parties via FBO. E. Site Visit: A site visit will be held on 29 Nov 2017 at 0900 Central Time. All parties will meet at the 81st Contracting Squadron, 310 M Street, Bldg 4605, Keesler AFB, MS prior to departing to the facilities. All parties must contact the contract specialist and the contracting officer at the e-mail addresses above by 3:00PM Central Time on 28 Nov 2017 to confirm attendance. Each offeror is limited to two attendees. Further instructions will be provided to all attendees.

F. Discrepancies: If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the offeror is requesting the CO to consider as related to the omission or error. NOTE: The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion in accordance with FAR 15.306.

G. Electronic Reference Documents: All referenced documents for this solicitation are available on the FBO website. Potential offerors are encouraged to subscribe for e-mail notifications to be updated when information has been posted to the website for this solicitation.

H. Late Proposals: Late proposals will be processed in accordance with FAR 52.215-1(c) Submission, modification, revision, and withdrawal of proposals.

I. Subcontracting Plan for Responsible State Licensing Agency: In accordance with FAR 19.702(a)(1), the State Licensing Agency shall submit a subcontracting plan following procedures in FAR 19.704 with their proposal. The CO will review the plan in accordance with FAR 19.705-4.

II. Volume Organization

A. General: Proposals shall be submitted to the Government in three (3) separate volumes as set forth below:

All volumes shall be submitted in written form (1 copy) and CD-R or DVD-R (write once/read only) (1 copy) that is “closed” so that no further writes can be made to the media. CD-R/W or DVD-R/W media types are not acceptable.

Media must be virus scanned by the offeror prior to submitting to the Government. The electronic version of the proposal shall be submitted in a format readable by Microsoft Office 2013 which includes software programs such as Word, Excel, and PowerPoint. For those pages of the proposal that cannot be submitted using Microsoft Office, such as the Standard Form 33, offerors shall include those pages electronically using Adobe Acrobat portable document files (.pdf) format. Offerors shall use the instructions set forth in RFP Attachment 4, PPI Tool Instructions, to electronically submit the Past Performance information into the PPI Tool. The link to the PPI Tool is attached, as a link, to the solicitation posting. The offeror is also required to submit a hard copy Past Performance Volume III.

Proposal volumes shall comply with the following format:

1. The sealed package used to submit the proposal package must show the time and date specified for receipt. Each volume shall be marked with the RFP number and the offeror’s name and address, and the number of the Volume, i.e. I, II, III, etc. Proposals shall be in the English language and all monies shall be proposed in United States dollars. Telegraphic or facsimile offers will not be accepted.

2. Print shall be no smaller than a font size of 10. Paper size shall be 8 1/2” X 11,” excluding any drawings, diagrams, and/or supporting illustrations, spreadsheets, etc. Charts, graphs, drawings, diagrams, supporting illustrations, or spreadsheets shall not be greater than 11” x 17.” Each volume within the proposal notebook shall be separately tabbed and identified. Margins shall be no smaller than 1 inch and each page within a volume shall be numbered consecutively. Elaborate formats, bindings, color presentations are not desired or required.

3. Page limitations may be placed on responses to Evaluation Notices (ENs), if issued. The specified page limits for EN responses will be identified in the letters forwarding the ENs to offerors or on the EN form itself.

4. Each page containing proprietary information should be so marked.

5. Each page should contain the following legend at the bottom of each sheet:

6. Submission of the initial proposal packages via electronic mail will not be accepted. Initial proposal packages shall either be mailed or hand-delivered. Offerors are cautioned that Keesler Air Force Base has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. Some delay should be anticipated when hand-delivering proposal packages. Offerors should allow for sufficient time to obtain a visitor pass and arrive at the specified office PRIOR to the time specified for receipt of proposals.

B. Volume I, Completed RFP

1. General: Volume I, Completed RFP shall consist of the completed and signed RFP, to include any amendments issued, with a cover letter delineating any exceptions taken to the RFP terms and conditions with accompanying rationale. However, offerors are cautioned that any noncompliance with the terms and conditions of the RFP may cause their proposal to be determined unacceptable and therefore not considered eligible for award. Offerors shall ensure that all clauses and provisions that require “fill in” information are appropriately completed, including the proposed prices associated with the contract line items in the Schedule of the RFP.

3.1 Price Reasonableness: The source selection will be conducted with the expectation of adequate price competition for this acquisition per FAR 15.403-1(c)(1); therefore, certified cost or pricing data are not required per FAR 15.403-1(b)(1). The CO will determine prices to be fair and reasonable by using one or more of the proposal analysis techniques in FAR 15.404. If at any time during this competition the CO determines that adequate price competition no longer exists or if price reasonableness cannot be determined, the CO may require offerors to submit additional data other than certified cost or pricing data, as appropriate, for the CO to support a determination for a fair and reasonable price.

3.2 Section B/Price Schedule: The offeror shall insert proposed unit and extended prices in Section B for each Contract Line Item Number (CLIN) including all option periods. All unit prices must be rounded to the nearest penny. Pricing on two reimbursable “not to exceed” CLINs for each performance period are provided by the Government in the CLIN description. The total extended amount for the CLINs must equal the total amount when unit price is multiplied by the quantity of units. The sum of all CLINs, for the Base Period and each Option Period, will form the offeror’s Total Evaluated Price (TEP).

4. Other Contracting Considerations

4.1 RFP Completion Details: Include in each proposal cover letter or proposal cover page: name, office phone and fax number (and, if applicable, cell phone number), and e-mail address for the proposal point of contact. The offeror must complete the following and include in Volume I:

(a) Standard Form 33 (SF 33), Blocks 13-18, of the RFP: In completing these blocks, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. A scanned copy of the originally signed (“wet” signature) page or electronically signed signature page should be included in the proposal.

(b) Standard Form 30 (SF 30), Blocks 15A-15C, for any/all amendments. A scanned copy of the originally signed (“wet” signature) page or electronically signed signature page should be included in any/all amendments.

(c) Complete all necessary fill-ins and certifications in Sections I through K. Ensure compliance with RFP requirements if using the annual representations and certifications electronically via the System for Award Management (SAM) website at https://www.sam.gov/portal/public/SAM/. Ensure the Tax Identification Number (TIN) is loaded in SAM or provided for in the proposal submission. If the CO is unable to access/retrieve an offeror’s annual representations and certifications, that offeror may, upon request by the CO, be required to submit a hard copy of their annual representations and certifications. This request will not be construed as communications or discussions with an offeror as defined by FAR 15.306.

(d) Statement of Compliance with the Service Contract Labor Standards (SCLS), (also referred to as the Service Contract Act (SCA)). The SCA Wage Determination (WD) provided in Section J, Attachment 2, is applicable to this requirement. The offeror shall provide a statement acknowledging:

i. Compliance with the requirements of the SCA WD;

ii. The prices proposed for labor covered by the SCA WD were formulated in consideration of the rates specified in the document as required for covered contractor personnel;

iii. The wage and benefit rates specified in the SCA WD are not escalated beyond the basic period of performance (FAR 52.222-43(a) and (b)) and likewise, the prices proposed for labor covered by the SCA WD were not escalated beyond the basic period of performance; and

iv. Offerors are reminded of and advised to pay particular attention to FAR 52.222-43(b), which is included in this solicitation by reference and will be in the resultant contract. In particular, this clause provides a mechanism for dealing with escalating labor costs due to increases in SCA wage and benefit rates, whether those rates are derived from a DoL- issued wage determination or an effective collective bargaining agreement. Offerors are advised that wage/benefit rates for service employees (ref FAR 22.001) should not be escalated in their proposals for contract outyears (or option periods) since this clause provides a means for doing so after contract award.

(e) Statement of Compliance with the Collective Bargaining Agreement (CBA). The CBA provided in Section J, Attachment 3, is applicable to this requirement. The offeror shall provide a statement acknowledging:

i. Compliance with the requirements of the CBA;

ii. The prices proposed for labor covered by the CBA were formulated in consideration of the rates specified in the document as required for covered contractor personnel;

iii. The wage and benefit rates specified in the CBA are not escalated beyond the basic period of performance (FAR 52.222-43(a) and (b)) and likewise, the prices proposed for labor covered by the CBA were not escalated beyond the basic period of performance.

4.2 Responsibility Determination and Supporting Documentation: To assist in determining contractor responsibility in accordance with FAR 9.104-3(a), the offeror shall:

(a) Explain how they plan to maintain adequate financial resources for a contract of this magnitude and length;

(b) Address a fiscal plan for covering initial performance costs prior to recoupment in the form of monthly invoice payments;

(c) Provide complete financial statements for one (1) fiscal year and year-to-date financial information through the last quarter available. The year-end financial statements must be certified by an independent accounting firm, or must be submitted along with a copy of the tax return and a letter from an independent accounting firm verifying the amounts;

(d) If the offeror intends to rely on internally available working/operation capital, documentation of availability must be submitted. If the offeror plans to rely on financial support from external sources, documentation of availability and maximum lines of credit available (based upon the inclusion of this contract effort) must be submitted. Evidence of external funding must be provided in the form of a dated letter from the external source.

IAW FAR 9.104-5, the offeror is required to comply with the submission regarding FAR 52.209-5, Certification Regarding Responsibility Matters found in Section K of this RFP. Since it is the Government’s intent to make Award Without Discussions IAW FAR 52.215-1, the Government may request an offeror submit additional information so a responsibility determination can be made. This request for additional information will not be construed as communications or discussions with an offeror as defined by FAR 15.306.

4.3 Teaming Arrangements and/or Letters of Intent: If a teaming arrangement is contemplated, provide complete, verifiable information detailing the arrangement, to include any relevant and recent information on previous teaming arrangements with the same partner. Submit information relative to the formation, organization and operation of the business unit.

Additional information that should be submitted shall include cost and revenue sharing agreements and any other information which describes the business arrangement. Disclose existing or planned agreements between and among the principals, each company’s responsibility for financial management of the venture, the business systems contemplated for use by the entity and their location.

C. Volume II, Written Technical Proposal

1. General: The written technical proposal shall be clear, concise, and include all the information required by this provision in sufficient detail for effective evaluation. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their capabilities, work processes, facilities, and experience and will base its evaluation on the information presented in the offeror’s technical proposal.

2. Format and Specific Content: The following information shall be provided in the written technical proposal and will be evaluated to assess technical acceptability in accordance with Section M-900, Evaluation Basis for Award.

Offerors shall submit a written technical proposal that provides their proposed approach to performing the requirements set forth in the Performance Work Statement.

Staffing Plan:

As part of their Technical Proposal, Offerors are required to submit a proposed Staffing Plan that demonstrates their approach used to determine cross utilization of personnel within each functional area throughout the workforce.

This written plan, along with the completed Staffing Matrix (RFP Attachment 9), must demonstrate the offeror’s proposed staffing approach by numbers, types, and skills of personnel as well as cross utilization of personnel.

The Staffing Matrix (RFP Attachment 9) shall be completed and submitted in Microsoft Excel 2003 or newer versions with no locked formulas. Each of the six tabs (Azalea-Weekdays, Azalea- Weekends, Central Prep, Flight Kitchen, Live Oak, and Magnolia) within Attachment 9 must be completed.

*The Staffing Matrix (RFP Attachment 9) does not count towards the 30-Page Limit.

D. Volume III, Past Performance

1. General: The offeror shall submit Past Performance Information for itself and any joint venture member, as well as each proposed critical subcontractor in accordance with the format contained in the “PPI Tool Instructions” (See RFP Attachment 4) and the following paragraphs. A critical subcontractor is defined as an entity (subcontractor and/or teaming contractor), other than the offeror itself that will perform major or critical aspects of the requirement critical to overall successful performance. Major or critical aspects include tasks related to food preparation (i.e.

food preparation and cooking), customer processing (i.e. cashiering and bussing), and equipment maintenance and repair.

The requested past performance information shall be provided in a separate volume labeled "Volume III - Past Performance". A summary page shall be provided for this acquisition, describing the proposed role of the offeror, any joint venture member and critical subcontractor (nature of work and percentage of overall work). Summary page information must clearly communicate that proposed critical subcontractor(s) meet the definition of a critical subcontractor established above. Efforts submitted for proposed critical subcontractors not meeting the established definition will not be evaluated. Each offeror/joint venture member shall complete past performance information for five (5) active or completed contracts (with at least one year of performance history) in the past three (3) years from the date of receipt of proposal, that the offeror/joint venture member considers relevant based on the relevancy criteria established in the RFP in demonstrating its ability to perform the proposed effort. If the total number of such contracts exceeds five (5), each offeror/joint venture member shall address its five (5) most recent and relevant contracts. For each critical subcontractor included in the offeror's proposal, past performance information for five (5) of their most recent and relevant contracts shall also be included. The offeror's/joint venture member’s or critical subcontractor’s past performance information may include data on efforts performed by other predecessor companies, affiliates, other divisions or corporate management if such was provided for evaluation and if the offeror’s past performance volume demonstrates the company, affiliate, or division will provide the offeror with resources for the instant proposed effort, such as workforce, management, facilities, or other capabilities demonstrating direct and meaningful involvement in the performance of the instant proposed effort. The past performance information shall clearly indicate the division or corporate organization that performed or is presently performing the contract. Contracts listed may include those with the Federal Government, state and local governments or their agencies, and commercial customers.

3. Ordering Type Contracts Submission: If the contract you are submitting is an ordering type contractual vehicle (for example, including but not limited to an Indefinite Delivery “D” type contract per FAR 16.5), only after issuance of a delivery/task order does performance occur. Given this, an individual order (or series of orders) under the basic ordering contract shall be submitted, in lieu of just the basic ordering contract itself. All information provided to the Government, for an ordering type contractual vehicle, shall be at the order level (i.e. a delivery/task order).

When determining what order (or series of orders) to submit for evaluation, please reference Section M, Paragraph II.D.4-5 for details on how the Government will evaluate each submitted effort for recency, relevancy, and quality.

When submitting an individual order (or series of orders) under an ordering type contractual vehicle, it is important that the offeror’s past performance information be accurate, complete, and in the correct format. If the information is not submitted in the correct format, the Government will not be able to evaluate the effort for recency, relevancy, and quality. There are specific places for submission of this information in the PPI Tool. Please ensure the information submitted, in the PPI Tool is for each order (or series of orders), in lieu of just the basic ordering contract itself. See paragraph 3.1 for further information on how to submit series of orders.

3.1 Series of Orders: When submitting a series of orders for evaluation, the offeror should list the orders under the basic ordering type contractual vehicle that demonstrate relevancy, as defined in the Relevancy Definitions in Section M paragraph II.D.4. If an offeror submits a series of orders for evaluation, the total dollar value of each order (in the series of orders) and the period of performance dates of each order (in the series of orders) shall be submitted. The total dollar value of each order (in the series of orders) shall be added up to calculate the Total Dollar Value to be used in the evaluation, for the submitted effort. The total period of performance of each order (in the series of orders) shall be added up to calculate the Total Period of Performance to be used in the evaluation, for the submitted effort.

Caution: All orders within the series of orders, being submitted, should be for the same continuous technical scope demonstrating relevancy to the instant acquisition. The Government reserves the right to request additional information from the offeror or Points of Contacts provided to verify that the series of orders is for the same continuous technical scope.

4. Key Personnel: Offerors, joint venture members, or critical subcontractors that are newly formed entities (in existence less than three (3) years from the date of receipt of proposal) who either have no prior contracts or do not possess relevant corporate past performance, but have key personnel with relevant past performance while employed by another company, may demonstrate the performance of such key personnel by submitting past performance information for five (5) of their most recent and relevant contracts under which such key personnel performed the same role currently being proposed on the instant acquisition and this performance occurred during the past three (3) years from the date of receipt of proposal. Note however, that the quality of the key personnel’s performance under the submitted contract must be able to be verified by the Past Performance Team in order to be considered in the assessment of confidence. Any such key personnel must already be employed by the offeror /joint venture member, or in the case of a critical subcontractor, must already be employed by the critical subcontractor; a letter of intent to hire does not constitute employment.

5. Subcontractor/Teaming Member Consent Form: In addition to the information provided in the PPI Tool for each entity as required above, the offeror must submit a consent letter executed by each of its proposed teaming member(s) and/or critical subcontractors authorizing release of adverse past performance information to the prime offeror to allow the prime offeror an opportunity to respond. A sample Subcontractor/Teaming Partner Consent Form is attached to this RFP (see RFP Attachment 6). The consent form shall be completed by the team member(s) and/or critical subcontractors identified in your proposal. The completed consent forms shall be submitted as part of your Past Performance Volume III.

6. PPI Tool: The offeror/joint venture member or critical subcontractor, if applicable, shall focus its PPI Tool responses so that they clearly correlate present and past performance with the requirements of this RFP. The PPI Tool responses must clearly describe the relevance of the effort to the work proposed. Provide the most current information for the Customer Points of Contact (POCs) identified in the PPI Tool:

(a) Program/Site Manager

(b) Contracting Officer

(c) Administrative POC

If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the past performance information a description of programs or actions taken to resolve those causes. Problems not addressed in the past performance information, but found by the Government during the evaluation of the information in this volume, will be assumed to still exist. Note: In the case of Contractor Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.

7. Past Performance Questionnaire: The Past Performance Questionnaire (see RFP Attachment 5) will be one means used by the Government to obtain present/past performance information. The Government reserves the right to change, alter, and/or supplement the questionnaire without further notice to the offeror(s). The offeror shall send out and track the completion of the Past Performance Questionnaires (See RFP Attachment 5) to each of the offeror’s, joint venture member’s and/or critical subcontractors’ (i.e., each entity’s) Points of Contact (POCs) identified in each PPI Tool submission. The responsibility to send out and track the completion of the Past Performance Questionnaires rests solely with the offeror - i.e., it shall not be delegated to any other entity.

Completed Past Performance Questionnaires shall be submitted directly to the Government not later than the date established in the RFP for receipt of proposals. POCs may submit their completed Past Performance Questionnaire either electronically, by fax or by mail. If sending electronically, follow the procedures outlined in paragraph I.B. Once the Past Performance Questionnaires are completed by your POCs, the information contained therein shall be considered source selection sensitive and shall not be released to the offeror. Therefore, any exchange/contact between the offeror/joint venture member and/or critical subcontractor and its own POCs in regards to comments made on the questionnaire is not permitted.

8. Client Authorization Letter: In the event that commercial contracts are presented as present/past performance sources of information, a client authorization letter shall be issued to those commercial POCs requesting/authorizing them to complete a Present/Past Performance Questionnaire. A sample client authorization letter is attached to this RFP (see RFP Attachment 7). The offeror is required to send the client authorization letter(s) with the Present/Past Performance Questionnaire(s) to each POC on commercial contracts. A separate copy of client authorization letter(s) for each commercial contract shall be included in the offeror’s Present/Past Performance submission for the Government’s use in case additional questionnaires need to be sent by the Government after the RFP due date.

9. Follow-up Discussions: The Government may conduct follow-up discussions with any of the people identified in the PPI Tool report or in the offeror’s Past Performance Volume. Pursuant to FAR 15.305(a)(2)(ii), the Government may obtain other information by sending out additional questionnaires and through other sources, other than those listed within the PPI Tool and resulting report.
