Questions and Answers # 6
1. This offeror is under the assumption that the contractor will be developing and delivering “all” requested courseware to the government with data rights requested per Attachment 3 Data Assertions
Table.
If the Train-the-Trainer courseware deliverables are now going to be priced in “hours” for special work for hire, which CLINS do the offerors price the complete “unit” deliverables to the government for the courseware?
Answer: The contractor stated assumption is incorrect. Please see Section L paragraph 3.1 c. and Section
M paragraph 2.2 c. which states, “Training courseware, syllabi, and student materials developed using funding under any Task Order(s) first created, generated, or produced and required to be delivered under this contract shall constitute instructional works and the copyright to these works shall be assigned in accordance with DFARS 252.227-7020, Rights in Special Works. If the offeror proposes to use exclusively privately funded developed training courseware, syllabi, and student materials for any of the train-the-trainer deliverables, the offeror is required to submit assertions in accordance with DFARS
252.227-7017, Identification and Assertion of Use, Release, or Disclosure Restrictions. Assertions MUST be included in Section J, Attachment 3. An award cannot be executed unless the offeror has provided sufficient information to enable the Contracting Officer to review any listed assertion. The offeror shall provide substantiating documentation (certified payrolls) in Volume I of the proposal and the United
States Government (USG) must receive a cost savings reflected in the proposed Unit Price Book (Exhibit
B) per train-the-trainer deliverable for all exclusively privately funded developed training courseware, syllabi, and student materials. License rights, transfer, and copyright shall be IAW DFARS 252.227-7020
(c) and (d).”
Courseware is to be priced in two separate ways.
For UPB line items X0001XX-X0092XX, which are the all-encompassing training line items, these are to be priced as a service and does not constitute a work for hire. At the task order level, IDIQ program awardees may propose the appropriate quantity of days necessary to support a given PNAF to include, but not limited to, required courseware.
For UPB line items X0093XX-X0115XX, which are train-the-trainer deliverables, these are to be priced as a special work for hire to be delivered IAW DFARS 252.227-7020 and shall be delivered to the Air
Force Security Assistance Training Squadron in accordance with Exhibit A CDRL, but only if the deliverables are ordered as reflected in the FMS LOA. At the task order level, IDIQ program awardees may propose the appropriate quantity of hours to develop, complete, and deliver the train-the-trainer deliverables IAW the Exhibit A CDRL. Therefore, the level of effort and required licenses for the train-the-trainer deliverables will be determined and proposed at the task order level using the attachment 5 TOPR Basis of Estimate Template line items X0093XX-X0115XX.
Note: Per Section G, paragraph 3, Non-Priced Items are authorized and shall not exceed 15% of the total price of each TOPR proposal.
