In accordance with Danish Labor Law Lov om lønmodtageres retsstilling ved virksomhedsoverdragelse (”The Act on Employees’ Rights Relating to Transfer of Undertakings/Businesses”) or Greenlandic law: Arbejdstageres retsstilling ved virksomhedsoverdragelse , the offeror must assume employment of all current contract employees upon contract start date. Both the Danish and Greenlandic TUPE regulation implies that all employees (employed at the time of take-over) must be taken over by the transferee of a business or part of business that falls within the scope of the TUPE-regulation.

Question: Will the Government confirm that the above labor laws apply to this solicitation?

The US Government has included language that potential offerors must adhere to Danish/Greenlandic labor law(s). If the stated laws/regulations are applicable to the successful offeror as a private company registered to do business in Denmark/Greenland then they would be relevant but the US Government will not confirm or deny they apply or enforce adherence. Offerors should seek legal advice on the subject.

Section B Question: Where should the offeror place severance and retention costs not related to the Termination CLIN in the Section B Price Worksheet?

The Government will not advise on the methodology to be utilized in the offeror's proposal preparation.

Section B

To adequately price retention and potential severance costs not related to the Termination CLIN, the offeror needs to know:

1. The labor category of each employee that is currently on the contract.

2. The current years of service for each employee.

3. Current monthly salary of each employee.

4. Age of each employee.

Question: Will the Government provide the offerors with the above information to allow them to adequately price severance and retention costs not related to the Termination CLIN?

The Government will provide employee information in accordance with PWS 3.31.3.5.

Question: Should the offeror put other direct costs specific to the CLIN in the non-labor line of the Section B pricing sheet?

H H-1.(a)

This clause is developed in accordance with FAR 16.203 to establish the method by which cost indexes are used to adjust contract price. Use this clause with the labor amounts at contract Attachment 2, Section B Pricing Worksheet, to calculate the economic price adjustments in FY 17 through FY 23. There will be no EPA adjustment in FY 16. The amounts in Attachment 2 will be updated by the parties with each contract modification. Adjustments to any indirect cost (except Social Benefits) or profit are not permitted.

Throughout the RFP we find the competeing terms “fringe benefit” and “social benefit”. While the term “fringe benefit” is used in the FAR, the term “social benefit” is not and is ambiguous. How is the term “social benefit” to be defined as it is used in this RFP?

The term fringe benefits in Section H paragraph H-2 has been changed in RFP Amendment 1 to read social benefits. The USG has chosen to utilize the term social benefits as it fits into the common business practice in Denmark. Social benefits would be those benefits other than wages given to employees via applicable union/collective bargaining agreements or corporate policy covering all personnel.

H-6 Statutory Restrictions on Foreign Acquisitions

The requirements at PWS

3.1.16 to maximize and document contract related purchases and subcontracts for Danish and Greenlandic sources required by the 1962 International Agreement (Aide Memoire) between the US and Denmark take precedence in the performance of this contract.

Given the requirements set forth in the 1962 bilateral treaty between USA and DK, can the SBSS be used as the primary source of supply (material, parts, consumables, equipment) for the BMC?

Section L C. Receipt of Proposals 1.

1. Volume I - Technical and Volume II – Price/Contract Documents. The offerors proposal, paper and electronic, must be received no later than 2:00 p.m. Central European Time (CET) on 28 Apr 2014 and shall be delivered to the Contracting Officer (CO) at:

Based on the following information, we feel that the proposal due date of 28 April 2014, restricts competition as offerors will not be able to develop and price a comprehensive proposal that would be technically acceptable in accordance with section L of the RFP.

In addition to the extensiveness of the requirements, the below factors will also contribute to the unreasonably short timeline:

1. All draft bid documents and prior discussion during site visits and USG communication to Industry created a 90-day expectation in which to produce a proposal this complex considering the length of the program and the complexity of the requirements. The only company that has a reasonable chance to develop a technically acceptable proposal is the incumbent. In our opinion this overly restricts competition for a new firm or team to reasonably expect to win a contract of this magnitude

2. The Thule AB BMC is an 8-year firm fixed price contract with a complex CLIN structure and significant price risk owing to the long duration of the contract. Risk to industry is significantly increased by requiring cost and technical solutions for a site this large, remote and austere; and which has such inherently challenging logistics issues. Our discussions with potential vendors and subcontractors has revealed that they will require more time to put together their offers such that the prime can incorporate their bids into the overall offer to the government.

3. The proposal preparation and due date crosses the Easter Holiday. All Danish companies are closed to celebrate this holiday from Thursday before Easter to the following Tuesday.

This also may include the entire week before for a Spring Holiday. Again, this creates a situation where firms cannot respond with a reasonable responsive proposal based on extensive proposal requirements in section L and the evaluation criteria in section M. Additionally, the requirement for of a variety of plans requires far more time to develop and review for thoroughness prior to proposal submission. Based on the above rationale, request the proposal due date be extended to 30 May.

1. Throughout the pre-solicitation process, the Government has always provided a range the Government would allow for proposal preparation. A review of the site visit meeting minutes reveal, "The USG requested feedback from participants on the amount of time necessary for proposal preparation. General consensus was 6 (six) weeks, however, this was predicated on the need for MFA criteria so that teaming arrangements could be negotiated and finalized. Interested Parties requested 4-6 weeks after MFA criteria is posted prior to RFP release. While the US Government cannot guarantee that timeline, it is understood why this is". There were 16 weeks between release of criteria and RFP. The Government does not concur with the statement that a 90-day proposal preparation period was created. 2. The Government recognizes the effort involved in preparing a proposal of this magnitude, the Government posted Draft RFPs on 12 Jun 2013, 05 Dec 2013, and 07 Mar 2014. The RFP posted on 28 Mar 2014 has very minimal changes to the Draft RFPs. 3. The Government recognizes the Easter holiday period falls within the proposal preparation timeline. The Government will take the request for an extension based on the Easter Holiday under advisement.

1) Binding: Each volume of the proposal will be separately bound in a standard loose-leaf, three-ring binder.

The standard ring binder format in Denmark is either 2 (two) or 4 (four) rings, so will this be acceptable, i.e. 4-ring binders instead of 3-ring binder?

Section L L-6.D.1.a

Staffing Plan: Utilize the staffing matrix format provided (Attachment 10);

add and delete rows as needed. Include labor category descriptions containing general resume-like information, such as education, professional qualifications, licenses, and years of experience (do not include names of personnel).

Acknowledging the Government's previous answer to the question regarding Attachment 10 and its current inclusion in the total pagecount for subfactor 1. Using an estimate of 400 FTEs, with the inclusion of multiple combinations of Labor Category, Seniority, PWS, and CLIN combinations, the number of lines possible, even accounting for using only actual unique combinations, could easily rise to 200 individual line items or more. Using the formatting guidelines in the RFP and as currently formatted in the government provided attachment 10, these 200 lines will take approximately 20 pages to print. This is a significant portion of the allotted 50 pages for subfactor 1.

Additionally, each bidders solution will vary with different staffing solutions, allowing one bidder to have a significant advantage in page count relative to the other bidders. Will the government reconsider making Attachment 10 separate from the 50 page limit?

Subfactor 1 is inclusive of an organizational structure and a staffing plan. A significant portion of the staffing plan requires bidders to utilize the staffing matrix format provided (Attachment 10). The US Government believes the 50 page limit to be adequate for the entire subfactor. However, the US Government reserves the right to address this issue in the future if necessary.

Government Response: Yes, the USG will entertain proposals with efficiencies in non-labor categories. After further evaluation, the language in Section L-6 paragraph D.1.f will be amended in the RFP. It is not the intention of the USG to limit offerors ability in proposing efficiencies.

Efficiencies may be proposed in any category or combination of categories permitted under the RFP. The RFP language for this subfactor will be amended to require downward pricing in the overall total annual amount. The USG will post updated version of the draft RFP to FBO.

Government 20 Feb 14 Q&A response stated "After further evaluation, the language in Section L-6 paragraph D.1.f will be amended in the RFP. Final RFP language was not amended.

Question: Will the Government amend RFP section L-6 paragraph D.1.f to allow for efficiencies in non-labor categories?

The language in question was modified in Draft RFP #3 dated 5 March 2014.

From: Utilize Attachment 2, Section B Price Worksheet to show at a minimum: option years 2-6 show a reduction from the previous option year amount in total amount proposed for labor.

To: Utilize Attachment 2, Section B Price Worksheet to show at a minimum: option years 2-6 show a reduction from the previous option year amount in total annual amount proposed. All CLINs containing Government-established amounts cannot be adjusted to achieve downward pricing. Furthermore, termination costs will not be included in the total annual amount proposed, so downward pricing cannot be achieved by a reduction in termination costs. This allows the offeror to propose efficiencies in labor and/or non-labor.

3) Identify on the termination CLINs the cost to terminate performance for each performance period identified in the CLINs IAW 252.232- 7007, Limitation of Government’s Obligation, should the Government incrementally fund the Firm- Fixed-Price CLINs and additional funds for continued performance do not become available. The termination costs for all periods will not be included in the total evaluated price.

The paper size required is European A-4 paper size. Loose leaf binders for A-4 size paper is more commonly a 4-ring binder. As this 4-ring loose-leaf format is more readily available for A-4 paper, will USG amend this requirement to include 4-ring loose leaf binders as an acceptable method for submission?

Subfactor 4 - Vehicle/Equipment Replacement Plan: Offeror shall provide a detailed replacement plan for all vehicles and equipment found on Attachment 9. This replacement plan should encompass vehicle/equipment life expectancy. This plan shall also include the proposed approach to accommodating accidents and out-of-cycle vehicle/equipment failures to ensure uninterrupted performance of all PWS requirements.

PWS 2.8.2

Common Access Card (CAC).

The following systems require CAC access:

• All functions in Automated Civil Engineer System (ACES) to include, but not limited to, Real Property (ACES-RP) and Fire Department (ACES-

FD)

• Advanced Distributed Learning Service (ADLS)

• Fuels Manager Defense (FMD) Database

• Enterprise Environmental, Safety & Occupational Health – Management Information System (EESOH- MIS) (the current standardized AF automated HAZMAT and Hazardous Waste tracking system)

• Telecommunicator I and II Career Development Courses (CDC)

The requirement for a CAC is a complete NACi. In order to be processed for a NACi you must have lived in the US for 3 out of the last 5 years. Question: In lieu of CAC cards, are bidders authorized to allow Foreign Nationals access to the listed systems if they possess a smart card or PKI card?

The requirement for a CAC is an FBI background check, not a full NACi. The Danish Government performs an equivalent on all BMC employees working at Thule, and this investigation is utilized in the CAC issuance process at Thule.

PWS Paragraph 3.20.5

3.20.5 Provide laboratory

services.

All inpatient and outpatient laboratory services are to be provided by a certified laboratory technician. Record patient test lab results in patient records. Document inspections, calibrations and tests of equipment.

Performance Standards

a) STD: Danish standards

According to the PWS laboratory services are to be performed by a certified laboratory technician. Will the USG accept that the laboratory services are performed by certified nurses and medical doctors trained to operate and read the modern laboratory analysis equipment presently available at TAB? This procedure is commonly used in Denmark and not least on cruise ships.

This US Government has reviewed this suggestion and has determined it is acceptable to have certified nurses/doctors conducting laboratory test in lieu of a certified lab tech if this practice is within normal Danish medical standards. The PWS has been updated in Amendment 0001.

PWS Paragraph 3.13.4

3.13.4 Operate, maintain and

repair electrical generation equipment in “M” plant (Building 1391) and “J” plant (Building 4016).

Electrical generation equipment includes all components of the generator set (i.e. diesel engine, alternators, crankshaft, flywheel).

We have reviewed the PWS requirements for depot level repair of the “M” and “J” plant electrical generation equipment and the definition for the same and still find the requirement ambiguous . Should the need arise, would the BMC be responsible to replace irreparable major components such as an engine block, head assembly, or crankshaft; or is the requirement limited to equipment repairable on-site? If repair includes replacement of major components would the government consider establishing an annual monetary limit on BMC liability?

Depot Level repair includes all repair short of "catastrophic failure". Catastrophic failure is the failure of the entire assembly (machine) that makes it impossible to repair. Specifically called out in the question is the engine block, head assembly, or crankshaft. Of these items, the only one that cannot be repaired is the engine block. If the engine block was cracked, the Government would consider this to be a catastrophic failure. Head assemblies and crankshafts can be repaired/replaced and would be considered depot level repair to do so.

Repair of major components will be the responsibility of the BMC with limitation of "on-site" and no monetary limit. Historical maintenance data on these engines (available in the Technical Bidder's Library) proves them to be very reliable when maintained properly. There have only been a couple of instances where "depot level" repair was necessary. The Government completed a power generation study in 2007.

Synopsized in that study the independent engineer stated "with proper periodic inspection and testing, these generators are likely capable of several decades of continued operation." The report also stated "expected failure modes for this generator are overheating by dust/dirt fouling or internal metal pieces coming loose during operation, both of which are preventable by periodic inspection." The US Air Force has these machines deployed at several locations and has never experienced major issues as long as timely required maintenance was performed.

Question: Will the Government provide the manufacturer name and model number of the Polynya system?

This action is BMC driven, not by US Government request. If the BMC determines a BMC employee utilizing a Government-furnished computer system needs to move, the BMC needs to coordinate that move with the COR first.

Question: Will the Government clarify what the actual requirements are for this task? Does the Government expect the offered to procure, install, operate, and maintain the UHF LMR Systems and telephone gateway?

The PWS requires the BMC to provide the entire LMR system to include telephone gateway. The entire LMR system is in operation today at Thule and will be transferred as part of Contract Property.

In the past 12 months 3,500 square feet of floor coverings were replaced. However, this singular event was due to a flood in a dorm. There is no recurring amount replaced on an annual basis.
