The Purpose of This Amendment Is: The purpose of this amendment is to extend the receipt of proposal date from 21 Oct 19 to 28 Oct 19 and update the RFP and attachments as follows:

(1) Section B of the Solicitation; CLINS X001, X002, X004, X005, X006, X008, X010, X011, and X012 has been updated;

(2) Attachment 1 PWS has been updated; paragraphs, 1.11.2.12, 1.12, 1.5.4, 1.5.4.1, 1.5.4.2, 1.6.10, 2.5.9, 6.2.14, 6.2.21.10, and 8.1 ;

(3) Attachment 3 AIMS GFP has been updated to reflect medical equipment;

In accordance with and in light of DFARS 252.222-7002, Compliance with local labor laws (overseas), any mass severance costs associated with compliance with local labor laws will be dealt with on a cost-reimbursable basis IAW FAR 31.205-6(g)(5)&(6). Mass severance, for the purposes of this clause, is defined as a reduction in staffing due to contract changeover. Should mass severance occur, the contractor will, within 90 days of contract full performance submit a proposal to the contracting officer detailing severance costs. Such a proposal will include severance costs on a per-employee basis, dates, amounts, and proof of payment to those employees, and any other information required by the contracting officer to determine the reasonableness and accuracy of those costs.

A new Cost reimbursable CLIN will be added, if required.

H-2 EQUITABLE ADJUSTMENT FOR FLUCTUATIONS IN VALUE OF FOREIGN CURRENCY

(a) The contract price and the standard of payment shall be in United States dollars (US$).

(b) In the event that any upward or downward fluctuation in the exchange rate of foreign currency required to be expended by the Contractor or any Subcontractor in the performance of this contract as compared in the particular foreign currency/United States dollar exchange rate reasonably available to the Contractor at the beginning of the first day of contract performance, causes an increase or decrease in the cost of performance of the contract work, an equitable adjustment shall be made. Any such equitable adjustments shall not be made more frequently than once per fiscal year-quarter, and then only for fluctuations exceeding an increase/decrease of $25,000.

(c) Applicable to Fixed Priced CLINS only.

H-3 INSURANCE REQUIREMENTS

Pursuant to the clause "Insurance-Work on a Government Installation (FAR 52.228-5)," and "Indemnification and Medical Liability Insurance (FAR 52.237-7) the Contractor will be required to present evidence to show, as a minimum, the amounts of insurance coverage indicated below:

(a) Workers' compensation and employer's liability. Contractor is required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

(b) General liability.

(1) The Contractor shall have bodily injury liability insurance coverage written on the comprehensive form of policy for at least $500,000 per occurrence.

(2) Property damage shall be required in the amount of $100,000.

(c) Automobile liability.

The Contractor shall have automobile liability insurance written on the comprehensive form of policy.

The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. The amount of liability coverage on other policies shall be commensurate with any legal requirements of the locality and sufficient to meet normal and customary claims.

(d) Aircraft public and passenger liability.

When aircraft are used in connection with performing the contract, the contracting officer shall require aircraft public and passenger liability insurance. Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger liability, and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater.

(e) Vessel liability.

When contract performance involves use of vessels, Contractor shall have, vessel collision liability and protection and indemnity liability insurance.

(f) Medical liability.

The Contractor shall maintain during the term of this contract liability insurance issued by a responsible insurance carrier of not less than $100,000 per claim, with a minimum annual aggregate of not less than $300,000, from an authorized insurer.

H-4 IMPACT OF REVISED WAGE DETERMINATIONS

Wage adjustments will be in accordance with FAR 52.222-43 Fair Labor Standards Act and Service Contract Labor Standards -- Price Adjustment (Multiple Year and Option Contracts), and shall ensure that contract prices or contract unit price labor rates are adjusted only to the extent that a contractor's increases or decreases in applicable wages and fringe benefits are made to comply with requirements. SCA prevailing wage determinations and revised contractor's collective bargaining agreements will be incorporated by contract modification effective 1 October each year. This will be accomplished by negotiating an adjustment for both Firm Fixed Price and Cost Plus Fixed Fee CLINs and the Labor Rates Listing, Section J Attachment 13.

Offerors are reminded that FAR 52.222-43 wage adjustments are only applicable to SCA/CBA positions and other positions will not be adjusted after award. No adjustments will be made to exempt labor and foreign nationals categories for both prime and subcontractors.

H-5 SMALL BUSINESS SUBCONTRACTING PLAN REQUIREMENT

In the event the successful awardee recertifies as other than small business (OTSB) (grew to become OTSB or was bought out by a firm who is OTSB), a small business subcontracting plan will be required, and the required percentages for small business subcontract performance shall be negotiated into this contract. In the event of the above, the contract will be modified to incorporate the appropriate required clauses. The contractor shall manage the subcontracting plan in accordance with FAR 52.244-5, 52.219-8 and DFARS 252.219-7003 to ensure the required negotiated small business subcontract performance percentage are met. "Small Business" means small businesses, veteran-owned small business, service-disabled veteran-owned small business, HUBZone small business, small disadvantaged business, and women-owned small business. The contractor shall submit subcontracting reports via website https://esrs.symplicity.com/index?_tab=signin (Electronic Subcontracting Reporting System (eSRS)) to the Contracting Officer semi-annually. The information shall be monitored and tracked for use in the Contract Performance Annual Reports (CPARS).

H-6 LABOR RATES LISTING MAINTENANCE

The Labor Rates Listings (Section J Attachments 13) will be updated annually on 1 October. The contractor's most recent approved Forward Price Rate agreement will be used to update indirect rates. The amount of profit/fee will not change.

H-7 INFORMATION AND DATA

1. All sketches, notebooks, designs, drawings, specifications, blueprints, models, negatives, photographs, findings, memoranda, as well as all recommendations, automated data processing equipment (ADPE) programs, Data Access List (DAL) items, and data of every description, as well as all copies of the foregoing, furnished by the government, or produced or otherwise acquired by the contractor in the performance of this contract shall be the property of the government, and except as otherwise provided below shall not be marked or have a legend placed on any such information inconsistent with the government rights as described herein. (Any data belonging to third parties and furnished to the contractor by the government in performance of this contract shall be treated similarly to property of the government.) The contractor retains no right, title, or interest in and to the information and data referred to in this paragraph; and it shall be delivered by the contractor to the government upon completion or termination of this contract or when directed by the Contracting Officer. The government shall have the right to use, reproduce, or disclose the data covered by this provision in any way and for any purpose it may desire with the exception that competition sensitive data, marked as such by the contractor and so agreed to by the government, such as personal data on individuals, payroll records, management methodology, and organizational approaches, shall not be disclosed outside the government. The contractor agrees to mark the number of this contract on all data delivered hereunder.

2. Except as specifically authorized by this contract, or as otherwise approved in writing by the Contracting Officer, all information and data developed, acquired or furnished by or to the contractor in the performance of this contract, shall be protected by the contractor from unauthorized use, release, duplication or disclosure.

3. All contractor manning information is government property and useable/releasable for whatever purposes the government sees appropriate. This includes, but is not limited to, release for future competition efforts.

4. The contractor shall take appropriate measures to assure that its personnel who have or might reasonably have access to such information and data referred to in paragraph 1 above, agree to honor the contractor's commitment and safeguard such information and data.

5. The contractor shall securely maintain and store for the government all records including those which the AIMS does not expressly require the contractor to deliver to the Government.
