PART IV – REPRESENTATIONS AND INSTRUCTIONS
SECTION L – INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS
EGLIN-L001 Instruction to Offerors and Instructions for Preparation of Proposals (DEC 2014)
1.0. Program Structure and Objectives
The Eglin-Operation and Maintenance Services (E-OMS) contract will provide the engineering and technical services necessary to operate and maintain the Eglin Range, the Major Ground Test Facilities (MGTF) and the National Radar Cross-section Facility (NRTF). The scope of the Eglin Range, MGTF, and NRTF are substantially the same as the preceding contracts.
1.1. General Instructions
a. To assure timely and equitable evaluation of proposals, Offerors shall comply with all instructions within Section L and all solicitation submission requirements, including submission requirements within the terms and conditions and representations and certifications. Proposals shall consist of four (4) separate volumes: Volume I – Mission Capability, Volume II – Past Performance, Volume III –Cost/Price, and Volume IV – Contract Documentation. Failure to meet a requirement may result in a proposal being ineligible for award.
b. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet the requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the Offeror's proposal.
c. The Offer shall not submit elaborate brochures or documentation, binding, detailed art work, and other embellishments.
d. Section A of the solicitation specifies the proposal acceptance period. The Offeror shall make a clear statement in Section A and in the contract documentation volume that the proposal is valid for a minimum of 210 days from receipt.
e. Proposals are due no later than XX XXX 2015, 1500 CT. The Government requests early submission of Volume II – Past Performance on XX XXX 2015, 1500 CT, although the Offeror is not required to submit Volume II prior to the proposal due date. The Offeror shall either hand deliver or mail its proposal to the following addresses:

Late submittal will result in Offeror disqualification IAW FAR 15.208.
f. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one (1) copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of unsuccessful proposals.

g. Proposals shall not include any classified information.
1.2. General Information:
1.2.1. Point of Contact
The Contracting Officer (CO), John Nalezny, email: john.nalezny@us.af.mil, phone (850) 883-0101 and the Contract Specialist, Leslie Bax, email: leslie.bax@us.af.mil, phone (850) 882-0175 are the sole points of contact for this acquisition. Address any questions or concerns you may have to the CO or the Contract Specialist.
1.2.2. Debriefings
The CO will promptly notify the Offerors of any decision to exclude them from the competitive range;
whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. Offerors excluded from the competitive range are entitled to no more than one (1) debriefing for each proposal. The CO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing.
Offerors desiring a debriefing must make their request in accordance with the requirements of FAR
15.505 or 15.506, as applicable.
1.2.3. Discrepancies
If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO in writing. The Offeror shall provide supporting rationale and state the Offeror is asking the CO to consider as related to the omission or error.
1.2.4. Discussions
The Government reserves the right to award without discussions; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. If the CO determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the CO may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. If during the evaluation period it is determined to be in the best interest of the Government to hold discussions, Offeror responses to Evaluation Notices (ENs), and Final Proposal Revisions (FPRs) will be considered in making the source selection decision.
1.2.5. Electronic Reference Documents
All referenced documents for this solicitation are available on the FedBizOpps website at http://www.fedbizopps.gov. Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website related to this solicitation.
1.2.6. Communications
Exchanges of source selection information between the Government and Offerors will be controlled by the CO. Source selection information will be transmitted via fax or USPS.

1.2.7. Adequate Price Competition
The CO has determined there is a high probability of adequate price competition in this acquisition.
Upon examination of the initial offers, the CO will review this determination and if, in the CO's opinion, adequate price competition exists, certification under FAR 15.406-2 will not be required.
However, if at any time during this competition the CO determines that adequate price competition does not exist, Offerors may be required to submit information to the extent necessary for the CO to determine the reasonableness of the Cost/Price.
1.3. Organization/Number of Copies/Page Limits
The Offeror shall prepare the proposal in accordance with the Proposal Organization Table (Table L1 below). The titles and contents of the volumes shall be consistent with the Volume Titles and Page Limits specified in Table L1. The contents of each proposal volume are described in the Instructions to Offerors (ITO) paragraph as noted in the table below:

1.3.1. Page Limitations
Page limitations are maximums. Those pages in excess of the limit will be removed starting from the back of the proposal volume and will be destroyed by the CO to ensure that they are not evaluated. A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, the sheet counts as two (2) pages. All pages count towards the maximum page
Page L-3 limitation except the cover pages, tables of contents, tabs, dividers, blank pages, glossaries, list of table and drawings, acronym list, cross reference matrix, small business subcontracting plan, organizational conflict of interest mitigation plan and resumes. All Evaluation Notices (ENs) will specify the page limitation for the Offeror’s EN response.
1.3.2. Page Size and Format
Page size shall be 8.5 x 11 inches, not including foldouts. Pages shall be typed with 1.5 line spacing.
Font type shall be Arial and the type size for the text shall be no smaller than 11 point with proportional spacing permitted. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Margins on all four (4) sides of each sheet shall be at least one (1) inch. Pages shall be numbered sequentially by volume. These page format restrictions shall also apply to responses to Evaluation Notices (ENs).
Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible and shall not exceed 11 x 17 inches in size. A maximum of five (5) fold out pages per volume, no larger than 11 x 17 inches, are authorized. Foldout pages shall fold entirely within the volume, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics; not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than five (5) point.
1.3.3. Cross-Referencing
Offerors shall write each volume on a stand-alone basis, meaning the Government must be able to evaluate each volume without having to cross reference to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. The Offeror shall provide a solicitation cross reference matrix indicating, by ITO or PWS paragraph number, the corresponding proposal paragraph in that section that addresses the referenced item.
1.3.4. Indexing
Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.
1.3.5. Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used within the volume.
Glossaries do not count against any page limitations.
1.3.6. Binding and Labeling
Each proposal volume shall reside in a separate three-ring loose leaf binder that enables the volume to lie flat when open. The Offeror shall not use staples. Each volume shall contain a cover sheet that clearly identifies the volume number, title, copy number, solicitation identification and the Offeror’s name. The Offeror shall apply all appropriate markings including those prescribed in FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information. The Offeror shall designate one copy of each numbered volume as the official version. The Offeror shall mark the binder of each official version, and the coversheet within the binder, with the word “Official.” The Offeror shall also
Page L-4 sign the model contract within the official version of Volume IV. The signed model contract becomes the official contract copy if the Offeror receives the contract award.
1.3.7. Electronic Copies
The Offeror shall submit two (2) electronic copies of the proposal. The electronic copies shall reside on separate CDs (one (1) CD per proposal copy; two (2) CDs total). Each Volume and any Volume attachments within a CD shall be their own file. Offerors shall indicate on each CD file the volume number and title contained in the file. The contents and page size of electronic Volumes must be identical to those of the paper copies. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 97-2003 or 2010, MS Office Excel 97-2003 or 2010, MS Office Project 97-2003 or 2010, and MS Office Power Point 97-2003 or 2010, as applicable. If any discrepancies exist between the paper copies and the electronic copies of the proposal, the paper copies will control. Do not embed files into the proposal documents. Embedded files will not be evaluated.
NOTE: Do not submit on flash drive media; all content must be READ ONLY.
2.0. Volume I – Mission Capability/Mission Capability Risk Volume
2.1. General
The Offeror shall make sure the Mission Capability/Mission Capability Risk Volume is specific and complete. Legibility, clarity and coherence are very important. The Offeror’s responses will be evaluated against the Mission Capability/Mission Capability Risk factors defined in Section M – Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these factors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation. It is the Offeror’s responsibility to ensure the completeness of its proposal. The Government does not assume that an Offeror possesses any capability that the Offeror fails to identify in its proposal.
2.2. Format
The Mission Capability/Mission Capability Risk proposal shall, at a minimum, contain the information specified below IAW the following general outline:
a. Table of Contents
b. List(s) of tables and drawings
c. Glossary
d. Cross Reference Matrix
e. Short Introduction and Summary
f. Subfactor 1: Technical Approach
g. Subfactor 2: Management Approach
h. Subfactor 3: Transition
2.3. Short Introduction and Summary
This section shall contain an overview of the Offeror’s general approach to performing the Performance Work Statement (PWS) requirements.

2.4. Subfactor 1: Technical Approach
This section shall provide the Offeror’s technical approach to performing the full range of E-OMS mission requirements.
Offerors shall specifically provide the following:
a. The Offeror’s approach to operating and maintaining 96TW’s technical and industrial infrastructure to ensure that the Offeror provides all required test and training mission support services and capabilities .
b. The Offeror’s analysis of the risks uniquely associated with performing the PWS and the Offeror’s plan to mitigate these risks. The Offeror shall segregate its risk analyses and mitigation plans by PWS Major Area (General Support Services, Range Support Services, Range Instrumentation Systems, Explosive Test Facilities and Major Ground Test Facilities (MGTF)).
c. The Offeror’s configuration management and systems engineering approach, including an analysis of the processes, technologies, and resources required to support the life cycle of equipment and systems ranging from COTS to specialized to unique to a test range or facility, including an assessment of the risks uniquely associated with this approach and the plan to mitigate these risks.
d. The Offeror’s staffing plan to accomplish all PWS requirements. The Offeror shall reference the Government Staffing Estimate (GSE) (Section L Attachment 1) and explain the benefits, risks, and risk mitigation plan (if any) associated with the Offeror’s proposed variations from the GSE. The Offeror’s staffing plan shall not increase, reduce or otherwise alter the positions Section B of the GSE. The positions in Section B of the GSE are the positions identified in clause B058 Contract Type: Cost-Plus-Fixed- Fee (DEC 2005) (TAILORED) and in Section J, Attachment X.
e. Names and resumes for the individuals that the Offeror intends to employ for each of the following fourteen (14) positions:
1 x GWEF Expert Field Engineer (Mechanical Design and Fabrication) 1 x GWEF Expert Field Engineer (Stability and Control) 1 x GWEF Expert Field Engineer (EO/IR/Laser/RF/GPS) 3 x GWEF Principal Hardware-in-the-Loop (HITL) Engineer/Analyst 3 x GWEF Senior Hardware-in-the-Loop (HITL) Engineer/Analyst (EO/IR/Laser) 1 x GWEF Senior Hardware-in-the-Loop (HITL) Engineer/Analyst (EO/IR/Laser/RF/MMW) 2 x GWEF Principal Engineer/Analyst (FLITES API) 1 x GWEF Principal Engineer/Analyst (IR/Radiometry/Phenomenology) 1 x GWEF Principal Electro-Optical (EO) Engineer
f. A Security Questionnaire (Section L Attachment X) for all proposed individuals identified in (e) above.
g. The Offeror’s existing internal programs and policies that promote a culture of innovation within its workforce and establish innovation as a company priority.
h. The Offeror’s specific strategy for implementing innovations that will provide a significant and lasting benefit to the E-OMS Program, including the Offeror’s specific plans for increasing throughput and obtaining efficiencies through innovation.

i. The Offeror’s approach to minimizing the near term and long term E-OMS mission impacts of a sequestration-related or other significant budget-related contract funding reduction. Include examples (if any) of using the same or similar approach when performing other contracts.
j. The Offeror’s response to the Innovation Scenario (Section L Attachment 2).
2.5. Subfactor 2: Management Approach
a. The Offeror’s proposed organizational structure, including resumes for the proposed General Manager of the contract and for any positions responsible for managing one or more PWS Major Area (General Support Services, Range Support Services, Range Instrumentation Systems, Explosive Test Facilities and Major Ground Test Facilities
(MGTF)).
b. The Offeror's plan and capability to rapidly identify and hire the specialized technical knowledge, skills, expertise, and experience required to operate, maintain, improve, and support the complex and unique instrumentation and equipment necessary to meet changing requirements. The plan shall include the Offeror’s approach to backfill vacancies that may occur in critical or hard to fill positions.
c. The Offeror’s approach to managing the diverse workforce necessary to meet all PWS requirements, including an assessment of the risks uniquely associated with this approach and the plan to mitigate these risks.
d. If other than a small business, the Offeror shall submit a Small Business Subcontracting Plan in accordance with FAR 52.219-9. The Offeror’s Small Business Subcontracting Plan that also identifies and specifies the extent of the Offeror’s commitment to the participation of small businesses (SB), historically black colleges or universities (HBCU), and minority institutions (MI), whether as joint venture members, teaming arrangement partners, or subcontractors. The Small Business Subcontracting Plan shall account for meeting the contract’s 25% small business participation goal.
2.6. Subfactor 3: Transition
Offerors shall fully describe their ability to seamlessly transition resources and personnel onto this contract and to ensure full continuity of mission support during and after the transition period.
a. The Offeror’s plans for providing, on the first days of full performance, qualified staff to perform the entire contract, including an assessment of the risks uniquely associated with this approach and the plan to mitigate these risks.
b. The Offeror’s plans to fill 100% of the positions the positions identified in clause B058 Contract Type: Cost-Plus-Fixed-Fee (DEC 2005) (TAILORED) and as defined in Section J, Attachment TBD, no later than the first day of full performance, including an assessment of the risks uniquely associated with this approach and the plan to mitigate these risks.

c. The Offeror’s plans for facilitating the transfer of work in progress from the incumbent contractors, including an assessment of the risks uniquely associated with this approach and the plan to mitigate these risks.
d. The Offeror’s plans to ensure that its employees obtain security clearances and other approvals required to access classified information and computer systems necessary for contract performance, including an assessment of the risks uniquely associated with this approach and the plan to mitigate these risks.
3.0. Volume II – Past Performance Information Volume
3.1. Format
The Past Performance proposal shall, at a minimum, contain the information specified below IAW the following general outline:
a. Table of Contents
b. Summary (Not to exceed two pages. See Para 3.3.)
c. Past Performance Information (PPI) (See Para 3.3.1.)
d. Past Performance Submission (See Para 3.3.2.)
e. Relevant and Recency Determination (See Para 3.3.3.)
f. Relevancy Matrix (Not to exceed five pages. See Para 3.3.4.)(Section L Attachment 4)
g. Organizational Structure Change History (Not to exceed two pages. See Para 3.5.)
h. Subcontractor/Teaming Partner/Joint Venture Partner Consent Letter for the Release of Past
Performance Information to the Prime Contractor (Section L Attachment 5)
i. Past Performance Questionnaire (PPQ) (Not to exceed three pages) (Section L Attachment

3.2. Early Proposal Information
Each Offeror is requested to submit the Past Performance Information Volume on XX XXX 2015.
Failure to submit early proposal information will not result in Offeror disqualification.
3.3. Summary
Describe roles of Offerors and all subcontractors, teaming partners, or joint venture partners requiring past performance information IAW Para 3.3.1.
3.3.1. Past Performance Information (PPI)
Offerors shall submit information in the Past Performance Tool, Relevancy Matrix, Consent Letters, and List of Questionnaire Recipients on contracts considered most relevant in demonstrating the ability to perform technical operations. The Offeror can choose whether they would like to submit PPI on the prime, subcontractor, teaming agreement partner, or joint venture partner, however, Offerors may submit no more than five recent and relevant contracts. Offerors are cautioned that the Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.
3.3.2. Past Performance Submission
Offerors must use the PPI tool, which they shall download from the E-OMS RFP posting to Federal Business Operations (FBO) at https.www.fbo.gov for their electronic proposal submittal of relevant past performance contract information. Instructions on how to download the tool are contained in

Section L Attachment 3. Offerors shall provide hard copies of the pages generated from this tool as part of their past performance volume. Offerors shall save the PPI database file as Offeror Name – Volume Name (PPI) -EOMS.mdb (e.g., ABC Company – Past Performance Volume (PPI) – EOMS.mdb) to submit as part of the electronic copy of the past performance volume. Once complete, PPI sheets and past performance questionnaires (PPQs) will be treated as source selection information in accordance with FAR Part 3.104.
PPI concerning subcontractor and teaming / joint venture partners cannot be disclosed to a private party without the subcontractor’s or teaming / joint venture partner’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor / teaming / joint venture partner to the prime during exchanges. Therefore, the Offeror shall submit a consent letter executed by each teaming / joint venture partner and subcontractor authorizing release of adverse past performance information to the Offeror, so the Offeror can respond to such information. The Subcontractor/Teaming Partner/Joint Venture Partner Consent Letter for the Release of Past Performance Information to the Prime Contractor is contained at Section L Attachment 5.
Offerors shall send PPQs on each identified contract to the points of contact for that contract. If the contract was a Government effort, send to the Program Manager and Contracting Officer. This questionnaire is contained at Section L Attachment 6. Provide a list of questionnaire recipients to include POCs and phone numbers.
3.3.3. Relevant and Recency Determination
Offerors shall submit information in the PPI Tool under the Program Details Tab on up to five recent contracts deemed relevant in demonstrating the ability to perform the full range of capabilities IAW E- OMS PWS requirements and explain how / why the referenced contracts are relevant. The Offeror can choose whether they would like to submit past performance information on the prime, subcontractor, teaming agreement partner, or joint venture partner, however, Offerors may submit no more than five recent and relevant contracts. To be recent, the effort must be ongoing or must have been performed during the past three years from the date of issuance of this solicitation.
For a description of the characteristics or aspects the Government will consider in determining recency and relevancy, see Section M, paragraphs 3.2.1 and 3.2.2.
3.3.4. Relevancy Matrix
The Offeror shall provide a completed relevancy matrix (see Section L Attachment 4). For each contract submitted for evaluation the relevancy matrix shall not exceed five pages. The Offeror can choose whether they would like to submit past performance information on the prime, subcontractor, teaming agreement partner, or joint venture partner, however, Offerors may submit no more than five recent and relevant contracts. The relevancy matrix will be used to establish the relevance of present and past efforts.
Offerors should include a discussion of any significant achievements, innovative business practices, and explain any past performance problems that they consider relevant to the proposed efforts.
Offerors should also discuss past efforts to identify and manage program risk. Offerors should also clearly identify management actions employed in overcoming any performance problems and the effects of those actions in terms of improvements achieved or problems rectified.

3.5. Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. To facilitate the Government’s relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify.
Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
3.6. No Recent and Relevant Past Performance Information
If an Offeror has no recent or relevant past performance information, they should so state that in this volume. However, the Government reserves the right to determine whether any relevant past performance information exists and is relevant.
4.0. Volume III – Cost/Price Proposal Volume
4.1. General Instructions
The Offeror's Cost/Price proposal should fully and clearly demonstrate reasonableness, realism, balanced pricing as well as document the Total Evaluated Price (TEP). The Offeror's Cost/Price proposal should document the contract and option periods.
4.2. Format
The Cost/Price proposal shall, at a minimum, contain the information specified below IAW the following general outline:
a. Section 1 - Index/table of contents; summary descriptions of estimating, purchasing, and accounting systems; changes to estimating, accounting practices, or Cost Accounting Standards (CAS) Disclosure Statement.
b. Section 2 - Pricing information and supporting data, to include estimating methodology.
c. Section 3 - Other information such as Government Furnished Property/Government
Furnished Equipment (GFP/GFE) or base support details. Offerors shall list each exception to the ground rules and assumptions provided in the solicitation and each qualification of the Cost/Price volume, if any, and provide complete rationale for any exceptions.
4.2.1. Estimating System
The Offeror shall provide a summary description of their standard estimating system or methods. The summary description shall cover separately each major cost element (e.g., Labor, Indirect Costs, Other Direct Costs, Overhead, G&A, etc.). Also, identify any deviations from your standard estimating procedures in preparing this proposal volume. Indicate whether you have Government approval of your system and if so, provide evidence of such approval.
4.2.2. Purchasing System

The Offerors shall provide a summary description of purchasing system or methods (e.g., how material requirements are determined, how sources are selected, when firm quotes are obtained, what provisions are made to ensure quantity and other discounts). Also, Offerors shall identify any deviations from standard procedures in preparing proposals. Offerors shall indicate whether or not they have Government approval of their purchasing system and if so, provide evidence of such approval.
4.2.3. Accounting System
An approved accounting system is required. Offerors shall indicate whether they have Government approval of their accounting system and if so, provide evidence of such approval. In addition, Offerors shall identify any deviations from their standard procedures in preparing their proposal. This information will be part of the basis of the Contractor Responsibility Determination.
4.2.4. Disclosure Statements
The Offeror shall provide a copy of the most recent approved CAS Disclosure Statement, if applicable.
Additionally, the Offeror shall provide a copy of the cognizant Federal agency official’s written determination regarding adequacy of the provided (and proposed in accordance with) Disclosure Statement in accordance with FAR 30.202-6.
4.3. Cost/Price Information
The Cost/Price evaluation will be conducted on the basis of the information contained in the Cost/Price Proposal Volume. Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your Cost/Price position. All information relating to the proposed Cost/Price including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price volume. Failure to comply with this instruction may result in proposal rejection.
4.3.1. Price Reasonableness and Cost Realism
These instructions are to assist you in submitting data other than cost or pricing data that is required to evaluate the reasonableness and realism of your proposed Cost/Price. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal. Unbalanced pricing that poses an unacceptable risk to the Government may be a reason to reject an Offeror’s proposal. Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the Offeror does not understand the requirement or has made an unrealistic proposal. Offers should be sufficiently detailed to demonstrate their reasonableness and realism. To facilitate the evaluation of proposal information as outlined in Section M of this solicitation, information may be obtained from other sources including, but not limited to, DCMA, Defense Contract Audit Agency (DCAA), U.S. Department of Labor, Global Insight Indices and any other resource available to the Government. The burden of proof for credibility of proposed costs/prices rests with the Offeror.
4.3.2. Materially Unbalanced Pricing
Materially unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal. Materially unbalanced pricing exists when, despite an acceptable TEP, the price of one (1) or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. Offeror should explain significant fluctuations between offered rates in the same labor categories over various years.

4.3.3. Data Other Than Certified Cost or Pricing Data and Certified Cost or Pricing Data In accordance with FAR 15.403-1(b) and 15.403-3, additional data other than certified cost or pricing data may be required to support Cost/Price reasonableness and realism. If needed, additional data other than certified cost or pricing data shall be provided to the Government in accordance with FAR 15.403-5. If, after receipt of proposals, the CO determines there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit certified cost or pricing data. Should adequate price competition not exist after receipt of proposals, the provisions of FAR Part 15.403-4 shall apply, and the Offeror will be asked to provide certified cost or pricing data.
4.3.4. Ground Rules and Assumptions
The Offeror shall provide Ground Rules and Assumptions used in preparing the Cost Proposal.
4.3.5. Cost Summaries
Provide a Cost Element Summary by major cost elements using attachment 8 as a guide (this can be tailored to reflect cost estimating relationships and different cost elements). All cost proposed must be discretely identified by CLIN, Calendar Year and Mission Area. The maximum dollar amount allowable for the MGTF, CAP, Travel, Overtime, and Task Manning CLINs will be provided by the Government. Thus, no Cost Summaries are required for these CLINs unless the Offeror proposes more or less than the maximum allotted. These are Cost Reimbursement CLINs only (no fee).
Direct Labor: Labor categories should not be combined into composite categories. All labor proposed must be discretely identify by category, rate, and year utilized. Under no circumstances will composite labor rates or categories be accepted.
Material (CAP): The maximum dollar amount allowable for material will be provided by the Government as detailed above. If additional Material is required, the Offeror must provide material by category, trackable to associated Bill of Materials.
Indirect Costs: All indirect costs shall be proposed by category, by year with their bases and rates of calculation shown.
Other Direct Cost (ODC): The maximum dollar amount allowable for Travel and Overtime costs will be provided by the Government as detailed above. Any additional ODC costs shall be identified.
Subcontractor/Inter-divisional transfers: Estimates shall be submitted using the same formats and degree of rational as those submitted by the Offeror.
Base Fee: No base fee is allowed.
Award Fee Pool (Range O&M): The Offeror’s proposed award fee pool must be at least 5% of the fee bearing elements (direct labor, labor associated expense, and general and administrative (G&A) expense associated with the work. Offeror’s may use the specified amounts or propose higher amounts. Do not propose lower amounts.
Fixed Fee (MGTF): The Offeror shall propose a fixed fee as a percentage of the CPFF labor CLIN.
The statutory fee limitation on the CPFF CLINs is 10%.

4.3.6. Basis of Estimates
The offeror shall prepare a Basis of Estimate (BOE) for all CLINs unless one of the situations described below applies. The BOEs are to provide sufficient information for the Government to evaluate the proposal. Proper presentation, adequate supporting documentation, estimating ground rules and assumptions, methodologies, constraints, and sufficient relevant information shall be provided to enable the Government to understand all assumptions behind the Offeror’s proposal. At a minimum, the major categories listed below must be fully explained in the BOEs:
Labor — The offeror shall identify whether the labor rates proposed are FPRA, ACO/DCAA recommended rates or Offeror proposed rates. If proposed skill category will be provided solely by subcontract effort, the subcontractor rate information may be provided directly to the Government or by sealed package through the prime contractor. Labor costs shall track to the applicable Cost Summary Format.
Material (CAP) — This is only required if the Offeror proposes more than the maximum CAP CLIN values allotted by the Government. The Offeror shall provide an itemized list of materials and equipment that will be purchased and the basis for their estimated cost, e.g., vendor quote, or engineering estimates, etc. The Offeror shall point out their applicability to the program and substantiate their need. Identify quantities, unit prices and whether items are to be purchased or fabricated.
Other Direct Costs (ODCs) — This is only required if the Offeror proposes more than the maximum allotted Travel CLIN values, Overtime CLIN values or any additional ODCs. Travel information shall include the itinerary, purpose of travel, an estimate of the number of personnel, number of trips, airfare (coach), number of days, and any other travel related costs. For other direct costs, provide a detailed list of all items, quantities, and associated unit costs included in the proposal. ODCs shall track to the applicable Cost Summary Format.
Interdivisional Efforts (IDE): The Offeror must identify the division and description of the effort and provide details using the Cost Summary Format (attach relevant pricing agreements, FPRA, etc).
Identify the elements of cost that IDEs fall under in the cost proposal format (e.g., material, other direct costs, etc.).
4.3.7. Labor Hours
The Government Staffing Estimate is provided for information only and is intended to serve as a baseline of full-time equivalents (FTE) required to operate and maintain each capability described in the associated PWS paragraphs. The FTE number are Government subject matter experts’ estimate of the requirement to operate and maintain each capability as if they were under a condition of 100% utilization. The estimates do not consider cross-utilization, reach-back, part-time manning, etc.
4.3.8. Compensation and Benefits Plan
Offerors shall provide details on employee compensation and benefits to ensure that a qualified and capable workforce will be available to perform work on the contract. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure. Offerors are advised that proposing substantial reductions to current employee compensation packages shall reflect a lack of understanding of what is required to recruit and retain skilled personnel
Page L-13 required to perform the effort [Ref. FAR Provision 52.222-46 Evaluation of Compensation for Professional Employees].
4.4. Total Evaluated Price (TEP)
The Offeror shall complete Section L Attachment 9. The Government will use Section L Attachment 9 to calculate the Offeror’s TEP.
4.5. Submission of Electronic Pricing Models
Offerors shall submit electronic pricing models in support of all of their proposed costs/prices. All pricing models submitted must duplicate the logic and mathematical formulas reflected within the paper copies of the proposal. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 97-2003 or 2010, MS Office Excel 97-2003 or 2010, MS Office Project 97-2003 or 2010, and MS Office Power Point 97-2003 or 2010, as applicable. Do not password protect any pricing model.
Any updates, amendments, or modifications to the cost proposal originally submitted will be in the same media format and will include, or be accomplished by, a clear, concise explanation of such changes significant to the proposal.
4.6. Financial Capability Review
Offerors shall submit the address, phone number, and point of contact of their cognizant Defense Contract Audit Agency (DCAA) and Defense Contract Management Agency (DCMA) offices. This information is necessary in order for the Government to potentially request a Financial Capability Review. Offerors with current (within one (1) year) Financial Capability Reviews shall provide a copy with their proposal. Offerors shall have the financial resources necessary to perform the contract and be able to provide evidence of such, if requested.
4.7. Government Furnished Property (GFP)
The Government plans to provide the items listed in the RFP, Section J Attachment 9. If the Offeror requires the use of GFP other than the property specified, the Offeror shall provide a listing including quantity, federal stock number, nomenclature, date needed and duration of availability, estimated fair rental value (IAW FAR clause 52.245-1), reason for need, and cross reference to Cost/Price volume paragraphs which pertain to GFP and/or base support. The Offeror shall also provide the written authorization from the cognizant Contracting Officer, as applicable. A statement from the Contracting Officer must also be included in the proposal indicating that such Government owned property will be available for the timely completion of performance under the ensuing contract on a non-interference basis, whether or not the proposal is based on “No Charge for Use”. The Offeror must also indicate whether or not the Offeror could perform the work in the event that the use of such facilities is not authorized or the facilities contract is phased out. If the Offeror proposes use of facilities under a Government facilities contract, the usage will be limited IAW the terms and conditions of the facilities contract, inclusive of any negotiated phased-out program. The Offeror is responsible for updating Section J Attachment 9, to reflect GFP requirements. Contractor specific GFP should be indicated in bold font and deletions should be annotated. The Offeror shall supply this information in the format shown below in Table L2 GFP. All of the cost added to the table L2 below must be added to Section L Attachment 9, Total Evaluated Price.

5.0. Volume IV – Contract Documentation Volume
5.1. Solicitation Requirements, Terms and Conditions
The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The Offeror's proposal shall include a signed copy of the Model Contract, and Sections A through K. This includes:
5.1.1. Section A - Solicitation/Contract Form
Offerors shall complete blocks 13, 14, 15, 16, 17 and 18 of the RFP Section A, Standard Form 33 and complete Section K. In doing so, the Offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract. For Sections C through I, Offerors shall complete all fill-ins/certifications. Offerors shall also include digital versions of clauses that require fill-ins. Offerors shall return the model contract in its entirety to include a digital copy.
5.1.2. Section G - Contract Administrative Data
Complete the remittance address and the taxpayer identification information in Section G of the RFP.
5.1.3. Section K - Representations, Certifications, and other Statements of Offerors Complete the representations, certifications, acknowledgments and statements in Section K. Section K shall be returned in its entirety.
5.1.4. Exceptions to Solicitation Requirements
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table L3.

5.2. Other Information Required
5.2.1. Statement of Agreement
Include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation.
5.2.2. Authorized Offeror Personnel
Submit the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually.
Identify those individuals authorized to negotiate with the Government.
5.2.3. Company Information
Submit the company/division’s street address, county and facility code; CAGE code; DUNS code; size of business (large or small); and labor surplus area designation. This same information must be provided if the work for this contract will be performed by any other locations(s). List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed by each location.
5.2.4 Conflict of Interest Statement
Submit a statement verifying that your company will not be, at the time of award of this contract, an Original Equipment Manufacturer (OEM) or an Advisory and Assistance Services (A&AS) Firm, as these terms are defined in clause EGLIN-H001 ORGANIZATIONAL CONFLICT OF INTEREST
(OCI) (NOV 2014).
5.2.5 Conflict of Interest Mitigation Plan
Submit a Conflict of Interest Mitigation Plan that provides the following:
1. Your company’s procedures and mechanisms for preventing OCI.
2. A list of joint ventures or any other type of partnership, or any limited liability company or similarly structure legal entity, having as partners or members your company and an OEM or an A&AS firm, as OEM and A&AS firm are defined in clause EGLIN-H001 ORGANIZATIONAL
CONFLICT OF INTEREST (OCI) (NOV 2014).
3. A list of teaming arrangements of any kind or purpose between your company and an OEM or an A&AS firm, as OEM and A&AS firm are defined in clause EGLIN-H001
ORGANIZATIONAL CONFLICT OF INTEREST (OCI) (NOV 2014).
4. Individual analyses of the OCI risks that each entry on the lists required under (2) and (3) of this subsection creates. Include in the analyses how your company will specifically mitigate each risk.
You may be required to submit an updated OCI Mitigation Plan at Final Proposal Revision (FPR) or

Innovation Scenario
Preface: Through E-OMS the government desires to establish more contractor participation in budget planning and then allow contractor to execute with less detailed direction from the government. The government wants to understand how the Offerors would apply their culture of innovation and their innovative processes and tools to a fictitious budget cut scenario.
The responses to this scenario will be used to provide insight into the technical capability of the Offeror to steward major change. Innovations, restructuring or other cost saving measures presented in other sections of the proposal maybe referenced as methods used to meet the fictitious budget reduction goal. There is no need to duplicate.
Offerors should consider the following ground rules and assumptions for the scenario framework.
- During financial planning exercises (FINPLAN or POM) occurring near the end of Year 1 or beginning of Year 2, the government anticipates a cut of 20% to be effective day one of Year 3.
Assume higher Headquarters has restricted government reduction proposals from certain operating costs (for example, no reductions to civilian labor or to dedicated test fleet or to the flying hour program). Assume the government reduction planning exercise targets the E-OMS program. Assume impacts to mission throughput must be minimized.
- In the scenario, the government requests a contractor proposal to implement a 20% reduction to be effective on day one of Year 3.
