About this file

This is a Subcontractor Agreement Form (Version 8.5) associated with RFO No. HHS0017000 between the Texas Health and Human Services (HHS) agency and contractors regarding the management of confidential information. The form establishes the framework by which contractors and their subcontractors must comply with a Data Use Agreement (DUA) governing the permitted and required uses and disclosures of HHS Confidential Information. The agreement requires subcontractors to acknowledge and accept binding obligations identical to those imposed on the primary contractor under the DUA. The document specifies that HHS is a third-party beneficiary to applicable provisions of the subcontract and retains the right to review or approve subcontract terms and conditions.

The agreement imposes specific obligations on contractors regarding subcontractor oversight and breach management. Contractors must report any breaches discovered by subcontractors to HHS in accordance with DUA requirements and must monitor subcontractors for patterns of material breaches or violations. If violations are identified, contractors are obligated to take reasonable corrective steps, and if unsuccessful, to terminate the subcontract arrangement if feasible. Contractors must notify HHS immediately upon discovering material breaches and maintain regular communication regarding remedial actions. The form requires execution by authorized representatives of both the contractor and subcontractor, with specified signature blocks for names, titles, and dates.
