About this file

This is an IDIQ Selection and Participation Agreement template issued by the Texas Military Department (TMD) for Professional Architectural/Engineering Services under RFQ No. TMD26-CFMO-4012026. The agreement confirms selection of qualified architectural and engineering firms to participate in an indefinite delivery/indefinite quantity (IDIQ) contract framework in accordance with Texas Government Code Chapter 2254. The initial term extends through September 30, 2028, with provisions for up to three optional one-year renewal periods exercisable by mutual written agreement. Selected firms must maintain all required licenses, registrations, and qualifications throughout the IDIQ term and respond to TMD requests for project-specific proposals in accordance with the Statement of Work requirements.

This Participation Agreement contains no monetary value and does not constitute a contract for services or guarantee any work assignment. Compensation will arise only through separate, project-specific Professional Architectural/Engineering Services Agreements executed between TMD and individual firms upon issuance of a Notice to Proceed. Selected firms must participate in good faith negotiations and comply with the applicable Uniform General Conditions and Supplemental Uniform General Conditions. TMD reserves the right to select any qualified firm, procure services outside the IDIQ, or decline to issue work. TMD may remove firms from the IDIQ for cause, including failure to respond to proposal requests, unsatisfactory performance, loss of qualifications, or conflicts of interest. The agreement requires firms to maintain confidentiality of proprietary information while acknowledging TMD's obligations under the Texas Public Information Act.
