About this file

This is a Professional Architectural/Engineering Services Agreement template from the Texas Military Department (TMD) for the procurement of architectural and engineering services for state construction projects. The agreement establishes a comprehensive framework for design services, including mobilization and pre-design services (Type A), design development and bidding document preparation (Type B), and optional construction administration services (Type C). The contract encompasses multiple service phases: schematic design, design development, contract document preparation, optional bidding and award support, and optional construction phase administration and warranty inspections. The agreement requires the A/E to coordinate with TMD, the user agency, and relevant stakeholders throughout project delivery, with specific deliverable submission schedules tied to design milestones. The contract term extends from execution through project completion, including warranty periods, with early termination possible upon ten days' written notice by either party. All services must comply with applicable Texas state laws, federal requirements when projects involve federal funding, and TMD's architectural and engineering guidelines.

Compensation is structured as a fixed fee arrangement detailed in Attachment A, with reimbursable expenses for lodging, travel, materials, and permit fees subject to TMD approval and limited to rates established by the Texas Comptroller of Public Accounts. Additional services beyond the defined scope require separate amendment and negotiated rates. The A/E must maintain comprehensive insurance coverage including workers' compensation, commercial general liability ($2,000,000 per occurrence), professional liability ($2,000,000 per claim), and other coverage types, with TMD named as additional insured. All personnel must obtain criminal background clearances as specified, and the A/E must comply with prevailing wage requirements, HUB subcontracting goals, E-Verify employment eligibility verification, and numerous federal requirements including Davis-Bacon Act compliance, domestic content preferences under the Build America Buy America Act, and various environmental and non-discrimination provisions. The agreement includes standard indemnification provisions, intellectual property assignment to TMD, record retention requirements extending beyond contract completion, and dispute resolution procedures requiring negotiation before contested case proceedings under Texas Government Code Chapter 2260.
