About this file
This document is a Construction Manager at Risk (CMAR) Contract between Hays County, Texas, and a construction management company for the Eastside Campus Project. The project involves design collaboration, construction services, and delivery of a new 72,000 square-foot, three-story mass timber office building located at the corner of Bebee Road and Dacy Lane in Kyle, Texas. The scope includes installation of on-site utilities, stormwater detention and drainage systems, public and secured private parking lots, and a two-lane covered drive-thru. The contract establishes a two-phase delivery approach: a Preconstruction Phase anticipated to last six months, during which the CMAR provides preliminary evaluations, cost estimates, scheduling, and consultation on constructability and procurement; and a Construction Phase to commence upon County issuance of a Notice to Proceed. The CMAR shall achieve Substantial Completion within 705 calendar days from commencement and Final Completion within 30 days thereafter. Key project team members include Owner's Representative Seth Ackland (Kitchell CEM), Architect/Engineer Chad Anderson (HDR Architecture, Inc.), and County's Designated Representative Stephanie Hunt (Hays County Purchasing Agent).
Compensation is structured in two components: Preconstruction Phase services paid as a lump sum according to a specified schedule (40% at Design Development, 20% at Construction Document Review, 30% upon GMP Proposal, and 10% upon GMP Acceptance), with hourly billing rates in Exhibit A for services exceeding six months; and Construction Phase services based on a Guaranteed Maximum Price (GMP) equal to the Cost of the Work plus the CMAR's Fee. The CMAR's General Conditions Fee includes project management labor, temporary utilities, insurance, bonds, taxes, construction management labor, debris removal, survey layout, and project closeout. Savings achieved when actual costs fall below the GMP are split 90 percent to County and 10 percent to CMAR. The contract includes a liquidated damages provision of $500 per calendar day for delays in achieving Substantial Completion, with force majeure exceptions for weather and supply delays beyond CMAR's control. Performance and payment bonds equal to the GMP amount are required, along with a 5 percent security bond at contract execution and a 10 percent warranty bond for 12 months from Substantial Completion. The County Auditor must approve all claims before payment, and CMAR must maintain detailed accounting records for three years post-completion. Progress payments are made monthly based on percentage of completion, with 5 percent retainage on self-performed work and subcontractor payments subject to Texas Government Code Chapter 2251 prompt payment requirements of 30 days.
