About this file
This document is a Request for Information Meeting document from the Texas Department of Transportation (TxDOT) seeking details about a potential automated term contract for miscellaneous trailer types to be used across various TxDOT districts statewide. The contract will be for up to 5 years and is a required use contract for state agencies utilizing general revenue funds, with provisions for annual price increases and clear expectations on shipping, freight, and distribution logistics. TxDOT is seeking comprehensive information from potential vendors about their pricing mechanisms, vendor roles, shipping and freight terms, contract conditions, insurance and liability coverage, warranty support, regulatory compliance, and delivery flexibility.
The document outlines extensive questions for potential vendors, focusing on price increase processes, external factors affecting pricing, vendor manufacturing or distribution status, shipping methods, and cost management across multiple districts. Key pricing considerations include justifying price increases tied to raw materials or market fluctuations, understanding potential hidden fees, and establishing clear mechanisms for price adjustments. The contract aims to create a transparent framework for trailer procurement that addresses variability in geographic shipping costs, ensures consistent supply, provides appropriate insurance coverage, and maintains pricing stability throughout the 5-year contract term. TxDOT is particularly interested in vendors' ability to manage complex logistical requirements, provide comprehensive warranties, and comply with state regulatory standards.

• Purpose: Gather information to set terms and specifications for an automated term contract (up to 5 years), which will allow for annual price increases and clear expectations on shipping, freight, and distribution logistics. QUESTIONS
Price Increase Considerations
1. What does a price increase process look like for your company? Are there manufacturer price lists used, an industry standard index, or quotes?
2. If an industry index, which indices do you use for price escalation (Producer Price Index (PPI), Market Price List (MPL), Consumer Price Index (CPI), Contractors Constant plus)?
3. How do you calculate and justify price increases during the contract period, particularly when tied to raw materials or market fluctuations?
4. How often do price increases typically occur during the life of a contract? Do you propose annual increases, or do they happen based on specific industry triggers or conditions?
5. Are there any other external factors that could trigger price adjustments (e.g., changes in regulations, fuel surcharges, etc.)? If so, how do you handle them, and can you provide a clear process for implementing them?
6. Are there any additional costs or hidden fees that may not be included in the base price but could be incurred during the contract term (e.g., setup fees, service charges, or extra delivery costs)?
Vendor Roles
1. Are you the manufacturer of trailers, or do you act as a distributor?
2. If you are a distributor, can you provide detailed information about the manufacturers you represent, including lead times, reliability, and product warranties?
3. If you are a distributor, do you subcontract any part of the manufacturing or delivery process? If so, how does subcontracting work within your organization, and will the subcontractors adhere to the same terms and conditions outlined in a contract?
Shipping and Freight Terms
1. Does the overall contract price include freight? If not, how are freight costs determined and billed to TxDOT?
2. Can you provide any cost breakdowns based on shipping locations or volume?
3. For deliveries, do you use LTL freight or full truckloads?
4. What shipping methods do you use for LTL freight? Are there specific carriers, and how do you manage smaller shipments across the state?
Shipping to Multiple Districts
1. How would you address shipping to multiple TxDOT districts?
2. Would you be able to help alleviate freight concerns by offering zone-based pricing or bulk shipments to reduce shipping costs?
3. Shipping will be FOB Destination; how do you ensure that goods are delivered in compliance with this requirement, including any liability for damages during transit?
4. Can you provide a cost breakdown for each TxDOT district, considering factors like location, shipping distance, and volume?
5. How would you propose to manage potential shipping or freight cost variances across different geographic areas?
Contract Terms and Conditions
1. Understanding the 5-year term of the contract, what measures do you have in place to ensure consistent supply and pricing stability over the course of this period?
Insurance and Liability
1. As the State of Texas requires insurance, what types of coverage do you provide for the trailers, including during transit?
2. Will your company be able to provide the necessary insurance certificates upon request, ensuring compliance with TxDOT requirements?
Warranty and Support
1. What kind of warranty do you offer on the trailers, and what is included in that warranty? Does it cover repairs and replacement parts, or are there any limitations based on the type of trailer purchased?
Compliance and Regulations
1. Are there any specific regulations or standards to be aware of in order to include your trailers in the contract? This could involve environmental standards, material specifications, or other regulatory requirements.
Flexibility in Terms and Delivery
1. Can you accommodate special delivery schedules or emergency orders? If so, how do you ensure that orders are fulfilled quickly without compromising on cost?
