SECTION B
CONTRACT TYPE, SUPPLIES OR SERVICES AND PRICE/COST
B.1 The District of Columbia Government (the “District”), acting by and through its
Department of General Services (the “Department” or “DGS”) Division of Contracts and Procurement is issuing this Request for Proposal (“RFP”) to engage a single qualified contractor (the “Contractor”) to provide comprehensive Property Management Services including facility Operations, Maintenance and Repair Services (“OM&R”) at Francis L.
Cardozo Education Campus (the “Facility”) located at 1200 Clifton Street, N.W.
Washington, DC 20009. All services shall be conducted in accordance with the Scope of Work (Section C) of this Request for Proposals (“RFP”), the District of Columbia’s Department of General Services Standard Contract Provisions for Supplies and Service Contracts, January 2016 Exhibit E.1, and other associated Contract Exhibits and Solicitation Attachments listed in Section J of this RFP and the proposed Contract.
B.1.1 The Department intends to award one (1) contract. Offerors (“Offeror(s)”) shall submit price proposals for all Contract Line-Item Numbers (“CLINs”), including CLINs identified for the base period and each of the four-option year. The Offeror’s failure to complete the price schedule for all CLINs (as prescribed herein) covering all option periods shall be sufficient to render a proposal non-responsive and subject to exclusion from further evaluation in consideration of award. For the complete submission and evaluation requirements please refer to Section L and Section M of this RFP.
B.1.2 The awarded Contractor shall serve as the Property Manager on behalf of the District and to this end, shall provide all management, tools, equipment, travel to and from the work site, and all else necessary to successfully provide services as contemplated hereunder. The proposed contract (the “Contract”) will have a term beginning with a base period (“Base Period”) effective date of award through September 30 of the respective fiscal year and include up to four (4) one (1) year option periods (“Option Periods”). The total length of the proposed Contract will not exceed five (5) years in accordance with Section F.2.4.
B.2 TYPE OF CONTRCT. Pursuant to the District of Columbia Procurement Practices Reform Act (“PPRA”) 2010, Section 403 Competitive Sealed Proposals the District contemplates award of a single Fixed-Price Contract with repair and replacement services compensated on a Time and Materials basis, in accordance with Chapter 47 of Title 27 DCMR §§ 4712 and 4716.
B.3 AGGREGATE GROUP OR INDIVIDUAL ITEM – RESERVED [Intentionally
Omitted]
B.4 PRICE / COST SCHEDULE
The firm-fixed, fully loaded monthly rates, and fixed direct labor hourly rates for repair and replacement services shall be the awarded Contractor’s sole method of compensation and as such, shall be sufficient to cover all of the costs necessary to provide services including, but not limited to: all labor, supplies, tools, equipment, transportation, travel to and from work sites, per diem, subcontractor cost, overhead, profit, home office overhead, general and administrative (“G&A”) expenses, operational support, program management, performance management, licenses and insurance coverage and provisions as required in Section [I.14] and all else necessary as reasonably inferred for the safe and proper provision of required services, aligning with the deliverables described herein.
i. For the avoidance of doubt and to provide clarification, the Contractor’s price shall be fully loaded, accounting for all cost associated with providing the contemplated hourly rate services including union fee increases, holiday and overtime paid to the Contractor’s employees. The Contractor will not be permitted to bill, nor will the District accept additional cost in the form of holiday, overtime, and or changes to hourly rates due to any of the aforementioned.
ii. Furthermore, all proposed rates for the base year and each option year must account for any year-over-year changes in wages due to market variables, including those determined by the U.S. Department of Labor Wage Determination and the D.C. Living Wage increases. The McNamara-O’Hara Service Contract Act requires contractors and subcontractors performing services on prime contracts in excess of $2,500 to pay service employees in various classes no less than the wage rates and fringe benefits found prevailing in the locality, or the rates (including prospective increases) contained in a predecessor contractor's collective bargaining agreement. The Department of Labor issues wage determinations on a contract-by-contract basis in response to specific requests from contracting agencies. These determinations are incorporated into the contract.
a. The Contractor acknowledges and agrees to remain in compliance with the most current wage requirements during the base period and all subsequent option year periods. This commitment ensures the District receives the safe and proper provision of required services, aligning with the deliverables described herein.
b. For the avoidance of doubt and notwithstanding any contrary provisions, the
Contractor is hereby notified that all service providers deployed under this Government-funded Contract must be bona fide employees of the prime contractor and/or any subcontractor providing services, without exception. The Contractor acknowledges and agrees to comply with the Department of Labor Service Contract Act Wage Determination regulatory requirements. Failure to comply with these regulations may result in penalties and/or contract termination.
McNamara-O'Hara Service Contract Act (SCA) | U.S. Department of Labor (dol.gov) (https://www.dol.gov/agencies/whd/government-contracts/service-contracts): This article contains information regarding the SCA and how it is administered. Detailed explanations of the regulatory guidance are found at 29 CFR Part 4.
iii. The Contractor’s price shall be as low as or lower than those charged to the Contractor’s most favored customer for comparable services under similar terms and conditions, in addition to any discounts for prompt payment.

B.4.1.1 Base Period – Basic Services This notice is to inform all prospective Offerors that the total Base Period proposed price will be estimated based on 12 months of service. However, please note that the District does not guarantee that the Base Period will have a 12-month term. Therefore, it is the District’s expectation that the individual Contract Line-Item Number (CLIN) pricing proposed includes only the costs associated with the respective CLIN services.
The Offeror acknowledges and understands that the final term of the Base Period will be from the date of award through September 30, 2025.

B.5.1 The District through its authorized Contracting Officers, reserves the right to make changes in quantities and any other alterations in the work in accordance with Article 15 of the Standard Contract Provisions for Supplies and Services as further detailed in Exhibit E.1 of this RFP.
B.5.2 If the alteration or changes in quantities significantly change the character of the work to be performed under the Contract, the altered work will be authorized by a contract modification executed by the Contracting Officer.
B.6 ACKNOWLEDGEMENT OF REVIEW OF CONTRACT DOCUMENTS
Before submitting its proposal in response to this RFP, the Offeror acknowledges that it reviewed all specifications for accuracy and completeness and is required to bring all such inconsistencies, deficiencies and or questions to the attention of the Department so that the Department can address any inconsistencies, deficiencies and or questions by addenda to this solicitation. The Contractor acknowledges that any inconsistencies and or questions it identifies shall not be the basis for a change to the Contract’s terms and conditions.
B.6.1 Execution of the Contract by the Contractor is a representation that the Contractor has thoroughly examined all contract documents, including all details, estimated staff scheduling plans, and has satisfied itself before executing the Contract as to all matters that can affect the work and its cost, including: (1) the prevailing wage; (2) financial capacity;
(3) availability of personnel to appropriately staff services; (4) familiarized itself with the risks and mitigation costs associated with providing the required services; and (5) in general, to have itself obtained all necessary information as to risk contingencies, and other circumstances which may influence or affect performance of the work. The Contractor waives all claims against the Department arising from or relating to such contingencies and conditions that are reasonably inferable from the contract documents.
B.7 DESIGNATION OF SOLICITATION FOR THE CERTIFIED BUSINESS SET-
ASIDE MARKET ONLY
This RFP is designated only for certified business enterprise (“CBE”) Offerors under the provisions of the “Small and Certified Business Enterprise Development and Assistance Act of 2014”, D.C. Official Code § 2-218.01 et seq., as amended.
B.7.1 Offerors must be certified by the Department of Small and Local Business Development
(“DSLBD”) as a CBE at the time of the Proposal Submission Deadline in order to be eligible to participate in this solicitation. Offerors that are found to be non-CBE’s at the time of the proposal due date will be deemed non-responsive and their submission will not be considered.
B.7.2 Joint Venture Exclusion. Pursuant to DC Code §§2-218.02 (1D) – (1E) and 2-218.39a, a joint venture is not a CBE; therefore, certified joint ventures are excluded from responding to this RFP. B.8 SUBCONTRACTNG REQUIREMENTS
An Offeror responding to this RFP that is required to subcontract shall be required to submit with its proposal, any subcontracting plan (Attachment A.4) required by law. Proposal responding to this RFP shall be deemed nonresponsive and shall be rejected if the Offeror fails to submit a subcontracting plan that is required by law. The Department will not accept nor pay any mark-up to subcontractor costs for providing services.
B.8.3 For the avoidance of doubt and notwithstanding any provisions to the contrary, Offerors acknowledge and understand that their Subcontracting Plan shall be based on the estimated 12 months of service specified in Section B.4.1 and Exhibit E.4. Failure to submit an accurate and complete Subcontracting Plan in accordance with all terms specified herein will render an Offeror's proposal non-responsive, resulting in its removal from further evaluation and consideration for contract award.
