EXECUTIVE SUMMARY
1. This Request for Proposal (RFP) supports the United States Army Space and Missile Defense Command (USASMDC) requirement entitled, “Design, Development, Demonstration, and Integration II (D3I2), Domain 1 (D1) Space, High Altitude, and Missile Defense Domain.” D3I2 D1 is a full and open competitive acquisition that supports the USASMDC mission and is a follow-on to the current D3I D1 multiple award indefinite delivery, indefinite quantity (MAIDIQ) contracts. The D3I2 acquisition represents a continuance of a consolidated approach within USASMDC for acquiring research and development (R&D) capabilities to satisfy its mission.
2. The mission of USASMDC is to develop and provide current and future global space, missile defense, and high altitude capabilities to the Army, joint forces, allies, and partners to enable multi-domain combat effects; enhance deterrence, assurance, and detection of strategic attacks; and to protect the Nation. USASMDC also serves as the Army operational integrator for global missile defense and conducts mission related R&D in support of Army strategic, operational, and tactical missions.
3. This performance-based acquisition will satisfy recurring requirements to develop flexible, streamlined contracting arrangements that promote competition, achieve efficiency metrics, and respond to the breadth and depth of requirements across USASMDC and other associated defense organizations’ diverse technology base, where technology readiness levels are at varying levels of maturity.
4. North American Industry Classification System (NAICS) Code: 541715 (Research & Development in the Physical, Engineering, and Life Sciences [except Nanotechnology and Biotechnology] Exception 3 Guided Missiles and Space Vehicles, Their Propulsion Units and Propulsion Parts; Business Size Standard: 1,300 Employees.
5. Product Service Code: AC13 National Defense R&D Services; Department of Defense (DoD) Military;
Experimental Development.
6. Projected Period of Performance (PoP): 05 January 2026 through 04 January 2036 (five-year base ordering period with one five-year optional ordering period).
7. Place of Performance: Continental United States (CONUS) and Outside the Continental United States (OCONUS) locations to include contractor and Government facilities.
8. Required security classification level: Defined at the Task Order (TO) level up to Top Secret (TS) with Sensitive Compartmented Information (SCI) and/or higher access (as required) for contractor personnel and a facility clearance with safeguarding up to the TS level. The contractor shall comply with the full requirements of the Department of Defense (DD) Form 254 and SOW in execution. The contractor will not be permitted access to classified information until a final DD Form 254 is incorporated.
9. See Section J, Attachment 01, entitled D3I2 D1 SOW, for additional requirements.
10. United States Army Contracting Command Redstone Arsenal (ACC-RSA) will remain the Procurement Contracting Office. Note that except for USASMDC and ACC-RSA, no other agency will have ordering authority under D3I2; all external customer requirements will be processed through USASMDC.
A1 CONTRACT TYPE
1. This is a MAIDIQ type contract being awarded to satisfy the requirements that fall within the scope of the attached statement of work (SOW), entitled “D3I2 Space, High Altitude, and Missile Defense Domain.”
2. The contemplated business arrangement for this requirement is a hybrid MAIDIQ base contract with TO arrangement consisting of firm-fixed-price (FFP), cost reimbursement, and cost-plus-fixed-fee (CPFF) [completion and term forms], Contract Line Item Number (CLIN) structure.
3. It is anticipated that a programmatic level ceiling value of $4.62 billion will be shared between D3I2 D1 (full-and-open) and Domain 2 (D2) (Small Business Set-Aside). $2.57 billion is estimated to be shared among all prime contract awardees in D1 (note that each resulting contract will have a ceiling value of $2.57 billion). The total of all TOs awarded, inclusive of all prime contract awardees, shall not exceed the shared ceiling value. Note that the United States Government reserves the right to unilaterally move ceiling value between CLINs, between ordering periods, and between Domains.
4. The MAIDIQ basic contract will establish Contract Rate Tables-Prime for the prime contractor and separate Contract Rate Tables-Major Subcontractor for the major subcontractors. The Contract Rate Tables will contain fully burdened labor rates by labor category for Government Site and Contractor Site locations for both CONUS and High-Cost CONUS areas. For estimating purposes of CPFF Task Order Proposal (TOP) labor, an offeror will use the cost per hour rates, fee per hour rates, and the total fully burdened labor rates established in the appropriate contract rate tables to calculate the TOP’s CPFF total cost, fixed fee, and total price (see Attachment 04, D3I2 D1 Special Contract Instructions, Section 2.0 TO Procedures).
5. Material and hardware products will be deliverable end items. Fee will be allowed on material and other direct costs (ODCs), while travel will be non-fee bearing.
A2 ORDERING
1. The ordering period arrangement for this MAIDIQ will consist of a five-year base, with one five-year option period. TOs will typically be awarded for a 24-60-month PoP. The PoP for any TO may extend no more than 36 months beyond the end of the ordering period in which it is ordered. Note that TOs may contain optional requirements and/or optional PoPs that go beyond the ordering period, which may be exercised before the optional ordering period is exercised or if the optional ordering period is not exercised. Note too that all TO optional requirements and PoPs shall be priced.
2. This MAIDIQ will be executed and administered in accordance with (IAW) the requirements set forth in FAR Subpart 16.5, Indefinite-Delivery Contracts (as supplemented) and Section J, Attachment 04, entitled D3I2 D1 Special Contract Instructions, which establishes the process through which the TOs will be awarded.
3. All services to be performed under this contract will be set forth in individual TOs issued on a DD Form 1155, Order for Supplies or Services. Unless one of the statutory exceptions at FAR 16.505(b)(2)(i), Ordering (as supplemented), applies or a statute expressly authorizes or requires that the purchase be made from a specified source, a fair opportunity selection process (to include the evaluation criteria and their order of importance) will be stated in each Task Order Requirements Package (TORP). Unless otherwise directed by the contracting officer (KO), the prime contractor shall initiate task performance promptly upon the receipt of a fully executed TO or as otherwise directed by the KO at the time of TO issuance. The signed TO will incorporate all items agreed upon during TOP interchanges (as applicable).
4. Unless waived by the KO, TORPs and TOs will include at a minimum:
• Contract type FFP or CPFF [completion or term forms];
• Performance-based description of the requirement to be performed;
• Required delivery dates or overall periods of performance;
• A list of Government-furnished property (if any);
• A list of required deliverables (see NOTE below);
• Travel, ODCs, and/or material costs authorized (if applicable);
• Security requirements (if any); and
• Anticipated Place of performance.
NOTE: Deliverables (Exhibit A) may consist of (but are not limited to) manufactured and/or assembled end items, equipment, prototypes, technical reports, studies, analyses, charts, reports, briefing notes, tabulations, view graphs, computer software, materials, and presentations.
5. Any applicable Secure Environment Contracting (SEC) procedures as stated elsewhere in this contract (for example, see Section J, Attachment 04, entitled D3I2 D1 Special Contract Instructions, Section 7.0), in a specific TO, or as applicable at time of TORP development and/or release, may dictate processes other than those stated in Section J, Special Contract Instructions attachment.
6. The contracts will include FAR 52.217-8, Option to Extend Services and FAR 52.217-9, Option to Extend the Term of the Contract. FAR 52.217-9 states that the option may be exercised, but does not commit the Government to an extension. Exercise of the option ordering period will be at the discretion of the Government; however, the Government’s decision may take into consideration the results of the contractor performance assessment as described in Section J, Attachment 01, entitled D3I2 D1 SOW, or elsewhere in the resulting basic contract.
7. If a TO option is exercised pursuant to FAR 52.217-8, Option to Extend Services, the option value will be within the MAIDIQ ceiling identified in Section A1.
8. IAW with the provisions in Section J, Attachment 01, entitled D3I2 D1 SOW, the Government reserves the right to assess the health of the overall D3I2 program prior to the end of the basic ordering period. The purpose of this review will be to determine whether the existing number/composition of awardees possess the depth and breadth of capabilities and capacity to satisfy requirements under this MAIDIQ on a competitive basis and to determine the need to make changes to the D3I2 prime contractor base, to include the addition/on-ramp of new prime contractor teams.
9. As stated in Section J, Attachment 04, entitled D3I2 D1 Special Contract Instructions, TOs will be awarded on a best value basis. In emergency situations, the Government reserves the right to issue unilateral TOs on an undefinitized basis. Any such undefinitized unilateral TOs shall be definitized as quickly as possible IAW Defense Federal Acquisition Regulation Supplement (DFARS) 252.217-7027, Contract Definitization.
10. IAW FAR 19.504, task order set-asides will be at the discretion of the contracting officer.
A3 MINIMUM OBLIGATION
The minimum amount guaranteed under this contract, and any contract awarded under the D3I2 program, is $1,000 (the minimum guarantee TOs will be issued commensurate with the award of the basic contracts).
A4 FUNDING
All funds will be provided at the TO level. No funding will be applied to the basic contract.
A5 CONTRACT REQUIREMENTS

The contractor shall furnish to the Government all necessary labor, services, supplies, equipment, and materials, except as specified to be furnished by the Government, and shall accomplish the requirements as specifically set forth in each TO awarded.
All TOs shall be within the scope of the SOW, which is incorporated in Section C, and provided as Section J, Attachment 01, entitled D3I2 D1 SOW, of this solicitation and resultant contract.
