Federal Deposit Insurance Corporation-

Board Room Collective Technology Refresh Statement of Objectives

1. Introduction The Federal Deposit Insurance Corporation (“FDIC”) is an independent agency of the U.S. government that was established by Congress in 1933 to insure bank deposits and help maintain sound conditions in our banking system. In its unique role as deposit insurer of banks and savings associations and primary supervisor of state nonmember banks, the FDIC promotes the safety and soundness of insured depository institutions.

2. Objectives The FDIC is seeking a design-build contractor to transform the FDIC’s Board Room Collective (BRC)1, located at FDIC headquarters at 550 17th Street Washington DC (owned by the FDIC), into state-of-the-art broadcasting and collaboration spaces (referred to herein as “the solution”) with high quality audio, video, lighting, and associated construction. The solution shall be highly available, effective, and efficient while ensuring audio and video (AV) worthiness wherein all in-person and remote (herein referred to as “hybrid”) Board Members, participants, and observers (herein referred to as “attendees and audiences”) in an audio, video, or combined audio and video call can hear (and be heard) and see (and be seen) clearly. AV worthiness means a attendees and audiences at any location in the room or remotely will be able to hear (and be heard) and see (and be seen) clearly. High-level objectives:

• Provide enhanced and reliable broadcast and media production capabilities that deliver a world class experience for attendees and audiences.

• Provide ability to produce and reliably deliver state-of-the-art audio and video content for internal and external attendees and audiences locally, nationally, and internationally.

• Provide interoperability of the BRC solution with the FDIC’s Virtual Outreach Center2 (VOC) and other current state-of-the-art, flexible, and scalable technology and physical infrastructure.

1 The BRC encompasses several rooms on the 6th floor: the Board Room (includes the Board Room and four closets), a conference room that serves as an overflow room for Board Room events, and another conference room.

2 FDIC’s Virtual Outreach Center is a full-service video and audio production facility for recording, editing and distributing video and audio content internally and externally for web, broadcast, and social media purposes, and could include content such as live and recorded broadcast interviews, virtual town halls, webinars, and podcasts

The plan is to move the court reporter, who brings their own equipment, from the Board Room to the new control space where they will have a station to connect their equipment in order to monitor the Board Room proceedings. Verbatim court reporter transcripts are used for official record, but are not part of the captioning.

• Provide a solution (e.g. floor design, finishes, furniture) that positively reinforces lighting and acoustics.

3. Requirements The BRC is the FDIC’s premiere space5 for public broadcasting (live and recorded) and high-level hybrid meetings between FDIC, banks, and other regulatory agencies. The FDIC is modernizing the BRC and seeks a solution that:

• must work 1) in each room separately, 2) when any two rooms are used in combination (to include when the third room is used at the same time for an unrelated purpose), and 3) when all three rooms are used in combination.

• uses a combination of state-of-the-art audio, video, and lighting equipment to ensure the Corporation is represented in the highest quality and clarity.

• operates within the FDIC’s environment and infrastructure (see Attachment 1 - Room Schematics and Attachment 2 - Audio and Video Architecture and Equipment with IO and Network Descriptions).

• is compatible with FDIC’s AV architecture (see Attachment 2 - Audio and Video Architecture and Equipment with IO and Network Descriptions).

• will be ready to interoperate when other rooms are integrated into the solution.

3 There must be enough operators to support the solution when all rooms operate independently and simultaneously.

4 The plan is to move the court reporter, who brings their own equipment, from the Board Room to the new control space where they will have a station to connect their equipment in order to monitor the Board Room proceedings. Verbatim court reporter transcripts are used for official record, but are not part of the captioning.

5 This includes on site press coverage activities.

Corporation-

• Must include a dedicated captioning capability.

The contractor shall be responsible for all design, construction, project management, delivery of required equipment, installation, testing, training, system turn over, and so forth. User Interface and User Experience

• The solution shall include a navigator touch panel to control all equipment and operations from a single device (rather than having multiple separate remotes and controls).

• The solution shall include an interface to support Bring Your Own Device (BYOD) that enables Bring Your Own Meeting (BYOM) functionality, which

6 The FDIC understands that long lead items may impact the contemplated timeframe.

Corporation-allows users access to the room camera, microphones, and speakers to host hybrid meetings from a user’s laptop.

• The solution shall include privacy indicators showing video-on and audio-mute/unmute.

• The room layout shall provide for a state-of-the-art look and feel so that the user is exposed to the least amount of AV equipment, connectors, and controls as is necessary to participate in an immersive experience.

• The solution shall be easy to access, use, and support.

• Voice lift shall be provided to amplify the presenter's voice through the overhead speakers and to the far end attendees and audiences

• Video screens shall be sufficiently big to create an immersive experience

• Video should accommodate Ultra High Definition capability

• The solution shall be 508 compliant.

Scalability and Interoperability

• The solution shall scale such that there is capability to connect conference rooms at other locations with seamless interoperability.

3.2 Equipment, Materials, and Licenses

Equipment and Materials The contractor shall use all new wiring, equipment, mounting brackets, conduits, controls, cabling, and so forth. The contractor shall disconnect, remove, and appropriately dispose of any pre-existing and no-longer-needed materials. The contractor may use existing AV equipment in the solution (see Attachment 2 – Attachment 2 - Audio and Video Architecture and Equipment with IO and Network Descriptions) and, if used, will be considered Government Furnished Equipment. Any removed hardware needs to be turned over to the FDIC (e.g. asset tagged equipment or hardware). The contractor must provide cable management between the rooms and must meet DC building codes.

Licenses The contractor shall:

• Acquire all approved licenses required for the solution. The approval process will be two-fold: the FDIC will 1) concur with the proposed software or, via final design, determine appropriate software equivalent and 2) determine whether the FDIC or the contractor will acquire the software license.

• Provide all applicable commercial licensing agreements, e.g., End User License Agreements (EULA); if federal Government-specific EULAs are offered, provide them in lieu of the commercial licensing agreement.

Corporation-

3.3 System/Solution Acceptance

Operational and user acceptance testing must be performed to test the performance and functions of the solution, to include integration and user interfaces. System/solution acceptance shall include a demonstration of AV worthiness that meets the high-level objectives and requirements detailed in this SOO. The contractor shall abide by clause 7.6.4-02 Inspection and Acceptance.

3.4 Installation Warranty and On-site Support

Warranty The FDIC expects a warranty. Unless the contractor proposes a different warranty which the FDIC accepts as part of the contract award process, the following warranty will apply.

(a) In addition to any other warranties in this contract, the Contractor warrants that work performed under this contract conforms to the contract requirements and is free of any defect in equipment, material, or design furnished, or workmanship performed by the Contractor or any subcontractor or supplier at any tier. This warranty shall continue for a period of 1 year from the date of final acceptance of the solution.

(b) The Contracting Officer shall notify the Contractor, in writing, within a reasonable time after the discovery of any failure, defect, or damage. If the Contractor fails to remedy any failure, defect, or damage within a reasonable time after receipt of notice, the FDIC shall have the right to replace, repair, or otherwise remedy the failure, defect, or damage at the Contractor’s expense.

(c) With respect to all warranties, express or implied, from subcontractors, manufacturers, or suppliers for work performed and materials furnished under this contract, the Contractor shall—

(d) This warranty shall not limit the FDIC’s rights under any inspection or acceptance clauses of this contract with respect to latent defects, gross mistakes, or fraud.

Support See Attachment A – Operations and Maintenance

3.5 Training

The Contractor shall provide relevant on-the-job training (by a suitably qualified instructor) for those personnel designated by FDIC, in order to

Corporation-instruct them in the operation and troubleshooting of the installed solution;

training sessions shall be conducted post-solution/system acceptance using the installed solution and shall include a question and answer element. All such training shall take place after the solution is fully operational, but prior to acceptance. Training sessions shall be recorded and made available to the FDIC for re-use. Training documentation shall be tailored to the solution.

4. Constraints

• Site Visit. The Contractor acknowledges, by attendance at the pre-proposal site visit, that it has taken steps reasonably necessary to ascertain the nature and location of the work, and that it has investigated and satisfied itself as to the general and local conditions which can affect the work or its cost, including but not limited to (1) conditions bearing upon transportation, disposal, handling, and storage of materials; (2) the availability of labor, water, electric power, and so forth; (3) uncertainties of weather, physical conditions at the site; and (5) the character of equipment and facilities needed preliminary to and during work performance. The Contractor also acknowledges that it has satisfied itself as to the character, quality, and quantity of surfaces and fixtures, or obstacles to be encountered, insofar as this information is reasonably ascertainable from an inspection of the site, as well as from the drawings and specifications made a part of this contract. Any failure of the Contractor to take the actions described and acknowledged in this paragraph will not relieve the Contractor from responsibility for estimating properly the difficulty and cost of successfully performing the work, or for proceeding to successfully perform the work without additional expense to the FDIC. The FDIC assumes no responsibility for any conclusions or interpretations made by the Contractor based on the information made available by the FDIC. Nor does the FDIC assume responsibility for any understanding reached or representation made concerning conditions which can affect the work by any of its officers or agents before the execution of this contract, unless that understanding or representation is expressly stated in this contract.

• Material and Workmanship. All equipment, material, and articles incorporated into the solution covered by this contract shall be new and of the most suitable grade for the purpose intended, unless otherwise specifically provided in this contract. The Contractor may, at its option, use any equipment, material, article, or process that, in the judgment of the Contracting Officer, is equal to that named in the contract, unless otherwise specifically provided in this contract. Except as may have been approved as part of the proposal and contract award process, the Contractor shall obtain the Contracting

Corporation-

Officer’s approval of the equipment to be included in the solution. When requesting approval, the Contractor shall furnish to the Contracting Officer the name of the manufacturer, the model number, and other information concerning the performance, capacity, nature, and rating of the equipment. When required by this contract or by the Contracting Officer, the Contractor shall also obtain the Contracting Officer’s approval of the material or articles which the Contractor contemplates incorporating into the work. When requesting approval, the Contractor shall provide full information concerning the material or articles. When directed to do so, the Contractor shall submit samples for approval at the Contractor’s expense, with all shipping charges prepaid.

Equipment, material, and articles that do not have the required approval shall be installed or used at the risk of subsequent rejection. All work under this contract shall be performed in a skillful and workmanlike manner. The Contracting Officer may require, in writing, that the Contractor remove from the work any employee the Contracting Officer deems incompetent, careless, or otherwise objectionable.

• Superintendence by the Contractor. At all times during performance of this contract and until the work is completed and accepted, the Contractor shall directly superintend the work or assign and have on the worksite a competent superintendent who is satisfactory to the Contracting Officer and has authority to act for the Contractor.

• Permits and Responsibilities. The Contractor shall, without additional expense to the FDIC, be responsible for obtaining any necessary licenses and permits (if applicable for installation), and for complying with any Federal, State, and municipal laws, codes, and regulations applicable to the performance of the work. The Contractor shall also be responsible for all damages to persons or property that occur as a result of the Contractor’s fault or negligence. The Contractor shall also be responsible for all materials delivered and work performed until completion and acceptance of the entire work, except for any completed unit of work which may have been accepted under the contract.

• Other Contracts. The FDIC may undertake or award other contracts for additional work at or near the site of the work under this contract. The Contractor shall fully cooperate with the other contractors and with FDIC employees and shall carefully adapt scheduling and performing the work under this contract to accommodate the additional work, heeding any direction that may be provided by the Contracting Officer. The Contractor shall not commit or permit any act that will interfere with the performance of work by any other contractor or by FDIC employees.

• Site Protection. The Contractor shall protect from damage all existing improvements and utilities (1) at or near the work site, and (2) on adjacent property of a third party, the locations of which are made known to or should be known by the Contractor. The Contractor shall repair any damage to those facilities, including those that are the property of a third party, resulting from failure to comply with the requirements of this

Corporation-contract or failure to exercise reasonable care in performing the work. If the Contractor fails or refuses to repair the damage promptly, the Contracting Officer may have the necessary work performed and charge the cost to the Contractor.

• Operations and Storage Areas. The Contractor shall confine all operations (including storage of materials) on FDIC premises to areas authorized or approved by the Contracting Officer. The Contractor shall hold and save the FDIC, its officers and agents, free and harmless from liability of any nature occasioned by the Contractor’s performance.

• Cleaning Up. The Contractor shall at all times keep the work area, including storage areas, free from accumulations of waste materials.

Before completing the work, the Contractor shall remove from the work and premises any rubbish, tools, scaffolding, equipment, and materials that are not the property of the FDIC. Upon completing the work, the Contractor shall leave the work area in a clean, neat, and orderly condition satisfactory to the Contracting Officer.

• Accident Prevention. The Contractor shall provide and maintain work environments and procedures which will (1) safeguard the public and FDIC personnel, property, materials, supplies, and equipment exposed to Contractor operations and activities; (2) avoid interruptions of FDIC operations and delays in project completion dates; and (3) control costs in the performance of this contract.
