About this file

This is a quotation document from CKS (a vendor) in response to a procurement request from the City of St. Petersburg, Florida for the North East Water Reclamation Facility (NEWRF). The City is seeking to procure one (1) Flowserve Limitorque L120-10 electric multi-turn valve actuator as a direct drop-in replacement for existing equipment that is beyond economic repair. The procurement is structured as a sole-source acquisition with no substitutes or equivalent products accepted; only the specified Flowserve Limitorque L120-10 actuator will be considered for award. The quote was dated April 26, 2023, and is intended to restore existing valve actuation functionality without requiring modifications to the installed valve, mounting interface, or control architecture.

The quotation provides pricing for the specified Flowserve actuator unit required for the NEWRF application. As a sole-source procurement for a critical replacement part, the City has restricted this opportunity exclusively to the exact model specified, reflecting the technical requirements for direct compatibility with existing infrastructure. The transaction represents a capital equipment replacement need driven by the failure of the current valve actuation system at the municipal water reclamation facility.

Terms & Conditions of Sales and Service These Terms and Conditions (hereinafter “T&Cs”) apply to any and all parts, valves or equipment sales or service by Valve & Actuation Services, LLC dba Chalmers & Kubeck South (hereinafter referred to as “CKS”) for Customer:

1. ENTIRE AGREEMENT: With the exception of price/scope terms which may change from time to time, these T&Cs shall constitute the entire contract between CKS and its Customer and shall supersede and control over any other writing relating to the sales/service of CKS for Customer. No alterations, modifications, competing terms, or amendments to these T&Cs shall be binding unless in writing and duly signed by BOTH the Customer and an authorized representative of CKS.

2. SCOPE OF WORK: These T&Cs apply to all of CKS sales and services for Customer including work originally quoted and any additional or future work requested by Customer and agreed to by CKS, whether orally or in writing. To the extent that any parts, valves, equipment, or other materials are removed and/or replaced from the Customer’s premises for purposes of affecting the work, it is understood and acknowledged that any additional expense of such removal and/or replacement shall be billed to and paid by Customer. If CKS’s quote is for work to be performed on a fixed price or not to exceed basis and Customer requests additional work, a written Change Order adjusting the scope and price shall be completed prior to the start of any additional work by CKS.

3. PRICING: All prices quoted are net. No taxes are included in price quotes. Unless specifically agreed by CKS in writing, all work described or verbally requested will be invoiced on a time and material basis. CKS labor and material prices in effect at the time of the performance of services will apply. CKS requires a $250 minimum order. Labor rates, material prices, rental rates, travel expenses, and mark ups (if any) are subject to change without notice. Rental rates do not include tooling. Customer agrees to pay CKS a 25 % restocking fee on parts and a 40% restocking fee on engineered products that may be returned, provided those items are eligible for return. Please contact CKS for item restock eligibility. CKS quotes are valid for 30 days with labor based upon straight time hourly rates. Normal working hours are from 7:00am to 3:30pm Monday-Friday. Additionally, Customer agrees to pay time-and-a-half for any overtime labor utilized by CKS in the completion of the work. Overtime is defined as all hours worked before 7:00am or after 3:30pm Monday through Friday. Customer agrees to pay double time for labor performed in the completion of the work on observed holidays or Sundays. CKS sales support is available 8am-5pm during regular working days. Travel costs for CKS personnel and equipment will apply to and from Customer’s jobsite. If personnel are available and ready to work, and CKS is delayed due to the Customer, Customer’s subcontractor or causes outside of CKS’s control, Customer agrees to pay for standby time billed per the current rate schedule.

Consumables for the completion of CKS’s work will be billed at 3 % of the total cost of the services.

4. PAYMENT: Customer shall pay CKS for all labor, material, rental rates, travel expenses, service charges and taxes incurred for all activities, parts, valves, materials and equipment related to the performance of the work or sales requested by Customer. CKS reserves the right to require a deposit, progress payments and/or to stop work prior to/during the performance of services and prior to project completion. CKS invoices are due upon receipt but in no event later than 30 days. CKS provides a 2% discount for payments in less than 10 calendar days. Customer shall pay interest on its account at a rate of 1.5% per month.

Customer shall remain responsible for all labor charges incurred, and title to any material, parts or equipment purchased and/or installed shall not pass to Customer until payment is made in full, including any applicable service charges and interest.

5. LIEN: CKS shall have and retain a security interest and/or materialman’s lien upon the parts/equipment sold/serviced by CKS for any and all unpaid charges relating to its sales/service, along with the right, but not the obligation, to retake possession thereof until all bills and charges relating to the same have been paid in full.

6. WARRANTY: CKS warrants that it will perform services in a good and workmanlike manner for commercial work, free of substantial defect material and workmanship, provided that written notice thereof is given by Customer to CKS within one (1) year of the date the work was performed regardless of date/time Customer learns of such defect. This warranty excludes any equipment or systems manufactured by others, but CKS hereby agrees to pass on to Customer any and all manufacturer warranties that may be transferrable for such equipment or systems. CKS hereby DISCLAIMS any implied warranties that may be imputed, exist or apply with respect to its sales or services, including any implied warranty of merchantability, workmanship or fitness of the goods/services for any particular purpose.

7. REPRESENTATIONS AND INDEMNITY: By placing its order(s) with CKS, Customer represents that in no circumstance shall CKS parts, valves, equipment or material be used or sold in or to the nations of Cuba, Iran, North Korea, Syria, or any other nation, entity or person defined as a restricted state by the U.S. State Department. Customer agrees to defend, indemnify, and hold harmless CKS and its employees, representatives, agents, officers, principals, members, parents, affiliates and insurers of and from any and all claims, demands, obligations, liabilities, actions, rights of action, causes of actions, damages, suits, lawsuits, expenses, and liabilities of every kind, character, nature, and description whatsoever incurred by or asserted against CKS, arising directly or indirectly from (i) a breach of these T&Cs by Customer, or (ii) any injury, loss of life, or property damage to Customer or Customer’s guests, invitees, employees, agents or vendors, in any way relating to CKS’s performance of work for Customer under this Agreement or the condition or use of Customer’s premises and/or facilities.

8. INSURANCE: Customer agrees to procure and maintain comprehensive general liability insurance with a limit in the amount of at least one-half million dollars ($500,000.00) naming CKS as an additional insured under said insurance policy. Customer agrees to provide CKS proper evidence of such insurance upon request. By ordering work from CKS, Customer does hereby, for itself and its agents, servants, employees and insurers, agree that no insurer or any other party shall have any right of subrogation against CKS for any claims or damages arising out of or relating to CKS’s work. Customer hereby WAIVES and RELEASES all subrogation rights for itself and its agents, servants, employees and insurers against CKS.

9. LIMITATION OF LIABILITY: Customer hereby agrees that CKS shall not be responsible and shall hold CKS harmless of and from, and hereby WAIVES and RELEASES CKS from any damage to or loss of any articles of personal property, gear, or equipment relating to the Customer’s premises due to fire, theft or accident, it being understood that Customer and Customer’s representatives, employees, agents, invitees, or other persons have equal access to Customer’s premises. Even as to defects claimed to be latent, Customer hereby WAIVES and RELEASES any claim for defective material or workmanship for which Customer fails to provide written notice to CKS within one (1) year after the completion of such work by CKS. Customer further agrees that CKS’s sole liability under this Agreement and warranty shall be limited strictly to the repair or replacement of the defective parts, valves, equipment, material or services provided by CKS. Customer hereby WAIVES any claim or entitlement to any incidental or consequential damages it may sustain or incur in relation to any warranted defect beyond the cost of repair/replacement of the part, regardless of the nature of the claims or theory of CKS liability to the Customer.

10. ENFORCEMENT: These T&Cs shall be interpreted, and their application shall be governed by Georgia law. Venue for any proceeding arising from any work performed by CKS or sales to Customer by CKS shall exclusively be the state or federal courts covering Oconee County, Georgia. Customer hereby WAIVES his/her/its right to a trial by jury as to any dispute with CKS and further agrees to binding arbitration, at CKS’s sole discretion, over disputes arising out of any work performed or sales made by CKS to Customer or any related invoices. Customer hereby agrees to pay all costs incurred by CKS to collect invoices and/or enforce these terms and conditions, including but not limited to reasonable attorneys’ fees, costs and litigation expenses.

11. SEVERABILITY: In the event that a court determines that any portion of these T&Cs is illegal or unenforceable, then the remainder of these T&Cs shall remain enforceable.

12. CREDIT CARD CHARGES: CUSTOMER hereby authorizes CKS to charge any Credit Card number provided by Customer for the payment of any and all CKS invoices arising from or relating to sales or services of CKS. Customer agrees to pay an additional 5% credit card usage fee for each credit card payment processed.

13. FREIGHT: Standard freight terms are FOB shipping point, freight prepaid and added to the invoice. These terms apply unless otherwise specifically agreed to by CKS prior to shipment.
