About this file

This is a Request for Proposals (RFP) issued by the City of Decatur, Georgia, for Energy Service Provider (ESP) services to support a proposed Energy Savings Performance Contract (ESPC) project. The City seeks a qualified, Georgia Environmental Finance Authority (GEFA) prequalified ESP to conduct an investment grade energy audit and potentially design, procure, and implement energy conservation measures (ECMs) across eleven municipal facilities totaling 230,919 square feet, including public works buildings, recreation centers, City Hall, fire stations, and park administrative facilities. A mandatory pre-proposal conference and site visit is scheduled for November 18, 2025, at 10:00 AM EST at Decatur City Hall. Written questions must be submitted by November 21, 2025, at 5:00 PM EST, with the City providing responses via addendum by December 1, 2025, at 5:00 PM EST. Proposals are due December 5, 2025, at 3:00 PM EST as a single PDF file limited to thirty (30) pages, not including required attachments. The City will complete proposal evaluation and select up to three finalists by December 12, 2025, with oral interviews scheduled for December 19, 2025, at 10:00 AM EST. One ESP will be selected for contract award based on overall qualifications, benefits to the City, and relevant evaluation criteria. The selected ESP will execute an Audit Agreement followed potentially by an ESPC with a verified savings guarantee period not exceeding twenty (20) years.

The RFP does not specify pricing terms, proposal costs, or funding sources. The City reserves the right to reject any or all proposals, waive informalities, and negotiate changes to the scope of work. Respondents must comply with all City requirements, including submission of required forms such as the ESP Project History, Team Member Qualifications, Proposal Affidavit, Immigration and Security Form, and Equal Employment Opportunity Form. The evaluation criteria prioritize ESP qualifications and experience with similar projects, suitability for the City's specific needs as a small, engaged municipality, and overall team capabilities in areas including building systems integration, building automation, renewable energy technology, and grant/rebate optimization. The City has adopted a Clean Energy Plan with a goal of supplying 100 percent renewable electricity to municipal buildings by 2030, making this ESPC a key implementation mechanism.

ARTICLE 1. INSTRUCTIONS

1.1 Intent

These Instructions and the Schedules and Specifications shall define and describe the complete services to be provided.

1.2 Examination

Firms are advised to examine all documents and current descriptions of the services to become fully informed of their conditions. This includes conformity with specific standards and the character, quality and quantity of the services provided. Failure to examine these areas will not relieve the bidder of its obligation to provide the services necessary to carry out the contract's provisions.

1.3 Eligibility

To be eligible for selection pursuant to this RFP, ESPs are required to attend the mandatory site visit and submit a responsive Proposal. The City will evaluate and rank responsive Proposals in accordance with this RFP and select up to three of the highest-ranking Proposals using the specific evaluation criteria set forth in this RFP. The finalist ESPs may be interviewed by the City for possible final selection.

The City will select the ESP that best meets its needs based on overall qualifications, benefits to the City, and other factors determined to be relevant to the implementation of the proposed project.

1.4 Mandatory Pre-Proposal Conference

A mandatory pre-proposal conference and site visit will be held at Decatur City Hall, 509 N.

McDonough Street, Decatur, GA 30030 on Tuesday, November 18, 2025, at 10:00 AM EST.

A representative of the ESP must attend the conference in its entirety to be considered eligible for selection. The ESP is strongly encouraged to allow ample travel time to ensure arrival in the conference meeting room prior to the beginning of this and any mandatory conference. The City reserves the right to deem late arrivals absent and non-responsive.

A general overview and site visit instructions may be given to ESPs prior to a mandatory guided tour of the facilities. Following the pre-proposal conference, City representatives will leaded a guided tour of two additional sample facilities within walking distance of Decatur City Hall. The conference and tour will end by 1:00 PM EST.

After the pre-proposal conference and site visit, a question-and-answer period shall begin during which questions about this procurement, project, and/or potential scope of work must be submitted to the City in writing via email. The City will issue responses to inquiries and any other corrections or amendments it deems necessary via official addenda issued prior to the submittal due date.

Respondents shall not rely on representations, statements, or explanations other than those made in this RFP and cumulative addenda to this RFP.

1.5 Questions

Any questions and/or misunderstandings that may arise from this Request for Proposals should be

Page 6 of 21 November 2025 submitted, in writing, to David Nifong at david.nifong@decaturga.com prior to this conference. Further questions may be submitted until Friday, November 21, 2025, at 5:00 PM EST, at which time the question-and-answer period shall close. Answers to such questions that materially change the conditions and specifications of this Request for Proposals will be sent to all attendees as an addendum. Any discussions or documents will be considered non-binding unless incorporated in an addendum. When addenda are required, the proposal due date may be extended. Parties responding to this Request for Proposals must attend this pre- proposal conference for their submittal to be considered.

Important: A restriction of communication is in effect. Attempts to contact any City representative in connection with this RFP outside of the question-and-answer process, or failure to provide fully responsive submittal information may lead to disqualification. Prohibited communication includes all contact or interaction including, but not limited to, telephonic communications, emails, faxes, letters, or personal meetings, such as lunch, entertainment, or otherwise. This restriction will remain in effect throughout the RFP phase of the project and subsequent phases until a contract is awarded or the procurement is cancelled.

2.3 Background

The City of Decatur is a small, highly engaged city with a strong emphasis on collaboration and right-sized, vendor-supported solutions. The Decatur Clean Energy Plan, adopted by the City Commission in September 2022, established the goal of supplying 100% of electricity demand in municipal buildings with clean and renewable energy by the year 2030. To accomplish that goal, the Plan recommends several actions to improve the energy efficiency of City facilities, including the installation of LED lighting, retro-commissioning heating, ventilation, and air conditioning systems, expanding the usage of building automation systems, and installing high-efficiency electric appliances.

To minimize capital costs and ensure consistent, high-quality project implementation, the City intends to pursue a portfolio-wide energy savings performance contract (ESPC). It is City’s goal to first execute an Audit Agreement and, if the City so elects, subsequently execute an ESPC. By issuing this RFP, the City is inviting ESPs to submit Proposals for the proposed project. This RFP establishes the rules and procedures for ESPs to prepare and submit Proposals.

2.4 Scope of Work and Objectives

This request for proposals (RFP) is issued by the City of Decatur (City). Eligible respondents include Energy Services Providers (ESP) that are identified on the Georgia Environmental Finance Authority (GEFA) Prequalification List as a Prequalified ESP. Only eligible respondents may respond to this RFP.

The objective of this RFP is to select an ESP to provide the services outlined in this RFP to the City for a proposed Energy Savings Performance Contract (ESPC) Project.

It is expected that one (1) ESP will be selected because of this RFP. The ESP is expected to work closely with the City’s project management team for the project’s duration to coordinate project activities and schedules. The ESP shall designate a primary point of contact with the City and will provide monthly progress reports, recurring project meeting agendas and minutes, and regularly updated project schedules, at a minimum.

Page 8 of 21 November 2025

The following Scope of Work outlines the steps the ESP will take to provide the requested services.

While these tasks comprise the major responsibilities the City envisions for the project, the ESP is encouraged to expand on or adjust these tasks as necessary to achieve the City’s stated goals. Any additions, exceptions, or other proposed changes to the Scope of Work should be noted and adequately explained in the firm’s response to this RFP.

2.5 Prospective Implementation

An ESP selected under this RFP will be required to execute an Audit Agreement, a form of which is attached hereto as Attachment F. If the City elects to install or implement the energy conservation measures (ECMs) recommended by ESP, ESP will be required to execute an ESPC, a form of which is attached hereto as Attachment G. In deciding whether to submit a Proposal in response to this RFP, ESPs must review the ESPC Cost and Savings Attachment, the form of Audit Agreement and the form of ESPC because they indicate the parameters of services and obligations to be undertaken by ESPs. ESPs should not anticipate any modifications to these forms.

2.6 Investment Grade Energy Audit Agreement

After making a final selection under this RFP, the City and the selected ESP will execute the form of Audit Agreement, whereby ESP will conduct an investment grade audit of the premises. In accordance with the Audit Agreement, ESP will be required to produce an audit report summarizing its recommendations for ECMs based on anticipated energy and operational cost savings or enhanced revenues resulting from the ECMs. The ESPC Cost and Savings attachment will be used. The audit report must include

(i) A thorough analysis of City facilities, including an inventory of energy-consuming building systems and utility and operational cost baselines;

(ii) A detailed economic analysis of the proposed project's performance over the contract time for verified savings;

(iii) ECM Costs – for each ECM – of all costs of installation, maintenance, service, and repairs; and

(iv) Details of verified savings to be achieved

2.7 Energy Savings Performance Contract

After ESP performs the audit and submits the audit report, the City, in its sole discretion, may elect to execute an ESPC with ESP, whereby ESP shall design, procure, fabricate, construct, install, commission, and test those ECMs that the City selects, and in which ESP guarantees a set level of guaranteed savings. A form of the ESPC Agreement is attached hereto as Exhibit G.

The ESPC shall comprise two phases of work: (1) ECM Installation Work and (2) ECM Continuing Services. As part of the ECM installation work, ESP shall provide detailed designs and specifications, as necessary, for the ECMs and surrounding areas of the premises for City review and comment. ESP shall make all reasonable modifications requested by the City. ESP shall then proceed to provide ECM submittals for each ECM. When the City approves such ECM submittals, ESP will move forward with installation and implementation of ECMs. ESP shall at all times comply with the project installation schedule and provide 2-week and 4-week look ahead schedule.

The contract time for work shall begin on the date such work is permitted to proceed under the ESPC

Page 9 of 21 November 2025 and continue through the date established for final completion in the ESPC. ECM continuing services shall occur as provided in the ESPC, but may continue during and after the contract time for verified savings, which shall begin on the later of (1) acceptance of the work or (2) the date the City provides a notice of commencement of contract time for verified savings, and shall end at the end of the fiscal year that is no longer than (20) years thereafter.

In accordance with the Act, the ESPC must include a guarantee that the dollar value of verified savings will meet or exceed the cost of the ECMs within the contract time for verified savings, which shall be no longer than 20 years from acceptance of the work. The ESPC will require ESP to provide the City with an annual review of the guaranteed savings and verified savings, and will hold ESP liable for any annual verified savings shortfall.

ARTICLE 3. PROPOSAL EVALUATION, NEGOTIATION, AND AWARD PROCESS

3.1 General Evaluation Information

The objective of the evaluation process is to select an ESP based on the Proposal that represents the best interest of the City. All responsive Proposals will be evaluated in accordance with this RFP.

Proposals will be evaluated based on the completeness and quality of the information provided in conformance with this RFP including all attachments, and in response to any request for additional information. Failure to provide any requested information, and failure to provide information in accordance with the instructions of this RFP, may cause an ESP’s Proposal to be deemed non-responsive.

3.2 Administrative/Preliminary Review of Submittals

As the first step in the evaluation process, the Proposals will be reviewed to ensure Proposals are submitted on time, responsive, and contain the required documents.

3.3 Detailed Evaluation

If a proposal passes the administrative/preliminary review, the Proposal will be forwarded for further evaluation. A selection committee made up of qualified City representatives and stakeholders will be established, and the committee shall select up to three “finalist” ESPs for further consideration but shall reserve the ability to select fewer finalists for additional consideration in the event a sparse quantity of responsive submittals are received.

3.4 Specific evaluation criteria for evaluation of Proposals are as follows:
