About this file

This is a construction contract agreement between the City of Roswell, Georgia and a contractor for work at the Water Treatment Plant. The scope of work includes installing a concrete pad, installing a generator, and connecting the generator to an existing Automatic Transfer Switch (ATS) located inside the Water Treatment Plant. The contract specifies that substantial completion must be achieved within 60 days from the commencement date, with final completion and readiness for payment required within 90 days. The contract documents incorporate the EJCDC C-520 standard agreement form along with general conditions, supplementary conditions, performance and payment bonds, and any addenda or documentation posted to the designated website prior to the project close date. The contractor must provide written representations confirming examination of contract documents, site visit completion, familiarity with applicable laws and regulations, and review of subsurface and environmental condition reports.

The contract operates on a stipulated (fixed) price basis with payment terms providing 95 percent of completed work value monthly, less retainage, with the balance due upon substantial completion. Liquidated damages are assessed at $250 per day for failure to meet substantial completion, final completion, or milestone deadlines, with damages applied sequentially rather than concurrently. The owner may also recover special damages for fines, penalties, and actual costs for engineering and administrative services incurred beyond the substantial completion date. An early completion bonus structure exists but specific dollar amounts per day and maximum bonus values are not filled in the document. Payment is due on or about the fifth day of each month, and unpaid amounts accrue interest at one percent monthly. The contractor must obtain surety consent before final payment or retainage release, and must comply with the City of Roswell's gratuity, kickback, and rebate policies.

A. Contractor and Owner recognize that time is of the essence as stated in Paragraph 4.01 above and that Owner will suffer financial and other losses if the Work is not completed and Milestones not achieved within the Contract Times, as duly modified. The parties also recognize the delays, expense, and difficulties involved in proving, in a legal or arbitration proceeding, the actual loss suffered by Owner if the Work is not completed on time.

Accordingly, instead of requiring any such proof, Owner and Contractor agree that as liquidated damages for delay (but not as a penalty):

1. Substantial Completion: Contractor shall pay Owner $250 for each day that expires after the time (as duly adjusted pursuant to the Contract) specified above for Substantial Completion, until the Work is substantially complete.

4. Liquidated damages for failing to timely attain Milestones, Substantial Completion, and final completion are not additive, and will not be imposed concurrently.

B. If Owner recovers liquidated damages for a delay in completion by Contractor, then such liquidated damages are Owner’s sole and exclusive remedy for such delay, and Owner is precluded from recovering any other damages, whether actual, direct, excess, or consequential, for such delay, except for special damages (if any) specified in this Agreement.

C. Liquidated Damages are based on additional staff time, engineer time, lost business opportunities, legal, and non-use of the facility for its intended function.

D. Bonus: Contractor and Owner further recognize the Owner will realize financial and other benefits if the Work is completed prior to the time specified for Substantial Completion.

Accordingly, Owner and Contractor agree that as a bonus for early completion, Owner shall pay Contractor $[number] for each day prior to the time specified above for Substantial Completion (as duly adjusted pursuant to the Contract) that the Work is substantially complete. The maximum value of the bonus will be limited to $[number].
