About this file

This is an interoffice memorandum from the Orange County Transportation Authority (OCTA) Risk Management department regarding insurance and indemnification requirements for RFP 250352, which seeks qualified consultants to provide sales tax audit and recovery services. The contract is structured as a firm fixed engagement with a five-year term, with compensation based on a percentage of recovery funds. The memorandum outlines detailed insurance coverage requirements that the selected consultant must maintain throughout the entire contract term, including Commercial General Liability with minimum limits of $1,000,000 per occurrence and $2,000,000 general aggregate, Automobile Liability Insurance with combined single limits of $1,000,000, Workers' Compensation as required by California state law with a Waiver of Subrogation, and Employers' Liability with minimum limits of $1,000,000 per accident. Additionally, Professional Liability insurance with minimum limits of $1,000,000 is required if the consultant is licensed or specially certified and the OCTA is relying on that specialty certification.

Proof of insurance coverage must be provided within ten calendar days of the agreement's effective date and prior to work commencement, submitted to OCTA's insurance tracking contractor, InsureTrack, with certificates designating OCTA as additional insured. The memorandum specifies that all insurance shall be primary and non-contributory to OCTA's own coverage, and the insurer must provide thirty days' notice of cancellation or material modification and ten days' notice for non-payment. The consultant is responsible for ensuring all subconsultants maintain equivalent insurance coverage and include OCTA as additional insureds. The indemnification clause requires the consultant to indemnify and defend OCTA against all claims arising from the consultant's negligent acts, omissions, or willful misconduct in performing the agreement, including bodily injury, death, and property damage claims with associated attorney fees and litigation expenses.
