PERFORMANCE WORK STATEMENT (PWS)

FOR

MORRIS K. UDALL AND STEWART L. UDALL FOUNDATION (UDALL)

National Center for Environmental Conflict Resolution Collaboration and Conflict Resolution Training Services

Collaboration in NEPA Course 2022006 1/7/2022

1.0 SCOPE. This performance work statement (PWS) defines the requirements for the Contractor to provide training delivery services for the John S. McCain III National Center for Environmental Conflict Resolution’s (National Center)’s Collaboration in NEPA (National Environmental Policy Act) course.

1.1 Background. The National Center is a federal program dedicated to providing neutral collaboration, conflict management, and training services concerning environmental, natural resource, and public lands issues. The National Center is a program of the Morris K.

Udall and Stewart L. Udall Foundation, an independent, non-partisan agency of the federal government. Additional information about the Foundation and its programs may be found at www.udall.gov.

The National Center delivers trainings that are open to the public and professionals from all fields, as well as group trainings provided for requesting organizations. These trainings can be delivered in person or online. The National Center’s training courses provide participants with essential negotiation and conflict management skills as well as opportunities to practice ECCR. The National Center’s trainings teach practical strategies to resolve a wide variety of contentious issues and emphasize collaborative problem-solving processes that create opportunities for dialogue, mutual understanding, and respect in environmental conflicts. This approach builds long-term relationships and produces enduring and creative results to settle even the most intractable problems. The National Center requires the services of an experienced trainer to co-train with a National Center trainer for its Collaboration in NEPA course.

2.0 APPLICABLE DOCUMENTS. The following documents are incorporated by reference to and form a part of this PWS. Documents and/or weblinks to the applicable documents are provided. b. Training syllabus and agenda for Collaboration in NEPA (in-person) (~3 pages) – Attached to this PWS. A virtual syllabus is in development and will consist of the same modules as the in-person course.

3.0 TASKS.

3.1 Materials Review and Kickoff Call:

3.1.1 Review Course Materials – the contractor must review all course materials for Collaboration in NEPA (both in person and virtual versions). Examples of course materials include but are not limited to PowerPoint (~166 slides), participant workbook and case study, and trainer guide (~200 pages).

3.1.2 Participate in Kickoff Call – the contractor must participate in an introductory 1.5-hour kickoff call with the National Center’s Course 1 Lead Trainer(s) and Training Program Staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst). The call agenda will include reviewing training goals and anticipated audiences, learning about the National Center’s Training Program, discussing roles, and planning for upcoming trainings.

3.2 Prepare, Teach, and Debrief In-Person 2-Day Collaboration in NEPA Course

3.2.1 Prepare – the contractor must:

• Coordinate as needed via email with the National Center co-trainer and

Training Program staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst)

• Participate in up to 1 one-hour coordination call with the National Center co-trainer and Training Program staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst)

• Set up the room for delivery of the course the day before the course begins, including but not limited to unpacking materials in the training box (provided by the National Center), moving tables and chairs to training setup and other room logistics, working with on-site A/V staff, setting up easels, loading the PowerPoint, and any other needed course logistics.

3.2.2 Teach – the contractor must:

• Arrive at training location one hour prior to training start time each day.

Trainings generally start at 8:30 AM local time but time will be confirmed by the National Center when scheduled. In-person trainings typically run eight hours each day, with an hour-long break for lunch.

• Serve as a lead trainer for the NEPA elements of the training. A National Center staff member will serve as a co-trainer for the course, specializing in the interest-based negotiation fundamental skills for communication, and collaboration specific elements of the training. • Following the completion of the course, repack materials and all completed participant evaluation forms into the training box (provided by the National Center), and ship the training box back to the National Center.

3.2.3 Debrief – the contractor must participate in a one-hour conference call with National Center staff to debrief the course, discuss what went well, and discuss any suggested revisions, corrections, or improvements to the curriculum or course structure.

Estimated quantity: 1 (1 in Base Year; 0 per Option Year)

* Task 3.2 shall be priced without travel. Travel against Task 3.2 will be discussed under the Travel portion of this PWS. Travel will be estimated and funded by the government based on the location of the required travel.

3.3 Prepare, Teach, and Debrief Virtual 2-Day Collaboration in NEPA Course

• The virtual platform for training will be arranged by the National Center (either provided by the National Center or the group being trained). Common virtual platforms utilized include Zoom, AdobeConnect, and Webex Training Center, but other platforms may be used as needed.

• Typically, virtual trainings are provided in four sessions of 4-4.5 hours (with breaks) each, or five sessions of 2-3 hours (with breaks) each, spread over two weeks, but the schedule may vary slightly for individual trainings.

3.3.1 Prepare – the contractor must:

• Coordinate as needed via email with the National Center co-trainer and Training Program staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst)

• Participate in up to 1 one-hour coordination call with the National Center co-trainer and Training Program staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst)

3.3.2 Teach - the contractor must serve as a lead trainer for the NEPA elements of the training. A National Center staff member will serve as a co-trainer for the course, specializing in the interest-based negotiation fundamental skills for communication, and collaboration specific elements of the training. Delivery of the course material will be split between the Contractor and the National Center trainer.

3.3.3 Debrief – the contractor must participate in a one-hour conference call with National Center staff to debrief the course, discuss what went well, and

3.4 Task Options – In order to provide the best possible support for the requirement, the

National Center may utilize Task Options throughout the base and each option performance period. The following task options shall be proposed individually and for the estimated number of occurrences provided within the task description. Options will typically be exercised one at a time but may be combined. Task Options shall be priced without travel. Travel against Task Options will be discussed under the Travel portion of this PWS. Once the requirement to execute an option has been identified, travel will be estimated and funded by the government based on the location of the required travel.

The paragraphs below provide a narrative of a single instance of a task option. Each task provides the estimated quantity for that task that can be exercised within the base performance period and each option year. Each instance shall be priced individually. The contractor shall be required to support task options within 30 days of notification of intent to exercise the option.

3.4.1 OPTIONAL Prepare, Teach, and Debrief In-Person 2-Day Collaboration in NEPA

Course

3.4.1.1 Prepare – the contractor must:

• Coordinate as needed via email with the National Center co-trainer and Training Program staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst)

• Participate in up to 1 one-hour coordination call with the National Center co-trainer and Training Program staff (Training Program Manager, Training Program Coordinator, and Training Program Analyst)

3.4.1.3 Debrief – the contractor must:

• Participate in a one-hour conference call with National Center staff to debrief the course, discuss what went well, and discuss any suggested revisions, corrections, or improvements to the curriculum or course structure.

* This task option is intended to be a two-day, in-person course, however, due to unforeseen circumstances such as pandemics, natural disasters, or other training needs, this task could change to a virtual course. In the event this task is converted to a virtual task, task elements to be completed will be the same as those identified in task 3.3.2.

Estimated quantity: 19 (5 in Base Year; 7 per Option Year)

3.4.2 OPTIONAL Prepare, Teach, and Debrief a Virtual Collaboration in NEPA Course

• The virtual platform for training will be arranged by the National Center (either provided by the National Center or the group being trained). Common virtual platforms utilized include Zoom, AdobeConnect, and Webex Training Center, but other platforms may be used as needed.

3.4.2.2 Teach – the contractor must serve as a lead trainer for the NEPA elements of the training. A National Center staff member will serve as a co-trainer for the course, specializing in the interest-based negotiation fundamental skills for communication, and collaboration specific elements of the training. Delivery of the course material will be split between the Contractor and the National Center trainer.

3.4.2.3 Debrief – the contractor must participate in a one-hour conference call with National Center staff to debrief the course, discuss what went well, and

4 PERFORMANCE REQUIREMENTS. Listed below are the main performance standards for this task order requirement. These standards represent “Satisfactory” performance.

Completed participant evaluation forms packed in the training materials box returned to the National Center for in-person trainings. (For virtual trainings, electronic evaluations are administered to participants by the National Center Training

Team) and shall be shipped within 2 business days following course completion.

6.0 GOVERNMENT FURNISHED PROPERTY (GFP) AND/OR INCIDENTAL PROPERTY.

6.1 There is no GFP on this contract.

7.0 CONTRACTOR FURNISHED EQUIPMENT (CFE). There is no CFE on this contract. The Contractor is not responsible for developing or printing materials or securing a venue for the training(s). The National Center will also conduct outreach for course participants, communicate with course participants regarding all necessary logistical information, and administer evaluation forms to all participants in each training and collate responses.

8.0 SECURITY. All Contractors in support of this contract must comply with these requirements.

8.1 Contractor Identification.

1. For in-person trainings, The Contractor must ensure each of its employees who will be involved in the performance of the contract, on a government facility and in all meetings, wear an identification (ID) tag provided by the National Center. The ID tag shall clearly display the contractor's name and the employee's name. It is the contractor's responsibility to ensure that all contractor personnel always wear the ID badge when performing work under this contract. Unless otherwise specified in the contract, each contractor employee shall wear the ID tag in a conspicuous place on the front of their clothing and above their waist, except when safety or health reasons prohibit such placement.

2. Contractor personnel shall clearly identify themselves to all attendees as a contractor employee before the commencement of trainings with Government or other contractor personnel. Contractor personnel shall clearly and immediately identify themselves as a contractor employee when placing, answering, or participating in telephone/VTC conversations with Government or other contractor personnel.

3. When contractor personnel send e-mail messages from or to a Government-owned computer, they shall include a signature block that includes their employer's name, and the employee's full name and e-mail address.

4. Each of the requirements set forth in paragraphs 1-3, above must be included in all subcontracts at any tier.

9.0 PLACE AND PERIOD OF PERFORMANCE.

9.1 Place of Performance. The place of performance will be at the contractor’s facility, with specified travel to various locations nationally where trainings are requested including but not limited to Tucson, AZ and Washington, D.C., and other areas nationally (travel covered in Section 10.0 Travel).

9.2 Period of Performance. The base year period of performance is approximately 15 April 2022 through 14 April 2023. There will be two (2) one-year option periods, as follows:

Option Year 1: 15 April 2023 through 14 April 2024 Option Year 2: 15 April 2024 through 14 April 2025 **Actual dates for each performance period will be updated with contract award.

The dates and times for base year training sessions are listed below:

• Task 3.2 In-Person Training Session is anticipated to occur as a 2 day in-person course over the May 24-May 25, 2022 time period in Washington, D.C.:

o Tuesday, May 24 – 8:30-4:30 ET o Wednesday, May 25 – 8:30-4:30 ET

10.0 TRAVEL. It is the responsibility of the Contractor to obtain all necessary travel documents to execute travel as required. The Contractor will be authorized travel expenses consistent with the substantive provisions of the Federal Travel Regulations (FTR), the Federal Acquisition Regulation (FAR) 31.205-46 and the limitation of funds specified in this contract. Local travel costs are not authorized.

The following travel values shall be used for proposal purposes and are not inclusive of any indirect costs or profit:

Base Period Base Tasks Travel: Use the value of $1,991.00 in the proposal.

Base Period Optional Tasks Travel: Use the value of $9,952.00 in the proposal.

Option Year 1 Base Tasks Travel: Use the value of $0.00 in the proposal.

Option Year 1 Optional Tasks Travel: Use the value of $13,933.00 in the proposal.

Option Year 2 Base Tasks Travel: Use the value of $0.00 in the proposal.

Option Year 2 Optional Travel: Use the value of $13,933.00 in the proposal.

11.0 MATERIALS/OTHER DIRECT COSTS (ODCs).

No materials/ODCs are anticipated.

12.0 PERSONNEL QUALIFICATIONS AND CERTIFICATIONS.

12.1 CONTRACTOR QUALIFICATIONS

Minimum required Contractor expertise includes the following:

• Demonstrated experience as a trainer for 2-day (or comparable) in person courses

• Demonstrated expertise in NEPA processes and context, including Section 101

• Ability to share NEPA case examples based on work experience and any related best practices and lessons learned.

• Demonstrated understanding of opportunities for collaboration within different phases of the NEPA process (to include working with cooperating agencies, Native Nations, stakeholders, the public, etc.)

• Knowledge of the recent evolution of NEPA implementation guidance and regulations, and considerations for collaboration within the NEPA process (e.g. CEQ proposed updates to the regulations for implementing the procedural provisions of NEPA, and knowledge of FACA, FOIA, NHPA Section 106, etc.)

• Knowledge of the benefits and challenges of collaboration within a NEPA process, and in Environmental Collaboration and Conflict Resolution (ECCR) processes in general.

• Demonstrated experience in participating in opportunities for collaboration in NEPA within different phases.

• Knowledge of environmental justice considerations in NEPA processes

Desired Contractor expertise includes the following:

• Demonstrated experience as a trainer for 2-day equivalent virtual courses

• Understanding of the need to adjust to a variety of cultural, organizational, and decision-making structures in NEPA processes, as well as understanding differences between federal agency missions, objectives and authority

• Knowledge of communication protocols and cross-cultural awareness that foster positive relations

• Understanding of key principles and best practices for effectively consulting with stakeholders and Native Nations

• Demonstrated facilitator or stakeholder engagement expertise

12.2 KEY PERSONNEL

Key personnel are those Contractor personnel considered to be essential to contract performance.

The Trainer is designated as key personnel and may only be replaced after receipt of the Contracting Officer’s (KO) recommendation, in accordance with the terms and conditions of the following section, Substitution of Key Personnel. The Trainer shall be a single point of contact for the National Center program personnel. It is anticipated that the Trainer will conduct the first training and each training thereafter.

The Trainer assigned to this project is required to have demonstrated training experience leading 2-day or comparable length trainings, and senior level experience and expertise in facilitating collaboration and conflict resolution processes involving environmental and public policy issues.

Key Personnel is defined as follows:

1. Personnel identified in the Proposal as key individuals to be assigned for participation in the performance of the contract; and

2. Personnel whose resumés were submitted with the Proposal; or

3. Individuals who are designated as key personnel by agreement between the government and the Contractor during contract negotiations.

12.3 SUBSTITION OF KEY PERSONNEL

The Contractor shall notify the KO and the COR prior to making any changes in Key Personnel. No changes in Key Personnel will be made unless the Contractor can demonstrate that the qualifications of prospective replacement personnel are equal to, or better than the qualifications of the Key Personnel being replaced. All proposed substitutes shall have qualifications equal to, or higher than the qualifications of the person to be replaced. The KO shall be notified in writing of any proposed substitution at least thirty (30) calendar days in advance of the proposed substitution. Such notification shall include:

1. An explanation of the circumstances necessitating the substitution;

2. A complete resume for the proposed substitute; and

3. Any other information requested by the KO to enable him/her to determine whether the Contractor is maintaining the same high quality of personnel that provided the partial basis for award. The KO and the COR will review substitutions and promptly notify the Contractor of his/her recommendations in writing. Should the submission be withdrawn by the Contractor, another substitution is required within fifteen (15) calendar days (from date of withdrawal of previous submission) by the Contractor.

13.0 QUALITY CONTROL (QC). QC shall be performed in accordance with the Quality Assurance Surveillance Plan (QASP) to ensure that the standards outlined in paragraph 4.0 of this PWS are met. The Government Quality Assurance Surveillance Plan (QASP) is provided separately as a reference/informational. It is noted that the QASP is not a part of the contract, nor is it intended to duplicate the Contractor’s QCP.
