The Vendor must accept all equipment on an "as is" basis and shall service all analog phone sites identified in Attachment A.
1.2. SUPPLIES AND/OR SERVICES REQUIRED:
1.2.1. Station Equipment: All telephones shall be commercial grade equipment, hearing aid compatible, meet minimum standards as outlined in Electronic Industries Alliance (EIA) Standard RS-470, and registered under Part 68 of the Federal Communications Commission (FCC) Rules and Regulations; handset cords to be fully modular, approximately 6 feet in length on desk sets and 12 feet in length on wall sets; mounting (base) cords on desk sets to be fully modular at both ends except where specialized applications prevent compliance; and wall sets to utilize RJ11W connectors.
1.2.2. Warranty Support: Vendor shall provide a warranty on all new hardware and software for a minimum of one (1) year from the date of installation or purchase for drop ship equipment including labor, materials, and parts. If any defects occur within the warranty period, Vendor shall repair the equipment on-site or return the equipment to other premises for repair (in which the Vendor will replace the equipment being repaired with like equipment with no detriment in service to the State). Vendor shall provide the same level of service on any manufacturer warranty longer than one year, for the extent of the warranty period.
1.2.3. Manufacturer Discontinued Equipment: If the Manufacturer discontinues production of a specific item, Vendor shall provide, within 180 days, the supporting documentation from manufacturer that the item and/or technical support is no longer available.
1.2.4. Administration: For all systems maintained under this contract and any renewal options, the Vendor must provide all administration passwords to DoIT upon request.

Service pack or dot(.) releases shall be installed on an as needed basis.
MAC Requirements
1.2.6. Installation and Services: Vendor shall provide services, including labor and equipment in accordance with the MAC Process detailed in this contract and in the Operations Manual (Attachment B) and assume end-to-end responsibility for provided services. · Providing a single point of contact for ordering service
1.2.7. Upon request from DoIT, the Vendor shall provide a Non-Routine Maintenance Quote Request (NMQR) detailing the proposed work, including a breakdown of services, time and materials pricing, and any associated maintenance costs. This quote shall be submitted within five (5) business days of receiving the request, at no charge, using the pricing established in this contract.

1.2.11. Additionally, the Vendor shall provide the capability to implement real-time maintenance-related changes, including but not limited to adjustments affecting system performance, service availability, and call routing configurations. These changes must be executed in a way that supports optimal system functionality without downtime or negatively impacting ongoing operations. To maintain security and proper oversight, the State shall have the ability to define different security levels and user roles, ensuring that only authorized personnel can perform maintenance activities. This role-based access control structure will allow the State to establish appropriate access permissions for system modifications, providing a secure and controlled environment for all maintenance operations.
1.2.12. Vendor Customer Service Notification Center: Vendor shall be accessible via a toll-free number and respond to maintenance calls 24 hours a day, 7 days per week, 365 days per year, including weekends and all holidays. Vendor shall provide a two (2) hour response time for requests deemed emergencies by the State. This response time includes a technician on-site within this window.
Vendor shall provide maintenance and support services, including labor and equipment, in accordance with this contract and the maintenance process detailed in Attachment B Operations Manual. The Vendor shall also assume end-to-end responsibility for provided services as follows:
· Providing a single point of contact for reporting incidents
· Coordination of Testing and Troubleshooting
· Help Desk Responsibilities
1.2.13. Maintenance Support: Vendor shall provide maintenance support which includes all labor and parts necessary to keep all telecommunications equipment, ancillary equipment (including without limitation to call accounting systems, call recording, SMDR units), at each site in good operating condition and to preserve its operating efficiency in accordance with its technical specifications. Details of steps taken and results shall be provided to the State.
1.2.14. Single Point of Contact (SPOC): If trouble is found to exist beyond the Dmarc toward the telephone company or common (or other) carrier providing service to the site, Vendor shall refer the trouble to said telephone company or common carrier's repair center and act as the State's Agent (SPOC) throughout the resolution of the incident. Vendor shall be assessed for any and all charges incurred by the State that are the result of trouble reported to telephone company or common carrier but are found to exist within the responsibilities of the Vendor.
1.2.15. Repair Intervals: Vendor shall respond with notice of a technician in route or on site to all major alarms (high/urgent) within two (2) hours of notification at the Vendor's Service Center of a major alarm or service interruption. High/Urgent service interruptions include, but are not limited to, the following:
· Main site number is out of service
· Total service failure
· Attendant/operator's position is out of service
· Stations can't complete external calls
· Attendant/operator can't receive and/or extend incoming calls
· No station-to-station calls can be made
· User-defined on demand critical locations are out of service
· System is not allowing internal or outgoing calls
· Contact Center system is not routing calls
· A major alarm is displayed
Response for priority alarms (medium) shall be within twenty-four (24) business hours and response for non-major alarms (low) shall be within forty-eight (48) consecutive hours of notification at the Vendor's Service Center (excluding weekends and State holidays for sites that are not operating 24 hours a day, seven days a week).
Regardless of severity, restoral shall be completed within four (4) hours of initial notification if trouble exists within responsibility of Vendor. Should Vendor be unable to make a repair within the four (4) hour period for any reason, Vendor shall contact DoIT prior to the expiration of the four (4) hour period and explain the situation. Service liabilities shall be applied unless mutually agreed upon by State and Vendor. Restoral time is initially met if Vendor restores remotely or provides a temporary fix within the established restoral period and DoIT agrees the fix satisfies operational needs. Permanent fix is then desired within 48 hours or by mutual agreement between DoIT and Vendor. If the Vendor technicians are unable to obtain access to a State site or its equipment, maintenance delinquency times will be adjusted accordingly.
1.2.16. Special Needs Agencies: At DoIT's discretion, Vendor shall provide twenty-four (24) hours per day, seven (7) days per week repair service to state agencies whose continuous uninterrupted operation is critical to the health and safety of the residents of the State of Illinois. Vendor shall respond with an on-site technician to all repair calls within two (2) hours of the trouble report to Vendor's Service Notification Center or fix remotely. Additionally, particularly relating to prisons or mental health facilities, it is possible that an outage under normal circumstances would be categorized as a "low" incident may be considered critical to the health and safety of staff/residents by the site. In such cases, the trouble report to Vendor will specify that it is a "high/urgent" incident, and it shall be handled as such by Vendor. If Vendor cannot adhere with this specification, the State reserves the right to contract services with another vendor via a separate procurement.
1.2.17. Chronic Failure: Vendor shall provide no-cost replacement of equipment experiencing chronic failures, if covered under a warranty or maintenance agreement, only on vendor installed equipment. Chronic failure is defined as three or more maintenance calls on the same device, for the same problem, over a three-month period.
Account Management & Consultation Services
1.2.18. Account Management: Vendor's Account Manager, or equivalent title, shall serve as the SPOC to appropriately handle any issues that may arise from the State and be fully empowered and have complete management responsibility for all services and support activities (including, but not limited to, ordering and provisioning, installation, engineering, maintenance/repair, and billing). This service shall be provided as a flat monthly fee to the State.
1.2.19. Account Teams: Vendor shall have knowledgeable account teams and subject-matter experts upon request to support the services being procured. Vendor shall provide an account team roster that provides a minimum of three (3) levels escalation to include team member name, title, office location and phone number, mobile number, and email address. Vendor shall routinely provide updated account team roster prior to the occurrence of personnel changes that affect the direct account team and/or the escalation process.
1.3. MILESTONES AND DELIVERABLES: Milestones and deliverables will be negotiated between vendor and agency per transaction once contracts are in place.
1.4. VENDOR/STAFF SPECIFICATIONS:
1.4.1. Technician Qualifications: Vendor shall provide installation, MAC, and maintenance services. 2.3.5. An economic adjustment which is not based on the CPI may be requested by the Vendor or the State to the price of all Contract Line Items. The State may, in its sole discretion, accept an equitable adjustment in the Contract terms or pricing if pricing or availability of supply is affected by extreme and unforeseen volatility in the marketplace, that is, by circumstances that satisfy all the following criteria: (1) the volatility is due to causes wholly beyond the Vendor’s control, (2) the volatility affects the marketplace or industry, not just the particular Contract source of supply, (3) the effect on pricing or availability of supply is substantial, (4) the volatility so affects the Vendor that continued performance of the Contract would result in a substantial loss and (5) No price adjustment will be approved to compensate a vendor for inefficiency or for errors or omissions in judgment or for additional profit or overhead of any kind.
2.3.6. Requested adjustments shall include the contract number, item number, line number, bid price and requested price adjustment.
2.3.7. In all cases, the vendor must file a claim in writing for such adjustment prior to the services being performed or delivery of items. In any event, the claim for such adjustment will not apply to release orders provided prior to the date the ITPO approved the economic adjustment request.
2.3.8. If the Vendor has unresolved complaints filed against it for non-delivery of or poor-quality service, its request may be denied until such time as all past complaints are resolved to the satisfaction of the State.

Failure to maintain books and records required by this section shall establish a presumption in favor of the State for the recovery of any funds paid by the State under this Contract or any subcontract for which adequate books and records are not available to support the purported disbursement. Vendor or subcontractors shall not impose a charge for audit or examination of Vendor’s or subcontractors’ books and records. 30 ILCS 500/20-65. Vendor and its subcontractors shall upon reasonable notice appear before and respond to requests for information from the Illinois Works Review Panel. 30 ILCS 559/20-25(d).
4.5. TIME IS OF THE ESSENCE: Time is of the essence with respect to Vendor’s performance of this Contract. Vendor shall continue to perform its obligations while any dispute concerning the Contract is being resolved unless otherwise directed by the State.
4.6. NO WAIVER OF RIGHTS: Except as specifically waived in writing, failure by a Party to exercise or enforce a right does not waive that Party’s right to exercise or enforce that or other rights in the future.
4.7. FORCE MAJEURE: Failure by either Party to perform its duties and obligations will be excused by unforeseeable circumstances beyond its reasonable control and not due to its negligence, including acts of nature, acts of terrorism, riots, labor disputes, fire, flood, explosion, and governmental prohibition. The non-declaring Party may cancel this Contract without penalty if performance does not resume within thirty (30) days of the declaration.
4.8. CONFIDENTIAL INFORMATION: Each Party to this Contract, including its agents and subcontractors, may have or gain access to confidential data or information owned or maintained by the other Party in the course of carrying out its responsibilities under this Contract. Vendor shall presume all information received from the State or to which it gains access pursuant to this Contract is confidential. Vendor information, unless clearly marked as confidential and exempt from disclosure under the Illinois Freedom of Information Act (“FOIA”) (5 ILCS 140), shall be considered public. Unless otherwise agreed by the Parties, and then only upon receipt of the State’s prior written consent, Vendor and its subcontractors shall not access or attain any personally identifiable information or sensitive information on or from the State’s systems, and Vendor agrees that any such information is the confidential information of the State. In any event, Vendor shall implement and maintain reasonable security measures to protect any and all data, information, and records disclosed by the State under this Contract from unauthorized access, acquisition, destruction, use, modification, or disclosure. No confidential data collected, maintained, or used in the course of performance of this Contract shall be disseminated except as authorized by law and with the written consent of the disclosing Party, either during the period of this Contract or thereafter. The receiving Party must return any and all data collected, maintained, created or used in the course of the performance of this Contract, in a non-proprietary, readily usable format, promptly at the end of this Contract, or earlier at the request of the disclosing Party, or notify the disclosing Party in writing of its destruction. The foregoing obligations shall not apply to confidential data or information lawfully in the receiving Party’s possession prior to its acquisition from the disclosing Party; received in good faith from a third Party not subject to any confidentiality obligation to the disclosing Party; now is or later becomes publicly known through no breach of confidentiality obligation by the receiving Party; or that is independently developed by the receiving Party without the use or benefit of the disclosing Party’s confidential information.
4.9. USE AND OWNERSHIP: All work performed or supplies created by Vendor under this Contract, whether written documents or data, goods, or deliverables of any kind, shall be deemed work for hire under copyright law and all intellectual property and other laws, and the State of Illinois is granted sole and exclusive ownership to all such work, unless otherwise agreed in writing. Vendor hereby assigns to the State all right, title, and interest in and to such work including any related intellectual property rights, and/or waives any and all claims that Vendor may have to such work including any so-called "moral rights" in connection with the work. Vendor acknowledges the State may use the work product for any purpose. Confidential data or information contained in such work shall be subject to the confidentiality provisions of this Contract.
4.10. INDEMNIFICATION AND LIABILITY: Vendor shall indemnify and hold harmless the State, its agencies, officers, employees, agents, and volunteers from any and all costs, demands, expenses, losses, claims, damages, liabilities, settlements, and judgments, including in-house and Contracted attorneys’ fees and expenses, related to: (a) any breach or violation by Vendor of any of its certifications, representations, warranties, covenants, or agreements; (b) any actual or alleged death or injury to any person, damage to any real or personal property, or any other damage or loss claimed to result in whole or in part from Vendor’s negligent performance; (c) any act, activity, or omission of Vendor or any of its employees, representatives, subcontractors, or agents; or (d) any actual or alleged claim that the products or services provided under this Contract infringe, misappropriate, or otherwise violate any intellectual property rights (including but not limited to patent, copyright, trade secret, or trademark rights) of a third party. Vendor shall also defend (subject to the consent of the Office of the Attorney General (“OAG”)) the State against any and all third-party claims related to this Contract. In accordance with Article VIII, Section 1(a) and (b) of the Constitution of the State of Illinois and 1973 Illinois Attorney General Opinion 78, the State may not indemnify private parties absent express statutory authority permitting the indemnification. The State shall not be liable for indirect, special, consequential, or punitive damages.
4.10.1. DATA BREACH PREVENTION, NOTICE, AND REMEDIATION: Vendor shall ensure the security, storage, and integrity of the State’s content, data, computers, networks, and systems (which may include the use of encryption technology to protect the State’s content and data from unauthorized access). Notwithstanding anything to the contrary in this Contract, to the extent that Vendor experiences or causes an information breach or security incident that impacts the State’s data, content, computers, systems, or networks, Vendor shall immediately notify the State and will use best efforts to immediately remedy any such breach or incident, and to prevent any further breach or incident, at Vendor’s expense, in accordance with applicable privacy rights, laws, regulations, policies, and standards, including but not limited to the Illinois Personal Information Protection Act (815 ILCS 530). Vendor shall reimburse the State for any and all costs incurred by the State in responding to, and mitigating damages caused by, any such breach or security incident, including all costs of notice and/or remediation.
4.10.2. D ATA LOSS AND DAMAGE TO STATE COMPUTER SYSTEMS: Vendor shall adhere to all indemnification and liability obligations stated in this Contract and will remain liable where any damage or impairment to the State’s computers, systems, and networks, or any loss or corruption of the State’s data or content, is due to Vendor’s negligent or intentional acts and omissions. Further, Vendor shall reimburse the State for any and all costs incurred by the State in restoring such data, content, computers, systems, or networks.

Insurance shall not limit Vendor’s obligation to indemnify, defend, or settle any claims.

4.13. SOLICITATION AND EMPLOYMENT: Vendor shall not employ any person employed by the State during the term of this Contract to perform any work under this Contract. 4.14. COMPLIANCE WITH THE LAW: Vendor, its employees, agents, and subcontractors shall comply with all applicable federal, state, and local laws, rules, ordinances, regulations, orders, federal circulars and all license and permit requirements in the performance of this Contract. Vendor shall be in compliance with applicable tax requirements and shall be current in payment of such taxes. Vendor shall obtain at its own expense, all licenses and permissions necessary for the performance of this Contract.
4.15. BACKGROUND CHECK: Vendor affirms that it checks the criminal records of all applicants for felony convictions and misdemeanor convictions involving a violent act or threat of violence within five (5) years prior to employment, where permitted by law.
Whenever the State deems it reasonably necessary for security reasons, the State may conduct, at its expense, criminal and driver history background checks of Vendors and subcontractors, officers, employees, or agents performing services on State owned, leased, or controlled property. Vendor or subcontractor shall reassign immediately any such individual who, in the reasonable opinion of the State, does not pass the background checks. The background checks shall be in compliance with all federal laws. The State further agrees as follows:
· Use of the information collected will be for the specific purpose of facilitating a background check;
· All information collected will be treated as confidential;
· The State will limit access to the information received and will properly store it in a reasonably secure manner;
· The State will promptly dispose in an appropriate manner all collected information when the purpose for which it was originally collected is no longer valid; and
· State must provide notice and consent forms. Vendor's and subcontractor’s officers, employees, or agents performing services on state owned, leased, or controlled property not consenting shall be reassigned.
However, in no event can Vendor agree to waive the rights of its employees, nor can Vendor provide the State with any information protected by law, including but not limited to Vendor’s background check data.
