52.212-2 Evaluation—Commercial Products and Commercial Services.

As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:

Evaluation—Commercial Products and Commercial Services (Nov 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

The contractor shall submit a written price and technical proposal for consideration before the Due Date and Time listed for this RFP. Your proposal shall include the following:

A Cover Letter that provides the following information:

• Company point of contact with email, phone and facsimile number

• CAGE Code

• DUNS number

• A statement that your company understands the requirements specified in the Statement of Work

(SOW).

• A statement that your company takes no exception to any of the requirements of the SOW.

INSTRUCTIONS

The response shall consist of two (2) volumes as outlined below:

Volume I – Price Proposal – Complete Unit and Extended Prices for all CLINs as outlined above.

Volume II – Technical Proposal – A description of the services being offered in sufficient detail to evaluate compliance with the requirements set forth in this RFP. The technical proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall not simply restate or rephrase the Government’s requirements, rather it shall provide a convincing rationale explaining how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the Offeror’s proposal. Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing. Elaborate graphics, multi-media functions (for example, video clips or sound bites), or other embellishments are not desired.\

Volume III – Past Performance – an offeror’s or contractor’s performance on active and physically completed contracts

TECHNICAL FACTOR – This factor will consist of two Sub-Factors, each of which will be evaluated and assigned a rating of Acceptable or Unacceptable. The offeror shall clearly identify and segregate each Sub-Factor so they are easily distinguishable from one another. For each Sub-Factor, the contractor shall NOT merely repeat the information in the Statement of Work (SOW) or any other information in this solicitation, but they shall provide their thoughtful and detailed business approach to meet this requirement. An offeror who fails to follow these instructions for any Sub-Factor may be considered non-responsive and may be eliminated from award consideration. An evaluation resulting in Unacceptable for any of the technical Sub-Factors will constitute an overall rating of Unacceptable for the Technical Factor. An offeror’s approach must clearly demonstrate its capability of and capacity for performance of this required service by providing all information pursuant to each Sub-Factor as identified below in accordance with the SOW.

SUB-FACTOR 1 – MANNING MATRIX:

The Contractor shall prepare a Manning Matrix. At a minimum, the offeror will clearly identify and describe the following:

a) How their contract work center will be structured by position, with estimated hours worked by employees.

b) The job responsibilities for each position outlined in relation to this service.

c) The certifications required to fill specified positions.

SUB-FACTOR 2 – QUALITY CONTROL PLAN:

The Contractor shall prepare a Quality Control Plan. At a minimum, the plan shall clearly describe and demonstrate a realistic and effective approach to the following:

a) Procedures to ensure compliance with the Quality Control requirements in the SOW.

b) The procedures to identify, prevent, and correct defective services in such a way that demonstrates they will provide quality workmanship, continual process improvement and timely correction of deficiencies.

EVALUATION Basis For Award:

The Government intends to award to the offeror whose technically acceptable proposal constitutes the best value, with Technical Performance is equally important as Price. To be considered for award, an Offeror’s proposal must conform to all solicitation requirements. While the Government will strive for maximum objectivity, the evaluation process is subjective by nature and, therefore, professional judgment is implicit throughout the entire process.

The Government intends to award a contract without discussions with respective Offerors; therefore, the initial offer should contain the Offeror’s best terms from a price and technical standpoint.

An Offeror may be asked to clarify certain aspects of its proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Exchanges conducted with regard to adverse past performance or to resolve minor or clerical errors will not constitute discussions, and the Government reserves the right to award a task order without the opportunity for proposal revision.

The evaluation factors are: PRICE PROPOSAL / TECHNICAL PROPOSAL / PAST PERFORMANCE

PRICE PROPOSAL

Prices will be calculated by adding the extended amounts of all CLINs to determine Total Evaluated Price

(TEP).

PAST PERFORMANCE

The Offeror will provide three (3) past performance evaluation documents with information via CPARS/PPIRS or directly from previous work sources for use in evaluating Past Performance in accordance with the following criteria:

Recency: Past performance will be limited to work performed in the last three (3) years from the issue date of the RFP. Past performance must be determined recent to be considered for relevancy.

Relevancy: Relevancy of the offeror's recent past performance will be considered. Relevancy is defined as a stand-alone project comparable to this requirement in terms of:

--Complexity--Efforts involving requirements similar or greater in scope than the effort described in this

RFP.

--Magnitude--Contract price between $80k to $1M

Ratings will be determined IAW CPARS/PPIRS terms and definitions (i.e. Exceptional, Very Good, Satisfactory, Marginal, Unsatisfactory)

If an Offeror has no ongoing projects, no CPARS ratings, or no relevant past performance, the Offeror’s past performance will be assessed as “neutral”. Neutral past performance will be rated Satisfactory for purposes of evaluation.

In conducting evaluations, the Government will first evaluate Past Performance for all Offerors. Proposals from Offerors with a minimum Very Good Past Performance rating will then be ranked by Total Evaluated Price (TEP). The proposal with minimum Very Good Past Performance and lowest TEP will then be evaluated for Technical Acceptability.

If the proposal is found to be Technically Acceptable, then award shall be made to that Offeror. If the proposal with minimum Very Good Past Performance and lowest TEP is Technically Unacceptable, then the Government shall evaluate the Offeror presenting minimum Very Good Past Performance and second-lowest TEP as outlined above. If the proposal with minimum Very Good Past Performance and second-lowest TEP is Technically Unacceptable, the Government shall evaluate the Offeror presenting minimum Very Good Past Performance and the third-lowest TEP (and so forth) until the successful offer is identified.

Though it is the Government’s intent to award without discussions, the Government reserves the right to hold discussions if determined to be in its best interest. Technical and past performance, when combined, are best value.

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-5 Contract Terms and Conditions Required To Implement Statutes or Executive Orders— Commercial Products and Commercial Services.

As prescribed in 12.301(b)(4), insert the following clause:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.232-18 - Availability of Funds (Apr 1984)

Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

52.217-8 - OPTION TO EXTEND SERVICES (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 66 months.

252.232-7006 - WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)

(a) Definitions. As used in this clause—

“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

“Payment request” and “receiving report” are defined in the clause at 252.232-7003 , Electronic Submission of Payment Requests and Receiving Reports.

(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003 , Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall—

(1) Have a designated electronic business point of contact in the System for Award

Management at https://www.sam.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-

Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:

(1) Document type. The Contractor shall submit payment requests using the following document type(s):

(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.

(ii) For fixed price line items—

(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

FOB Destination

(B) For services that do not require shipment of a deliverable, submit either the Invoice

2in1, which meets the requirements for the invoice and receiving report, or the applicable invoice and receiving report, as specified by the Contracting Officer.

COMBO

(iii) For customary progress payments based on costs incurred, submit a progress payment request.

(iv) For performance based payments, submit a performance based payment request.

(v) For commercial financing, submit a commercial financing request.

(2) Fast Pay requests are only permitted when Federal Acquisition Regulation (FAR) 52.213- 1 is included in the contract.

(3) Document routing. The Contractor shall use the information in the Routing Data Table below only to fill in applicable fields in WAWF when creating payment requests and receiving reports in the system.

(4) Payment request. The Contractor shall ensure a payment request includes documentation appropriate to the type of payment request in accordance with the payment clause, contract financing clause, or Federal Acquisition Regulation 52.216-7, Allowable Cost and Payment, as applicable.

(5) Receiving report. The Contractor shall ensure a receiving report meets the requirements of

DFARS Appendix F.

(g) WAWF point of contact.

5352.201-9101 - Ombudsman

As prescribed in 5301.9103, insert the following clause:

OMBUDSMAN (OCT 2019)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern. Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution.
