About this file

This exhibit is a contractor conduct and procurement integrity principles clause establishing ethical standards for contractor behavior during federal procurements related to broker services and lease acquisition support.

The clause prohibits contractors and their employees, agents, or representatives from initiating unauthorized communications with Government personnel regarding active or anticipated procurements, solicitations, or source selections unless explicitly authorized by the Contracting Officer. Contractors are forbidden from offering anything of value, making suggestions, or attempting to influence Government personnel in ways that could violate the Procurement Integrity Act (41 U.S.C. §§ 2101–2107), FAR Subpart 3.104, or other applicable laws. The clause requires contractors to avoid any conduct creating the appearance of conflicts of interest or undermining Government personnel impartiality, in accordance with 5 C.F.R. Part 2635 and FAR Subpart 3.1. Violations may result in corrective actions including personnel removal, termination for default, or referral to oversight authorities such as the Office of Inspector General. By contract signature, contractors affirm understanding of and commitment to comply with all applicable procurement integrity, ethics, and anti-lobbying laws and regulations.
