2. MSA; Order of Precedence; Amendments and Establishment of New MSAs.

1) The terms and conditions of this MSA;
2) Exhibit E, Federal Terms and Conditions

To the extent provisions contained in more than one of the documents listed above apply in any given situation, the parties agree: (i) to read such provisions together whenever possible to avoid conflict, and (ii) to apply the order of precedence only in the event of an irreconcilable conflict. The MSA and its exhibits take precedence over any terms and conditions published by Contractor on or after the Effective Date of this MSA, including Service Guides, product documentation, tariffs, or any terms presented to an end user in a ‘click wrap’ or similar end user agreement.
2.3. Exclusivity. This MSA is not exclusive. Authorized Purchaser shall be free to purchase Products and Services as described on Exhibit A (“Products” or “Services”) or similar products and services from any other contractor.
2.4. New Provisions or New MSAs. From time to time, DAS may add Products or Services to an existing MSA or enter into new MSAs with other contractors upon the occurrence of one of the following conditions (“Condition” or “Conditions”):

| iii. | There is more than one (1) MSA available for a type of Product or Service but a change in circumstances has taken place, including: a change in market conditions, a Contractor needs to be replaced due to poor performance, or a Contractor goes out of business. Poor performance will be determined by DAS with input from Authorized Purchasers. |
2.4.1. Process for Amending Existing MSAs. DAS, in its sole discretion, may add Products or Services to an existing MSA on an as-needed basis from time to time in order to fulfill a Condition(s). This process will be conducted in accordance with Section 33 below.
2.4.2. Shortened Solicitation Process for Awarding New MSAs. DAS may establish new MSAs for Products or Services on an as-needed basis from time to time in order to fulfill a Condition(s). This will be conducted as an objective written shortened solicitation process. This process will start with an announcement on OregonBuys (“Notice”) to be advertised for a time period which DAS deems reasonable under the circumstances. The Notice will include, but not be limited to, a description of the Services required, response submission requirements, form Master Services Agreement, evaluation criteria/selection process, and a collective protest period.
At no time will the term, including all available renewal options, of any new MSA established under this section exceed ten (10) years commencing from the effective date of the first MSA awarded as a result of the initial RFP.
3. Selection Process; Best Value Comparison; Issuance of Service Orders.
3.1. Best Value Comparison. From time to time, Authorized Purchaser may purchase Products and/or Services as described in Exhibit A from Contractor or other contractors pursuant to the following selection process. Authorized Purchaser shall:
| i. | Contact all contractor(s) via phone or e-mail with need; and |
| ii. | Request all contractor(s) to provide quotes for specific Products or Services needed, subject to the terms and conditions of this MSA. Contractor(s) must respond to Authorized Purchaser with a quote within ________ (__) Business Days. Rates provided by Contractor in any quote shall not exceed the most competitive rates and discounts set forth in Exhibit A. However, Contractor may agree to extend specialized, discounted pricing based on the requirements by providing a specific quote for submittal by the Authorized Purchaser with a SO; and |
| iii. | Determine which contractor provides the best value for Authorized Purchaser based on a “Best Value Comparison” as described in Authorized Purchaser’s request or notice. The Best Value Comparison may include, but is not limited to the following factors: total price, delivery, service levels, past performance, service area, and references may also be contacted as part of the best value Comparison (“Best Value Comparison”); and |
iv. Issue an individual SO (“SOs”) to selected contractor for the Products and/or Services. All SO(s) incorporate the terms and conditions of this MSA and may be in a form as agreed upon by Authorized Purchaser and Contractor, but include the following, as applicable:
· MSA Number and SO Number
· Description of the Products and/or Services, as applicable

3.4. Non-State Agency Authorized Purchaser. Non-State Agency Authorized Purchasers may issue SOs as permitted by their governing statutes, rules and/or ordinances.
3.5. Effect of Purchase Orders. The State is only liable for purchases under SOs issued by State of Oregon agencies. Other Authorized Purchasers are responsible for any purchases under SOs they issue. The State expressly disclaims any liability for purchases made by non-State Agency Authorized Purchasers or any other entity.
3.6. Funds available and authorized/non-appropriation. The State of Oregon’s and its agencies’ payment obligations under this MSA are conditioned upon Authorized Purchaser receiving funding, appropriations, limitations, allotments, or other expenditure authority sufficient to allow Authorized Purchaser, in the exercise of its reasonable administrative discretion, to meet its payment obligations under any SO. Contractor is not entitled to receive payment under this MSA or any SO from any part of Oregon state government other than Authorized Purchaser. Nothing in this MSA or a SO is to be construed as permitting any violation of Article XI, section 7 of the Oregon Constitution or any other law regulating liabilities or monetary obligations of the State of Oregon. Authorized Purchaser represents that it has sufficient appropriations and limitation for the current biennium to make payments under any SO.
4. Products and Services.
4.1. Responsibilities of Contractor. Contractor shall perform the Services and deliver the Products as set forth in the applicable SO, in accordance with the provisions of this MSA, including the Performance Standards Service Level Guarantees set forth in Exhibit B and in compliance with information technology standards established by Enterprise Information Services (EIS), found at: https://www.oregon.gov/das/Pages/policies.aspx, which may be updated from time to time. 4.2. Authorized Purchaser Responsibilities. If a SO requires Authorized Purchaser to provide any resources, and Authorized Purchaser fails to provide the requisite quality or quantity of such resources or fails to provide such resources in a timely manner for a period that does not exceed thirty (30) Calendar Days, Contractor’s sole remedy is an extension of the applicable delivery dates corresponding to the delay caused by Authorized Purchaser.

Unless otherwise agreed, Authorized Purchaser shall have a thirty (30) Calendar Day period ("Acceptance Test Period") to test the functionality of the Services or Products to determine whether they perform in accordance with the requirements of this MSA, SO, and in accordance with the manufacturer’s official published specifications.
| Upon completion of Acceptance Test Period, Authorized Purchaser shall promptly notify Contractor in writing regarding whether the Services or Products have passed or failed the acceptance test. If the Services or Products pass the acceptance test, then such notice shall be deemed “Final Acceptance.” If the Services or Products fail the acceptance test, written notice shall be given and include the specific reason(s) for the failures. |
| In the event the Product and/or Services fail the acceptance test, Authorized Purchaser, at its sole option, may cancel the SO, return the Products to Contractor and Contractor shall provide a full refund including any shipping and handling charges, or with the consent of Contractor. Authorized Purchaser may allow Contractor a set period of time in which to modify or repair the Services and/or Products, at no additional cost to Authorized Purchaser, to make the Products and/or Services conform to the requirements of this MSA and the manufacturer’s published specifications. Authorized Purchaser shall recommence acceptance testing pursuant to the terms and conditions of this provision. |
4.3.3. Sale and Delivery of Products; Necessary Components. Contractor shall deliver and install the Products as described in SO and shall provide any component, hardware or part necessary for proper installation and operation even though that item is not specifically described in the exhibit or in any specifications.

However, during the period between delivery of the Product to Authorized Purchaser and prior to Authorized Purchaser’s acceptance, Contractor shall not be responsible for loss or damage that results from Authorized Purchaser’s use of the Product with a product that is not authorized by Contractor, Authorized Purchaser’s misuse or unauthorized modification of the Product, improper maintenance of the Product by Authorized Purchaser, or Authorized Purchaser’s storage or operation of the Product in a physical or operating environment that Contractor has advised Authorized Purchaser is unsuitable for the Product.

Contractor has the right to upgrade the software or hardware and implement new technologies to better serve Authorized Purchaser and its end users, provided that (i) such actions by Contractor do not impair Authorized Purchaser's rights hereunder or result in any interference with Authorized Purchaser operations at the time of any upgrade; and (ii) such actions by Contractor are undertaken in accordance with and are governed by the terms of this MSA. In the event that Contractor’s upgrading of equipment, hardware or software or deployment of new technologies would involve changes or interference with Authorized Purchaser’s operations or Authorized Purchaser equipment or facilities used to access the Services, then Contractor shall request DAS’ and Authorized Purchaser's prior written approval, which will not be unreasonably withheld, conditioned, or delayed.
